RECOMMENDED ACTION:
Staff recommends Council adopt Resolution No. cf I - I(& c , awarding the annual CI
to prepare meals for congregate and home delivered meals to City of Vista, with the
to renew for three (3) additional one (1) year periods.
ITEM EXPLANATION
In January 1987, the City Council authorized staff to contract with the Area Agency on
(AAA) to provide nutrition, home delivered meals and transportation services in the
Carlsbad. On May 5, 1987, City Council approved an Agreement with the City of V
meal preparation. The City of Vista has prepared the meals for the Senior Nutrition P
for the last four years. In general the meals have been varied, of good quality a
received by the seniors. Each weekday, approximately 150 noon meals are served, additional 240 home delivered meals each week. Over 200 meals are served at b
Thanksgiving and Christmas lunches.
To open the service to prospective providers, General Conditions were developed a:

The estimated food cost for senior meals during fiscal year 1991 -92 is $1 17,700. Tht
Nutrition Grant provides $1 03,949 towards the cost of food with the balance providec
General Fund Senior Program.

SENIOR MEAL SERVICE AGREEMENT
This Agreement made and entered into this day of 9
1991, by and between the City of Carlsbad, California, a Municipal Corporation, hereinafter
designated as "City" and City of Vista , hereinafter referred to a
"Provider".
Whereas the City receives funding from the San Diego County Department of Social
Services, Area Agency on Aging (A.A.A.), for senior nutrition programs each year; and
Whereas, Provider agrees to provide to the City a certain number of lunch meals and
home meals, Monday through Friday, and frozen home meals provided for week-ends anc
holidays as designated by the Provider; and
Whereas, it has been determined that it is in the best interests of the City to ente:
into the Agreement hereinafter contained.
Now, therefore, in consideration of the mutual promises, conditions and covenant
herein contained, the parties hereto agree as follows:
1. Term of Agreement
This Agreement shall commence on July 1,1991 and end June 30,1992 wil
an option to renew or rebid for three (3) additional one (1) year period:

2. Compensation -
City agrees to pay Provider $ 2.2 5 per meal for congregate
meals and $ 2.50 per meal for home meals. City shall make said
payment to Provider on a monthly basis on or before the 15th day of thc
calendar month after meals have been delivered.
3. Insurance
a. The provider shall obtain and maintain during the period of th
agreement a policy of Commercial General Liability Insurance with
mzllmum coverage limit of $I,OOO,OOO per occurrence, with n
annual aggregate. The coverage is to be provided on an "occurrencl
basis. The provider of this coverage shall be authorized to c
business in the state of California and shall carry a minimum ratil
of A:V in the most recent issue of Best's Key Rating Guide. k
endorsement to the policy shall be issued which names the City as
insured for any occurrence arising out of the operation which is t
subject of this agreement. The policy shall state that it will not
canceled without at least 30 days prior written notice being sent
the City by Certified Mail.

b. The pyavider shall obtain and maintain durins the period of \his
agreement a combined policy of workers compensation and employer‘s
liability insurance with a minimum coverage limit of $1,000,000. The
provider of this coverage shall be authorized to do business in the
state of California and shall carry a minimum rating of A:V in the
most recent issue of Best’s Key Rating Guide. The policy shall state
that it will not be canceled without at least 30 days prior written
notice being sent to the City by Certified Mail.
c. The Provider shall assume the defense of, pay all expenses of defense,
and indemnify and hold harmless the City, and its agents, officers and
employees, from all claim, loss damage, injury and liability of every
kind, nature and description, directly or indirectly arising from or iI
connection with the performance of this Agreement or work; or fron
any failure or alleged failure of the Provider to comply with an:
applicable law, rules or regulations including those relating to safe?
and health; except for loss or damage which was caused solely by thc
active negligence of the City; and from any and all claims, los!
damage, injury and liability, howsoever the same may be causet
resulting directly or indirectly from the nature of the work covered b
this Agreement, unless the loss or damage was caused solely by th
active negligence of the City. The expense of defense include all COS’

and expenses, including attorney's fees for litigation, arbitration, or
other dispute resolution method.
3. Provider shall provide up to 45 home meals per day for City and said meals
to be provided Monday through Friday; up to 40 frozen home meals to be
provided for week-ends; and up to 45 frozen home meals per day on holidays
designated by the Provider.
4. Provider shall provide up to 150 congregate meals per day for City and saic
meals to be provided Monday through Friday except holidays designated b~
the Provider.
5. Said meals hereinabove referred to shall be available for pick up by City nl
later than 10:30 a.m. at Provider's site. The City shall pick up said meal
and provide the transportation for said meals from Provider's site to City.
6. Provider shall be responsible for the ordering, purchasing and payment f(
raw food items consumable supplies for home and congregate meals to t
used in the meal preparation. Food preparation shall be provided
Provideis site and under the supervision of Provider's employees. City a1
the A.A.A. shall have access to ProvideJs purchase documents, fol
preparation, packaging and storage areas and the record keeping practices

they pertain to meals provided under this Agreement in order to determine
the adequacy of Provider's purchasing, cleaning, health and sanitation
practices.
7. Provider shall comply with all federal, state and local laws and regulations
governing the preparing and handling of food; shall procure and keep in
effect all necessw licenses, permits and food handler's cards as are required
by law; and shall post such licenses, permits and cards in a proniinent place
within the meal preparation areas, as required. Provider shall comply with
all applicable federal, state, and local laws and regulations pertaining tc
wages and hours of employment.
8. City shall provide containers that are suitable for delivering said meals ant
shall provide two (2) sets of such containers so that there may be a rotatio~
of said containers. City shall clean and return one set each day for th
preparation of future meals. All said containers shall be and remain th
property of City.

9. City shall provide a driver and vehicle for picking up the food and delivel
of the food to City and shall provide any necessary devices to insu
adequate sanitary practices for handling the food in transit.

10. Provider and City shall jointly maintain a temperature record documentation
system and said temperature record will be implemented and maintained to
insure sanitary food handling.
11. City shall notify Provider of any variation from the meal order currently set
forth herein within one week before change in the ordered meals.
12. Provider shall report any deviations from the approved menu to the Cit
Project Manager and A.A.A. within one week whenever possible.
13. City agrees and shall provide condiments, beverages (other than milk an.
any beverage provided as a part of the nutritional mean requirements), an
all cutlery, service utensils, trays and other non-dietary items not specificall
agreed to herein.
14. Both parties agree that the Carlsbad Nutrition Project Council shall revie
and comment on menus. City has the option of naming two (2) Proje
Council members who will assist the Provider in biannual menu preparatio

16. Administrative rules and procedures may be implemented, as agreed by the
Project Managers and, if necessary, approved by City.
17. Either party to this Agreement may terminate this agreement by 30 days
written notice to the other party.
In witness whereof, the parties hereto have set their hands the day and year first
