SERVICES - HELMING ENGINEERING, DEPT. FNG- INC,, AND FIELDSTONE/LA COSTA CITY
RECOMMENDED ACTION:
That the City Council ADOPT Resolution No. Y/aQcl authorizing the Mayor to
an agreement with Helming Engineering, Inc. to provide consultant plan check
for Fieldstone Master Plans and an agreement with Fieldstone/La Costa Asso provide funding; authorizing the Finance Director to appropriate revenue receive1
the costs associated with these agreements.
ITEM EXPLANATION:
Fieldstone/La Costa Associates (Fieldstone), developers of Arroyo and L
Southeast Master Plan Communities, have requested that the City make consul
check services available to assist in expediting plan check for phases of the ma
developments. An agreement to pay the cost for these services is attached.
The Engineering Department is not staffed to provide the level of services requ
Fieldstone while maintaining the needed service to the remainder of the CiQ
absence of consultant services, Fieldstone projects could experience extended
processing.
In 1988, staff contacted a number of management service consultants to perform
services. Based on review of the proposals submitted, staff selected Douglas of Helming Engineering, Inc. and three other firms. Staff has renewed agreem
Helming Engineering on an annual basis based upon costs and demc
performance, other services were discontinued for poor performance.
Engineering has provided plan check services to the City for the past three yea
currently providing similar services for the Aviara Master Plan.
Staff recommends that the contract with Helming Engineering, Inc. be extended tc
for plan check services for Fieldstone projects.
If the Council concurs, the Mayor will execute and agreement with Helming Ens
provide funding for these services.
In order to administer these agreements, the Council needs to authorize the
Director to appropriate funds to the appropriate expenditure account based or
received and authorize the Purchasing Office to issue a Purchase Order not t
$300,000 to cover increased costs which will be offset by the revenue receive(
Inc. to provide supplemental plan check services and an agreement with Fielc
FISCAL IMPACT:
The City will contract for and be responsible for costs from Helming Engineerin
project management/plan check for services. Fieldstone will pay an initial a
$50,000 into the General Fund Account with additional deposits made on a mont
as required. Services will not be requested in excess of available revenue.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAI
CALIFORNIA, APPROVING AGREEMENTS BETWEEN THE CIlY C
CARLSBAD AND HELMING ENGINEERING, INC.; AND THE CITY C
CARLSBAD AND FIELDSTONE/IACOSTA, FOR CONSULTING SERVICE
AND PAYMENT OF THESE SERVICES.
The City Council of the City of Carlsbad, California, does hereby rc
follows:
1. That certain agreements between the City of Carlsbad and
Engineering, Inc. for consultant plan check services and the City of Carl:
Fieldstone/La Costa for payment of plan check services, copies of which are
hereto as Exhibit 1 and 2 and made a part hereof, are hereby approved.
2. That the Mayor of the City of Carlsbad is authorized to exe
agreements for and on behalf of the City of Carlsbad.
3. That the Finance Director is hereby authorized to appropriate fur
appropriate expenditure account based on revenue received.
4. That the Purchasing Officer is hereby authorized to issue a Purchasc
Helming Engineering, Inc, for up to $300,000 as off set by revenue to c
associated with these agreements.

PLAN CHECK SERVICES FOR FIELDSTONE
MASTER PLAN DEVELOPMENTS
+' THIS SUPPLEMENT AGREEMENT is made this fdJ day of
between the CrrY OF CARLSBAD, a municipal corporation of the State of alifornia, herein;
referred to as CTPI, and Helming Engineering, Inc. hereinafter referred to as CONSULTAM
RECITALS
WHEREAS, the CITY has entered into an agreement dated August 5,1988, and amer
October 1, 1990, with Helming Engineering, Inc. to provide necessary engineering service1
plan check of improvement plans, grading plans and final maps; and other services that ma
required; and
WHEREAS, the CRY has entered into an agreement with Fieldstone/La Costa Associ
hereinafter called the APPLICAM, wherein the CllY agrees to provide consultant plan c
services in order to augment the CITY'S normal plan check processing, for projects related t
APPLICANT'S Master Plan Communities; and
WHEREAS, the CONSULTANT has the qualifications to provide the required plan c
services; and
WHEREAS, it is understood that the CONSULTANT shall be an independent contr
of the CIW;
NOW, THEREFORE, in consideration of their mutual covenants and conditions, the p
hereto agree to supplement the scope of work of the Agreement dated August 5, 19€
amended October 1, 1990, to include the following:

1. Liaison between City staff, consultants, property owners and/or developers, ar
other governmental agencies.
2. Monitoring of project schedules.
3. Coordination of plan check activities.
4. Regularly reporting progress to the City Engineer
5. Plan check services for all improvements
6. PIAN CHECK OF PRIVATE DEVELOPMENT PROJECTS WITHIN FlELDSTOl
OWNERSHIP.
1. Private development projects owned by Fieldstone.
2. Private development projects not owned by Fieldstone which are authorized
writing by Fieldstone.

MASTER PLANS
THIS AGREEMENT is made this y&ay of & , 1991 between the C
OF CARLSBAD, a municipal corporation of the State of California, hereinafter referred to as CI
and FIELDSTONULA COSTA ASSOCIATES, a California Limited Partnership, hereinafter refei
to as FIELDSTONE.
RECITALS
WHEREAS, FIELDSTONE is the Master Developer of certain unimproved real propc
hereinafter called “Property“, located within Local Facilities Management Zones 6, 10, 11 anc
of the City of Carlsbad; and
WHEREAS, FIELDSTONE is in the process of procuring certain discretionary apprc
for the subdivision and development of portions of the Property along with the proces
construction plans for improvements of portions of the Property previously granted appro!
and
WHEREAS, CrrY has determined that its current staff is inadequate in number to pro1
the projects related to the Property in a timely and thorough manner due to the scope and le
of time contemplated to complete such processing and is willing to contract with a cons\
for such services; and
WHEREAS, FIELDSTONE in order to ensure the expeditious processing of said prc
related to the Proper& desires to pay to the Crpl the amount necessary to offset the costs
by the City for such services.

NOW, THEREFORE, in consideration of the covenants and conditions, it is agreed
follows:
1. The City will engage the firm of Helming Engineering, Inc. for consult
services hereinafter referred to as "Consultant" to perform the necessary work in the proces:
of projects related to the Property.
2. It is understood that the Consultant services shall conform to the Agreerr
between the CrrY and Consultant dated August 5,1988 attached as Attachment 1 and mac
part of this agreement.
3. It is understood that the CITY will direct the consultants work anc
CITY will ac responsible for payment out of the appropriate General Fund Account.
Fieldstone of the work ordered and its cost.
4. FIELDSTONE shall pay to the appropriate General Fund Revenue Acc~
funds sufficient to off set expenses for the Consultant's services, FIELDSTONE will advanc
initial sum of $50,000. Additional lump sum payments will be made by FIELDSTONE I
CITY'S written request as necessary to off set expected expenses to be incurred by CIT
Consultant SeWiceS, Payments shall be made by FIELDSTONE within thirty (30) days of w
notice by the CrrY. CrrY will ensure, to the extent feasible, that no further work b]
Consultant will be authorized in any fiscal year by CITY which will require an offset in exce
the estimate for any year without an amendment to this agreement.
5. Funds paid as part of this agreement shall be over and above the planc
fees required as part of the normal plancheck processing procedures. FIELDSTONE agree
services provided under this agreement are meant to augment and not supplant n
plancheck processes and fees.
6. CITY shall provide copies of all invoices submitted by Consult2
FIELDSTONE at the time invoices are submitted for payment.

7. All plans, specifications and other preliminary documentation as prepared
public facilities construction shall become the property of the CITY.
8. It is understood that the Consultant shall be an independent contractor of
City.
9. The CITY shall furnish to FIELDSTONE a copy of the Consultant’s basic
schedule and any changes to the basic rate schedule as submitted by the Consultant.
10, This Agreement shall terminate in two years from the date hereof, subjec
renewals thereafter at the consent of both parties; provided, however, this Agreement ma!
terminated by either party upon thirty (30) days written notice, or in the event FIELDSTONE
to deposit requested funds within thirty (30) days of demand. Within thirty (30) days follo
the termination of this Agreement, CITY shall refund any revenues in excess of those neces
to offset expenses incurred for Consultant services.

11. Any notice or other instrument required by this Agreement shall be de€
delivered if deposited, certified mail, in the United States mail addressed as follows:
