RECOMMENDED ACTION: AGREEMENT FOR THE PREPARATION OF NOISE STUDIES AND ANALYSIS FOR THE UPDATE OF THE NOISE ELEMENT OF THE CARLSBAD GENERAL PLAN. That the City Council ADOPT Resolution No. 4 I -3 18, authorizing the Mayor to ente an agreement with the consulting firm of Nolte and Associates - Orange County, 11 prepare noise studies and analysis for the update of the Noise Element of the General ITEM EXPLANATION On April 2, 1991, the City Council approved the work plan for the comprehensive L of the General Plan. As outlined in the work plan for the General Plan update, s technical studies are necessary in order to update the "technical base" of the General including acoustical studies for the update of the Noise Element. The update of noise studies for the Noise Element will be a technically compler requiring the specialized expertise of an acoustical consultant. The acoustical cons will assist staff in a range of areas including noise modeling, calculating traffic I calculating and mapping the combined effects of different sources of noise, producing contour maps, developing noise mitigation techniques, assessing noise impacts developing policies and implementation programs to address identified noise impact Requests for proposals were sent to approximately nineteen firms and seven responded. After thorough review and analysis of all proposals submitted, the tor firms were selected to interview. Proposals of the top four firms included cost estii ranging from $18,847 to $85,450. A selection committee was formed, consisting oi from the Planning and Building Departments. Based on the interviews and further r( of the proposals, the selection committee unanimously recommends that the firm of and Associates - Orange County, Inc., be selected to prepare the Noise studies and an for the Noise Element update. Nolte and Associate's bid of $58,262.00 was neithc highest nor the lowest received. However, their proposal contained the most comprehc scope of work, exhibited the strongest knowledge of Noise Ordinances and Noise Rc Manuals, and presented several innovative ideas for inclusion in the General Plan Ele and other City documents dealing with noise. In addition to the funds for comi services, an additional sum, in the amount of $4,000.00 is allocated to cover the cc reproducing the maps, reports, and other documents prepared by the consultant as draf final products. The estimated reproduction costs will cover duplicating all nece documents to be presented to the public for review and comment as part of the Ge Plan update process. RAUTENKRANZ, City Nerk 0 0 AGREEMENT THIS AGREEMENT, made and entered into as of th&-%ay of h&&~%&+ 1991, by and between the CITY OF CARLSBAD, a municipal corporation, hereinafter referred to as "CITY", and NOLTE AND ASSOCIATES - ORANGE COUNTY, INC., hereinafter referred to as "CONSULTANT". RECITALS CITY requires the services of an Acoustical Consultant to assist staff in the preparation of the Noise Element of the General Plan; and CONSULTANT possesses the necessary skills and qualifications to provide the services required by the CITY; NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, CITY and CONSULTANT agree as follows: 1. CONSULTANT'S OBLIGATIONS The CONSULTANT shall assist CITY staff in preparation of the Noise Element of the General Plan. Specific tasks shall include all items as outlined in Attachment "A", attached and made a part hereof. 2. CITY OBLIGATIONS The CITY shall make payment to the CONSULTANT as provided in paragraph 6, "Payment of Fees" of the Agreement. 1 Rev. 11/8/90 a 0 The CITY shall make avaiiable to the CONSULTANT all currently held plans, maps and background information. The CITY shall coordinate all meetings, including CITY hearings and associated noticing. The CITY shall provide the CONSULTANT with any goals, policies, standards, recommendations, or any other pertinent information deemed necessary by the City or Consultant for inclusion in the Noise Element. 3. PROGRESS AND COMPLETION The work under this contract will begin within five (5) days after receipt of notification to proceed by the CITY and be completed pursuant to the Schedule for Completion outlined in Attachment "B". The Planning Director will provide CONSULTANT with a Notice of Completion following the satisfactory completion of all tasks. Extensions of time may be granted if requested by the CONSULTANT and agreed to in writing by the Planning Director. The Planning Director will give allowance for documented and substantiated unforeseeable and unavoidable delays not caused by a lack of foresight on the part of the CONSULTANT, or delays caused by CITY inaction or other agencies' lack of timely action. 4. FEES TO BE PAID TO CONSULTANT The total shall not exceed the fee payable according to Paragraph 6, "Payment of Fees," and shall be $58,262. No other compensation for services will be allowed except those items covered by supplemental agreements per Paragraph 8, "Changes in Work." 2 Rev. 11/8/90 0 0 5. DURATION OF CONTRACT This agreement shall extend for a period of twelve (12) months from date thereof. The contract may be extended for six (6) additional months or parts thereof, based upon satisfactory performance and the CITY'S needs. 6. PAYMENT OF FEES Payment of fees shall be made thirty (30) days after receipt and approval of a monthly invoice submitted by CONSULTANT to CITY. The CONSULTANT shall be paid for up to ninety percent of the compensable services for completion of the work tasks as set forth in Paragraph 1, "Consultant Obligations", and Attachment "A", Scope of Work. The final ten percent shall be paid, not to exceed the maximurn amount provided for in Paragraph 4, "Fees to be Paid to Consultant", to CONSULTANT within thirty (30) days of the Planning Director issuing the Notice of Completion of the contract as outlined in Paragraph 3, "Progress and Completion." A monthly invoice shall bill CITY for each task completed and for the percentage of each task partially completed in the preceding month. All invoices shall be detailed and include a written description of the tasks completed and tasks partially completed, and the total amount of requested payment, in accordance with "Attachment C" - Cost and Personnel Matrix. . 7. FINAL SUBMISSIONS Within 15 days of completion of the Noise Element the CONSULTANT shall deliver to the CITY all items as outlined in Paragraph 1, "Consultant's Obligations." 3 Rev. 11/8/90 e 0 8. CHANGESINWORK J If, in the course of the contract, changes seem merited by the CONSULTANT or the CITY, and informal consultations with the other party indicate that a change in the conditions of the contract is warranted, the CONSULTANT or the ClTy may request a change in contract. Such changes shall be processed by the CITY in the following manner: A letter outlining the required changes shall be forwarded to the CITY by CONSULTANT to inform them of the proposed changes along with a statement of estimated changes in charges or time schedule. A supplemental agreement shall be prepared by the CITY and approved by the CITY according to the procedures described in Carlsbad Municipal Code Section 3.28.172. Such supplemental agreement shall not render ineffective or invalidate unaffected portions of the agreement. 9. C0VE"TS AGAINST CONTINGENT FEES The CONSULTANT warrants that their firm has not employed or retained any company or person, other than a bona fide employee working for the CONSULTANT, to solicit or secure this agreement, and that CONSULTANT has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift, or any other consideration contingent upon, or resulting from, the award or making of this agreement. For breach or violation of this warranty, the CITY shall have the right to annul this agreement without liability, or, in its discretion, to deduct from the agreement price I 4 Rev. 11/8/90 e e or consideration, or otherwise recover, the full amount of such fee, commission, percentage, brokerage fees, gift, or contingent fee. 10. NONDISCRIMINATION CLAUSE The CONSULTANT shall comply with the state and federal laws regarding nondiscrimination. 11. TERMINATION OF CONTRACX In the event of the CONSULTANTS failure to prosecute, deliver, or perform the work as provided for in this contract, the CITY may terminate this contract for nonperformance by notifying the CONSULTANT by certified mail of the termination of the CONSULTANT. The CONSULTANT, thereupon, has five (5) working days to deliver said documents owned by the CITY and all work in progress to the Planning Director. The Planning Director shall make a determination of fact based upon the documents delivered to CITY of the percentage of work which the CONSULTANT has performed which is usable and of worth to the CITY in having the contract completed. Based upon that finding as reported to the City Manager, the Manager shall determine the final payment of the contract. 12. DISPUTES If a dispute should arise regarding the performance of work under this agreement, the following procedure shall be used to resolve any question of fact or interpretation not otherwise settled by agreement between parties. Such questions, if they become identified as a part of a dispute among persons operating under the provisions of this contract, shall be reduced to writing by the principal of the 5 Rev. 11/8/90 0 * CONSULTANT or the Planning Director. A copy of such documented dispute shall be forwarded to. both parties involved along with recommended methods of resolution which would be of benefit to both parties. The Planning Director or principal receiving the letter shall reply to the letter along with a recommended method of resolution within ten (10) days. If the resolution thus obtained is unsaLisfactory to the aggdeved party, a letter outlining the dispute shall be forwarded to the City Council for their resolution through the Office of the City Manager. The City Council may then opt to consider the directed solution to the problem. In such cases, the action of the City Council shaU be binding upon the parties involved, although nothing in this procedure shall prohibit the parties seeking remedies available to them at law. 13. SUSPENSION OR TERMINATION OF SERVICES This agreement may be terminated by either party upon tendering thirty (30) days written notice to the other party. In the event of such suspension or termination, upon request of the CITY, the CONSULTANT shall assemble the work product and put same in order for proper filing and closing and deliver said product to CITY. In the event of termination, the CONSULTANT shall be paid for work performed to the termination date; however, the total shall not exceed the lump sum fee payable under paragraph 4. The CITY shall make the final determination as to the portions of tasks completed and the compensation to be made. 6 Rev. 11/8/90 e @ 14. STATUS OF THE CONSULTANT The CONSULTANT shall perform the services provided for herein in CONSULTANTS own way as an independent contractor and in pursuit of CONSULTANTS independent calling, and not as an employee of the CITY. CONSULTANT shall be under control of the CITY only as to the result to be accomplished, but shall consult with the CITY as provided for in the request for proposal. The CONSULTANT is an independent contractor of the CITY. The payment made to the CONSULTANT pursuant to the contract shall be the full and complete compensation to which the CONSULTANT is entitled. The CITY shall not make any federal or state tax withholdings on behalf of the CONSULTANT. The CITY shall not be required to pay any workers' compensation insurance on behalf of the CONSULTANT. The CONSULTANT agrees to indemnify the CITY for any tax, retirement contribution, social security, overtime payment, or workers' compensation payment which the CITY may be required to make on behalf of the CONSULTANT or any employee of the CONSULTANT for work done under this agreement. The CONSULTANT shall be aware of the requirements of the Immigration Reform and Control Act of 1986 and shall comply with those requirements, including, but not limited to, verifying the eligibility for employment of all agents, employees, subcontractors and consultants that are included in this agreement. 7 Rev. 11/8/90 0 15. CONFORMITY TO LEGAL REOUIREMENTS 1 The CONSULTANT shall cause all drawings and specifications to conform to all applicable requirements of law: federal, state and local. CONSULTANT shall provide all necessary supporting documents, to be filed with any agencies whose approval is necessary. The CITY will provide copies of the approved plans to any other agencies, 16. OWNERSHIP OF DOCUMENTS All plans, studies, sketches, drawings, reports, and specifications as herein required are the property of the CITY, whether the work for which they are made be executed or not. In the event this contract is terminated, all documents, plans, specifications, drawings, reports, and studies shall be delivered forthwith to the CITY. CONSULTANT shall have the right to make one (1) copy of the plans for his/her records. 17. REPRODUCIION RIGHTS The CONSULTANT agrees that all copyrights which arise Erom creation of the work pursuant to this contract shall be vested in CITY and hereby agrees to relinquish all claims to such copyrights in favor of CITY. 18. HOLD HARMLESS AGREEMENT The CITY, its officers, and employees shall not be liable for any claims, liabilities, penalties, fines, or any damage to goods, properties, or effects of any person whatever, nor for personal injuries or death caused by, or resulting from, any intentional or negligent acts, errors or omissions of CONSULTANT or 8 Rev. 11/8/90 0 e CONSULTANTS agents, employees, or representatives. CONSULTANT agrees to defend, indemnify, and save free and harmless the CITY and its officers and employees against any of the foregoing claims, liabilities, penalties or fines, including liabilities or cla~ms by reason of alleged defects in any plans and specifications, and any cost, expense or attorney's fees which are incurred by the CfTY on account of any of the foregoing. 19. ASSIGNMENT OF CONTRACX The CONSULTANT shall not assign this contract or any part thereof or any monies due thereunder without the prior written consent of the CITY. 20. SUBCONTRACTING If the CONSULTANT shall subcontract any of the work to be performed under this contract by the CONSULTANT, CONSULTANT shall be fully responsible to the CITY for the acts and omissions of CONSULTANT'S subcontractor and of the persons either directly or indirectly employed by the subcontractor, as CONSULTANT is for the acts and omissions of persons directly employed by consultant. Nothing contained in this contract shall create any contractual relationship between any subcontractor of CONSULTANT and the CITY. The CONSULTANT shall bind every subcontractor and every subcontractor of a subcontractor by the terms of this contract applicable to CONSULTA"I% work unless specifically noted to the contrary in the subcontract in question approved in writing by the CITY. 9 Rev. 11/8/90 e e 21. PROHIBITED INEREST No official of the CITY who is authorized in such capacity on behalf of the CITY to negotiate, make, accept, or approve, or take part in negotiating, making, accepting, or approving of this agreement, shall become directly or indirectly interested personally in this contract or in any part thereof. No officer or employee of the CITY who is authorized in such capacity and on behalf of the CITY to exercise any executive, supervisory, or similar functions in connection with the performance of this contract shall become directly or indirectly interested personally in this contract or any part thereof. 22. VERBAL AGREEMENT OR CONVERSATION No verbal agreement or conversation with any officer, agent, or employee of the CITY, either before, during or after the execution of this contract, shall affect or modify any of the terms or obligations herein contained nor entitle the CONSULTANT to any additional payment whatsoever under the terms of this contract. 23. SUCCESSORS OR ASSIGNS Subject to the provisions of Paragraph 18, "Hold Harmless Agreement," all terms, conditions, and provisions hereof shall insure to and shall bind each of the parties hereto, and each of their respective heirs, executors, administrators, successors, and assigns. 10 Rev. 11/8/90 0 0. 24. EFFECXWEDATE This agreement shall be effective on and from the day and year first above written. 25. CONFLICT OF INTEREST The CONSULTANT shall file a Conflict of Interest Statement with the City Clerk in accordance with the requirements of the City of Carlsbad Conflict of Interest Code. The CONSULTANT shall report investments or interests in real property. 26. INSURANCE The CONSULTANT shall obtain and maintain policies of general liability insurance, automobile liability insurance, and a combined policy of worker's compensation and employers liability insurance from an insurance company authorized to do business in the State of California which meets the requirements of City Council Resolution No. 90-96 in an insurable amount of not less than one million dollars ($1,000,000) each, unless a lower amount is approved by the City Attorney or the City Manager. AJ (This area for official notarial seal) E Signatur _-- - N ------ - , Rev. 11/8/90 IL 3 0 0 "ATTACHMENT 1 NOLTE AND ASSOCIATES SCOPE OF SERVICES TASK A AIRCRAFT NOISE Nolte will obtain a computer digital file of the current and projected future aircraft noi contours for the McClellan-Palomar Airport from the County of San Diego's recenl completed Part 150 Study, and provide a DXF format digital file overlay of the (60,65, a 70 dB CNEL) contours, which will also be plotted on the "current" and "future" mylar mal Nolte will utilize the concept called the Policy Implementation Line. Nolte will map policy implementation line (to represent approximately the current and projected futu 55 dB CNEL) for aircraft generated noise, to be referred to in the Noise Element and Noi Ordinance as may be appropriate. Nolte will meet with staff and the appropriate airpc representatives and will develop goals, policies, and action programs to address aircr; noise issues. This information is to be incorporated into the Noise Ordinance, Noi Manual and Noise Element. TASK B: FIELD MEASUREMENTS - TRAFFIC AND mxED SOURCES B.l Hiahwav Traffic Highway 78, railroad lines and typical segments of five City street cross section typ (prime, major, secondary, and both collector types). The fifteen (15) sites will be select in consultation with City staff. Field measurements will be utilized to verify the results of the model, and will be used calibrate the computer noise model for subsequent projection of current and htu roadway noise. The roadway centerline will be calculated as the arithmetic average frc the edges of pavement. B.2 Fixed Sources Five (5) fixed source noise measurements will be taken to quantify significant noj sources. The fixed sources to be measured will include Power Boats/Jet Skis on Ag Hedionda Lagoon, Deliveries at Vons on Tamarack, the San Diego Gas & Electric Pow Plant, and two commuter rail station locations (arrival, standing and departure), at a to4 determined location. B.3 Special Shielding Based upon input from City staff, Nolte will measure shielding for up to five (5) sites quantify the effectiveness of the existing acoustical shielding. Nolte will conduct approximately fifteen (1 5) field measurements adjacent to Interstate 0 0 7- B.4 Ambient Noise Nolte will measure three (3) typical locations (Two residential, one "business district" establish community ambient levels (no specific noise impact sources) for purposes developing the Noise Ordinance criteria. TASK C: TRAFFIC MIX In order to more accurately model noise conditions, Nolte will take representat samplings of traffic mix counts for seven (7) different locatiom, Nolle d\ condyjcl lh (3) one-half hour traffic counts at each location to capture representative AM half pt period, PM peak period, and off-peak period counts. Counts will be made of total vehic: medium trucks, and heavy trucks. The count information will be incorporated i standardized traffic engineering formulae for percent ADT by period, from which Nolte v calculate the average daily truck percentages. The data obtained from the new counts v be used as a baseline from which to determine representative current traffic mix and predict future traffic mix. TASK D: MODFLING Nolte will perform a total of twenty (20) computer analyses of highway segment typc These will include Interstate-5, Highway 78, and Carlsbad's prime, major, secondary, a both collector type roadways. For each segment type, Nolte will model future and curre noise levels. Using the hardcopy map provided by the City, Nolte Will digitize t] centerline for d future roadway segments onto the base map. Nolte will map tl subsequent (current year, 1991, and future year, 2010) noise contours for the 55,60, 6 and 70 dB CNEL locations for all roadway segments. D.1 Gradient Modeling In consultation with the City Engineering and Planning Departments, the roz classifications and specific road segments that have four percent or greater gradients w be identified. For all roadway segment types having road grades of greater than foi percent, up to five (5) additional computer model analyses will be performed to determiI the additional noise impacts. TASK E: RAILROAD NOISE A determination will be made of the current and projected future noise levels from railroa train operations within the City of Carlsbad; this includes the proposed North Count Transit District Commuter Rail project, AT&SF, and AMTRACK operations. Noise level will be documented through field measurements and analyses. The noise level findings Wi be used to identify and plot railroad train noise contours of 55, 60, 65, and 70 dB CNEI Each train noise contour will be fully digitized in a computer-based DXF file format. Th noise contour file will be merged with the Carlsbad City base map file to form a compositc presentation of all rail, roadway and major fixed source noise impacts within the Cit boundaries. - 2 0 0 7- Nolte-will determine from the operators of the rail services the types of train activi (passenger and freight); range of train lengths; number of daily train operations, eac direction; operation pass-by times each day; special operation characteristic (whistle blow heavy or light loading, variations in travel speed). E. 1 Field Measurements Field measurements of railroad train noise will be collected at one (1) representat? location along the rail line. Pass-by noise will be recorded over a 24-hour period. TI noise measurements will define Single Event Level (SEL) values for each train passag calculation of existing train CNEL impact will be completed. By utilizing the availat: future operations data from the train operators, a future CNEL impact will be calculatec E.l Synergistic Analysis of Rail, Roadway, and Other Sinnificant Source Noise The identified railroad train noise contours will be logarithmically added to noise conto1 from adjacent roadways and major fixed sources. The combined sum will represent t overall noise contour level from all important sources of community noise impact in t vicinity of the railroad line. The subsequent contours will be mapped (current year, 19' and future year, 2010) for the 55, 60, 65, and 70 dB CNEL locations for all rail activitit TASK F: DELIVERABLES: TABULAR, GRAPHIC, AND DIGITAL FILES The resulting noise contour lines from all specified sources, will be provided in graphic a~ digital (DXF) form, for both current year, 1991, and future year, 2010. The fir automated information will be delivered in a digital format (DXF) on tape or 3.5" disk, ai one (1) ink on mylar map will be provided at 1"=1000'. In addition, the resulting roadw noise information will be provided in tabular form for each roadway segme (approximately 200), referenced to roadway centerline and to include assumed ADT ai roadway gradient(+/-4%). One (1) camera-ready master hard copy of the tables is to provided to the City. Nc will look at both the mandatory and discretionary sections of the law with respect to draft Element. Nolte will address state mandated consistency with regional planning, si as the Comprehensive Land Use Plan (CLUP) of the San Diego Association of Govemme (SANDAG), acting as the County Airport Land Use Commission. Nolte will also evalu, intra-plan consistency of the Noise Element with other appropriate Elements (Land U Circulation, Housing, etc.) within Carlsbad's General Plan Nolte will evaluate the draft document and advise whether the policies enumerated i truly representative of what the City desires the Noise Element to embody. Nolte v assess the adequacy of the foundation provided by the Noise Element upon which t Development Review Guidelines and Noise Ordinance must stand. Nolte will m2 recommendations regarding, for example, the trade-offs between flexibility and ambiguii or complexity and ease of application, and by so doing provide the City a meam to ado a final Noise Element that is comprehensive, well balanced and effective. Nolte will then provide City staff with written commen and recommendations (ten (10) copies), perform a government code compliance reviei and meet again with staff. Revisions to the draft document will be made and Nolte w lead a one-half day (four hour) community workshop, and will advise staff on how be to respond to citizen comments received during the review period. Based upon this meeting, Nolte will research and will providf a written summary of the various types of ordinances, including standards established, east of enforcement of the standards, problems mitigating noise at selected noise standards, etc. This information will be utilized in determining the appropriate measurement metric and noise levels for inclusion into Carlsbad's Noise Ordinance. The Handbook will contain the Cit development review process, standard acoustical study requirements, standard no mitigation techniques to be used in the City, and recommended general methods complying with the City's Noise Policies. This document will include graphical pictoria sample site plan designs, a preference list of standard mitigation (earthen berms vers featureless block walls) and practical examples of "designed-in acoustical control feature Ten (10) copies of the draft Handbook will be circulated for City staff review a comment.
