At this time, pollutants in storm water discharges are largely uncontrolled in mosi
in the United States. The US. Environmental Protection Agency (EPA) has deter
that pollutants in storm runoff from urban areas and from construction sites are a IC
cause of water quality impairment. Studies have shown that many storm drains rl
discharges which include a wide variety of wastes from sources such as illegal sc
connections and waste dumping of industrial and automotive by-products. In ad
there are numerous "non-point'' sources of pollutants which find their way into the
drainage system such as fertilizers, pesticides, greases, oils, automotive and powe
soot, trash, human and animal excrement, etc. Storm water discharges from inc
facilities may also contain toxins and other noxious pollutants.
Through a previous Council action, the City of Carlsbad was approved as a co-per
with the City of San Diego and the remaining agencies within San Diego Count)
National Pollutant Discharge Elimination System (NPDES) permit as part of the San
County Regional Water Quality Control Board (RWQCB) Order No. 90-42. Carlsl
required under the NPDES permit to develop and implement a Storm Water (
Management Program which deals with the detection and elimination of pollutant
within the storm drainage system of the City.
In order to achieve the goals of RWQCB Order No. 90-42, staff is requesting assi:
from an engineering consulting firm familiar with the requirements of the NPDES r
for the development of the following two elements of the City's Storm Water C
Management Program:
1. A comprehensive Testing and Monitoring Program designed to ic
pollutant loadings from storm water flows within the natural dra
basins of the City.
2. Development of a program for the detection and elimination 01
connections and illegal discharges of non storm water wastes ini
City's storm water conveyance system.
The Scope of Work outlined in the attached consultant agreement will conclude wi
development of a Storm Water Quality Testing and Monitoring Program consisten the requirements of RWQCB Order No. 90-42. This contract will provide a de
program identifying:

Staff evaluated a number of firms which expressed an interest in this project anc
possessed the knowledge of the requirements of RWQCB Order No. 90-42 with re
to Storm Water Quality Management. The firm chosen for the completion of this PI
was Woodward-Clyde Consultants.
FISCAL IMPACT:
The attached consultant agreement provides for a lump sum for the completion c
report of $52,000. The funding to support this project is currently available in Fiscal
91-92 Operating Budget and is as follows:
Account Number 001 -820-31 10-2472 $30,000
Account Number 001 -820-31 10-2479 $22,000
However, this contract provides only for the development of the City’s Storm \
Quality Testing and Monitoring Program. The costs associated with the implemen
of this program will be dependent on the number of testing sites, types of tests rec,
including laboratory analysis and frequency of testing. Additional costs may be inc
should the program recommend structural improvement to any existing storm
facility. Unfortunately, the cost associated with the actual testing of storm water r
are expected to be significant. All these issues will be evaluated as part of this cons1
agreement to more accurately determine the projected yearly operating costs to su,
the implementation of this program.
There are various funding options to support the City’s Testing and Monitoring Pro!
One option for funding is to establish a water user fee on the City’s water billing. Thc
of San Diego has adopted a fee of this type recently.
Other methods of funding include: establishment of a utility fee, formation of a b8
assessment Citywide or on new development. General fund monies can be used
last resort. If capital facilities are needed as an integral part of the program, these
could be included in the drainage facility fees or be built by developers as a require
of development.

CONSULTANT SERVICES FOR THE DEVELOPMENT OF A
STORM WATER TESTING AND MONITORING PROGRAM AS PART OF
THE CITY'S STORM WATER QUALITY MANAGEMENT PROGRAM
THIS AGREEMENT, made and entered into as of the 25th day of
June , 19% by and between the CITY OF CARLSBAD, a
municipal corporation, hereinafter referred to as "City", and WOODWARD-CLYDE
CONSULTANTS, hereinafter referred to as "Consultant".
RECITALS
City requires the services of an engineering consultant to provide the
necessary services for the preparation of a portion of the City's Storm Water Quality
Management Program; and Consultant possesses the necessary skills and
qualifications to provide the services required by the City;
NOW, THEREFORE, in consideration of these recitals and the mutual
covenants contained herein, City and Consultant agree as follows:
1. CONSULTANT'S OBLIGATIONS
Scope of Work
The next phase of the City's Storm Water Quality Management Program is
to establish a plan to implement the following elements of Regional Water Quality
Control Board Order No. 90-42:

e Testing and Monitoring of Storm Water and Urban Runoff
e Detection of Illicit Connections and Illegal Discharges
In order to complete the required reports necessary to comply with Order No.
90-42, the following services are proposed:
Testing and MonitorinR Promam
A. Identlfy catchment areas for all major outfalls, where major outfalls
are defined as municipal separate storm drain outfalls that discharge from a single
pipe with a diameter of 36-inches or greater (or has a drainage area of 50 acres or
more for non-circular pipe outfalls); or for lands zoned for industrial activity,
outfalls which discharge from a single pipe with a diameter of 12-inches or greater
(or has a drainage area of 2 acres or more for non-circular outfalls). Select
catchment areas which are representative of relatively homogeneous land use
activities and catchments which are representative of the City's overall land use
distribution as candidate sites for monitoring stations.
B. Provide recommendations for locations of monitoring stations
considering hydraulic, engineering and safety, issues based on site visits .and
available information.
C. Perform a statistical analysis of historical rainfall data to estimate the
magnitude and duration of the representative storm in the City of Carlsbad.
D. Prepare a sampling plan to address the City's NPDES Permit
requirements regarding storm water sampling including a minimal program to
complete the testing and implementation phase of the City of Carlsbad NPDES

permit. The sampling plan should include:
e Site selection criteria
e Equipment recommendations, including types and
manufacturers of rainfall and flow measurement devices,
automatic samplers and computer software
e Storm selection criteria
a Rainfall and runoff measurement criteria
e Water quality field sampling methods for flow composite
samples and grab samples
Chemical analysis methods and constituents to test for
e Frequency of testing
e Quality assurance/control plan
e Identification of analytical lab to be used
e Data reporting formats
e Management and coordination of roles and responsibilities
E. Assist the City of Carlsbad in negotiating with the RWQCB regarding
the number of sampling stations and approval of the sampling plan.
F. Provide a detailed cost estimate for the following:
e Purchase of the recommended testing equipment
e Annual operation and maintenance costs
e Costs for the various laboratory tests
e Costs for any required computer software

Illicit Connection - Illegal Discharge
A. Review the City Master Drainage and Storm Water Quality
Management Plan and land use maps to determine the location of stonn water
outfalls with a pipe diameter of 36 inches or greater (or equivalent).
B. Review the City Master Drainage and Storm Water Quality
Management Plan and land use maps to identify storm water outfalls in industrial
land use areas with a diameter of 12 inches or greater (or equivalent). This task
may require field visits to verify outfall locations.
C. Prepare a field data form to be used by field personnel during field
screening. The field data form should include general information about the outfall,
site location, flow estimation, visual observations and the field test results.
D. Prepare a dry weather sampling procedures manual to address the City
NPDES permit requirements regarding dry weather sampling. The sampling plan
should include:

0 Field test equipment recommendations, including type and
manufacturer
0 Flow measurement procedure
Sample collection and transport procedures
Chemical analysis methods
0 Health and safety guidelines

b Quality control/assurance plan
b Identification of analytical lab to be used
E. Develop a program for detection and elimination of illegal discharge
and illicit connections. The plan should include the ongoing monitoring, source
identification, documentation of illicit discharges and recommendations for the
development of the ordinances and adequate legal authority for enforcement.
F. Prepare a cost estimate for all the labor and equipment required for
dry weather sampling and illicit connection/illegal discharge elimination program.
At the conclusion, Woodward-Clyde will prepare a detailed report
incorporating all the details of this phase of the City's Storm Water Quality
Management Plan. The final report will identify all the necessary testing
procedures, equipment and laboratory analysis required in order to prepare the
appropriate reporting documents to satisfy the RWQCB.
Consultant expects to attend the following meetings:
b One project kickoff meeting
0 Two intermediate meetings
b One final report meeting
Consultant will submit a minimum of three copies of a draft report for City
staff review and comments. The comments submitted as a result of staff review will
be incorporated in the final report. A minimum of 25 final report documents will
be submitted to the City of Carlsbad upon completion of the contract.

2. CITY OBLIGATIONS
The City shall provide copies of approved City studies, drawings and
hydrology reports as appropriate.
3. PROGRESS AND COMPLETION
The work under this contract will begin within ten (10) days after receipt of
. notification to proceed by the City and be completed within ninety (90) days of that
date. Extensions of time may be granted if requested by the Consultant and agreed
to in writing by the City Engineer. The will give allowance for documented and
substantiated unforeseeable and unavoidable delays not caused by a lack of foresight
on the part of the Consultant, or delays caused by City inaction or other agencies'
lack of timely action.
4. FEES TO BE PAID TO CONSULTANT
The total shall not exceed the fee payable according to Paragraph 6, "Payment
of Fees," and shall be $52,000. No other compensation for services will be allowed
except those items covered by supplemental agreements per Paragraph 8, "Changes
in Work."
5. DURATION OF CONTRACI'
This agreement shall extend for a period of ninety (90) days from date
thereof. The contract may be extended for one (1) additional one (1) year periods

or parts thereof, based upon satisfactory performance and the City's needs.
6. PAYMENT OF FEES
Payment of fees shall be monthly based upon work completed and in
accordance the Scope of Work and fee schedule dated June 3, 1992 attached as
Exhibit "A".
7. FINAL, SUBMISSIONS
Within fifteen (15) days of completion and approval of the project report the
Consultant shall deliver to the City the items prepared as stated in Paragraph 1
above.
8. CHANGES IN WORK
If, in the course of the contract, changes seem merited by the Consultant or the
City, and informal consultations with the other party indicate that a change in the
conditions of the contract is warranted, the Consultant or the City may request a
change in contract. Such changes shall be processed by the City in the following
manner: A letter outlining the required changes shall be forwarded to the City by
Consultant to inform them of the proposed changes along with a statement of
estimated changes in charges or time schedule. A supplemental agreement shall be
prepared by the City and approved by the City according to the procedures
described in Carlsbad Municipal Code Section 3.28.172. Such supplemental

agreement shall not render ineffective or invalidate unaffected portions of the
agreement.
9. COVENANTS AGAINST CONTINGENT FEES
The Consultant warrants that their firm has not employed or retained any
company or person, other a bona fide employee working for the Consultant, to
solicit or secure this agreement, and that Consultant has not paid or agreed to pay
any company or person, other than a bona fide employee, any fee, comrnission,
percentage, brokerage fee, gift, or any other consideration contingent upon, or
resulting from, the award or making of this agreement. For breach or violation of
this warranty, the City shall have the right to annul this agreement without liability,
or, in its discretion, to deduct from the agreement price or consideration, or
otherwise recover, the full amount of such fee, commission, percentage, brokerage
fees, gift, or contingent fee.
10. NONDISCRIMINATION CLAUSE
The Consultant shall comply with the state and federal laws regarding
nondiscrimination.
11. TERMINATION OF CONTRACX
In the event of the Consultant’s failure to prosecute, deliver, or perform the
work as provided for in this contract, the City may terminate this contract for

nonperformance by notifying the Consultant by certified mail of the tendnation of
the Consultant. The Consultant, thereupon, has five (5) working days to deliver
said documents owned by the City and all work in progress to the City Engineer.
The City Engineer shall make a determination of fact based upon the documents
delivered to City of the percentage of work which the Consultant has performed
which is usable and of worth to the City in having the contract completed. Based
upon that finding as reported to the City Manager, the Manager shall determine the
final payment of the contract.
12. DISPUTES
If a dispute should arise regarding the performance of work under this
agreement, the following procedure shall be used to resolve any question of fact or
interpretation not otherwise settled by agreement between parties. Such questions,
if they become identified as a part of a dispute among persons operating under the
provisions of this contract, shall be reduced to writing by the principal of the
Consultant or the City Engineer. A copy of such documented dispute shall be
forwarded to both parties involved along with recommended methods of resolution
which would be of benefit to both parties. The City Engineer or principal receiving
the letter shall reply to the letter along with a recommended method of resolution
within ten (10) days. If the resolution thus obtained is unsatisfactory to the
aggrieved party, a letter outlining the dispute shall be forwarded to the City Council
for their resolution through the Office of the City Manager. The City Council may

then opt to consider the directed solution to the problem. In such cases, the action
of the City Council shall be binding upon the parties involved, although nothing in
this procedure shall prohibit the parties seeking remedies available to them at law.
13. SUSPENSION OR TERMINATION OF SERVICES
This agreement may be terminated by either party upon tendering thirty (30)
days written notice to the other party. In the event of such suspension or
termination, upon request of the City, the Consultant shall assemble the work
product and put same in order for proper filing and closing and deliver said product
to City. In the event of termination, the Consultant shall be paid for work
performed to the termination date; however, the total shall not exceed the lump
sum fee payable under paragraph 4. The City shall make the final determination
as to the portions of tasks completed and the compensation to be made.
14. STATUS OF THE CONSULTANT
The Consultant shall perform the services provided for herein in Consultant’s
own way as an independent contractor and in pursuit of Consultant’s independent
calling, and not as an employee of the City. Consultant shall be under control of
the City only as to the result to be accomplished, but shall consult with the City as
provided for in the request for proposal.
The Consultant is an independent contractor of the City. The payment made to
the Consultant pursuant to the contract shall be the full and complete compensation

to which the Consultant is entitled. The City shall not make any federal or state tax
withholdings on behalf of the Consultant. The City shall not be required to pay any
workers’ compensation insurance on behalf of the Consultant. The Consultant
agrees to indemnify the City for any tax, retirement contribution, social security,
overtime payment, or workers’ compensation payment which the City may be
required to make on behalf of the Consultant or any employee of the Consultant for
work done under this agreement.
The Consultant shall be aware of the requirements of the Immigration Reform
and Control Act of 1986 and shall comply with those requirements, including, but
not limited to, verifying the eligibility for employment of all agents, employees,
subcontractors and consultants that are included in this agreement.
15. CONFORMITY TO LEGAL REOUIREMENTS
The Consultant shall cause all drawings and specifications to conform to all
applicable requirements of law: federal, state and local. Consultant shall provide
all necessary supporting documents, to be filed with any agencies whose approval
is necessary.
The City will provide copies of the approved plans to any other agencies.
16. OWNERSHIP OF DOCUMENTS
All plans, studies, sketches, drawings, reports, and specifications as herein
required are the property of the City, whether the work for which they are made be

executed or not. In the event this contract is terminated, all documents, plans,
specifications, drawings, reports, and studies shall be delivered forthwith to the City.
Consultant shall have the right to make one (1) copy of the plans for his/her
records.
17. REPRODUCITON RIGHTS
The Consultant agrees that all copyrights which arise from creation of the
work pursuant to this contract shall be vested in City and hereby agrees to
relinquish all claims to such copyrights in favor of City.
18. HOLD HARMLESS AGREEMENT
The City, its officers, and employees shall not be liable for any claims,
liabilities; penalties, fines, or any damage to goods, properties, or effects of any
person whatever, nor for personal injuries or death caused by, or resulting from, any
intentional or negligent acts, errors or omissions of Consultant or Consultant's
agents, employees, or representatives. Consultant agrees to defend, indemnify, and
save free and harmless the City and its officers and employees against any of the
foregoing claims, liabilities, penalties or fines, including liabilities or claims by
reason of alleged defects in any plans and specifications, and any cost, expense or
attorney's fees which are incurred by the City on account of any of the foregoing.

19. ASSIGNMENT OF CONTRACX
The Consultant shall not assign this contract or any part thereof or any monies
due thereunder without the prior written consent of the City.
20. SUBCONTRAmNG
If the Consultant shall subcontract any of the work to be performed under this
contract by the Consultant, Consultant shall be fully responsible to the City for the
acts and omissions of Consultant's subcontractor and of the persons either directly
or indirectly employed by the subcontractor, as Consultant is for the acts and
omissions of persons directly employed by consultant. Nothing contained in this
contract shall create any contractual relationship between any subcontractor of
Consultant and the City. The Consultant shall bind every subcontractor and every
subcontractor of a subcontractor by the terms of this contract applicable to
Consultant's work unless specifically noted to the contrary in the subcontract in
question approved in writing by the City.
21. PROHIBITED INTEREST
No official of the City who is authorized in such capacity on behalf of the City
to negotiate, make, accept, or approve, or take part in negotiating, making,
accepting, or approving of this agreement, shall become directly or indirectly
interested personally in this contract or in any part thereof. No officer or employee
of the City who is authorized in such capacity and on behalf of the City to exercise

any executive, supervisory, or similar functions in connection with the performance
of this contract shall become directly or indirectly interested personally in this
contract or any part thereof.
22. VERBAL AGREEMENT OR CONVERSATION
No verbal agreement or conversation with any officer, agent, or employee of
the City, either before, during or after the execution of this contract, shall affect or
modify any of the terms or obligations herein contained nor entitle the Consultant
to any additional payment whatsoever under the terms of this contract.
23. SUCCESSORS OR ASSIGNS
Subject to the provisions of Paragraph 18, "Hold Harmless Agreement," all
terms, conditions, and provisions hereof shall insure to and shall bind each of the
parties hereto, and each of their respective heirs, executors, administrators,
successors, and assigns.
24. EFFECITVE DATE
This agreement shall be effective on and from the day and year first above
written.

25. CONFLICT OF INTEREST
The Consultant shall file a Conflict of Interest Statement with the City Clerk in
accordance with the requirements of the City of Carlsbad Conflict of Interest Code.
The Consultant shall report investments or interests in real property.
26. INSURANCE
The Consultant shall obtain and maintain policies of general liability insurance,
automobile liability insurance, and a combined policy of worker's compensation and
employers liability insurance from an insurance company authorized to do business
in the State of California which meets the requirements of City Council Resolution
NO. 91-403 in an insurable amount of not less than one million dollars
($1,000,000) each, unless a lower amount is approved by the City Attorney or the
City Manager. This insurance shall be in force during the life of this agreement and
shall not be canceled without thirty (30) days prior written notice to the City sent
by certified mail.

Woodward-Clyde Consultants (Woodward-Clyde) is pleased to offer this revised cos

At the conclusion, Woodward-Clyde will prepare a detailed report incorporating all thc details of this phase of the City’s Storm Water Quality Management Plan. The final repor will identify all the necessary testing procedures, equipment and laboratory analysis requira in order to prepare the appropriate reporting documents to satisfy the RWQCB.
We expect to attend the following meetings:
e One project kickoff meeting
e Two intermediate meetings

We will submit a minimum of three copies of a draft report for City staff review anc
comments. The comments submitted as a result of staff review will be incorporated in tht final report. A minimum of 25 final report documents will be submitted to the City ol
Carlsbad upon completion of the contract.
COST
A breakdown of the cost estimate based on the project scope of work by staff level, labor
hours and billing rates is provided in the following table. We anticipate the total cost for this
phase of the project will be $52,000. We propose to perform our services and invoice in
accordance with the attached Schedule of Charges and Conditions.

The following describes the basis for compensation for
services performed during the calendar year 1992. This Schedule of Fees and Charges will be adjusted annually on
economic salary increases, and changes in the expected level and mode of operations for the new year. The new
Schedule of Fees and Charges will apply to existing and new assignments.

The charge for all time required in the performance of the
Scope of Services, including office, field and travel time, will be at the Unit Price Hourly Rates set forth below for

The time of all personnel (including preparation time)
involving expert or witness testimony, or other participation
in a judicial proceeding involving the Client, as requested by Client, or compelled by subpoena or otherwise, will be charged at 1.5 times the hourly rates stated herein.
Charges for contract personnel using Woodward-Clyde
facilities will be made according to the hourly rate corresponding to their classification.
A maximum of eight (8) hours travel time per day will be charged for travel within the continental United States.
Overtime (hours worked in excess of eight (8) hours per
day) by exempt personnel will be charged at the above straight time hourly rate. Overtime by non-exempt personnel (classificationsidentified with an asterisk "*") will be charged at 1.3 times the above hourly rates.
Special project accounting report and financial services,
including submission of invoice support documentation, which are not normally provided to Client, will be charged
at the rate of $45 per hour.
TAXES
Client will compensate Woodward-Clyde for any sales or value-added taxes which apply to the services performed by Woodward-Clyde. Client will reimburse Woodward-Clyde for the amount of such taxes in addition to the compensation
due for services.
