Staff recommends that Council adopt Resolution No. ?x- 2b ? , renewing the c
for radio maintenance to Motorola Communications and Electronics Inc.
ITEM EXPLANATION
The City of Carlsbad has two-way radio equipment in the Police, Fire, Building, Engin
Parks, UtiIities/Maintenance departments, and the Calsbad Municipal Water District.
department includes the cost of radio maintenance in their operating budget.
As stated in the previous agreement with this contractor, which was authorized by Res
No. 9096, the City has the right to renew this agreement. The agreement will be rene\
one year with an additional two option years, after which the contract will be rebid.
FISCAL IMPACT
Necessary funds are available in the various departments’ communication eqL
maintenance accounts for this service. This agreement may be reduced or curta
necessary to balance the City’s budget following state budget actions.

AGREEMENT
This document will serve as an agreement between the City of Carlsbad (Ci+iy) an(
Motorola Communications & Electronics, Inc. (Contractor).
1. TERM OF AGREEMENT
This Agreement shall be for a period of one year commencing on September .
1992, with two additional option years, subject to appropriation of funds by thc
City Council each succeeding year. The City has the right to rebid or renew at thc
end of each year.
2. COMPENSATION
For all of the services which the Contractor is obligated to perform under the term!
of this Agreement, the City shall pay to the Contractor in accordance with charge:
listed in Exhibit "A" of the proposal dated 8/17/92. Payment of the amount duc
under this contract will be made monthly in response to billing by the Contractot
3. ESCALATION CLAUSE
The contract may be reviewed annually upon sixty (60) days written notice by thc
Contractor prior to the beginning of each contract year. Any request for a cos
increase will be subject to negotiation and/or rejection by the City.
4. CONTRACT DOCUMENTS
The complete contract between the parties shall consist of and include th
following documents:

B. Attached bid proposal
C. The individual service agreements attached, except where thos
agreements contradict this Agreement .

5. DUTY OF CONTRACTOR
The Contractor will supply the following:
A. Periodic maintenance (inspection and adjustment) at least once per year for
each piece of equipment.
All parts and labor when a defect is due to normal wear and usage. All
parts to include those in or part of: transmitter, receiver, microphones and
wiring harnesses.
Service within twenty-four (24) business hours of notification.
Unscheduled inspections and adjustments when requested by the City’s
supervisory personnel.
Copies of the technician’s worksheet for any and all maintenance and
inspections, scheduled and unscheduled, will be signed by City personnel.
One copy will be left with department personnel and another will be sent to
the contract administrator in the City’s Purchasing Office.

6. PLACE OF SERVICE
Service will be performed at the City’s location unless the equipment must be
removed for additional work at the Contractors’ shop location. At the City’s
convenience, equipment may also be taken directly to the Contractor’s shop location. I
7. DUTY OF THE CITY
The City reserves the right to add or remove equipment from its communications
system as necessitated by City requirements. Payments reflecting these changes
will be made in accordance with the unit prices shown in the current contract.
Addition of equipment of a type not listed shall be subject to a negotiated
maintenance cost. The City will make vehicles and facilities in which
communications equipment is installed reasonably available for maintenance.

8. HOLD HARMLESS
The Contractor agrees to indemnify, save and hold harmless the City and its
officers, agents and employees from any and all lawsuits, damages, liability, claims,
or costs of any nature whatsoever arising out of or resulting from, either directly or indirectly the performance of work pursuant to this agreement, to the maximum
extent allowed by law.
9. INSURANCE
The Contractor shall obtain and maintain policies of general liability insurance, and
a combined policy of workers’ compensation and employers liability insurance
from an insurance company authorized to do business in the State of California
which meets the requirements of City Council Resolution No. 91-403 in an
insurable amount of not less than one million dollars ($1,000,000) each, unless a
lower amount is approved by the City Attorney or the City Manager. This
insurance shall be in force during the life of this agreement and shall not be
canceled without thirty (30) days prior written notice to the City sent by certifiec
mail.
10. PERMITS
The Contractor is responsible for permits, required licenses, including City oi
Carlsbad business license, and fees.
11. CANCELLATION CLAUSE
The City or the Contractor may cancel Agreement with thirty (30) days prior writter
notification.
12. INDEPENDENT CONTRACTOR
The parties agree and intend that the relationship between them created by thiz
Agreement is that of employer-independent contractor.

13. LAW AND LITIGATION
This Agreement and the rights and duties of the parties shall be interpreted in
accordance with the laws of the State of California. In the event that litigation is
commenced to interpret or enforce the terms of this Agreement, the prevailing
parties shall be entitled to an award of attorney’s fees and costs.
IN WITNESS WHEREOF, the parties hereto have executed the Agreement at Carlsbad,
California the day and year first above written.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CARLSBAD, CALIFORNIA, AUTHORIZING THE EXECUTION
OF AN AGREEMENT FOR RADIO MAINTENANCE
NOW THEREFORE BE IT RESOLVED by the City Council of the
Carlsbad as follows:
1. That the Mayor of the City of Carlsbad is hereby authorized and c
on behalf of the City of Carlsbad to renew the agreement between the City of C,
and Motorola Communications and Electronics, Inc., 9980 Carroll Canyon Roz
Diego, CA 921 31, for a period of one year, with two one-year option periods, be
