ITEM EXPLANATION
All City Departments use printed letterhead, envelopes and business cards. In 1991 a 1
for printing letterhead/envelopes/business cards was awarded to Printmasters of C
CA. The term of the contract was for one year with the option to renew for two ac
years.
While the previous contract called for recycled paper, this contract specifies a new pa
twice the postconsumer waste content (30% vs. 15%) that dlso offers improved coml
in laser printers now in widespread use in the City. Aefditionalry, the paper is less ex
resulting in a savings of over 10% in the prices fsz etteuiyead and enveiopes.
In accordance with Section 3.28.1 20 of the h4bilicipal Code, Notice to Bidders was pi
and Request for Bids was made of ten vendors. From the four responsive bids, Pr
Inc., 5631 Palmer Way #K, Carlsbad CA 92008, was selected as the lowes
responsive bidder for the printing of letterhead/envelopes/business cards.
FISCAL IMPACT
Based upon the combined usage of City Departments, the estimated costs for the I
year will be $1 2,000.00. Department budgets contain sufficient funds and are availablc
respective accounts for the letterhead/envelope/business card purchases.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CARLSBAD, CALIFORNIA, APPROVING THE BID PROPOSAL
BRWEEN THE CITY OF CARLSBAD AND PRINTASTIC, INC.
FOR ANNUAL LElTERHEAD/ENVELOPE/BUSINESS CARD
PRINTING SERVICES
NOW THEREFORE BE IT RESOLVED by the City Council of the City of Ci
California, as follows:
1. That the bid of Printastic, Inc, 5631 Palmer Way #K, Carlsbad, CA
regarding the annual letterhead/envelope/business card printing on recycled paper as st

2. That an Agreement between the City of Carlsbad and Printastic, Inc.
services for the period of one year commencing January 1,1994 through December 31,l
may be renewed by the City Manager for three one (1) year periods with increases not to
10% of the prices in effect at the end of the preceding contract period, a copy of \
attached, Exhibit "B" and made a part hereof, is hereby approved.
3. That the Mayor of the City of Carlsbad is hereby authorized and dirt
execute said Agreement for, and on behalf of the City of Carlsbad.

AGREEMENT
THIS AGREEMENT, made and entered into this 13th day OfDECEMBEq 1993, by
and between the CITY OF CARLSBAD, California, a municipal corporation, hereinafter
referred to as "City" and , hereinafter referred to as "Contractor". Printastic. Inc.
WITNESSETH
WHEREAS, the City does find that the proposal tendered by the Contractor for
annual printing of letterhead/envelopes/business cards was a responsive proposal and of
high standards;
WHEREAS, the City does further find and detennine that it would be in the best interests of the City that said proposal be accepted and the contract be awarded to the
Contractor;
NOW, THEREFORE, for and in consideration for the mutual covenants and promises
of the parties hereto and upon the express terms and conditions thereinafter set forth, it is agreed by and between them, and each with the other as follows:
1. This Agreement shall consist of and include the following document attache(
hereto, as Exhibit "A", Bid Proposal.
The Contractor agrees to furnish all labor and materials for the printing o
letterhead/envelopes/business cards submitted in the proposal dated Octobe
28,1993.
The Contractor shall provide pick-up an delivery service as required by thc
City. The Contractor shall furnish printed matter within five (5) days afte
a "proof" is approved by the City.
The Contractor shall obtain and pay for a City of Carlsbad business licensi
prior to signing this Agreement.
This Agreement shall be for a period of one (1) year commencing on Januar
1, 1994 and ending on December 31, 1994. At the end of one (1) year, th
City has the right to re-bid or renew the Agreement for three (3) addition:
one (1) year periods.
The Contractor shall be aware of the requirements of the Immigration an
Control Act of 1986 and shall comply with those requirements, including bt
not limited to verifying the eligibility for employment of all agent
employees, sub-contractors and consultants that are included in th
agreement.

7. The Contractor shall take and maintain during the life of this Agreement, workeis compensation insurance covering all of the Contractois employees in a company satisfactory to the City and shall furnish to the City a
certificate issued by such company prior to the beginning of this contract.
It is expressly understood and agreed that the Contractor herein named in the furnishing of all labor and materials provided in this Contract, is acting as an independent Contractor and not an agent, servant or employee of the
City.
This agreement or any part thereof shall not be assigned by Contractor
without prior written consent of the City.
This Agreement may be amended or modified only by written agreemenl
signed by both parties, and failure on the part of either party to enforce ani
provision of this Agreement shall not be construed as a waiver of the righr
to compel enforcement of such provision or provisions.
Once each year, after the first six (6) months of this Agreement, upon
written request by the Contractor and approval of the Purchasing Officerj
said prices shall be subject to change in accordance with the Consumer Price
Index, San Diego as published by the U.S. Department of Labor, based or
one-half of the percentage change in the index from the first month of thiz
Agreement to each succeeding anniversary thereof.
This Agreement may be terminated by either party by giving thirty (30) day
written notice to the other, and this Agreement shall terminate forthwitk
thirty (30) days following the date such notice is given.

OPTTON TO RENEW
The City may desire ro exercise an option to renew the Contract for three (3) additional on
(1) year periods. The City proposes that such renewal be contingent on a mutual agreemer
between the City and the successful bidder herein, such agreement to be confirmed sixty (6C
days prior to the termination of the contract period. Either the City or the bidder may i
that time decline to confirm the renewal of the Contract, for any reason whatever, and suc
