TX DEPl MTG. 5-17-94 AMENDMENT TO GROUP SUBSCRIBER CONTRACT CITY DEPT. HR EMPLOYEE ASSISTANCE PROGRAM CITY RECOMMENDED ACTION: Adopt Resolution No. 99- 139 approving the amendment to the City’s contract with National Resource Consultants, the City’s Employee Assistance Program (EAP) provider. ITEM EXPLANATION: On October 1, 1993, the City contracted with National Resource Consultants (NRC) for provision of employee assistance services. NRC agreed to provide (1) short term counseling services at no cost to City employees and their dependents, (2) referral services to community resources who are part of the City’s health insurance programs, (3) training of City managers and supervisors on how to effectively utilize the EAP to facilitate early detection and intervention, (4) consultation with managers and supervisors concerning specific work-related personnel problems and (5) 24 hour telephone availability for use in cri situations. Pending final regulatory approval, National Resource Consultants has be acquired by CaliforniaCare Health Plans, an affiliate of Blue Cross of California. NRC will remain in San Diego, and NRC’s staff and managem team will remain intact. The only anticipated change is that NRC will assume additional responsibilities for providing behavioral health and E services through other Blue Cross affiliate companies. The City’s current existing Group Subscriber Contract with NRC is non- assignable by either party without the prior written consent of the otb party. It is staff’s recommendation that the City continue the establis relationship with NRC and maintain the Group Subscriber Contract that in effect. By signing the attached Amendment to Group Subscriber Contract, the City consents to the assignment by NRC of the Group Subscriber Contract to National Resource Consultants, a division of CaliforniaCare Health Plans, contingent upon proof of regulatory appro 0 e PAGE 2 OF AB # fd, ?LA!? FISCAL IMPACT: The amendment to the Group Subscriber Contract with National Resource Consultants will have no fiscal impact. The current contract expires on September 30, '9994, at which time it may automatically be extended for three ad~itional one-year periods or part thereof. AMENDMENT TO GROUP SUBSCRIBER CONTRACT EMPLOYEE ASSISTANCE PROGRAM The Contract made and executed as of the 1st day of October, 1993, by and behvee National Resource Consultants, Inc., hereinafter referred to as "NRC," and CITY 0 CARLSBAD, hereinafter referred to as "Group," shall remain in full force and effect exce for the changes agreed to in this Amendment. WHEREAS, NRC is a California Corporation, licensed as a specialized box-Keene Heal Care Service Plan, whose primary purpose is to operate a specialized health care sen& plan offering Employee Assistance Programs, and WHEREAS, NRC has an existing Group Subscriber Contract (the "Group Subscrib Contract") to provide an Employee Assistance Program for Group which is non-assignat by either party without the prior written consent of the other party, and WHEREAS, NRC will become part of CaliforniaCare Health Plans, an affiliate of B1 Cross of California, subject to final regulatory approval, and WHEREAS, NRC and Group wish to continue the relationship and maintain the Gro Subscriber Contract for Employee Assistance services in effect, THEREFORE, the parties agree: 1. Group hereby consents to the assignment by NRC of the Group Subscriber Contr to National Resource Consultants, a division of CaliforniaCare Health Plans. ' 24 25 26 27 28 0 0 RESOLUTION NO. 94-139 A RESOLUTION OF THE ClTf COUNCIL OF THE CITY OF CARLSBAD, CALIFORNIA, APPROVING THE AMENDMENT TO THE CITY'S CONTRACT WITH NATIONAL RESOURCE CONSULTANTS, THE CITY'S EMPLOYEE ASSISTANCE PROGRAM (EAP) PROVIDFR. WHEREAS, NRC is a California Corporation, licensed as a specialized Knox-Keene Health Care Service Pian, whose primary purpose is to operate a specialized health care service plan offering Employee Assistance Programs; and WHEREAS, NRC has an existing Group Subscriber Contract (the "Group Subscriber Contract") to provide an Employee Assistance Program for the City of Carlsbad which is non-assignable by either party without the prior written consent of the other party; and WHEREAS, NRC will become part of CaliforniaCare Health Plans, an affiliate of Blue Cross of California, subject to final regulatory approval; and WHEREAS, NRC and the City of Carlsbad wish to continue the relationship and maintain the Group Subscriber Contract for Employee Assistance services in effect. That the City Council acknowledges that the terms and conditions of the Group Subscriber Contract with NRC will remain the same unless modified by mutual agreement at a later date.
