RECOMMENDED ACTION:
Adopt Resolutlon NO. W-110 approving an agreement between tarlnbad and Enr
for Carlsbad to reimburse Encinitas for one-half of the operation and maintenance
for a traffic control signal system at the intersection of Rancho Santa Fe Road and
Acervo/Avenida La Posta.
I ITEM EXPLANATION:
Construction of the Olivenhain Pioneer Elementary School by the Encinitas Union I
District is being completed for the scheduled school opening in September 1994. P
to the school from Rancho Santa Fe Road will be via Calle Acervo. A traffic signal s
will be constructed on Rancho Santa Fe Road where Calle Acervo and Avenida La
intersect with Rancho Santa Fe Road. Carlsbad is the lead agency for construction traffic signal.
At this four leg intersection, one-half of the intersection is in the City of Carlsbad an'
half is in the City of Encinitas. As a result, it is proposed that Carlsbad and Encinita!
pay 50% of the operation and maintenance costs of the traffic signal system. The
signal controller is located in the City of Encinitas, therefore, Encinitas will be respc
for operating and maintaining the traffic signal system once installed. They will bill tl
of Carlsbad on a semi-annual basis for the Carlsbad share of the operatio
maintenance costs for the traffic signal system. I I FISCAL IMPACT:
The City of Encinitas has estimated the yearly operation and maintenance costs
subject traffic signal system at $3,360. The City of Carlsbad will be responsible for o
of this amount.

7 WHEREAS, the City Council of the City of Carlsbad has determined it necessa

AGREEMENT BETWEEN THE CITY OF CARLSBAD
AND THE CITY OF ENCINITAS
FOR OPERATION AND MAINTENANCE OF A
'TRAFFIC CONTROL SIGNAL SYSTEM AT THE INTERSECTION OF
RANCHO SANTA FE ROAD AND CALLE ACERVO/AVENIDA LA POSTA
THIS AGREEMENTl executed this day of
1994, by and between the CITY OF CARLSBAD, a municipal corporation, hereinaft
referred to as "Carlsbad", and the CITY OF ENCINITAS, a municipal corporatio
hereinafter referred to as "Encinitas".
WITNESSETH
WHEREAS, Carlsbad and Encinitas desire to cooperate and jointly participate
the operation and maintenance of a traffic control signal system and safety lighting at tt
intersection of Rancho Santa Fe Road and Calle Acervo/Avenida La Posta, hereinaft
referred to as "PROJECT"; and
WHEREAS, this four-way intersection is one-half within Carlsbad jurisdiction, ar
one-half within Encinitas jurisdiction; and
WHEREAS, Carlsbad and Encinitas desire to specify herein the terms ar
conditions by which operation and maintenance of said PROJECT shall be financed ar
accomplished.
NOW, THEREFORE, IT IS mutualty agreed by and between Carlsbad and Encinit;
as follows:
1. Carlsbad will act as the lead agency for the PROJECT, provide plar
specifications, and all necessary construction engineering services for tl
PROJECT and will manage the construction of the PROJECT.

2. Within ten (IO) days of completion of the PROJECT, Encinitas shall inspe
completed in accordance with the approved plans and specifications. if, I
the end of this ten (IO) day period, Encinitas has not notified Carlsbad
writing that the work materially varies from the approved plans, Encinit;
shall be deemed to have approved the constructed PROJECT

4a. Upon Encinitas' approval of the PROJECT:
Neither Carlsbad nor any officer or employee thereof shall be responsik for any damage or liability occurring by reason of anything done or omittt
to be done by Encinitas under or in connection with any work, authority,
jurisdiction delegated to Encinitas under this Agreement. It is also agret
that, pursuant to Government Code Section 895.4, Encinitas shall fu
indemnify and hold Carlsbad harmless from any liability imposed for inju
(as defined by Government Code Section 810.8) occurring by reason
anything done or omitted to be done by Encinitas under or in connectic
with any work, authority, or responsibility delegated to Encinitas under tt
Agreement.
4b. Neither Encinitas nor any officer or employee thereof shall be responsit:
for any damage or liability occurring by reason of anything done or omittt
to be done by Carlsbad under or in connection with any work, authority,
jurisdiction delegated to Carlsbad under this Agreement. It is also agrec
that, pursuant to Government Code Section 895.4, Carlsbad shall fu indemnify and hold Encinitas harmless from any liability imposed for inju

. 5. This indemnity provision is not limited in any way by the extent of at
insurance policy currently in force and held by either party.
6. Encinitas will maintain and operate the traffic control signal system ar
safety lighting and will pay the total cost for maintenance and operation the traffic control signal system and safety lighting.

7. Carlsbad will reimburse Encinitas one-half of the total maintenance a1 operating costs of the traffic control system and safety lighting. The
payments will be made to Encinitas on a semi-annual basis upon receipt
the semi-annual billing from Encinitas.
8. This Agreement may not be modified, amended, or otherwise chang
unless by an amendment, in writing, and executed by the parties.
IN WITNESS WHEREOF, this Agreement is executed by the City of Carlsb
pursuant to action taken by its City Council, and by the City of Encinitas pursuant
action taken by its City Council.
