RECOMMENDED ACTION:
Adopt Resolution No. ps-7/ authorizing the Mayor to execute
agreement with Hale Carter Consulting to perform administrative services
Community Facilities District No. 1.
ITEM EXPLANATION
In May 1991 , property owners of vacant land within the City of Carlsbad vo
the CFD, the City assumed certain responsibilities including debt issuance i
management, setting and collection of taxes, dealing with possible defai
placement and removal of tax liens, and construction of capital projects.

Johnson & Bodnar to provide consulting services to the City to assist in

The contract specifies that the hourly rates for all tasks specified in the reques
proposal will be as follows:

The total not to exceed figure for all three tasks is $75,000. The hourly rate ma
increased at each extension date by not greater than the increase in the Consumer F
Index. There is currently $97,000 available in the CFD No. 1 fund. Therefore
additional appropriations are necessary.
The contract term extends until 2/1/96. The contract may be extended by the
Manager for three (3) additional one (1) year periods or parts thereof, based up1

WITH HALE CARTER CONSULTING TO PERFORM

WHEREAS, the City of Carlsbad is responsible for administratic

AGREEMENT
THIS AGREEMENT, made and entered into as of the -day of MA%
19% by and between the CIN OF CARLSBAD, a municipal corporation, here
referred to as "City", and HALE CARTER CONSULTING, hereinafter referred
"Contractor."
RECITALS
City requires the services of a municipal financial consulting and adminis
contractor to provide assistance in the annual administration of the City's Comr
Facilities District No. 1 (CFD No. 1); and Contractor possesses the necessary ski1
qualifications to provide the services required by the City;
NOW, THEREFORE, in consideration of these recitals and the mutual COVE
contained herein, City and Contractor agree as follows:
1. CONTRACTOR'S OBLIGATIONS
Contractor shall provide special district administrative services by providing i

7. FINAL SUBMISSIONS

8. CHANGES IN WORK
If, in the course of the contract, changes seem merited by the Contractor (
City, and informal consultations with the other party indicate that a change i

9. COVENANTS AGAINST CONTINGENT FEES
The Contractor warrants that their firm has not employed or retained any co

or person, other than a bona fide employee, any fee, commission, percentage, brc
fee, gift, or any other consideration contingent upon, or resulting from, the av

10. NONDISCRIMINATION CLAUSE
The Contractor shall comply with the state and federal laws rec

12. DISPUTES
If a dispute should arise regarding the performance of work under this agree

15. CONFORMITY TO LEGAL REQUIREMENTS
The Contractor shall cause all drawings and specifications to conforrr

19. ASSIGNMENT OF CONTRACT
The Contractor shall not assign this contract or any part thereof or any rnonic

20. SUBCONTRACTING
If the Contractor shall subcontract any of the work to be performed und

payment whatsoever under the terms of this contract.
23. SUCCESSORS OR ASSIGNS
Subject to the pravisions of Paragraph 18, "Hold Harmless Agreement." all

Services. That move placed additional demands on my time that did not allow adr

spanned from data gathering and manipulation, to cash flow modeling of num
scenarios, to property owner education meetings. Because of this first hand experi
Ms. Carter is unequalled, outside of City staff, in her knowledge of the specifics abo
CFD. It is critical to not only know the specifics of the tax formula but also tc
understand how those specifics evolved.
Ms. Carter has been providing administrative services to the City of Carlsbad CF
1 since January of 1992. The focus of the special district administration contract z
in January of 1992 was to provide immediate full service administration, Ions
education to staff, and to develop procedures to transition a portion of the adminis'

In 1992 the goal was general education. Through monthly educational CFD me

actuals did not even come close to approaching that figure, the not to exceed fig1
demonstrate that the not to exceed figure is difficult to estimate. It also shows 1

work just because there is an additional amount authorized.
The not to exceed figures given below are estimates and the task numbers cow
to those shown in the request for proposal. An accurate estimate is difficult for

ANNU- TAX INCREASE
The above SPECIAL TAXES for the taxable properties are applicable for t
year 1990/91, and are all subject to annual increases to reflect inc
construction costs. The Construction Cost Index of the Engineering Ne
titled "ENR Cost Indexes in 22 Cities" will be used. The Index publishc
