RECOMMENDED ACTION:
Adopt Resolution No. 9 5 - /-@?approving the consultant agreement for the 1995
Management Plan Traffic Monitoring Program.
ITEM EXPLANATION:
The City of Carlsbad Growth Management Plan requires that the performance star
circulation be met at all times as growth occurs. The standard states that "I
segment or intersection in the Zone nor any Circulation Element road segl
intersection out of the Zone which is impacted by development in the Zone
projected to exceed a Service Level C during off-peak hours, nor Service Level I
peak hours, Impacted is defined by 20 percent or more of the traffic generate
Local Facilities Management Zone using the mad segment or intersection."
In 1993, the Engineering Department staff completed the consultant selection proc
selected JHK & Associates as the most qualified firm to conduct the annual
Management Traffic Monitoring Program. The consultant agreement approved b
Council June 15, 1993 authorized the services of JHK & Associates to be utilizt
1995 annual Growth Management Plan Traffic Monitoring Program.
Staff is recommending that the agreement with JHK & Associates be approved
the consultant to obtain traffic data for the 1995 Growth Management PI;
Monitoring Report. Counts will be obtained in 1995 during the summer months o
August. Traffic volumes will continue to be monitored through subsequent n
programs as each individual development project is approved in Carlsbad. This n
program is a planning study with no environmental review required and is exer
CEQA regulations.
FISCAL IMPACT:
The cost of services under the consultant agreement with JHK & Associates k
Funding for the Growth Management Plan Traffic Monitoring Program (Project Af
31 0-820-1 840-331 6) has been included and will be appropriated with the 1995
Improvement Program Budget.

AGREEMENT FOR
TRAFFIC ENGINEERING SERVICES
1995 GROVYTH MANAGEMENT PLAN TRAFFIC MONITORING PROGRAM
THIS AGREEMENT, made and entered into as of the day of
19 -' by and between the CllY OF CARLSBAD, a municipal corporation, hereina
referred to as "Cityll, and JHK & ASSOCIATES, a traffic engineering consultant hereina
referred to as "Contractor."
RECITALS
City requires the services of a traffic engineering Contractor to provide
necessary traffic counting, intersection and roadway mid-block capacity calculations
report writing services for preparation of the 1995 Growth Management Plan Tri
Monitoring Program; and Contractor possesses the necessary skills and qualificati
to provide the services required by the City;
NOW, THEREFORE, in consideration of these recitals and the mutual coveni
contained herein, City and Contractor agree as follows:
1. CONTRACTOR'S OBLIGATIONS
Contractor shall complete the 1995 Growth Management Plan Traffic Monitc
Program in accordance with the provisions of its proposal to the City of Carlsbad, d
April 18, 1995, and attached hereto as Exhibit "All.

2, CITY OBLIGATIONS
The City shall provide all relevant data at its disposal relative to the propos
study and assist in coordination and obtaining additional data from other agencies
allow the expeditious completion of the scope of services outlined in Exhibit "A".
3. PROGRESS AND COMPLETION
The work under this contract will begin within ten (10) days after receipt
notification to proceed by the City and be completed within one hundred eighty (1
days of that date. Extensions of time may be granted if requested by the Contractor i
agreed to in writing by the City Engineer. The City Engineer will give allowance
documented and substantiated unforeseeable and unavoidable delays not caused t
lack of foresight on the part of the Contractor, or delays caused by City inaction or 01
agencies' lack of timely action.
4. FEES TO BE PAID TO CONTRACTOR
The total shall not exceed the fee payable according to Paragraph 6, "Paymer
Fees," and shall be $44,865. No other compensation for sewices will be allowed exc
those items covered by supplemental agreements per Paragraph 8, "Changes in Wc
The City reserves the right to withhold a ten percent (10%) retention until the project
been accepted by the City.
5. DURATION OF CONTRACT
This agreement shall extend for a period of one hundred eighty (180) days f
date thereof. The contract may be extended by the City Manager for one (1) additic
one (1) year periods or parts thereof, based upon a review of satisfactory performs

and the City’s needs. The parties shall prepare extensions in writing indicating effect
date and length of the extended contract.
6. PAYMENT OF FEES
Upon completion of the 1995 Growth Management Plan Traffic Monitor
Program, Contractor shall submit an invoice to the City Engineer. Progress paym
shall be based on the estimated percentage of completion of each phase or task
presented in the proposed cost estimate, The City will forward payment to
Contractor within thirty (30) days.
7. FINAL SUBMISSIONS
Within fourteen (14) days of completion and approval of the draft 1995 Gro
Management Plan Traffic Monitoring Program, the Contractor shall deliver to the City
following items:
1. Ten (10) final report copies, bound in a three-ring binder of the 1
Growth Management Plan Traffic Monitoring Program.
2. Original final report copy (unbound) of the 1995 Growth Management f
Traffic Monitoring Program.
a. CHANGES IN WORK
If, in the course of the contract, changes seem merited by the Contractor or
City, and informal consultations with the other party indicate that a change in
conditions of the contract is warranted, the Contractor or the City may request a chz
in contract. Such changes shall be processed by the City in the following manne
letter outlining the required changes shall be forwarded to the City by Contract(
inform them of the proposed changes along with a statement of estimated changc
charges or time schedule. A supplemental agreement shall be prepared by the City

approved by the City according to the procedures described in Carlsbad Municipal Co
Section 3.28.1 72. Such supplemental agreement shall not render ineffective or invalid:
unaffected portions of the agreement.
9. COVENANTS AGAINST CONTINGENT FEES
The Contractor warrants that their firm has not employed or retained any compa
or person, other than a bona fide employee working for the Contractor, to solicit
secure this agreement, and that Contractor has not paid or agreed to pay any compE
or person, other than a bona fide employee, any fee, commission, percentage, brokers
fee, gift, or any other consideration contingent upon, or resulting from, the award
making of this agreement. For breach or violation of this warranty, the City shall h,
the right to annul this agreement without liability, or, in its discretion, to deduct from
agreement price or consideration, or othewise recover, the full amount of such 1
commission, percentage, brokerage fees, gift, or contingent fee.
10. NONDISCRIMINATION CLAUSE
The Contractor shall comply with the state and federal laws regard
nondiscrimination.
11. TERMINATION OF CONTRACT
In the event of the Contractor's failure to prosecute, deliver, or perform the v
as provided for in this contract, the City may terminate this contract for nonperformr
by notifying the Contractor by certified mail of the termination of the contractor.
Contractor, thereupon, has five (5) working days to deliver said documents owned b)

Manager, the Manager shall determine the final payment of the contract,
12. DISPUTES
If a dispute should arise regarding the performance of work under this agreeme
the following procedure shall be used to resolve any question of fact or interpretation I
otherwise settled by agreement between parties. Such questions, if they becoi
identified as a part of a dispute among persons operating under the provisions of t
contract, shall be reduced to writing by the principal of the Contractor or the (
Engineer. A copy of such documented dispute shall be forwarded to both parl
involved along with recommended methods of resolution which would be of benefi
both parties. The City Engineer or principal receiving the letter shall reply to the le
along with a recommended method of resolution within ten (10) days. If the resolul
thus obtained is unsatisfactory to the aggrieved party, a letter outlining the dispute s
be forwarded to the City Council for their resolution through the Office of the (
Manager. The City Council may then opt to consider the directed solution to
problem. In such cases, the action of the City Council shall be binding upon the par
involved, although nothing in this procedure shall prohibit the parties seeking reme
available to them at law.
13. SUSPENSION OR TERMINATION OF SERVICES
This agreement may be terminated by either party upon tendering thirty (30) c
written notice to the other party. In the event of such suspension or termination, u

14. STATUS OF THE CONTRACTOR
The Contractor shall perform the services provided for herein in Contractor's (
way as an independent contractor and in pursuit of Contractor's independent calling,
not as an employee of the City. Contractor shall be under control of the City only a

request for proposal. The persons used by the Contractor to provide services under
agreement shall not be considered employees of the City for any purposes whatsor
The Contractor is an independent contractor of the City. The payment mad

which the Contractor is entitled. The City shall not make any federal or state
withholdings on behalf of the Contractor or his/her employees or subcontractors.

Contractor agrees to indemnify the City for any tax, retirement contribution, s
security, overtime payment, unemployment payment or workers' compensation pay1

The Contractor shall be aware of the requirements of the Immigration Reform E
Control Act of 1986 and shall comply with those requirements, including, but not limi
to, verifying the eligibility for employment of all agents, employees, subcontractors i

15. CONFORMITY TO LEGAL REQUIREMENTS
The Contractor shall cause all drawings and specifications to conform to
applicable requirements of law: federal, state and local. Contractor shall provide
necessary supporting documents, to be filed with any agencies whose approva
necessary.
The City will provide copies of the approved plans to any other agencies.
16. OWNERSHIP OF DOCUMENTS
All plans, studies, sketches, drawings, reports, and specifications as he
required are the property of the City, whether the work for which they are made
executed or not. In the event this contract is terminated, all documents, pk
specifications, drawings, reports, and studies shall be delivered forthwith to the (

The Contractor agrees that all copyrights which arise from creation of the v

18. HOLD HARMLESS AGREEMENT
The City, its officers, and employees shall not be liable for any claims, liabilit
penalties, fines, or any damage to goods, properties, or effects of any person whatel
nor for personal injuries or death caused by, or resulting from, any intentional
negligent acts, errors or omissions of Contractor or Contractor's agents, employees
representatives. Contractor agrees to defend, indemnify, and save free and harmless
City and its officers and employees against any of the foregoing claims, liabilil
penalties or fines, including liabilities or claims by reason of alleged defects in any pl
and specifications, and any cost, expense or attorney's fees which are incurred by
City on account of any of the foregoing.
19, ASSIGNMENT OF CONTRACT
The Contractor shall not assign this contract or any part thereof or any monies 1
thereunder without the prior written consent of the City.
20. SUBCONTRACTING
If the Contractor shall subcontract any of the work to be performed under
contract by the Contractor, Contractor shall be fully responsible to the City for the i
and omissions of Contractor's subcontractor and of the persons either direct11
indirectly employed by the subcontractor, as Contractor is for the acts and omission
persons directly employed by Contractor. Nothing contained in this contract shall cr(
any contractual relationship between any subcontractor of Contractor and the City.

As requested, JHK & Associates (JHK) has developed a Scope of Services and c
estimate summary to complete the 1995 Growth Management Plan Traffic Monitoring Progrl
This estimate is based on the actual cost incurred by JHK to complete the last six Gro?
Management Plan Traffic Monitoring Programs. The project cost reports for this previous w
allowed JHK to better determine accurate budgets for each of the following items included in
proposal:

Direct Costs for Temporary Employees Mileage and Printing
Based on our prior experience in completing these studies since 1989, the total estir
to provide the services described in this proposal is $44,865 (see Table 1).
For this project, David Perkins will serve as the Responsible Officer. He will help en
that the project team consistently maintains high levels of quality control. Mr. Erik Ruehr,
will Serve as the Project Director and will be responsible for overall project management
production scheduling. His experience with traffic operations and capacity analysis will be us
in developing the final report. Mr. Ruehr, a registered traffic and civil engineer, will also
and seal the final report. In addition, Mr. Brian Shields, P.E. will ensure that the report addre
any future planning issues relevant to the City. Mr. Shields' experience with the five most re
growth management reports will also be used to ensure the continuity between this and prev
reports. Also, Mr. Brad Thornton will coordinate and supervise data collection and reduc
efforts. His heavy involvement in the preparation of previous growth management plan tr
monitoring programs will be invaluable for the 1995 program.

The following is a description of the scope of work by task.
Task I - Project Orientation and Coordination
The initial task of the project is to become familiar with the study area and introduce
JHK personnel to City staff. A project orientation meeting will be held to discuss
coordination of intersection counts with mid-block counts, At this meeting count schedules
both intersection and mid-block locations will be submitted. Count schedules will be coordini
with local construction activities and detours in order to obtain unbiased results. Count locatj
and times will not be changed without the City’s prior approval.
Task II - Data Collection
Data collection will be performed at 46 intersections (Exhibit 1) and 28 mid-bl

Task III - Data Reduction
To meet time constraints for the delivery of the draft 1995 Growth Management E
Traffic Monitoring Program report in late September, the data reduction will need to
efficiently timed with the data collection. The data reduction for the intersections will confi
to the format of the previous Growth Management Plan Traffic Monitoring Programs with
incorporated changes. This data will be reviewed and checked for directional errors and ir
errors. In addition, the ICU will also be reviewed and verified for operational consistency.
The data reduction for mid-block locations will be reviewed by JHK to ensure
directional distribution and peak hour data are accurate. The format will conform to the n
block summary configuration of the 1990, 1991, 1992, 1993, and 1994 Growth Managerr
Plans. This format included a tabular and graphical summary of the mid-block data. An A
trend analysis graph will also be provided for any mid-block locations with four years or IT worth of data.
Task IV - Final Report Preparation
The Final Report will be prepared similar to the previous Growth Management E
Traffic Monitoring Programs. Eleven copies will be provided, ten punched and in three 1
binders and one unbound copy. The fust draft submittal by JHK will be September 20, 1
with approximately four weeks for City staff review and comment.
Task V - HCM Signalized Intersection Capacity Analysis (Optional)
The development of the 1985 HCM software for capacity analysis at signalj
intersections has started the slow process of unifying capacity analysis techniques. Although
current application has been occasionally questioned, the method of including phasing, pen
green time, and stop time delay has been recognized as the most complete analysis availab
continue as the program is continually refined by McTrans. With this in mind, JHK offers T
V as an optional task. Task V will consist of the analysis of all intersections that test at le
of service C or worse under the ICU procedure by utilizing HCM analysis for that period. Lx
of Service C was chosen as the threshold for this task based upon work completed in Chula V
where levels of service comparisons between the two analysis procedures revealed that HCM ’

progression and other characteristics. These characteristics will be incorporated into each Hc
analysis. The City would need to provide JHK +ith current signal timing charts for the crit
