School driveway and approving the plans and specifications for the construction
traffic signal and directing the City Clerk to solicit bids for Project No. 3496. I ITEM EXPLANATION:
In September 1996, the new La Costa Canyon High School will be completed and c
to high school students. Vehicular access to the new school parking lot will be
driveway on Camino De Los Coches. The driveway is directly across from thc
entrance to Stagecoach Park. The school driveway on to Camino De Los Coches c
a need for a traffic signal at its entrance.
It is the intent of the City of Carlsbad to cooperate with the San Dieguito Unior
School District in the construction of a traffic signal at the high school driveway. This
signal will assign the right-of-way for ingresslegress to the high school and al: I ingress/egress for Stagecoach Park to and from Camino De Los Coches.
At the present time, the high school is under construction by Douglas E. Barnhart, Ir
contractor hired by the school district. The City of Carlsbad is proposing to compc
bid the traffic signal project and enter into a cost sharing arrangement with th
Dieguito Union High School District for the construction cost of the traffic signal. Tt
Dieguito Union High School District will contribute $45,000 towards the cost of ths
signal. Signing and striping revisions to Camino De Los Coches will be required i
of the traffic signal construction contract.
Staff recommends approval of the agreement and the project plans and specificatior
requests that the City Council authorize the Clty Clerk to advertise for bids.
ENVIRONMENTAL REVIEW
This project is categorically exempt from environmental review under the provisions
California Environmental Quallty Act (CEQA). I FISCAL IMPACT:

The total estimated cost of the project is $106,000. The City will act as lead ager
construction and bear all costs less $45,000 to be paid by the District through its co
with Barnhart. The City's share is $61,000 and shall be paid from the General
Contingency balance and appropriated to General Capital Construction Accour
approximately $5,000.

AGREEMENT BETWEEN THE CITY OF CARLSBAD, SAN DIEGUITO UNION HIGH SCHOOL DISTRICT AND DOUGLAS E. BARNHART, INC.
FOR THE COI'STRUCTION OF A TRAFFIC CONTROL SIGNAL SYSTEM
A'S THE INTERSECTION OF CAMINO DE IDS COCHES AND LA COSTA CANYON HIGH SCHOOL DRIVEWAY ENTRANCE
WHEREAS, San Dieguito Union High School District has entere into a contract with Douglas E. Barnhart, Inc. for the construction of the La Costa Canyon High School in the City of
Carlsbad, and
WHEREAS, San Dieguito Union High School District and the City of Carlsbad agree that a traffic control signal system,
safety lighting and signing and striping, referred to herein as the 9tSystem'1, is needed at the intersection of Camino De Los Coches and the High School, and
WHEREAS, the San Dieguito Union High School District's contract with Douglas E. Barnhart, Inc. is to be partially funde by the State of California, and
WHEREAS, the San Dieguito Union High School District is bound by its contract with Douglas E. Barnhart, Inc. and must process payments for construction of La Costa Canyon High School
in accordance with that contract in order to receive partial funding from the State, and
WHEREAS, the San Dieguito Union High School District's contract with Douglas E. Barnhart, Inc. provides an allowance of ninety-five thousand dollars ($95,000) for the installation of a traffic signal at the intersection of Camino De Las Los Coches and the entrance to the High School, and
WHEREAS, the City of Carlsbad, the San Dieguito Union High School District and Douglas E. Barnhart, Inc. desire to cooperatc
to provide for the construction of the System by the City of Carlsbad through its authorized contractor after public bid, so that funds for the construction of the System are processed in accordance with the District's contract with Douglas E. Barnhart
Inc. , and
WHEREAS, the San Dieguito Union High School District (hereafter "DISTRICT") has provided the City of Carlsbad
(hereafter '*CITY99) an executed grant deed of easement that allow! the CITY to construct, operate, maintain, and repair the System, including traffic signal detector loops and equipment located upon District property: and
WHEREAS, construction of such a system usually requires
three to four months after award of bid for the construction, an(
WHEREAS, all parties desire the System to be fully operational before the opening of school at the La Costa Canyon

LA COSTA CANYON HIGH SCHOOL TRAFFIC SIGNAL AGREEMENT

NOW THEREFORE I CITY I DISTRICT and DOUGLAS Et BARNHART, INC 4
(hereafter llBARNHART1*) do hereby agree as follows:
1. CITY, having approved construction plans for the Systen will act as the lead agency for construction of the System and will bear all costs of construction less forty-five thousand dollars ($45,000.) to be paid by DISTRICT through its contract
with BARNHART as provided herein.
2. Within thirty (30) days of execution of this Agreement, CITY will proceed to go to bid for construction of the System ar within ninety (90) days of execution of this Agreement, CITY wil use its best efforts to award the bid for the System.
3. Upon CITY'S determination, at is sole discretion, of tt
contractor to be recommended for award of the bid for the Systen CITY will notify both DISTRICT and BARNHART of the recommended award and bid price.
4. Within five (5) working days of final award of the bid
for the System, CITY will provide a copy of the bid documents tc both DISTRICT and BARNHART.
5. Upon receipt of Notice of Award from CITY, BARNHART wil
prepare an invoice (on the regular progress payment request) in the amount of the contract for payment by DISTRICT to BARNHART t be applied to the contract allowance for construction of the System, as provided for in the contract entered into with DISTRICT and BARNHART for construction of the La Costa Canyon
High School. DISTRICT will promptly process the invoice for payment and will pay on the invoice from BARNHART within thirty
(30) days.
6. Within five (5) working days of issuance of a Notice t
Proceed to the CITY'S contractor for the System, CITY will
provide copies of the Contract (agreement document only) and
Notice to Proceed to both DISTRICT and BARNHART.
7. Upon issuance of the Notice to Proceed, CITY will
provide BARNHART an invoice for construction of the System in th amount of the contract.
8. Within five (5) working days of receipt of the CITY'S invoice, BARNHART shall issue a check in that amount to CITY.
9. Within sixty (60) days from receipt of payment from
BARNHART, CITY will reimburse to DISTRICT the bid award amount minus forty-five thousand dollars ($45,000.). The $45,000. contribution towards the System by the DISTRICT shall constitute

full payment of DISTRICT'S share, to inciude future change order
issued on the project, inspection asts, and any and all other costs associated with this project.
10. CITY shall maintain construction records and provide
copies of such records to BARNHART or DISTRICT upon request. Such records shall show progress made on completion of the Syste and payments disbursed to the contractor of the System.
11. CITY, DISTRICT, and BARNHART will each use their best efforts and will each cooperate to the fullest extent possible i
the fulfillment of this Agreement to achieve the goal of the parties to have the System complete on or before August 1, 1996, before the opening of the La costa Canyon High School.
12. All notices provided for in this agreement shall be

13. This Agreement contains the entire agreement between
CITY, DISTRICT and BARNHART for construction of the System. Any agreements or representations not expressly set forth in this instrument are null and void.
14. This Agreement shall be subject to modification only
with the written consent of all parties.
