RECOMMENDED ACTION:
Adopt Resolution No. 9 h - 5 3 authorizing the Mayor to execute an Agreeme
between the City and Carlsbad Village Business Association.
ITEM EXPLANATION:
The City has contracted with the Chamber of Commerce for the last eight years
provide community promotion services for Carlsbad. At the September 1, 19:
meeting, Council appointed a subcommittee to evaluate how these services shol
be provided in the future. The subcommittee reported on its progress to date (
January 16, 1996. At that time, Council requested that a Request for Proposal (RF
be prepared for the provision of visitor services in the future. However, in order
continue to provide visitor services in the interim period while the RFP was
process, Council also directed staff to request proposals from Carlsbad Chaml:
of Commerce and the Carlsbad Village Business Association (CVBA) to provide 1
services during the period from February 1, 1996 through June 30, 1996.
Proposals were requested; however, the Chamber of Commerce declined
'propose. Therefore, the only proposal received was from the Carlsbad Villa
Business Association. Their proposal is attached as Exhibit 2.
After reviewing the proposal and holding several discussions with members
CVBA, the Council subcommittee is recommending entering into a contract v
CVBA as follows:
1. CVBA will provide the following three specific services:
a. Operate the Visitor Information Center at the Train Depot
b. Conduct a travel writer's program to bring travel writers to the City
c. Air 30 second commercials on ESPN during the Carlsbad 5000 broadc
The total payment to be made for these services by the City will not exc
$50,700.
2. In addition, the City will pay for other community promotion activities c
matching basis whereby the City agrees to contribute three dollars ($3) for e
one dollar ($1) raised by the CVBA up to a maximum of $37,300. The 1
combined amount of this agreement shall not exceed $88,000.
3. The term shall be for a five (5) month period from February 1, 1996 to Junf
1996.

The subcommittee recommends that the City Council review the agreement at authorize the Mayor to sign the contract by adopting the attached resolution.
FISCAL IMPACT:
Funds for community promotion totaling $21 1 ,I 50 were authorized and appropriatl
with the 1995-96 budget. Of this amount, $51,250 was appropriated for the 3-mol
contract with the Chamber which expired on December 31, 1995 leaving a balar
of $1 59,900. The proposed contract with CVBA is for $88,000; thus, sufficient fun
are available.

WHEREAS, the City Council of the City of Carlsbad has determined that it is
in the best interest of the City to promote tourism and provide services to visitors to the

THE CARLSBAD VILLAGE BUSINESS ASSOCIATION
TO PROVIDE PROFESSIONAL SERVICES RELATED TO
THE PROMOTION OF THE CITY OF CARLSBAD
THIS AGREEMENT, made and entered into as of the & day of febnar\l, 1996, 2
effective from February 1 , 1996 to June 30, 1996, by and between the CITY OF CARLSBAC
municipal corporation, hereinafter referred to as "City," and the CARLSSAD VILLAGE BUSINE
ASSOCIATION, a non-profit corporation, hereinafter referred to as "CVBA."
RECITALS ,
The City requires the services necessary for the promotion of the City of Carlsbad;, anc
CVBA possess the necessary skills and qualifications to provide the services required by the (
NOW, THEREFORE, in consideration of these recitals and the mutual covenants conta
herein, the City and the CVBA agree as follows:
1. EMPLOYMENT OF SERVICES
The City agrees to engage, and the CVBA agrees to perform the services described bt
A. Manage and coordinate a marketing program that positions Carlsbad as a I
destination in Southern California.
B. Generate awareness of Carlsbad in those geographic regions of the United :
which provide the largest number of visitors to Southern California each yea
C. Operate the Visitor Information Center in the AT&SF Depot seven days per
from 9 a.m. to 5 p.m. Monday through Friday, 10 a.m. to 4 p.m. on Saturda
10 a.m. to 3 p.m. on Sunday except New Year's Day, Easter, Thanksgivir
Christmas Day to assist visitors to Carlsbad.
D. Establish a travel writer's program by organizing visits to Carlsbad by sever;
writers that result in published articles promoting Carlsbad.

2. COMPENSATION
For the services described above the City will compensate the CVBA iq an amount nc

Payments for these services will be made in two equal installments of $25,350
the first installment payable upon execution of the contract, and the sf
installment payable on April 15, 1996, the mid-point of the five-month COI
period.
B. In addition to the items listed in A above the City will pay up to $37,300 to
additional community promotion activities. These funds will be released
CVBA on a matching basis where the CVBA must raise $1 to receive $3 t
funds. Payment of these expenses will be released upon receipt of a stal
itemizing the expenditures by program category and proof satisfactory

C. The City reserves the right to terminate or reduce the funding levels outlined in t
Agreement in the event of City revenue reductions. Recommended reductions will be repod
to the City Council who shall determine the modified funding level.
3. INFORMATION AND REPORTS
The CVBA shall provide the City Council with a three-month and a final report of the acti
of the CVBA funded under this Agreement. These reports shall summarize activities for the th
month period ending April 30, 1996, and the subsequent report shall cover tw final two-mc
period ending June 30, 1996. The expenditures in the report shall be summarized using
categories shown in the Revised Management Proposal of the Convis in Association witt
Carlsbad Village Business Association.
4. RECORDS AND INSPECTION
The CVBA shall maintain full and accurate records with respect to all matters cov
under this Agreement. The City shall have free access at all times to such records, and the
to examine and audit the same and to make transcripts there from, and to inspect all pro
data, documents, proceedings, and activities. These documents shall be retained for a p
of six (6) months after completion of the contract.
5. DURATION OF CONTRACT
This Agreement shall extend for a period of five (5) months from February 1 , 1996 tc
30, 1.996.
6. CHANGES IN WORK
If, in the course of the Contract, changes seem meriied by the CVBA or the Cit
informal consultations with the other party indicate that a change in the conditions of the cc
is warranted, the CVBA or the City may request a change in contract. Such changes E
processed by the City in the following manner: A letter outlining the required changes :

Agreement shall be prepared by the City and approved by the City according to the procedul
described in Carlsbad Municipal Code Section 3.28.1 72. Such Amendment to Agreement st
not render ineffective or invalidate unaffected portions of the Agreement.
7. COVENANTS AGAINST CONTINGENT FEES
The CVBA warrants that their firm has not employed or retained any company or per:
other than a bona fide employee working for the CVBA, to solicit or secure this Agreement,
that the CVBA has not paid or agreed to pay any company or person, other, than a bona
employee, any fee, commission, percentage, brokerage fee, gift, or any other consider:
contingent upon, or resulting from, the award or making of this Agreement. For breac
violation of this warranty, the City shall have the right to annul this Agreement without liabilit
in its discretion, to deduct from the Agreement price or consideration, or otherwise recove
full amount of such fee, commission, percentage, brokerage fees, gift, or contingent fee.
8. NONDISCRIMINATION CLAUSE
The CVBA shall comply with applicable State and Federal laws reg:
nondiscrimination.
9. TERMINATION OF CONTRACT
In the event of the CVBA's failure to prosecute, deliver, or perform the work as prc
for in this contract, the City Manager may terminate this contract for nonperformance by nc
the CVBA by certified mail of the termination of the CVBA. The CVBA, thereupon, has 1
working days to delver said documents owned by the City and all work in progress

payable under paragraph 2. The City shall make the final determination as to the portions
tasks completed and the compensation to be made. In no case shall the final payment excc

'1 0. DISPUTES
If a dispute should arise regarding the performance of work under this Agreement,
following procedure shall be used to resolve any question of fact or interpretation not othen
settled by Agreement between parties. Such questions, if they become identified as a part
dispute among persons operating under the provisions of this Contract, shall be reduce
writing by the principal of the CVBA or the City Finance Director. A copy of such docume
dispute shall be forwarded to both parties involved along with recommended method
resolution which would be of benefit to both parties. The City Finance Director or prin
receiving the letter shall reply to the letter along with a recommended method of resolution v
ten (10) calendar days. If the resolution thus obtained is unsatisfactory to the aggrieved I
a letter outlining the dispute shall be forwarded to the City Council for their resolution thl
the office of the City Manager. The City Council may then opt to consider the directed so
to the problem, In such cases, the action of the City Council shall be binding upon the F
involved, although nothing in this procedure shall prohibit the parties seeking remedies av

11. CLAIMS AND LAWSUITS
The CVBA agrees that any contract claim submitted to the City must be asserted
of the contract process as set forth in this Agreement and not in anticipation of litigatic
conjunction with litigation. The CVBA acknowledges that if a false claim is submitted to ti
it may be considered fraud and the CVBA may be subject to criminal prosecution.

12. STATUS OF THE CONTRACTOR
The CVBA shall perform the services provided for herein in the CVBA’s own way as :
independent contractor and in pursuit of the CVBA’s independent calling, and not as
employee of the City. The CVBA shall be under control of the City only as to the result to
accomplished and the personnel assigned to the project, but shall consult With the City
provided for in the request for proposal.
The CVBA is an independent contractor of the City. The payment made to the 0
pursuant to this Agreement shall be the full and complete compensation to which the CVB
entitled pursuant this Agreement. The City shall not make any federal or state tax withholdi
on behalf of the CVBA. The City shall not be required to pay any workers’ compensa
insurance on behalf of the CVBA. The CVBA agrees to indemnify the City for any tax, retirer
contribution, social security, overtime payment, workers’ compensation payment which the
may be required to make on behalf of the CVBA payment which the City may be requirc
make on behalf of the CVBA or any employee of the. CVBA for work done under this Agreer
The CVBA shall be aware of the requirements of the Immigration Reform and Contrc
of 1985 (8 USC Sec. 1 101 - 1525) and shall comply with those requirements, including, bi
limited to, verlfying the eligibility for employment of all agents, employees, subcontractor!

13. OWNERSHIP OF DOCUMENTS
All plans, studies, sketches, drawings, reports and other work products as herein rec
are the property of the City, whether the work for which they are made be expected or n
the event this contract is terminated, all documents, plans, specifications, drawings, repol
studies shall be delivered forthwith to the City, The CVBA shall have the right to make (
copy of the plans for its records.

14. REP.RODUCTION RIGHTS
The CVBA agrees that all copyrights which arise from creation of the work pursuant to tl
contract shall be vested in City and hereby agrees to relinquish all claims to such copyright:
favor of City.
15. HOLD HARMLESS AGREEMENT
The CVBA agrees to indemnify and hold harmless the City of Carlsbad and its officc
officials, employees and volunteers from and against all claims, damages, losses and exper
including attorney fees arising out of the performance of the work described herein cause
whole or in part by any negligent act .or omission of the CVBA, any subcontractor, any
directly or indirectly employed by any of them or anyone for whose acts any of them ma\
liable, except where caused by the active negligence, sole negligence, or willful miscondu
the City of Carlsbad.
The CVBA shall at its own expense, upon written request by the City, defend any suct
or action brought against the City, its officers, officials, employees and volunteers, The GI'

16. ASSIGNMENT OF AGREEMENT
The CVBA shall not assign this Agreement or any part of it or any money due un

17. SUBCONTRACTING
If the CVBA shall subcontract any of the work to be performed under this contract I
CVBA, the CVBA shall be fully responsible to the City for the acts and omissions of the C
subcontractor and of the persons either directly or indirectly employed by the subcontrac

18. PROHIBITED INTEREST
No official of the City who is authorized in such capacity on behalf'of the City to negoti:
make, accept or approve or take part in negotiating, making, accepting or approving of i
contract or subcontract in connection with the execution of this Agreement shall become dire
or indirectly interested personally in this Agreement or any part thereof. No officer or emplo
of the City who is authorized in such a capacity on behalf of the City to exercise any execu
supervisory or other similar functions in connection with the performance of this Agreement I

19. VERBAL AGREEMENT OR CONVERSATION
No verbal agreement or conversation with any officer, agent, or employee of the

20. SUCCESSORS OR ASSIGNS

21. EFFECTIVE DATE
This Agreement shall be effective on and from the day and year first wriien above
22. CONFLICT OF INTEREST
The City has determined, using the guidelines of the Political Reform Act and the
conflict of interest code, that the CVBA will not be required to file a conflict of interest stal
as a requirement of this Agreement. However, the CVBA hereby acknowledges that the

has the legal responsibility for complying with the Political Reform Act and nothing in tl
Agreement releases the CVBA from this responsibility.
23. INSURANCE
The CVBA shall obtain and maintain for the duration of the contract and any and
amendments insurance against claims for injuries to persons or damage to property which r
arise out of or in connection with performance of the work hereunder by the CVBA, his age
representatives, employees or subcontractors. Said insurance shall be obtained frorr
insurance carrier admitted and authorized to do business in the State of California.

Under this proposal, the Carlsbad Convention Visitors Bureau (ConVis) will hnction
under the umbrella of the Carlsbad Village Business Association (CVBA), a non - profit
organization.
The CVBA accepts all of the terms of the five month contract proposed by the city staff
except that the ConVis will be under the umbrella of the CVBA instead of the Chamber of
Commerce. The ConVis will retain all of the programs that have proven effective during
past years.
The CVBA will not charge any administration fees which will permit the ConVis to hlly
hnd its marketing programs and upgrade the office equipment. Of even more importance,
the CVBA wiZZ not interfere in the ConVis mission to promote tourism. The ConVis will
be non-political and will not be used to hrther the agenda of any other organization.
The ConVis will be governed by its own 13 member board of directors, empowered to
develop programs to promote tourism that will benefit the community economically,
producing jobs and generating tax revenues for the city.
The majority of the directors will be representatives of the hotel industry, A list of the
directors is attached. The city is invited to appoint a representative of the city to the
board.
The CVBA has approached Steve Link, who has served as Manager of the ConVis from
July 1989 to October 1995. He has agreed to return to his former position. This enables
the ConVis to regenerate its marketing programs under a tourism professional who is
familiar with the organization and community. The five months prior to the summer
tourism season is a critical period for marketing programs.
During the next five months, the ConVis will aggressively promote Carlsbad in the
national and international media. The ConVis will concentrate on the markets that have
traditionally supplied visitors to Carlsbad as well as explore areas that offer potential for
hture growth.

The income fiom sources other than the city include the following:
1. For the year 1995 - 1996 The Convention and Visitors
Bureau applied for and was awarded a $20,000 grant fiom the San
Diego County Board of Supervisors for a marketing program that
was proposed. The County has made regular payments to the
ConVis, Approximately $8,300 is shll due fiom the County for the
time period remaining.
2. For the year 1995 - 1996, the ConVis was designated as
the managing agency -for the North County Tourism Marketing
Group. The County authorized a fee of $3,500 to adtlllntster the
organization. Approximately $1,450 is still due from the County
for the time period remaining.
3. Most hotels in Carlsbad pay a quarterly fee to the ConVis
for joint marketing programs above the normal programs. The fee
is $1 1 per room per year for each participating hotel up to a
maximum of 150 rooms. In the next five months, approximately
$4,000 will be received.
4. The ConVis receives a 10% commission fi-o placing
visitors in hotels. Approximately $1,500 wdl be raised through this
program in the next five months.
5. Maps and sirmlar items sold in the Depot will generate
approximately $500 in the next five months.
6. There wdl be several cooperative advertising opportunities
between the hotels and the ConVis in the next five months.
However, this doesn't aEect the budget. If an ad costs $1,000 and
five hotels each pay $100 to list their name on the ad, the ConVis
ody reports the ad cost of $500.

Overview of Programs
Multi - Media Advertising
We will print 100,000 hll color cards, 8 1/2 X 3 314 inches and display then
in 400 display racks in the Los Angles, Orange County and Phoenix areas.
We will contact Certified Folder to administer this program. This is a new
program. We will air 30 second commercials on ESPN during the Carlsbad
5000 broadcast. This is a new program.
We will purchase ads in selected magazines and newspapers on dates they
schedule articles about San Diego County. Magazines will include (But not
limited to): LA Magazine, Westways, Phoenix Magazine, Tucson Lifestyle,
Orange Coast Magazine, and Travel & Leisure Magazine. Newspapers will
include: Arizona Republic, LA Times, Las Vegas Review Journal, Orange
County Register, Palm Springs Desert Sun, Riverside Press Enterprise and the
San Bemardo Sun.
Trade Shows and Blitzes
We will attend several trade shows including: The Orange County Travel
Show, LA Travel Show, Phoenix Travel Show and the Southern Arizona
(Tucson) Travel Show. Prior to the Phoenix Travel Show we will organize a
sales mission where representatives fiom Carlsbad hotels visit every travel
agency in the Phoenix area. Previous sales mission to Phoenix were done
jointly with the other North County communities.
Travel Writers Program
We will reestablish the travel writers program by organizing a visit by several
writers during the blooming of the flower fields as was done in the past five
years.
The contract with Paradise Communications to oversee the travel writers
program was terminated this past summer. We will enter into negotiations
with Brice and Associates, a public relations firm in La Jolla to resume the
program. They provide the same services to Casa Del Zorro Hotel and the
Borrego Springs Chamber of Commerce. This year they won silver and
bronze plaques from the Hospitality Sales and Marketing International
Association for their accomplishments with these two clients. They also
provide the San Diego Marathon under a contract with In Motion.

Print Brochures
We will update and reprint the Dining Guide and begin the redesign phases of
our principle brochure that will be reprinted in October.
The Beach Terrace Inn will have booth space at the International Travel
Bureau Show in Berlin, Germany, March 8 - 13. This is probably the largest
travel show in the world. They have offered to distribute a German Language
brochure on Carlsbad if one can be produced in time. We plan to try.
Promotion for Community Events
We will again be a sponsor of the Carlsbad 5000 and assist their organizing
committee in various ways such as recruiting volunteers. We wiU be the
sponsor of the Annual Volksmarch in the spring and assist other community
events.
