ENG RECOMMENDED ACTION: TRAFFIC MONITORING PROGRAM Adopt Resolution No. qb - i'@j approving the consultant agreement for the 199 Management Plan Traffic Monitoring Program. ITEM EXPLANATION: The City of Carlsbad Growth Management Plan requires that the performance stal segment or intersection in the Zone nor any Circulation Element road ses intersection out of the Zone which is impacted by development in the Zone projected to exceed a Service Level C during off-peak hours, nor Service Level peak hours. Impacted is defined by 20 percent or more of the traffic generate Local Facilities Management Zone using the road segment or intersection." On December 14, 1995, staff sent Request for Qualifications to ten (10) consulti engineering firms to provide services for the 1996 Growth Management PIE Monitoring Program. A total of six (6) Qualification Statements were returned by ir consultants. Departments met to review the submitted Qualification Statements. Based UF experience and other factors, the committee unanimously selected JHK & ASSO( the most qualified consulting traffic engineering firm to perform the work elemer 1996 Growth Management Plan Traffic Monitoring Program. Staff is recommending that the agreement with JHK & Associates be approved I the consultant to obtain traffic data for the 1996 Growth Management Pla Monitoring Report. Counts will be obtained in 1996 during the summer months of August. Traffic volumes will continue to be monitored through subsequent mc programs as each individual development project is approved in Carlsbad. RECITALS City requires the services of a traffic engineering Contractor to provide necessary traffic counting, intersection and roadway mid-block capacity calculations i report writing services for preparation of the 1996 Growth Management Plan Tra Monitoring Program; and Contractor possesses 'the necessary skills and qualificatio to provide the services required by the City; NOW, THEREFORE, in consideration of these recitals and the mutual covenar contained herein, City and Contractor agree as follows: 1. CONTRACTOR'S OBLIGATIONS 1 Contractor shall complete the 1996 Growth Management Plan Traffic Monitorin: Program in accordance with the provisions of its proposal to the City of Carlsbad, data April 8, 1996, and attached hereto as Exhibit "A". rev.218198 0 a .r 2. CITY OBLIGATIONS The City shall provide all relevant data at its disposal relative to the propc study and assist in coordination and obtaining additional data from other agencic allow the expeditious completion of the scope of services outlined in Exhibit "A1'. 3. PROGRESS AND COMPLETION The work under this contract will begin within ten (10) days after receil notification to proceed by the City and be completed within one hundred eighty ( days of that date. Extensions of time may be granted if requested by the Contractor agreed to in writing by the City Engineer. The City Engineer will give allowancf documented and substantiated unforeseeable and unavoidable delays not caused lack of foresight on the part of the Contractor, or delays caused by City inaction or c agencies' lack of timely action. 4. FEES TO BE PAID TO CONTRACTOR The total fee payable for the services to be performed shall be $43,285. No c compensation for services will be allowed except those items covered by supplemc agreements per Paragraph 8, "Changes in Work." The City reserves the right to with1 a ten percent (10%) retention until the project has been accepted by the City. 5. DURATION OF CONTRACT This agreement shall extend for a period of one hundred eighty (180) days 1 date thereof. The contract may be extended by the City Manager for four (4) additi. one (1) year periods or parts thereof, based upon a review of satisfactory performa and the City's needs. The parties shall prepare extensions in writing indicating effec date and length of the extended contract. rev.2( 2 e e 6. PAYMENT OF FEES Payment of approved items on the invoice shall be mailed to the Contractor F to the 30th day of the month the invoice was submitted. 7. FINAL SUBMISSIONS Within fourteen (14) days of completion and approval of the draft 1996, Contractor shall deliver to the City the following items: 1. Ten (10) final report copies bound in a three-ring binder of the 1996 Grc Management Plan Traffic Program. Original final report copy (unbound) of the 1995 Growth Management I Traffic Monitoring Program. 2. 8. CHANGES IN WORK If, in the course of the contract, changes seem merited by the Contractor or City, and informal consultations with the other party indicate that a change in conditions of the contract is warranted, the Contractor or the City may request a chs in contract. Such changes shall be processed by the City in the following mannei letter outlining the required changes shall be forwarded to the City by Contractc inform them of the proposed changes along with a statement of estimated changc charges or time schedule. A Standard Amendment to Agreement shall be prepare the City and approved by the City according to the procedures described in Carl5 Municipal Code Section 3.28.172. Such Amendment to Agreement shall not rei ineffective or invalidate unaffected portions of the agreement. 9. COVENANTS AGAINST CONTINGENT FEES The Contractor warrants that their firm has not employed or retained any coml or person, other than a bona fide employee working for the Contractor, to solic rev.: 3 0 0 w secure this agreement, and that Contractor has not paid or agreed to pay any comp or person, other than a bona fide employee, any fee, commission, percentage, broker fee, gift, or any other consideration contingent upon, or resulting from, the awarc making of this agreement. For breach or violation of this warranty, the City shall h the right to annul this agreement without liability, or, in its discretion, to deduct from agreement price or consideration, or otherwise recover, the full amount of such commission, percentage, brokerage fees, gift, or contingent fee. 10. NONDISCRIMINATION CLAUSE The Contractor shall comply with the state and federal laws regard nondiscrimination. 11. TERMINATION OF CONTRACT In the event of the Contractor’s failure to prosecute, deliver, or perform the w as provided for in this contract, the City Manager may terminate this contract nonperformance by notifying the Contractor by certified mail of the termination of contractor. The Contractor, thereupon, has five (5) working days to deliver s documents owned by the City and all work in progress to the City Engineer. 1 City Engineer shall make a determination of fact based upon the documents delive to City of the percentage of work which the Contractor has performed which is usal and of worth to the City in having the contract completed. Based upon that finding reported to the City Manager, the Manager shall determine the final payment of a contract. This agreement may be terminated by either party upon tendering thirty (30) d: written notice to the other party. In the even termination, the Contractor shall be paid for work performed to the termination d; however, the total shall not exceed the lump sum fee payable under paragraph 4. * City Manager shall make the final determination as to the portions of tasks comple and the compensation to be made. 12. DISPUTES If a dispute should arise regarding the performance of work under this agreem the following procedure shall be used to resolve any question of fact or interpretatior otherwise settled by agreement between parties. Such questions, if they becc identified as a part of a dispute among persons operating under the provisions of contract, shall be reduced to writing by the principal of the Contractor or City Engineer. A copy of such documented dispute shall be forwarded to both pa involved along with recommended methods of resolution which would be of benei both parties. The City Engineer or principal receiving the letter shall reply to the I( along with a recommended method of resolution within ten (10) days, If the resoli thus obtained is unsatisfactory to the aggrieved party, a letter outlining the dispute ! be forwarded to the City Council for their resolution through the Office of the Manager. The City Council may then opt to consider the directed solution tc problem. In such cases, the action of the City Council shall be binding upon the ps involved, although nothing in this procedure shall prohibit the parties seeking rem€ available to them at law. rev.: 5 0 13. CLAIMS AND LAWSUITS The Contractor agrees that any contract claim submitted to the City must asserted as part of the contract process as set forth in this agreement and nc anticipation of litigation or in conjunction with litigation. The Contractor acknowledl that if a false claim is submitted to the City, it may be considered fraud and Contractor may be subject to criminal prosecution. The Contractor acknowledges ’ California Government Code sections 12650 et sea, the False Claims Act, provides civil penalties where a person knowingly submits a false claim to a public entity. Th provisions include false claims made with deliberate ignorance of the false informal or in reckless disregard of the truth or falsity of information. If the City of Carlsbad sel to recover penalties pursuant to the False Claims Act, it is entitled to recover its litigai costs, including attorney’s fees. The Contractor acknowledges that the filing of a e claim may subject the Contractor to an administrative debarment proceeding wherein Contractor may be prevented to act as a Contractor on any public work or improvem for a period of up to five years. STATUS OF THE CONTRACTOR The Contractor shall perform the services provided for herein in Contractor’s o way as an independent contractor and in pursuit of Contractor’s independent calling, a not as an employee of the City. The persons used by the Contractor to provide services under agreement shall not be considered employees of the City for any purposes whatsof The Contractor is an independent contractor of the City. The payment mad the Contractor pursuant to the contract shall be the full and complete compensatio which the Contractor is entitled. The City shall not make any federal or state withholdings on behalf of the Contractor or his/her employees or subcontractors. City shall not be required to pay any workers’ compensation insurance or unemployr contributions on behalf of the Contractor or his/her employees or subcontractors. Contractor agrees to indemnify the City within 30 days for any tax, retirer contribution, social security, overtime payment, unemployment payment or worl compensation payment which the City may be required to make on behalf of Contractor or any employee or subcontractor of the Contractor for work done under agreement or such indemnification amount may be deducted by the City from balance owing to the Contractor. The Contractor shall be aware of the requirements of the Immigration Reform Control Act of 1986 and shall comply with those requirements, including, but not lin to, verifying the eligibility for employment of all agents, employees, subcontractors Consultants that are included in this agreement. rev.: 7 . 0 0 15. CONFORMITY TO LEGAL REQUIREMENTS The Contractor shall cause all drawings and specifications to conform to applicable requirements of law: federal, state and local. Contractor shall provide necessary supporting documents, to be filed with any agencies whose approva necessary. The City will provide copies of the approved plans to any other agencies. 16. OWNERSHIP OF DOCUMENTS All plans, studies, sketches, drawings, reports, and specifications as he required are the property of the City, whether the work for which they are mad€ executed or not. REPRODUCTION RIGHTS The Contractor agrees that all copyrights which arise from creation of the 1 pursuant to this contract shall be vested in City and hereby agrees to relinquish all Cli to such copyrights in favor of City. 18. HOLD HARMLESS AGREEMENT Contractor agrees to indemnify and hold harmless the City of Carlsbad an officers, officials, employees and volunteers from and against all claims, damages, lo and expenses including attorney fees arising out of the performance of the described herein caused in whole or in part by any negligent act or omission of tl rev. 8 W 0 0 1 cQntractor, any subcontractor, anyone directly or indirectly employed by any of then anyone for whose acts any of them may be liable, except where caused by the ac negligence, sole negligence, or willful misconduct of the City of Carlsbad. Contractor’s indemnification of City shall not be limited by any prio. subsequent declaration by the contractor. 19. ASSIGNMENT OF CONTRACT The Contractor shall not assign this contract or any part thereof or any monies ( thereunder without the prior written consent of the City. 20. SUBCONTRACTING If the Contractor shall subcontract any of the work to be performed under contract by the Contractor, Contractor shall be fully responsible to the City for the i and omissions of Contractor’s subcontractor and of the persons either directly indirectly employed by the subcontractor, as Contractor is for the acts and omission! persons directly employed by Contractor. Nothing contained in this contract shall cre any contractual relationship between any subcontractor of Contractor and the City. - Contractor shall bind every subcontractor and every subcontractor of a subcontractoi the terms of this contract applicable to Contractor’s work unless specifically noted to contrary in the subcontract in question approved in writing by the City. rev.2k 9 21. INSURANCE The Contractor shall obtain and maintain for the duration of the contract and and all amendments insurance against claims for injuries to persons or damagl property which may arise out of or in connection with performance of the work hereui by the contractor, his agents, representatives, employees or subcontractors. I insurance shall be obtained from an insurance carrier admitted and authorized tc business in the State of California. The insurance carrier is required to have a CUI Best's Key Rating of not less than "A-:V' and shall meet the City's policy for insun as stated in Resolution No. 91-403. A. Coverages and Limits. Contractor shall maintain the types of coverages and minimum li indicated herein, unless a lower amount is approved by the City Attorney or Manager: 1. The budgets for each of the following ite included in this proposal: e e Mileage and Printing Based on our prior experience in completing these studies since 1989, the total e Manhour Estimates for Professional and Support Staff Direct Costs for Temporary Employees to provide the services described in this proposal is $43,285 (see Table 1). For this project, Mr. Alan Clelland will be Responsible Officer and will management responsibility for the successful completion of the project. Mr. Erik Ruehr, P serve as the Project Director. He will provide overall supervision of the study effort a attend key meetings with city staff. Mr. Ruehr, a registered traffic and civil engineer, v sign and seal the final report. Mr. Bradley Thornton will be the day to day manager of activities. Mr. Thornton will coordinate and supervise data collection and reduction ef well as the production of the final report. Johnson, Jr. April 8, 1996 Page 2 Task I - Project Orientation and Coordination The initial task of the project is to become familiar with the study area and introduct JHK personnel to City staff. A project orientation meeting will be held to discus! coordination of intersection counts with mid-block counts. At this meeting count schedule both intersection and mid-block locations will be submitted. Count schedules will be coordii with local construction activities and detours in order eo obtain unbiased results. Count loca and times will not be changed without the City's prior approval. Task I1 - Data Collection Data collection will be performed at 43 intersections (Exhibit 1) and 27 mid- locations (Exhibit 2). A temporary employment agency will be used to process payro temporary personnel needed to complete the data collection for the intersections. Engine students from local universities will act as data counters, and JHK will instruct temF personnel on the proper data collection techniques. The data will be collected for the same periods identified in previous Growth Management Plan Traffic Monitoring Programs 2fl be supervised by JHK staff. Field sketches will be drawn of intersection geometrics, and geometrics will be used as input for ICU analysis. The data will then be reviewed €or acc and directional discrepancies. Similar to the last seven years, JHK will also collect data at unsignalized locatioi order to better determine unsignalized intersection LOS values, JHK will conduct delay 5 during the peak hour volume counts. This data will help verify recently established proci covering unsignalized intersection LOS calculations. Mid-block counts will be performed according to the current standards determi previous Growth Management Plan Traffic Monitoring Programs. Two consecutive 2 counts will be performed using dual tube set ups. These counts should be completed wit weeks. Intersection turn movement counts will be performed in conjunction with nearb block counts. JHK will coordinate the placement of the counters with City staff and moni review the data collection at these mid-block locations. Johnson, Jr. April 8, 1996 Page 3 Task 111 - Data Reduction To meet time constraints for the delivery of the draft 1995 Growth Management Traffic Monitoring Program report in late September, the data reduction will need ti efficiently timed with the data collection. The data reduction for the intersections will con to the format of the previous Growth Management Plan Traffic Monitoring Programs wit. incorporated changes. This data will be reviewed and checked for directional errors and errors. In addition, the ICU will also be reviewed and verified for operational consistenc! The data reduction for mid-block locations will be reviewed by JHK to ensure directional distribution and peak hour data are accurate. The format will conform to the block summary configuration of the 1990, 1991, 1992, 1993, 1994, and 1995 Gi Management Plans. This format included a tabular and graphical summary of the mid-block An ADT trend analysis graph will also be provided for any mid-block locations with four or more worth of data. Task IV - Final Report Preparation The Final Report will be prepared similar to the previous Growth Managemeni Traffic Monitoring Programs. Eleven copies will be provided, ten punched and in thre binders and one unbound copy. The fxst draft submittal by JHK will be September 19 with approximately four weeks for City staff review and comment. Task V - HCM Signalized Intersection Capacity Analysis (Optional) The development of the 1985 HCM software for capacity mdyfis at sigl intersections has started the slow process of unifying capacity analysis techniques. Althot current application has been occasionally questioned, the method of including phasing, 1 green time, and stop time delay has been recognized as the most complete analysis ava It is the opinion of JHK that the conversion to the use of HCM intersection capacity analy continue as the program is continually refined by McTrans. With this in mind, JHK offe V as an optional task. Task V will consist of the analysis of all intersections that test of service C or worse under the ICU procedure by utilizing HCM analysis for that period of Service C was chosen as the threshold for this task based upon work completed in Chu where levels of service comparisons between the two analysis procedures revealed that H( generally one level of service worse than ICU. That is LOS C in the ICU analysis could r be LOS D under HCM analysis. Field estimates will be made concerning signal timing, progression and other characteristics. These characteristics will be incorporated into eac analysis. The City would need to provide JHK with current signal timing charts for the locations. The analysis would be performed and summarized apart from the 1996 Management Plan Traffic Monitoring Program and would be provided to the City in a VX 0 a S# Mr. Robert T.
