ITEM EXPLANATION
The latest contract for maintenance on the City’s telephone system has expired. An 1
was granted to extend the contract through a period of upgrades to the system. ‘

FISCAL IMPACT
In Fiscal year 1995-96, the total telephone maintenance costs were $20,300. The ma
costs under the new contract will be $19,250 a year. The Information Systems Dl
budget includes necessary funding for this service.

RE: TELEPHONE SYSTEM MAINTENANCE BIDS
In order for me to more easily compare responses from the five companies who submitted
bids for the maintenance of the city’s telephone system, I prepared spreadsheets reflecting
all of the response categories (copies of those spreadsheets are attached for your review).
The first issue was regular maintenance versus extended maintenance on the systems.
Since the Safety Center operates 7 days a week, 24-hours a day, they need the extended
coverage. In addition, the city hall system needs the extended coverage since the Library
is open till 9:OO p.m. weekdays, and from 9:00 a.m. to 5:OO p.m. on Saturday. Therefore,
I recommend the extended coverage on the entire system.
In comparing the costs for extended coverage for the entire system, Atel was the low
bidder with a bid of $1,603. per month. The next lowest bidder was Com-Aid, and their
bid is $1,686 per month. The major difference, however, is that Atel’s price included all
of the other equipment which is not connected to one of the systems, and Com-Aid’s bid
stated that the additional equipment would be covered on a time and materials basis.
Therefore, the resulting costs from Com-Aid would be even higher than the $1686.
Another difference between the low and next lowest bidder is the response time. Atel
indicates their response time for a major failure is 2 hours. Com-Aid indicates their
response time for a major failure is 4 hours. In the event of a major failure at the Safety
Center, a 4-hour response time would be unacceptable.
Atel’s hourly rate for time and materials is $69.50 and Com-Aid’s is $76.00. The other
items are fairly comparable with the exception of the prices for the new telephones and
the 16ELCH card. Atel’s prices were the highest of all the bidders.
In conclusion, I recommend that the award of the bid go to Atel. They have provided our
service for several years, and I am, therefore, familiar with their level of service. In terms
of the new phones or cards, if Atel is not willing to lower their costs, then I suggest we
include a provision in the agreement that allows us to purchase the equipment from other
vendors but still requires Atel to do the installation.

AGREEMENT FOR TELEPHONE SYSTEM MAINTENANCE
THIS AGREEMENT, is made and entered into as of the 1st day of February, 1997, by a
between the CITY OF CARLSBAD, a municipal corporation, hereinafter referred to as "City", and AT
COMMUNICATIONS INC , hereinafter referred to as "Contractor."
RECITALS
WHEREAS The City requires the services of a telephone maintenance Contractor to prov

1. CONTRACTOR'S OBLIGATIONS
The Contractor shall provide maintenance services for the City's telephone system, the compone
of which are described in Exhibit "A" (Bid Number 3 and its attachments and addendums. opened
December 5, 1996). Said services shall include all equipment, labor and materials as describe(
Exhibit "A". The Contractor shall provide regular service on minor failure items Monday throi
Friday, excluding holidays, within twenty-four (24) hours from receipt of a service request. Contra(
shall provide emergency service on major failures within two (2) hours from receipt of request at
times Major failure is defined as the system in a non-operational status with 50% or more
incoming/outgoing service not working, or consoles non-operational. Any failure at the City's Sa
Center may require emergency services. Emergency services shall be provided on a seven-d;
week, 24-hour-a-day basis at no additional charge. If "on-site" service is required, the Contractor s
be "on-site" within the time frame stated above

The Contractor shall serve as the City's primary source for reporting trouble. Upon receipt of a troi

2. CITY OBLIGATIONS
The City shall call the Contractor and provide a general description of the problem being experiencc

3. COVERAGE
The Contractor and City agree that this Agreement does not cover damages to, or failure of,
system resulting from causes other than wear and tear from normal use, including misuse, neglc
accident, theft, abuse, brown-outs and power surges, fire, flood, wind, lightening and other acts
God Needed repairs due to excepted causes shall be made by the Contractor and the charges
said repairs shall be paid by the City. Response time will be as defined in this agreement
4. TERMS OF AGREEMENT.
This agreement shall be for a period of one (1) year, commencing on February 1, 1997 and end
January 31, 1998. At the end of this period, the City has the right to rebid, or renew the agreement
mutually agreed upon costs for three (3) additional one-year periods with one year per renewal.
5. FEES TO BE PAID TO CONTRACTOR
The total fee payable for the services to be performed shall be as established in Exhibit "A" F
shall be paid quarterly. Payment of approved items on the invoices shall be mailed to the Contra1
within 30 days of receipt of the invoice.
6. TERMINATION.
This agreement may be terminated with or without cause by either party at any time upon 30 d
written notice to the other party
7. NONDISCRIMINATION CLAUSE.
The Contractor shall comply with the state and federal laws regarding nondiscrimination.
8. STATUS OF THE CONTRACTOR.
The Contractor shall perform the services provided for herein in Contractor's own way as
independent contractor and in pursuit of Contractor's independent calling, and not as an employe
the City.
The Contractor shall be aware of the requirements of the Immigration Reform and Control Act of '
and shall comply with those requirements, including, but not limited to, verifying the eligibilit
employment of all agents, employees, subcontractors and consultants that are included in
agreement.
9 HOLD HARMLESS AGREEMENT
Contractor agrees to indemnify and hold harmless the City of Carlsbad and its officers, offic
employees and volunteers from and against all claims, damages, losses and expenses inclu

insurance company which is admitted and authorized to do business in the State of Califorr
Insurance, except Workers' Compensation, shall be placed with insurers that have a single ratins
the most recent Best's Key Rating Guide of at least ''A-,V'. Each policy shall provide protection in
amount not less than one million dollars ($l,OOO,OOO). unless a lower amount is approved by the (

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CARLSBAD, ACCEPTING A BID AND AUTHORIZING THE PURCHASE
OF CONTRACTED TELEPHONE MAINTENANCE SERVICES.
WHEREAS, the City of Carlsbad requires telephone system maintenance services and;
WHEREAS, proper bidding procedures have resulted in the receipt of a bid frorr
qualified vendor;
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad
follows:
1. The bid of ATEL Communications Inc., 844.7 Miramar Mall, San Diego CA 9212
hereby accepted and the Purchasing Officer is hereby authorized and directed to issL

The city of Catlsbad is requesting bids for maintenance and repair senn'ces for our telephone system.
contract will be awarded to the contractor whose bid response indicates that their organizations abilities I
the needs of the City at the lowest price, in the opinion of the City. Once the responses are sorted by cc
the City, the ability of the lowest bidder to provide the required sehces will be evaluated. If it is determined
this bidder can not perform satisfactorily, the next highest bidder will undergo evaluation. Bid evaluatior
continue in this manner until a satisfactory contractor is found. Your bid must be submitted on this an(
attached forms, and on the documents you are requested to provide. Additional documentation ma
attached if desired.
The successful bidder will be expected to execute the attached contract. The attached contract is a sal
only. Minor modifications may be necessaly. The contract will be executed for a one-year period, witt
option to renew for three additional one-year periods.
The attached list shows the equipment we wish to have covered by a maintenance contract.
The City reserves the right to reject any or all bids or any part of the bid, to waive minor defec
technicalities, or to solicit new proposals on the same project or a modified project.
