APPROVAL OF AGREEMENT BETWEEN CITY OF CARLSBAD AND
VELAZQUEZ FAMILY COUNSELING SERVICES TO PROVIDE
GUIDE PROGRAM COUNSELING SERVICES
RECOMMENDED ACTION:
Adopt Resolution No. 5 3- '50 approving an extension and amendment of tt
agreement between the City of Carlsbad and Velazquez Family Counseling Servic
provide GUIDE (Greater Understanding through Intervention, Diversion and Educ:
Program counseling services.
ITEM EXPLANATION:
On January 17, 1995, the Carlsbad City Council approved Agenda Bill 12,984 est
an agreement with the GUIDE Program consultant, Penny Velazquez, for calendar
1995. The agreement was renewed on February 6, 1996, and expires on Februag
1997. The agreement expanded the counseling services provided to the high schl
junior high school programs to include additional counseling hours for the junior h
school and at-risk youths in the elementary schools; the increased counseling sen
be provided through subcontractors. This Agenda Bill amends the contract for tho!
services by establishing the contract on a fiscal year basis from February 6, 1997 i
30, 1998, and increases the fees to be paid to the consultant.
FISCAL IMPACT:
Compensation for services will be $28 per hour. The total shall not exceed $75,001
year. The compensation for services to be budgeted from the Police Department P
Forfeiture Account.

A RESOLUTION OF THE CITY COUNCIL OF
T'HE CITY OF CARLSBAD, CALIFORNIA,
ADOPTING AN AGREEMENT BETWEEN THE
CITY AND PENNY VELAZ$UEZ TO PROVIDE GUIDE COUNSELLING SERVICES.
WHEREAS, the City of Carlsbad has been contracting GUIDE
counselling services for students attending schools in Carlsbad for
six years: and
WHEREAS, Velazquez Family Counseling Services has been
satisfactorily providing those services for six years: and
WHEREAS, the City of Carlsbad desires to continue
GUIDE counselling services to students attending schools in
Carlsbad; and
WHEREAS, Velazquez Family Counseling Services is capable su
prepared to provide those expanded GUIDE counselling services:
WHEREAS, the City Council amends this contract for a period
of eighteen months to agree with the fiscal year.
NOW, THEREFORE, BE IT RESOLVED by the City Council of 1
City of Carlsbad, California, as follows:
1. To enter into an agreement with Velazquez Family Counse
Services to provide GUIDE counselling services for students attend schools in Carlsbad for a period of eighteen months beginning February 6, 1997 and ending June 30, 1998. The contract may be
extended by the City Manager for three additional one-year periods
parts thereof, based upon the City's needs.

SECOND
EXTENSION AND AMENDMENT OF AGREEMENT
This agreement dated January 17, 1997 as extended bv the Citv Manaqer o
March 28, 1996 for family counseling services between the CITY OF CARLSBAD,
municipal corporation and VELAZQUEZ FAMILY COUNSELING SERVICES, is hen
further extended for a period of approximately 16 months, ending on June 30, 1998
All other provisions in the original agreement shall remain in full force and effc
except that Sections 4 and 24 are amended to read as follows:
“4. FEES TO BE PAID TO CONTRACTOR.
The total fee payable for the services to be performed shall be twenty c
dollars ($28.00) per hour for services performed on and after February 6, 199
total shall not exceed seventy five thousand dollars ($75,000) calculated on i
annual basis for services rendered on and after February 6,1997. No other
compensation for services shall be allowed except those items covered by
supplemental agreements per paragraph 7, “Changes in Work”.”
“24. INSURANCE
The Contractor shall obtain and maintain for the duration of the contrac
any and all amendments insurance against claims for injuries to persons or di
to property which may arise out of or in connection with performance of the wc
hereunder by the contractor, his agents, representatives, employees or
subcontractors. Said insurance shall be obtained from an insurance carrier ac

and authorized to do business in the State of California. The insurance Carrie
required to have a current Best’s Key Rating of not less than “A-:V’ and shall I
the City’s policy of insurance as stated in Resolution No. 91-403.
A. Coverages and Limits
Contractor shall maintain the types of coverages and minimum limits in
herein, unless a lower amount is approved by the City Attorney or City ManaG
1. Automobile Liability (if the use of an automobile is involved for
contractor’s work for the City). $300,000 combined single-limit per accident fc
injury and property damage.
2. Professional Liability. Errors and omissions liability appropriate
contractor’s profession with limits of not less than $1,000,000 per claim. COVI
shall be maintained for a period of five years following the date of completion
work.
B. Additional Provisions‘
Contractor shall ensure that the policies of insurance required under th
agreement contain, or are endorsed to contain, the following provisions:
1. The City shall be named as an additional insured on all policies
excluding Profess ion a I Liability .
2. The contractor shall furnish certificates of insurance to the City ’
commencement of work.
3. The contractor shall obtain liability insurance with “occurrence”
coverage, however, Professional Liability insurance may be written as “clair
made’’ coverage.

4. This insurance shall be in force during the life of the agreement
any extension thereof and shall not be canceled without 30 days prior written
to the City sent by certified mail
5. If the contractor fails to maintain any of the insurance coverage:
required herein, then the City will have the option to declare the contractor in
or may purchase replacement insurance or pay the premiums that are due on
existing policies in order that the required coverages may be maintained. The
contractor is responsible for any payments made by the City to obtain or main
such insurance and the City may collect the same from the contractor or dedu
amount paid from any sums due the contractor under the agreement.”
All insurance policies to be maintained by Contractor shall be modified to incli
coverage for the amended scope of work and the extension period.
