418 to allow the City Council to have final review and approval of commercial
activities in the area surrounding Carlsbad Ranch. A 4Kth vote is required.
ITEM EXPLANATION:
On September 2, 1997, the City Council adopted Urgency Ordinance No. NS-418 to allow
Council to have final review and approval of all commercial projects that would otherwise
have received final approval from the Planning Commission. The Council is also enabled to
review commercial building permits which involve a use change. The urgency ordinance is
in effect until October 17, 1997. State law requires the urgency ordinance to return to
Council within 45 days of adoption for a public hearing to consider extending the ordinance.
On September 2, 1997, Council also directed staff to continue to assess the issue of an
overlay zone or other mechanism designed to involve the City Council in the standard
review and approval of commercial activities around Carlsbad Ranch. This presentation of
staffs report, therefore, serves the dual purpose of returning the urgency ordinance within
the mandated 45 day time-frame as well as delivery of the report.
Council’s primary concern is to be established, to an appropriate degree, in the review and
approval processes of commercial activities. The attached Carlsbad Ranch Overlay Zone
Report presents four options to achieve the goal of creating an overlay area designed to
protect and implement the vision for the Carlsbad Ranch area. The report recommends one
option as a preferred alternative; the creation of a “customized” overlay zone.
The recommended option allows for: the precise delineation of the new overlay zone area;
Council to establish a vision and permitted/prohibited uses; the establishment of
development and/or design standards; and, the implementation, to Council’s satisfaction, of
review and approval processes for the spectrum of commercial development activities.
The Overlay Zone Report provides an outline of the potential contents of the new overlay
zone. Since the benefit of a custom overlay zone is to customize intent/purpose and
regulations, it is critical for staff to integrate the direction of the Council into the overlay zone

preparation. Therefore, it is recommended that staff be directed to organize and schedule a
City Council workshop to provide direction for the new overlay zone.
Attached is a City Council Resolution of Intention which will initiate the zone code
amendment process to implement the Overlay Zone Report’s recommendation of
establishing a custom overlay zone around Carlsbad Ranch. If the ROI is approved, staff
anticipates the zone code amendment package (a local coastal program amendment is also
required) to be back before the Planning Commission and then the City Council within
seven months which includes one month for Council to provide direction within a workshop
format.
After an additional three months, the Coastal Commission process should be completed
giving the City a new, legally effective, overlay zone around Carlsbad Ranch within ten
months of the approval of the attached Resolution of Intention.
Finally, attached is Urgency Ordinance No. ~-424 which would extend Urgency
Ordinance No. NS-418 for 10 months and 15 days or until July 17, 1998, which currently
allows Council to have final approval on commercial projects located near Carlsbad Ranch
subject to the area mapped with NS-418. Extending the urgency ordinance is necessary
because if it becomes ineffective after 45 days without an extension, it will leave the City in
the same situation which required the original urgency ordinance; Council would not have
final approval ability for commercial projects in the designated area around Carlsbad Ranch.
In addition, since Council also directed staff to provide a legislative response to this issue,
and a corresponding Resolution of Intention is being presented to Council with this agenda
bill, the urgency ordinance needs to be extended to allow for the processing of a zone code
and local coastal program amendment to establish the custom overlay zone.
FISCAL IMPACT:
The only anticipated fiscal impact would be staff time to conduct the workshop and process
the entitlements involved through the City and Coastal Commission approval processes.

OVERLAY ZONE REPORT
BACKGROUND
Based on City Council direction of September 2, 1997, when Urgency Ordinance No. NS-418
was adopted, staff has prepared the following Overlay Zone Report. The Report’s objective is to
outline options for creating an overlay zone area around the Carlsbad Ranch Specific Plan. The
City Council wants the long-term assurance that the commercial areas around the Ranch Specific
Plan will develop in an orderly manner in accordance with the City’s General Plan and the
overall vision for the Ranch area. The undesired scenario is one where the LEGOLAND Theme
Park directly or indirectly stimulates land uses and development activities that are counter to the
City’s General Plan, the Council’s vision for the Ranch area, or the quality of life expected by
Carlsbad citizens.
THE OVERLAY ZONE AS A MECHANISM
An overlay zone is an effective mechanism for providing an additional layer of regulations on
top of existing zoning and General Plan land use designations. An overlay zone should
implement the underlying General Plan designation of a site. However, it may be more or less
restrictive than the underlying zoning designation. By design, overlay zones supplement the
underlying zoning by providing additional regulation for development within a designated area.
Overlay zones are appropriate when special circumstances are involved; the presence of a theme
park (LEGOLAND) in the City and the desire to maintain land use and quality of life control in
the vicinity is a textbook example of utilizing the overlay zone as a land use control mechanism.
OVERLAY ZONE OPTIONS
Staff assessed a variety of methods to establish an overlay zone. The primary objective in
delineating overlay zone boundaries is to be comprehensive in its spatial scope while not
including areas or properties that do not need to be included.
The four overlay zone options assessed by staff include:
(1) Coastal Zone Overlay Zone
(2) Corridor Based Overlay Zone
(3) Use of the existing Qualified (Q) Overlay Zone
(4) Custom Overlay Zone.
Staffs recommendation is to develop the Custom Overlay Zone option by processing a zone
code and local coastal program amendment.
Attached to this study is a table overview of these four overlay mechanism options. Below is a
text summary of each option with total processing time given in parentheses.

Coastal Zone Option: (9 months to process) Uses the existing coastal zone boundaries in the
City to delineate the new overlay zone boundaries. It provides an area already delineated,
however, this area may go beyond the area targeted to be subjected to an overlay zone. In
addition, procedural methods would need to be established. One option is to use the Site
Development Plan (SDP) process from the Qualified Overlay Zone, however, that approach has
some limitations as reviewed below in the Qualified Overlay Zone section.
Corridor Based Option: (12 months to process) Uses major roadways to define overlay zone
boundaries. It has the ability to define standards and design objectives. It would require the
development of standards and criteria for each of the roadway segments selected as well as a
procedural mechanism for review and approval of commercial projects. As with the Coastal
Zone option, the SDP could be used if its current limitations were modified.
Qualified Overlav Zone Option: (12 months to process) This option makes use of one of the
two existing overlay zones in the City (the Beach Area Overlay Zone is the other overlay zone).
Chapter 2 1.06 of the zoning ordinance outlines the Qualified (Q) Overlay Zone. The basic idea
is to have the Q overlay on all the properties intended to be covered by a Ranch Overlay Zone.
While the intent and purpose of this existing overlay zone is ideally set up to address an issue
like buffering the area around Carlsbad Ranch with additional regulations/approval processes, it
has some basic elements which would require modification. Specifically, the Q Overlay is
designed with the Site Development Plan as the approving entitlement with the Planning
Commission having final approval ability; the City Council would only consider a Site
Development Plan on the appeal of a Planning Commission action. In addition, the Q overlay
specifically prevents the review and regulation of aesthetic components such as colors, materials,
texture and adornment (Section 21.06.090( 11)). These two elements of the existing code would
likely need amendment in addition to re-zoning any properties that do not currently carry the Q
overlay designation.
Custom Overlay Zone: (10 months to process) This option is staff’s preferred option since it
provides an opportunity to precisely delineate the overlay zone boundaries. In addition, the
entire overlay zone can be customized to specifically address any Council or community concern
as well as customizing a review and approval process that would satisfy Council’s objectives.
CUSTOM OVERLAY ZONE - OVERVIEW
Customizing an overlay zone allows the opportunity to deliver a mechanism focused on the
protection and maintenance of the vision for the Carlsbad Ranch area in general. The following
items could comprise the contents of a new zoning chapter titled - Carlsbad Ranch Overlay Zone.
Intent and Purpose: This is where the City can lay out the vision for the overlay zone area
around Carlsbad Ranch. The desire to protect and maintain a high degree of quality of life,
quality development, and the regulation of undesirable activities can be established.
Boundaries of the Carlsbad Ranch Overlay Zone: One of the advantages of a customized overlay
zone is the precise delineation of the area involved. In this section of the overlay zone chapter,

the area ultimately used would be described in text and/or the zoning map would be referenced
which would be modified to graphically show the overlay area. The City Council can direct staff
to precisely “carve out” the area that critically needs to be covered by an overlay zone intended
to buffer/protect the Carlsbad Ranch area.
Permitted Uses and Structures: This section may specifically permit or prohibit land uses from
the overlay zone area. However, care must be taken to not directly be inconsistent with the
provisions of the underlying zoning designations in a wholesale manner; the overlay zone should
refine and supplement the underlying zoning. Nevertheless, the opportunity exists for Council to
give staff direction on the possibility of specifically permitting, prohibiting or modifying allowed
land uses. Conditional uses (which require approval of a Conditional Use Permit) may also be
addressed if appropriate; this can be done in a separate chapter section titled Conditional Uses.
Develonment/Desig;n Standards: Within the overlay zone, the underlying zoning designation
will dictate development standards unless the overlay zone specifically establishes standards. If
there are certain development standards which are satisfactory on a Citywide basis, but need
modification if implemented in the Ranch Overlay Zone, they can be addressed in the overlay
zone. Some examples of development/design standards that might be addressed include: * parking standards * signage allowances * setbacks * building colors/materials * spacing criteria between certain uses to prevent proliferation within the overlay zone * landscaping criteria
Required Findings: In order to maintain and implement the stated vision for the overlay zone
area, certain required findings can be spelled out and made part of the required review and
approval process. Council direction in this area could be integrated into the development of
required findings for overlay zone development projects.
Procedures/Approval Process: This section can establish which projects get approved
administratively, by Planning Commission or by City Council. It can establish a notification
type process whereby the City Council would be notified of pending approvals and may invoke
the established ability to grant final approval status. Or, the overlay zone may set up a process
whereby Council is involved in a more standard, formalized manner for the approval of
commercial activities. Ministerial permits (building permits and business licenses) and
discretionary permits can be addressed. Council direction on their desired level of review and
approval of commercial activities in the overlay zone will be incorporated into the zone code
amendment effort.
Exceptions: There may be development activities or classes of activities which should be exempt
from the provisions of the overlay zone. Any exceptions to the overlay zone should be identified
and outlined in the new overlay zone chapter.
TIMELINE TO IMPLEMENTATION
Approval of a Resolution of Intention (ROI) to implement this report and establish a custom
overlay zone for the Carlsbad Ranch/LEGOLAND area will initiate a zone code and local
amendment process. The result will be a new chapter in the zoning ordinance titled the Carlsbad
Ranch Overlay Zone.
Clear Council direction on the items outlined above in the Custom Overlay Zone Overview
would best be accomplished in a workshop format. Allowing one month for the workshop effort
will then allow for the development of the overlay zone and related zone code and local coastal
amendment entitlements to be processed within six months after the workshop. This would
result in Planning Commission and City Council action within 7 months of ROI approval.
An additional three months for Coastal Commission processing of the local coastal amendment
will yield an effective overlay zone for Carlsbad Ranch within ten months. ROI approval in mid-
October 1997 could result in an overlay zone by the end of August 1998.

CARLSBAD, CALIFORNIA, DECLARING ITS INTENTION
TO CONSIDER A ZONE CODE AMENDMENT TO
ESTABLISH A NEW OVERLAY ZONE AROUND THE
CARLSBAD RANCI-KEGOLAND SPECIFIC PLAN AREA.
BE IT RESOLVED by the City Council of the City of Carlsbad, California that:
Pursuant to Section 21.52.020 of the Carlsbad Municipal Code the City Council
of the City of Carlsbad hereby declares its intention to consider an amendment of Title 21 of the
~ Carlsbad Municipal Code to:
Establish a new, customized overlay zone designed to protect and
implement the long term vision of quality development around the
Carlsbad Ranch Specific Plan area, in accordance with the City’s General
Plan.
The Planning Director is directed to study said amendment and after appropriate
study set the matter for public hearing before the Planning Commission and this City Council.
PASSED, APPROVED AND ADOPTED at a regular meeting of the City Council
of the City of Carlsbad, California, on the l5th day of October 1997, by the

THE CITY OF CARLSBAD, CALIFORNIA, EXTENDING
URGENCY ORDINANCE NO. NS-418 TO REQUIRE
COUNCIL’S FINAL REVIEW AND APPROVAL OF
COMMERCIAL PROJECTS AROUND THE LEGOLAND/
CARLSBAD RANCH SPECIFIC PLAN AREA
WHEREAS, at its regular meeting of September 2, 1997, the City Council
adopted Urgency Ordinance No. NS-418 requiring Council approval for projects located near
Carlsbad Ranch; and
WHEREAS, Government Code Section 65858(a) allows the City Council to
extend Ordinance NS-418 for a period of 10 months and 15 days if a publicly noticed hearing is
held within 45 days after adoption of the Urgency Ordinance; and
WHEREAS, this ordinance is adopted pursuant to Government Code Section
65858(a) allowing the adoption of such urgency ordinance by a four-fifths vote of its legislative
body and addressing any uses which may be in conflict with a zoning proposal (new overlay
zone) which the City is considering.
NOW, THEREFORE, the City Council of the City of Carlsbad, California, does
. ordain as follows:
SECTION I: That the above recitals are true and correct.
SECTION II: The area covered by this urgency ordinance (see attached map)
and subject to immediate Council involvement is bordered by Carlsbad Boulevard to the west,
Cannon Road to the north, the eastern edge of the Carlsbad Ranch property south to Palomar
Airport, east to the intersection of Palomar Airport Road and Aviara Parkway, and south to
Poinsettia Lane which forms the southern boundary.
SECTION III: For the area described above, pending and future commercial
projects subject to Planning Commission review shall be required to undergo City Council
review and approval regardless of current zoning ordinance regulations regarding the review and
approval of land use entitlements.

DECLARATION OF URGENCY: This ordinance is hereby declared to be an
emergency ordinance adopted as an urgency measure to protect the public health, safety and
welfare and shall take effect immediately upon its adoption. The facts constituting the
emergency are set forth above and represent a current and immediate threat to the public health,
safety and welfare.
EFFECTIVE DATE: This ordinance shall be effective immediately upon passage
and shall be of no further force and effect after ten months and fifteen days or until the zone code
and local coastal program amendments area considered and acted upon, whichever occur first,
unless the interim ordinance is again further extended per Government Code Section 65858.
At least ten days prior to the expiration of this interim ordinance, or any extension
thereof, the City Council shall issue a written report describing the measures it has taken to
alleviate the conditions which led to the adoption of this ordinance. The City Clerk of the City of
Carlsbad shall certifjr to the adoption of this ordinance and cause it to be published at least once
in a newspaper of general circulation in the City of Carlsbad within fifteen days after its
adoption.
/ SEVERABILITY CLAUSE: If any section, subsection, sentence, clause, phrase
or part of this division is for any reason held to be invalid or unconstitutional by the final
decision of any court of competent jurisdiction, such decision shall not affect the validity of the
remaining parts of this chapter. The City Council hereby declares that it would have adopted this
division and each section, subsection, sentence, clause, phrase or part thereof irrespective of the
fact that any one or more sections, subsections, clauses, phrases, or parts be declared invalid or
unconstitutional.

Dear Ron:
I appreciate your comments at last nights City Council meeting, though I steadfastly disagree that
Government Code Section 65858 authorizes the urgency ordinance as adopted. In a more perfect
world, I would have learned of this ordinance sufficiently in advance to contact you and
understand better the scope and extent. Unfortunately, I think the “urgency” aggravates
circumstances at the last minute. As you know from our prior dealings, my style would have
been to initially contact you to better understand the scope and appreciate some of the
background.
I have yet to understand the “urgency” as none of the projects mentioned are forthcoming in the
near term, unless it is the Price Club Gas Station. If that is the case, it could have come to the
City Council by way of appeal in any event.
I have a request and a suggestion in light of last nights hearing. First, my request is for a copy of
the “study” that was referred to a number of times . My understanding had been that the scope of
the study related to the regulation of drive&m restaurant facilities. However, it seems that the
scope of that study has either been expanded or has grown to include a wider range of
commercial development issues in the Carlsbad Ranch, and perhaps, other areas of the City. If
you wish me to formalize this request under the Public Records Act, please give me a caII and I
will be glad to make the request more formal. My recollection, without any additional research,
is that the City is required to make available all of the facts and documentation in support of an

urgency ordinance. The Agenda Bill last night did not have any factual backup or evidence to
support the public health, safety or welfare risk justifying the urgency nature. But alas, that’s
water under the bridge.
As to the suggestion, it would help everybody involved if the City were to hold a workshop or
some other kind of informational session regarding the urgency ordinance and the upcoming
study prior to the City Council meeting so that dialogue could occur with the staff and avoid
some of the issues and confusion from yesterday evening.
On a more philosophic note, I suggest that are some very serious constitutional issues involved
when a local jurisdiction begins to make decisions in the marketplace regarding the desirability
of one type of business or another. Clearly, the City has established tough development and
quality standards that all of its commercial establishments must achieve. Additionally,
traditional police power regulation in the areas of zoning, health and safety further regulate
business opportunities. However, there are interstate commere, equal protection and similar
opportunity requirements that need to be balanced. For example, to use a couple of illustrations
mentioned by City Council members, drive-thru facilities associated with fast food restaurants
and T-shirt shops were thrown about as illustrative of “unacceptable” uses. If such uses meet all
objective and reasonably based health, safety and welfare considerations, I am not sure how the
City of Carlsbad can legislate out a particular type of business, such as deciding what type of
shops or line of merchandise can go into Carlsbad Company Stores or on the surrounding
property.
I raise these questions in an effort to be constructive and to avoid fundamental constitutional
issues down the road. My clients, the Winters, are interested in improving their properties by
upgrading from a 30 year old Dennys facility, to a new Islands Restaurant facility. However,
with this type of legislation, one has to wonder why they would bother to run the risk of getting
new approvals when they can merely continue the existing use without any risk. With respect to
the proposed gas station on their Cannon Road site, Interstate 5 is the logical place to put service
commercial facilities, such as gas stations, so that the traveling public, both residents and
nonresidents, can obtain the necessary services efficiently and conveniently. Locating travel
service commercial facilities in the travel corridor would seem to be both logical and desirable.

Pillsbury Madison & Sutro LLP (“Pillsbury”) represents the Carpenters Pension Trust
of Southem California (“Carpenters”) regarding their real property located in the general
vicinity of the northeast corner of the inters&on of 1-5 and Palomar Mountain Road and
commonly known as “Pea Soup Andersens” in the City of Carl&ad (“City”)~ See Exhibit A.
Part of the Carpenters property is approximately 6+2 acres which is zoned TC (Tourist-
Commercial) to the north of the current Pea Soup’ Andersens development.
Cerpenters understands that the City recently adopted Ordinance No. NS-418 (“Ordi-
nance”), which is a forty-five (45) day urgency ordinance which is about to expire and
requires City Council review and approval of all future commercial projects in the areas near
Carlsbad Ranch/LEGOLAND. The Ordinance, unlike most urgency ordinances, does not
place a hold or moratorium on commercial projects but, rather, adds a pro&Ural step for
approval, in that such projects must be brought before the Citv Couucil for final consideration
during the forty-five (45) day period.
Carpenters is concerned that the City is unuecessarily extending the approval process
for what, under current zoning, are projects which can be -roved bv the City
Plannine Commission (“CRY), and are only reviewed by Citv Council. if anneakl, witbout
stating adequate bases for an urgency ordinance. According to Government Code 6 dSS58, an
urgency ordinance must contain findings that there is a cement and immediate threat to public

public health, safety and welfare.

A. No Immediate and Urgent Threat to Public Health. Safetv or Welfare.
In this case, we know of no facts which would lead Carpenters to believe that there is
such an m circumstance in the City. Rather, we are aware that the City is experi-
encing a development “boom”. We believe this is to the good fortune of the City and-its
citizens. The advent of LEGOLAND has certainly “put Carlsbad on the map” as far as
important international destinations in California.
However, with the approval of LEGOLAND, the City Council must have been well
aware of the demand for other similar and ancillary developments which would arist as the
result of LEGOLAND.
Currently, we observe that the area specified by the Ordinance is character&d by
many commercial uses, including a Price CMKostw, service stations and restaurants. The
II%-zoned property adjacent to the Pea Soup Andersens is an ideal property for such commer-
cial-tourist development. Carpenters wishes to assure that the value of this property is not
diminished in any way, nor its utility for the type of services for which it is best suited,
B. Xf Drive-Through Restaurants are the Problem. then onlv Address Drive-Through
Restaurants.
From the materials which City staff transmitted to us describmg the background for
the Urgency Ordinance, it is apparent that the City Council has a particular concern with
certain “Drive-Through Restaurants” establishments which were approved recently by the
CPC. The City’s Code provides that, for certain types of entitlements, unless an appeal is
filed to the City Council, the CPC is the final decision maker. Carpenters believes that this
distinction in the City’s Code is important to the business community. The fact that a matter
can end at the CPC substantially shortens the processing time. Processing time is money for
developers. The CPC has a good reputation as learned and expert people who have made
good judgments on the matters within its jurisdiction. We see no reason to erode this
autonomy of the CPC and extend the processing period for &I commercial projects near
Carlsbad Ranch/LEGOLAND simply because the City Council is annoyed with certain
“Drive-Through Restaurants” which were finally approved by the CPC.
C. “Chill” oh DeveloDme&t.
During the forty-five (45) day period established by the Ordinance, and any extension
which may arise from these current considerations, there will be confusion in the development
community as to how to proceed. This kind of processing confusion usually results in delay
and puts a “chill” on development. Carpenters recommends that the City Council devote its
consideration to further police directions to the CPC to avoid whatever problems were caused
by the approvals of the “Drive-Through Restaurants” or, if there is a particular use which is of

greater concern than other uses, such as “Drive-Through Restaurants”, the City Council should
request that the City Attorney prepare a regular zoning ordinance which would place “Drive-
Through Restaurants” in a separate zone, a zone overlay or provide for adoption, by the City
Council, of certain standards for “Drive-Through Restaurants”, to be applied at the time of
issuance of a building permit. Ah of these methods to address “Drive-Through Restaurants”
are legally available to the City and have a much less “chilling” effect on development than
extending an urgency ordinance which has no proper emergency basis and adds additional
time to the approval process.
D, Adeuuate Protection in Place.
Carpenters believes that, with the provision of the appeal to City Council of all actions
which may he fwt at the CPC, there is adequate protection in place to assure that harmfui
developments are not approved by the CPC without adequate input from other interests. The
City Couucil itself could appeal these matters to the City Council, either in its official
capacity or as individuals. Also, other individuals in the community who are concerned with
“Drive-Through Restaurants” could appeal these matters to the City Council. Because
Carl&ad is a small city and most Sxmation is known by most of the residents, we believe
the Ordinance and its extension is not necessary, will only unnecessarily confuse the entitie-
ment process in Carlsbad and improperly uses a mechanism which should only be used to
reflect true urgency situations.
E. Conclusion.
For all the reasons stated above, we request that the City Council- not extend the
Urgency Ordinance and, rather, direct City staff to return with a report on proposed policy
standards for any City approval of a building permit for a “Driv~Through Restaurants”. This
would more closely satisfy legal parameters for urgency ordinances and addresS the immediate
problem of assuring that, whether approved by the CPC or, on appeal, by the City Council,
“Drive-Through Restaurants” will observe certain conditions and limitations to protect the
community from adverse impacts. Carpenters requests that you disapprove the extension of the Ordinance and give proper direction to the City staff for legal methods to address specific
probkms.
