ITEM EXPLANATION: The City has received a letter from Ms. Elaine Rudin requesting that the League of Voters proposal to increase the number of members on the Tri-City Hospital E Directors be placed on the City Council Meeting Agenda for discussion. 1. The voting problems of the Board were brought to our attention by our League Observer who reported that, because of an abstention and the absence of a member, an important decision was made by a 2-1 vote. This has not occurred again as the Board has mandated a three vote majority to pass or fail a motion. However, it was noted that the five Directors have ties, either by profession or because of clients, in the medical field. Conflicts of interest often prohibits members from voting or even participating in discussions. This has led to stalemates in a 2-2 tie vote. If conflict of interest abstentions continue, there will be frequent “no actions” for lack of three affirmative votes or three directors may end up controlling the district. A larger board could provide more directors to vote on important decisions. After studying The California Local Health District Law, it appeared that the best solution to the above problems is to increase the Board from 5 to 7 members. The law allows for an increase to 7 if there are more than 225 beds. Tri-City, with over 300 beds more than qualifies. There are other District Hospitals in California with 7 member Boards. ers.
