HDd TITLE: APPROVAL OF A MITIGATED NEGATIVE DECLARATION, MITIGATED MONITORING AND DESIGN SERVICES FOR FARADAY AVENUE EXTENSION RECOMMENDED ACTION: Adopt Resolution No. 98-299 approving a mitigated negative declaration, a Mitig' Monitoring and Reporting Program and an agreement for design services for Faraday Avc extension with O'Day Consultants, Inc. ITEM EXPLANATION: Faraday Avenue currently terminates at the boundary of the Carlsbad Research Center Unit V the future Veteran's Memorial Park (Macario Canyon). The City has previously entered intc agreement with O'Day Consultants, Inc., to perform preliminary designs and environmental stu for the alignment of Faraday Avenue from its existing westerly terminus to future Cannon Rc O'Day Consultants, Inc., and their subconsultant Cotton, Beland and Associates have complt the preliminary design and environmental studies for the project. The City Planning Departn has published the Mitigated Negative Declaration for the 30-day period and the mitig: declaration attached is the result of comments received during the public review period. The scope of the design contract includes the design of a split collector roadway through fu Veteran's Memorial Park and a traffic signal at the future intersection with Cannon Road. "split" roadway is grade separated and has a full landscaped median. Staff has coordinated review of this project with the proposed municipal golf course and the future park. The alignn selected is based on these coordinated efforts. The split roadway will be landscaped in continuous medians. Median landscape planting will be coordinated with the landscaping currz proposed for the municipal golf course. A portion of this contract includes the environmental permitting as required by the resol agencies. Currently, a permit is required for impacts to coastal sage scrub. In a previous ac City Council reserved six (6) acres from the City's 5% allocation so that staff could process a permit for the project. Details of the permit will be negotiated during the final design of the prc and the coastal sage impacts will be presented to the City Council for approval to deduct from 5% allocation. The roadway has been designed to have no direct wetland impacts. A Co: Development Permit is required and this project is located within the City's coastal permi authority. Once the design of the project nears completion, staff will request approval from Planning Commission for the Coastal Development Permit. Due to the presence of alluvial soils that require lengthy settlement periods, the design construction of Faraday Avenue will require that two sets of plans, specifications and estimate: prepared. The first is a rough grading plan that will allow construction of the project to begin place a surcharge on the fill material to accelerate the settlement. The improvement plan der will follow the rough grading. The improvements will include water district facilities that wil presented to the City Council and the Water Board in a future action. Statements of Qualifications were received from six consulting firms. The staff Consul Selection Committee recommends that O'Day Consultants, Inc., be retained to perform the ser based on their experience and background on projects of a similar nature. O'Day Consultants, was the most qualified firm to perform the services. Staff is recommending that City Council find that approval of design services for the Farz Avenue extension road project is in compliance with CEQA and approve the agreement with 0' Consultants, Inc., for the design of the rough grading plans, improvement plans, traffic signal pl project specifications, cost estimates and environmental permitting for the final design of Far: Avenue as described in the attached agreement, Exhibit 3. Page 2 of Agenda Bill No. @837 e ENVIRONMENTAL REVIEW: The project is a design contract for the rough grading plans, improvement plans, prc specifications, and cost estimates for Faraday Avenue extension. Although the plans specifications will not have impacts to the environment, the ultimate construction of Faraday Avenue extension has the potential of having environmental impacts. Those pote impacts have been reviewed consistent with CEQA. Faraday Avenue extension is identified in General Plan as a circulation element roadway and as such was included in the Master EIR (N 93-01) for the General Plan update. A Mitigated Negative Declaration was issued by the Plan Director on July 2, 1998. Impacts to the environment identified as significant within tt documents can be mitigated to a level of less than significant. The mitigation measures described within the Mitigation Monitoring and Reporting Program. FISCAL IMPACT: The fee included in the attached agreement with O’Day Consultants, Inc. is $332,896. Suffic funds are currently available in the project accounts (3593 and 36461). The fee for the prelimir design and environmental permitting was $188,055. The purpose of the program is to ensure that the mitigation measurt required by the Expanded Initial StudyMitigated Negative Declaration for the Faadz Avenue Roadway Extension project are properly implemented. The City will monitor ti mitigation measures required for development and operation of the Faraday Avenu Roadway Extension project. The Mitigation Monitoring Checklist provides a mechanisr for monitoring the mitigation measures in compliance with the MND, and general guideline for the use and implementation of the monitoring program are described below. MITIGATION MONITORING CHECKLIST The Mitigation Monitoring Checklist is organized by categories of environmental impact2 (e.g., Biological Resources, Geology, Archaeology). For each impact area, the impact identified in the MND are summarized and the required mitigation measures are listed. The following items are identified for each mitigation measure to ensure proper implementatior and to establish a monitoring system: When Applied, MonitoringReporting Agency Monitoring Mechanism, Status and Frequency to MonitorReprt. A description of thesc items is provided below. When Applied The mitigation measures required for the Faraday Avenue Roadway Extension project will be implemented at various times as development proceeds and during operation. Some measures must be implemented during construction activities, while others must be implemented when the roadway is developed and in operation. For each mitigation measure, the implementation schedule is identified as Pre-Construction, During Construction and Post Construction (during operation). Monitoring/Reporting Agency For each mitigation measure, the Monitoring Agency is identified. The monitoring agency is responsible for ensuring that the mitigation measures are properly implemented. City departments charged with community development, resource management, infrastructure and public services are typically assigned monitoring responsibilities. If mitigation measures have been requested by an agency that has jurisdiction by law over some component of the ' environment, the City can request the agency to prepare a mitigation monitoring program for those mitigation measures. For example, completion of archaeological studies may be required prior to approval of a grading permit. The information in this column tells the Monitoring Agency how specific measures will be incorporated into the development process and when monitoring should occur. Status (verified datdinitialed) The Status column of the checklist has been intentionally left blank. City staff will use this column to make notes about the progress made in implementing each measure. Upon full implementation of the measure, the completion date will be entered and initialed. Frequency to MonitorhZeport Measures will need to be monitored prior to construction, throughout construction, on completion, during operation, or on violation. The 'checklist identifies the monitoring frequency for each measure. Reporting frequency will also vary and will occur once on completion, on violation, or ongoing. The checklist identifies the reporting frequency. HOW TO USE THE MONITORING PROGRAM The Expanded Initial StudyMitigated Negative Declaration for the Faraday Avenue Roadway Extension project identifies a number of mitigation measures to reduce significant environmental impacts. Some of the mitigation measures apply to the entire project site and must be implemented before any development occurs. Other mitigation measures will be implemented during project operations. CONTRACTOR’S OBLIGATIONS The Contractor shall perform the requirements as detailed in the Scope of Work attached hereto as Exhibit “A“ and incorporated herein. rev. 7/1/98 -1 - a 0 2. CITY OBLIGATIONS The City shall provide the Contractor with copies of plans and reports that pertain to the project and are on file at the City of Carlsbad upon request. The City shall provide the Contractor with the latest update of the boilerplate specifications upon request. 3, PROGRESS AND COMPLETION The work under this contract will begin within three (3) days after receipt of notification to proceed by the City and be completed within two hundred (200) working days of that date. Extensions of time may be granted if requested by the Contractor and agreed to in writing by the City. The City will give allowance for documented and substantiated unforeseeable and unavoidable delays not caused by a lack of foresight on the part of the Contractor, or delays caused by City inaction or other agencies' lack of timely action. 4. FEES TO BE PAID TO CONTRACTOR The total fee payable for the services to be performed shall be $332,896. No other compensation for services will be allowed except those items covered by supplemental agreements per Paragraph 8, "Changes in Work." The City reserves the right to withhold a ten percent (10%) retention until the project has been accepted by the City. CHANGES IN WORK If, in the course of the contract, changes seem merited by the Contractor or the City, and informal consultations with the other party indicate that a change in the conditions of the contract is warranted, the Contractor or the City may request a change in contract. Such changes shall be processed by the City in the following manner: A letter outlining the required changes shall be forwarded to the City by contractor tc inform them of the proposed changes along with a statement of estimated changes ir charges or time schedule. A Standard Amendment to Agreement shall be prepared bl the City and approved by the City according to the procedures described in Carlsbac Municipal Code Section 3.28.172. Such Amendment to Agreement shall not rend€ ineffective or invalidate unaffected portions of the agreement. 9. COVENANTS AGAINST CONTINGENT FEES The Contractor warrants that their firm has not employed or retained an company or person, other than a bona fide employee working for the Contractor, t solicit or secure this agreement, and that Contractor has not paid or agreed to pay an company or person, other than a bona fide employee, any fee, comrnissiol percentage, brokerage fee, gift, or any other consideration contingent upon, or resultir from, the award or making of this agreement. For breach or violation of this warrant the City shall have the right to annul this agreement without liability, or, in its discretio to deduct from the agreement price or consideration, or otherwise recover, the fi amount of such fee, commission, percentage, brokerage fees, gift, or contingent fee. rev. 7/71 -5 - 0 0 IO. NONDISCRIMINATION CLAUSE The Contractor shall comply with the state and federal laws regarding nondiscrimination. 11. TERMINATION OF CONTRACT In the event of the Contractor's failure to prosecute, deliver, or perform the work as provided for in this contract, the City Manager may terminate this contract for nonperformance by notifying the Contractor by certified mail of the termination of the Contractor. The Contractor, thereupon, has five (5) working days to deliver said documents owned by the City and all work in progress to the City. The City shall make a determination of fact based upon the documents delivered to City of the percentage of work which the Contractor has performed which is usable and of worth to the City in having the contract completed. Based upon that finding as reported to the City Manager, the Manager shall determine the final payment of the contract. This agreement may be terminated by either party upon tendering thirty (30) days written notice to the other party. In the event of such suspension or termination, upon request of the City, the Contractor shall assemble the work product and put same in order for proper filing and closing and deliver said product to City. In the event of termination, the Contractor shall be paid for work performed to the termination date; however, the total shall not exceed the lump sum fee payable under paragraph 4. CLAIMS AND LAWSUITS The Contractor agrees that any contract claim submitted to the City must be asserted as part of the contract process as set forth in this agreement and not in anticipation of litigation or in conjunction with litigation. The contractor acknowledges that if a false claim is submitfed to the City, it may be considered fraud and the Contractor may be subject to criminal prosecution. The Contractor acknowledges that California Government Code sections 12650 et seq., the False Claims Act, provides for civil penalties where a person knowingly submits a false claim to a public entity. These provisions include false claims made with deliberate ignorance of the false information or in reckless disregard of the truth or falsity of information. If the City of Carlsbad seeks to recover penalties pursuant to the False Claims Act, it is entitled to recover its litigation costs, including attorney's fees. The Contractor acknowledges that the filing of a false claim may subject the Contractor to an administrative debarment proceeding wherein the Contractor may be prevented to act as a Contractor on any public work or improvement for a period of up to five years. STATUS OF THE CONTRACTOR The Contractor shall perform the services provided for herein in Contractor's own way as an independent Contractor and in pursuit of Contractor's independent calling, and not as an employee of the City. Contractor shall be under control of the City only as to the result to be accomplished, but shall consult with the City as provided for in the request for proposal. The persons used by the Contractor to provide services under this agreement shall not be considered employees of the City for any purposes whatsoever. The Contractor is an independent Contractor of the City. The payment made to the Contractor pursuant to the contract shall be the full and complete compensation to which the Contractor is entitled. The City shall not make any federal or state tax withholdings on behalf of the Contractor or its employees or subcontractors. OWNERSHIP OF DOCUMENTS All plans, studies, sketches, drawings, reports, and specifications as herein required are the property of the City, whether the work for which they are made be executed or not. In the event this contract is terminated, all documents, plans, specifications, drawings, reports, and studies shall be delivered forthwith to the City. Contractor shall have the right to make one (1) copy of the plans for its records. 16. HOLD HARMLESS AGREEMENT Contractor agrees to indemnify and hold harmless the City of Carlsbad and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses including attorneys fees arising out of the performance of the work described herein caused by any willful misconduct, or negligent act, or omission of the contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. 18. ASSIGNMENT OF CONTRACT The Contractor shall not assign this contract or any part thereof or any monies due thereunder without the prior written consent of the City. 19. SUBCONTRACTING If the Contractor shall subcontract any of the work to be performed under this contract by the Contractor, Contractor shall be fully responsible to the City for the acts and omissions of Contractor's subcontractor and of the persons either directly of indirectly employed by the subcontractor, as Contractor is for the acts and omissions oi persons directly employed by Contractor. Nothing contained in this contract shal' create any contractual relationship between any subcontractor of Contractor and the City. A mitigation alternative would be the purchase of sage scrub lands at a 2: 1 replacement ra' within the Carlsbad Highland Mitigation Bank. 2. For each spring prior to construction, a protocol survey for the least Bell's vireo shall conducted in the riparian woodland of Macario Canyon. Surveys have been conducted the 1998 breeding season and no fkrther surveys shall be required should construction be in the year 1999. The purpose of any additional surveys is to identify the location of ; nesting sites in order to avoid construction related noise impacts. Construction on segme of the roadway that are located in the vicinity of nesting birds shall not begin until a August 1 , when the nesting cycle is completed. Prior to issuance of a grading permit, a qualified paleontologist shall be retained by the to carry out an appropriate mitigation program. (A qualified paleontologist is defined individual with an MS or Ph.D. in paleontology or geology who is familiar paleontological procedures and techniques.) 2. A qualified paleontologist shall be present at the pre-grading meeting to consult wid grading and excavation contractors. 3. A paleontological monitor shall be on-site a minimum of half-time during the original cu of previously undisturbed sediments to inspect cuts for contained fossils. In the event fossils are discovered, it may be necessary to increase the per/day in field monitoring 1 Conversely, if fossils are not being found then the monitoring should be red1 (Apaleontological monitor is defmed as an individual who has experience in the collec and salvage of fossil materials. The paleontological monitor shall work under the direc of a qualified paleontologist.) 4. When fossils are discovered the paleontologist (or paleontological monitor) shall recl them. In most cases, this fossil salvage can be completed in a short period of t However, some fossils specimens (such as a complete large mammal skeleton) may req an extended salvage period. In these instances the paleontologist (or paleontolog monitor) shall be allowed to temporarily direct, divert, or halt grading to allow recover fossil remains in a timely manner. Because of the potential for the recovery of small fi remains, such as isolated mammal teeth, it may be necessary in certain instances, to set 1 screen-washing operation on the site. 5. Fossil remains collected during the monitoring and salvage portion of the mitigation prop shall be cleaned, repaired, sorted, and cataloged. 6. Prepared fossils, along with copies of all pertinent field notes, photos, and maps, shall eil be deposited (as a donation) in a scientific institution with permanent paleontolog collections such as the San Diego Natural History Museum or retained by the City displayed to the public at an appropriate location such as a library or City Hall. 7. A final summary report shall be completed and retained on file at the City that outlines results of the mitigation program.
