Adopt Resolution No. 49 */Jr approving Amendment No. 1 to an Agreement with
Galen N. Peterson, Consulting Engineer, to provide Professional Engineering Services.

ITEM EXPLANATION:
The Engineering Department wishes to amend an existing agreement with Galen N. Peterson,
Consulting Engineer, for Professional Engineering Services to increase the annual spending limit. On
November 21, 1996, the City Council approved a contract with Galen Peterson for an annual limit of
$150,000 and provided for three one year extensions. Staff uses the services offered under this agreement to assist them on an as-needed basis with facility planning, project management, review
and recommendation of cost reports and studies and assessment engineering for capital projects.
Activity has been quite high during the present year. The existing contract period for
Galen N. Peterson, Consulting Engineer runs from November 21, 1998 to November 20, 1999. The
funds for this period are nearly exhausted. Staff is recommending Council authorize a $100,000
increase for a total annual limit of $250,000.
Galen N. Peterson, Consulting Engineer has continued to perform at an acceptable level of service. Staff recommends continued service with this firm.
FISCAL IMPACT:
Cost for the civil engineering services will be charged to the various capital projects as part of the
project available funding.

RESOLUTION NO. 99-185
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD,
CALIFORNIA, APPROVING A AMENDMENT NO. 1 TO AN
AGREEMENT WITH GALEN N. PETERSON, CONSULTING ENGINEER,
TO PROVIDE PROFESSIONAL ENGINEERING SERVICES.
WHEREAS, The City Council of the City of Carlsbad has reviewed the need for consultant
engineering services on an as-needed basis in order to maintain service levels; and
WHEREAS, The City Council has determined that Galen N. Peterson, Consulting
Engineer, has the necessary qualifications; and
WHEREAS, sufficient funds are available in various Capital Project budgets.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad,
California, as follows:
1. That the above recitations are true and correct.
2. That an agreement between the City of Carlsbad and Galen N. Peterson,
Consulting Engineer for general engineering services, copies identified as Exhibit A, are hereby
approved.
PASSED, APPROVED AND ADOPTED at a regular meeting of the Carlsbad City Council
held on the 1st day of June , 1999 by the following vote, to wit:

AMENDMENT NO. 1 TO AGREEMENT
This Amendment is entered into and effective as of the 1st day of
June , 1992, amending the agreement dated November 2i, 1996 by and
between the City of Carlsbad, a municipal corporation, hereinafter referred to as “City”, and
Galen Peterson, hereinafter referred to as, “Contractor for professional engineering services.
RECITALS
WHEREAS, the initial agreement, dated November 21, 1996 identified a scope of work to
provide the necessary studies, reports, cost estimates and general engineering services for
preparation of various engineering projects; and
WHEREAS, the initial agreement, dated November 21, 1996 stated in Section 24 that the
Contractor will not be required to file a conflict of interest statement as a requirement of this
agreement; and
WHEREAS, the parties to this aforementioned agreement desire to revise Section 24 to
state:
‘The Conffacfor shall file a conffict of interest statement with the City Clerk in accordance with the requirements of the City’s conflict of interest code
incorporating Fair Political Practices Commission Regulation 18700 as if
defines a consultant. The disclosure category shall be categories 1, 3 and 4. ”
WHEREAS, the parties to this aforementioned agreement desire to alter the scope of
work as follows: increase agreement amount to account for increase in volume of work.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor hereby agree as follows:
1. City shall pay Contractor for all work associated with Paragraph 1 above, on a
time and materials basis not-to-exceed $250,000 ($150,000 from original agreement plus an

additional $100,000). Contractor shall provide City on a monthly basis, copies of invoices
sufficiently detailed to include hours performed, hourly rates, and related activities and costs for
approval by City.
2. All other provisions of the aforementioned agreement entered into on
November 21,1996, by and between City and Contractor shall remain in full force and effect.
3. All requisite insurance policies to be maintained by the Contractor shall include
coverage for the amended assignment and scope of work.

RE: CONTRACT FOR CONSULTING ENGINEER
Enclosed please find copies of Carlsbad City Council Agenda Bill No. 15,220 and
Resolution No. 99-l 85. These documents were approved by Council on June 1, 1999.
Also enclosed is a fully executed agreement for the above referenced project.
In accordance with Section 24 of enclosed egreement, you are required to file a Conflict
of Interest Statement with the ,Carlsbad City Clerk. Anyone in the company who is
working on this City project must file a Form 700, Statementof Economictnterests, and
must report all Disclosure Categories which includes 1,2,3, and 4.
Enclosed for your use are the following documents,.which you may copy if necessary:
1. Form 700 1998-1999 Statement of Economic Interests
2. Amended Appendix to the Local Conflict of Interest Code
3. Limitations and other Restrictions on Gifts, Honoraria, Travel and Loans
