RECOMMENDED ACTION:
Adopt Resolution No. 99-476 authorizing the City Manager to execute the amendment to the
agreement between the City of Carlsbad and Ponderosa Landscape for park maintenance services.
ITEM EXPLANATION:
On August 16, 1999, Council approved extending the parks maintenance agreement with
Ponderosa Landscape, Inc. The agreement allows Ponderosa to perform basic landscaping
maintenance at City ofices, park facilities, CMWD reservoir facilities, the I-5/La Costa Interchange and City Arts facility.
Recently, staff approached Ponderosa and requested a maintenance quotation for Carrillo Ranch Slopes. Due to the significant amount of acreage, the City does not have the adequate amount of
staffing to maintain this area. Contracting maintenance services for this area will not only be cost
effective, but will also encourage desirable vegetation growth, protect the site from erosion, and
present a well groomed appearance. Amending the initial agreement to reflect this additional
service and fee (as described below) is required by C.M.C. Section 3.28.172.
FISCAL IMPACT:
The fee for the additional landscape maintenance service will be $36,180 annually. Funds will be
appropriated. from the Miscellaneous Outside Services Fund (Account No. 150207550), in which
adequate funding exists.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD,
CALIFORNIA, APPROVING AN AMENDMENT OF THE INITIAL
AGREEMENT WITH PONDEROSA LANDSCAPE, INC. FOR PARK
MAINTENANCE SERVICES
WHEREAS, the initial agreement, dated July 15, 1998, identified a scope of work as
basic landscaping maintenance; and
WHEREAS, on August 16, 1999, Council approved extending the parks maintenance
agreement with Ponderosa Landscape, Inc. until June 30,200O and amended the scope of work
to include City Arts facility; and
WHEREAS, the City of Carlsbad and Ponderosa Landscape now desire to alter the
scope of work to include Carrillo Ranch Slopes; and
WHEREAS, an amendment to the agreement and fee schedule ha;e been negotiated to
reflect the altered scope of work (Attachment A).
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Carlsbad as
follows:
1. That the above recitations are true and correct.
2. That Amendment No. 3 to the Agreement between the City of Carlsbad and
Ponderosa Landscape, Inc. (Exhibit 2) is hereby approved.
3. That the City Manager is hereby authorized to sign the amendment on behalf of the
City.

held on the 2nd dayof November , 1999, by the following vote, to wit:

This Amendment is entered into and effective as of the 9th day of
NOVEMBER , 1999, amending the agreement dated July 15 1998 by and between the City of
Carlsbad, a municipal corporation, hereinafter referred to as “City,” and Ponderosa Landscape,
hereinafter referred to as “Contractor,” for Park Maintenance Service.
RECITALS
WHEREAS, the initial agreement, dated July 15, 1998 identified a scope of work
as basic landscaping maintenance at City office and Parks facilities, CMWD reservoir facilities
and I-5/La Costa Interchange; and
WHEREAS, the City and Contractor ratified the extension of the term of the
agreement dated July 15,1998 for a period of one year ending on June 30,200O and amended
the scope of work to include the City Arts facility; and
WHEREAS, the parties to this aforementioned agreement now desire to alter the
scope of work as follows: to include Carrillo Ranch Slopes; and
WHEREAS, a supplemental scope of work and fee schedule have been
negotiated and agreed to between the parties hereto, and as shown in Attachment “A” Scope of
Services and Fee; and
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor hereby agree as follows:
‘l. Contractor shall provide services as outlined in Attachment “A”.
2. City shall pay Contractor for all work associated with Paragraph 3 above, on
a time and materials basis not-to-exceed $36,180. Contractor shall provide City on a monthly
basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and
related activities and costs for approval by City.

3. All other provisions of the aforementioned agreement entered into on July 15,
1998 by and between City and Contractor shall remain in full force and effect.
4. All requisite insurance policies to be maintained by the Contractor shall
include coverage for the amended assignment and scope of work.
