Carisbad
ITEM EXPLANATION
In December of 1982, the City of Carlsbad approved construction of a 48 unit senior housing
project at Jefferson Street and Oak Avenue. Pursuant to the provisions of the Senior Housing
Ordinance in affect at that time, the applicant was permitted to increase density for the project to
75 dwelling units/acre, and reduce parking requirements to a ratio of one space per two units.
Conditions tied to approval of the density bonus included the applicant’s submittal of (1) a
conversion plan for the project in the event the project was converted to a use other than senior
housing, and (2) the applicant was required to furnish a second trust deed on the property to the
City in the amount of $765,440. The second trust deed becomes due and payable to the City
should the property owner fail to maintain the property as required by the terms and conditions of
the conditional use permit approved for the project.
In 1987, the original property owner, Jefferson House, LP, refinanced the property. As part of the
refinance, a subordination agreement was executed between the property owner and the City.
The subordination agreement allows for the subordination of the City’s second trust deed to the
property lenders first trust deed. In 1990, the property was sold to the current owner, PGP
Carlsbad Seniors, LTD. In conjunction with the sale, the Carlsbad City Council approved
(Resolution 90-348) the transfer of the Subordination Agreement from the original owner to PGP.
PGP is currently seeking to refinance the loan for the property which will again necessitate the
execution of a new subordination agreement.
EXECUTION OF DOCUMENTS
The original and two previously amended agreements have required the review and approval of
the City Council, and the signature of the Mayor. This process of review and approval is costly
and time consuming for both the property owner and the City. Subordination agreements are
typically simple documents that can be processed administratively. Therefore, the attached
resolution has been drafted to approve the subject documents and authorizes the City Manager
to execute them. Further, approval of the resolution will also allow future subordination
agreements or transfers of the subordination agreement to a new property owner to be approved
administratively. The attached resolution will allow future subordination agreements to be
reviewed by the Housing and Redevelopment Director, and executed by the City Manager,
subject to the review and approval of the City Attorney.

FISCAL IMPACT
Since the City’s second trust deed was recorded in December of 1983, the $765,440 trust deed
has compounded at 10% simple interest per annum. The current value of the City’s second trust
deed is approximately $3.5 million, while the current total appraised value of the property is $3.1
million. PGP is seeking a new loan for the property in the amount of $2,235,000, or 72% of the
value of the property. By granting the subordination, the value of the City’s security will be
reduced to the value of the equity in the property ($865,000) rather than the value of the deed
($3.5 million).
Should PGP cease to operate the property as senior housing as required by their conditional use
permit, the City’s second trust deed becomes due and payable. As permitted by the terms of the
conversion plan, the City may, if necessary, use the proceeds of the second trust deed to convert
the property back to senior housing. The City’s secured position after the subordination is
approximately $865,000. Staff believes that the second trust deed security is adequate to ensure
the continued operation of the building as a senior project or to fund any necessary conversion
required to bring it into compliance with the conditional use permit.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CARLSBAD, CALIFORNIA, TO APPROVE A SUBORDINATION
AGREEMENT AND THE USE OF DOCUMENTS INSTRUCTIONS AND INDEMNIFICATION BETWEEN PGP CARLSBAD
SENIORS, LTD. AND THE CITY OF CARLSBAD
APPLICANT PGP CARLSBAD SENIORS, LTD. CASE NO: RP-CUP83-02
WHEREAS, in 1982 a Senior Housing Project commonly referred to as Jefferson House 1 was
approved and constructed which allowed for a density bonus and reduced parking requirements; and
WHEREAS, the applicant as conditioned, submitted a conversion plan and a subordination
agreement naming the City of Carlsbad as the holder of the second trust deed; and
WHEREAS, in 1990, Jefferson House, a General Partnership sold the property to PGP
Carlsbad Seniors, LTD.
WHEREAS, on September 18, 1990, City of Carlsbad City Council approved the transfer of
the subordination agreement from Jefferson House, a General Partnership to PGP Carlsbad Seniors,
LTD., and
WHEREAS, the current property owner is seeking tc refinance the funding for the property
and is requesting that a new subordination agreement be executed between PGP Carlsbad Seniors,
LTD. and the City of Carlsbad.
NOW, THEREFORE, BE IT HEREBY RESOLVED by the City Council of the City of
Carl&ad California, as follows:
1. The above recitations are true and correct.
2. The City Council authorizes the City Manager to execute the Subordination Agreement and the related Use of Documents Instructions and Indemnification
between PGP Carlsbad Seniors, LTD. and City of Carlsbad in substantially the form presented to the City Council on February 15, 2000, and subject to review and
approval by the City Attorney.
3. The City Council authorizes future subordination agreements and related documents
for this subject property or transfers of the subordination agreement to a new property
owner to be submitted to the Housing and Redevelopment Director for review, and to
be executed by the City Manager, subject to the review and approval of the City
Attorney.

SUBORDINATION AGREEMENT
NOTICE: THIS SUBORDINATION AGREEMENT RESULTS IN
YOUR SECURITY INTEREST IN THE PROPERTY BECOMING
SUBJECT TO AND OF LOWER PRIORITY THAN THE LIEN OF
SOME OTHER OR LATER SECURITY INSTRUMENT.
THIS AGREEMENT, made this 17th day of February , 2000, by PGP Carlsbad
Seniors, Ltd., a Cahfomia Limited Partnership owner of the land hereinafter described
and hereinafter referred to as “Owner”, and The City of Carlsbad present owner and
holder of the deed of trust and note first hereinafter described and hereinafter referred to
as “Beneficiary”;
WITNESSETH
THAT WHEREAS, Jefferson House, a General Partnership did execute a deed of
trust dated December 19, 1983, to Ticor Title Insurance Company of California, a
California corporation, as trustee, covering that certain real property described as follows:
Lots 1 to 8, inclusive in Block 57 of Carlsbad, in the City of Carlsbad, County of
San Diego, State of California, according to Map thereof No. 775, filed in the Office of
the County Recorder of San Diego County on February 15, 1984.
to secure a note in the sum of $765,440.00 dated December 19, 1983, in favor of The
City of Carlsbad, which deed of trust was recorded in the office of the County Recorder
of San Diego County, California, on February 28, 1984, as File/Page No.84-071757; and
WHEREAS, Owner has executed or is about to execute a deed of trust and note in
the sum of $2,235,000.00, dated February 16, 2000, in favor of Financial Institutional
Partners Mortgage Company, L.P., hereinafter referred to as “Lender”, payable with
interest and upon the terms and conditions described therein, which deed of trust is to be
recorded concurrently herewith; and

WHEREAS, it is a condition precedent to obtaining said loan that said deed of
trust above mentioned shall unconditionally be and remain at all times a lien or charge
upon the land heretofore described, prior and superior to the lien or charge of the deed of
trust fust above mentioned; and
WHEREAS, Lender is willing to make said loan provided the deed of trust
securing the same is a lien or charge upon the above described property prior and
superior to the lien or charge of the deed of trust first above mentioned and provided that
Beneficiary will specifically and unconditionally subordinate the lien or charge of the
deed of trust first above mentioned to the lien or charge of the deed of trust in favor of
Lender; and
WHEREAS, it is to the mutual benefit of the parties hereto that Lender make such
loan to Owner; and Beneficiary is willing that the deed of trust securing the same shall,
when recorded, constitute a lien or charge upon said loan which is unconditionally prior
and superior to the lien or charge of the deed of trust first above mentioned.
NOW THEREFORE, in consideration of the mutual benefits accruing to the
parties hereto and other valuable consideration, the receipt and suffkiency of which
consideration is hereby acknowledged, and in order to induce Lender to make the loan
above referred to, it is hereby declared, understood and agreed as follows:
(1) That said deed of trust securing said note in favor of Lender, and
any renewals or extensions thereof, shall unconditionally be and remain at all times a lien
or charge on the property therein described, prior and superior to the lien or charge of the
deed of trust first above mentioned.
(2) That Lender would not make its loan above described without this
subordination agreement.
(3) That this agreement shall be the whole and only agreement with
regard to the subordination of the lien or charge of the deed of trust first above mentioned
to the lien or charge of the deed of trust in favor of Lender above referred to and shall
supersede and cancel, but only insofar as would affect the priority between the deeds of
trust heretofore specifically described, any prior agreements as to such subordination
including, but not limited to, those provisions, if any, contained in the deed of trust first
above mentioned, which provide for the subordination of the lien or charge thereof to
another deed or deeds of trust or to another mortgage or mortgages.
Beneficiary declares, agrees and acknowledges that
(a> He consents to and approves (i) all provisions of the note
and deed of trust in favor of Lender above referred to, and (ii) all agreements, including
but not limited to any loan or escrow agreements, between Owner and Lender for the
disbursement of the proceeds of Lender’s loan:
(b) Lender in making disbursements pursuant to any such
agreement is under no obligation or duty to nor has Lender represented that it will, see to
the application of such proceeds by the person or persons to whom Lender disburses such
proceeds and any application or use of such proceeds for purposes other than those
provided for in such agreement or agreements shall not defeat the subordination herein
made in whole or in part;
6) He intentionally and unconditionally waives, relinquishes
and subordinates the lien or charge of the deed of trust first above mentioned in favor of
the lien or charge upon said land of the deed of trust in favor of Lender above referred to
and understands that in reliance upon, and in consideration of, this waiver,
relinquishment and subordination specific loans and advances are being and will be made
and, as part and parcel thereof, specific monetary and other obligations are being and will
be entered into which would not be made or entered into but for said reliance upon this
waiver, relinquishment and subordination; and
(4 An endorsement has been placed upon the note secured by
the deed of trust first above mentioned that said deed of trust has by this instrument been
subordinated to the lien or charge of the deed of trust in favor of Lender above referred
to.
NOTICE: THIS SUBORDINATION AGREEMENT CONTAINS A
PROVISION WHICH ALLOWS THE PERSON OBLIGATED ON
YOUR REAL PROPERTY SECURITY TO OBTAIN A LOAN, A
PORTION OF WHICH MAY BE EXPENDED FOR OTHER
PURPOSES THAN IMPROVEMENT OF THE LAND. IT IS
RECOMMENDED THAT, PRIOR TO THE EXECUTION OF THIS
SUBORDINATION AGREEMENT, THE PARTIES CONSULT WITH
THEIR ATTORNEYS WITH RESPECT THERETO.

In executing this Subordination Agreement, Subordinating Lienholder acknowledges and agrees
that its agreement with borrower and any terms and conditions thereof, whether expressed or
implied, are solely between it and borrower and are of no concern to Financial Institutional
Partners Mortgage Company, LP (in this Exhibit referred to as “FIPMC”); FIPMC is and will be
throughout the term of FIPMC’s loan and any modification, extension or renewal thereof, under
no duty or obligation to assure compliance with the terms and conditions of Subordinating
Lienholder’s agreement with borrower; nor will FIPMC be under any obligation or duty to take
any action or refrain from any action because of any knowledge it has or may have regarding any
breach by borrower. Subordinating Lienholder further agrees, notwithstanding anything to the
contrary in law, equity or agreement with borrower that this subordination is not subject to
compliance, substantial or otherwise, with any provisions of such agreement with borrower,

The original Subordination Agreement with PGP Carlsbad Seniors, LTD. and the Use of Documents Instructions and Indemnification was picked up by Chicago Title today (3/l/00).
