RECOMMENDED ACTION:
Adopt Resolution No. J?O@ - &? 1 for approval of Extension and Amendment No. 1 with
Planning Systems to provide planning and permitting services for the South Carlsbad Village Storm
Drain, Project No. 3528.
ITEM EXPLANATION:
On April 12, 1999, a Professional Services Agreement between the City of Carlsbad and Planning Systems was executed. The value of this agreement was $24,900. The original scope of services
included coordination with the Army Corps of Engineers staff and the preparation of the applications for a Section 404 Permit and a RWQCB Section 401 Certificate or Waiver. These
items of work have been completed and the City has received a Section 404 permit and a RWQCB
Section 401 waiver.
To obtain the Section 404 permit, the Army Corps of Engineers required the preparation of Final
Mitigation Plans. These Final Plans are to be prepared in accordance with the Corps Habitat
Mitigation and Monitoring Proposal Guidelines.
The scope of services for this amendment includes the preparation of the final mitigation plans as
noted above and coordination with the Army Corps of Engineers,
FISCAL IMPACT:
The total cost for professional planning and permitting services is $40,400. Of this amount, $24,900
was included in the original agreement with Planning Systems. Total additional funds requested for Extension and Amendment No. 1 are $15,500. These costs are summarized in Table 1.

Funds in the amount of $10,500,000 have been appropriated for the South Carlsbad Village Storm
Drain, of which $9,860,464 is available. The total estimated construction phase cost is $9,679,527.The cost of the additional services included in this amendment can be funded from the
balance of the current project appropriations, see Table 2 for a summary of the project
appropriations.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD, CALIFORNIA, FOR APPROVAL OF EXTENSION AND
AMENDMENT NO. 1 WITH PLANNING SYSTEMS TO PROVIDE
PLANNING AND PERMITTING SERVICES FOR THE SOUTH
CARLSBAD VILLAGE STORM DRAIN, PROJECT NO. 3528,
WHEREAS, the City Council of the City of Carlsbad, California has determined it
necessary and in the public interest for approval and acceptance of Extension and Amendment
No. 1 from Planning Systems to provide additional planning and permitting services for South
Carlsbad Village Storm Drain; City Project No. 3528; and
WHEREAS, appropriated funds in the amount of $9,860,464 are available for the project
and there is a projected balance of $180,937 after the construction costs deducted and the
cost for Extension and Amendment No. 1 is $15,500, therefore there are sufficient funds
available; and
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad,
California, as follows:
1. That the above recitations are true and correct.
2. That the attached Extension and Amendment No. 1 between Planning Systems
and the City of Carlsbad be approved and accepted.

EXTENSION AND AMENDMENT NO. 1 TO AGREEMENT
This Amendment is entered into and effective as of the 6th day
Of October 1 200 0 t amending the agreement dated April 12, 1999 by and
between the City of Carlsbad, a municipal corporation, hereinafter referred to as “City”,
and Planning Systems, hereinafter referred to as, “Contractor” for planning and permit
application and processing services for the South Carlsbad Village Storm Drain project.
RECITALS
WHEREAS, the City and Contractor desire to extend the term of the
agreement dated April 12, 1999 for a period of one year ending on April 12,200l; and
WHEREAS, the initial agreement, dated April 12, 1999 identified a scope
of work to complete the following tasks: A) Prepare an application and process an Army
Corps of Engineers Section 404 Permit and a RWQCB Section 401 Certificate or
Waiver; B) Prepare an application and process a Coastal Development Permit with the
California Coastal Commission; C) Prepare an application, process and assist in the
negotiations for a Section 1601 State Department of Fish and Game permit; D) Project
P management and reporting; and
WHEREAS, the parties to this aforementioned agreement desire to alter
the scope of work as follows: A) Meet with the Army Corps of Engineers to negotiate
. and define the acceptable method of mitigation; B) identify candidate mitigation areas;
C) prepare a wetlands mitigation and monitoring plan in accordance with the Army
Corps of Engineers Wetlands Mitigation and Monitoring Guidelines; D) prepare final
mitigation plans and; and E) prepare a Habitat Mitigation and Monitoring Guidelines

report; and
WHEREAS, a supplemental scope of work and fee schedule have been
negotiated and agreed to between the parties hereto, and as shown on Exhibit “A”
Scope of Services and Fee;
NOW, THEREFORE, in consideration of these recitals and the mutual
covenants contained herein, City and Contractor hereby agree as follows:
1. The term of the agreement shall end on April 12, 2001.
2. Contractor shall provide services as outlined on the attached
Exhibit “A”.
3. City shall pay Contractor for all work associated with Paragraph 2
above, on a time and materials basis not-to-exceed $15,500. Contractor shall provide
City on a monthly basis, copies of invoices sufficiently detailed to include hours
performed, hourly rates, and related activities and costs for approval by City.
4. All other provisions of the aforementioned agreement entered into
on April 12, 1999, by and between City and Contractor shall remain in full force and
effect.

5. All requisite insurance policies to be maintained by the Contractor
shall include coverage for the amended assignment and scope of work for the
extension period.

Thank you for the opportunity to submit this proposal for amendment to our
previous professional services contract as follows:
SCOPE OF SERVICES:
Planning Systems will conduct the following additional tasks for the South
Carlsbad Village Storm Drain project:
A. Meet with the US Army Corps of Engineers to negotiate and
define the acceptable method of mitigation for the project;
B. Identify candidate mitigation areas;

The cost associated with completion of the above tasks will not exceed
$15,500.00. Billing will occur only for hours actually worked on the project-on
a time-and-materials basis. Any additional costs beyond the amount
estimated above will require additional authorization prior to completion of
the services. Planning Systems invoices monthly. Costs such as printing or
reproduction work will be provided as necessary at cost plus 15%. Invoice
payment is typically due 30 days net.

REIMBURSABLE EXPENSES/BILLING POLICY
Supplies and other direct costs; printing, reproduction, graphic aids, travel
(airfare & meals), photography, postage, fax & delivery will be billed at cost
plus 15%.
Invoices will be issued on a monthly basis unless otherwise agreed. Accounts
are due and payable within 30 days of the date of the invoice. Past due
accounts will have a finance charge of 1.25% per month compounded.
Any revisions to the fee schedule will be provided to you in advance of their
institution. Revision will not affect fixed-fee or not-to-exceed contract
amount, unless project is temporarily suspended by Client for more than 90
days.
