TITLE-
Authorization of City Staff to Represent the City
of Carlsbad in the Carlsbad Research Center
Owners Association.
RECOMMENDED ACTION:
Approve Resolution No.gofl/ -&Q authorizing the City Manager, or his authorized
designee, to act in an official capacity on behalf of the City of Carlsbad, as it pertains to
exercising membership rights in the Carlsbad Research Center Owners Association.
ITEM EXPLANATION:
In December 1998, the City purchased 5 acres of property in the Carlsbad Research Center
(Lot 96 - APN 212-130-21) for a future parks site. Then in January 2000 the City
purchased the Faraday Center, located at 1635 Faraday Avenue (Lot 106-APN 212-130-31)
in the Carlsbad Research Center for its municipal offices. As a result of these real estate
acquisitions, the City of Carlsbad became a member of the Carlsbad Research Center
Owners Association (The Association). The Association Bylaws state that “when the owner
is a corporation, any director, officer, employee or agent designated by corporate resolution
may exercise the membership rights attributable to the corporation.”
In order to fully participate in the Carlsbad Research Center Owners Association and
protect the City’s interest in its real property holdings, staff is recommending that the City
Council authorize the City Manager, or his designee, to act in an official capacity on behalf
of the City of Carlsbad, as it pertains to exercising membership rights in the Association.
FISCAL IMPACT:
None, as a result of this action. However, the City is obligated to pay existing and future
assessments that may be levied by the Carlsbad Research Center Owners Association, as
a result of its ownership interest.

RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CARLSBAD, CALIFORNIA, AUTHORIZING THE CITY
MANAGER, OR HIS AUTHORIZED DESIGNEE TO ACT IN
AN OFFICAL CAPACITY ON BEHALF OF THE CITY OF
CARLSBAD, AS IT PERTAINS TO EXERCISING ITS
MEMBERSHIP RIGHTS IN THE CARLSBAD RESEARCH
CENTER OWNERS ASSOCIATION.
WHEREAS, the City of Carlsbad owns real property located on lots 96 (APN 212-130-
21) and 106 (APN 212-130-3 1) in the Carlsbad Research Center, and
WHEREAS, the Carlsbad Research Center Owners Association Bylaws state that “when
an owner is a corporation, any director, officer, employee or agent designated by corporate
resolution may exercise the membership rights attributable to the corporation”, and
WHEREAS, the City Council has determined that it is in the best interest of the City to
participate in the Carlsbad Research Center Owners Association, and
WHEREAS, the City Council has further determined that the City Manager, or his
authorized his designee, is the appropriate City representative for exercising the City’s
membership rights in the Carlsbad Research Center Owners Association,
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Carlsbad, California as follows:
1. That the above recitations are true and correct. I
2. That the City Manager, or his authorized designee is hereby authorized to act
in an official capacity on behalf of the City of Carlsbad, to exercise The City
of Carlsbad’s membership rights in the ‘Carlsbad Research Center Owners

21st day of August 2001, by the following vote to wit:
