RECOMMENDED ACTION:
Adopt Resolution No. dO0 \ - 354 approving an Extension of Agreement for professional
services for preparation of environmental studies for Ranch0 Santa Fe Road Bridge Replacement,
Project No. 3190.
ITEM EXPLANATION:
Dudek & Associates has been under contract for work on the environmental documents for the
Ranch0 Santa Fe Road Bridge Replacement and realignment and widening project, Due to the
complexity of the project and the Federal environmental requirements, the process has taken much
longer than anticipated. Staff desires to have Dudek & Associates complete the environmental work
due to their knowledge of the project and their expertise in the field. This extension will extend the
agreement for an additional six months to end on June 30, 2002. Approval of the extension will
enable Dudek & Associates to continue working to complete the work already in progress.
FISCAL IMPACT:
There are sufficient funds available in Dudek & Associates’ existing purchase order for completion
of the environmental work. No new authorization is requested.
ENVIRONMENTAL:
The City Council at their meeting on June 2, 1992 passed Resolution No. 92-152 certifying
EIR No. 91-1. The City Council at their meeting on April 25, 2000 passed Resolution No. 2000-128
approving Addendum No. 2 to the final EIR No. 91-1 for Ranch0 Santa Fe Road. This EIR covers
the realignment and widening of Ranch0 Santa Fe Road from La Costa Avenue to Melrose Drive.

A RESOLUTION OF THE CtTY COUNCtL OF THE CITY OF
CARLSBAD, CALIFORNIA, APPROVING AN EXTENSION OF
AGREEMENT FOR PROFESSIONAL SERVICES FOR
PREPARATION OF ENVIRONMENTAL STUDIES FOR RANCH0
SANTA FE ROAD BRIDGE REPLACEMENT. PROJECT NO. 3190.
WHEREAS, the City Council of the City of Carlsbad, California consider it necessary and
in the public interest to approve and accept the Extension of Agreement for professional services
for preparation of environmental studies for Ranch0 Santa Fe Road Bridge Replacement,
Project No. 3190; and
WHEREAS, the contractor, Dudek & Associates, has been working diligently on the
project for the past four and one-half years; and
WHEREAS the contractor, Dudek & Associates, possesses the necessary skills and
qualifications to provide the services; and
WHEREAS, an Extension of Agreement has been prepared and submitted hereto.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad,
California, as follows:
1. That the above recitations are true and correct.
2. That the Extension of Agreement for Professional Services for Preparation of
Environmental Studies. for Ranch0
is hereby approved and the Mayor

AMENDMENT NO. 7 TO EXTEND THE AGREEMENT FOR
PROFESSIONAL SERVICES FOR PREPARATION OF
ENVIRONMENTAL STUDIES FOR
RANCH0 SANTA FE ROAD BRIDGE REPLACEMENT
DUDEK 4% ASSOCIATES
This Amendment No. 7 is entered into and effective as of the /3 714
day of / t&C~~~~ 2OOL, extending the agreement dated
February 28, 1997 (the “Agreement”j by and between the City of Carlsbad, a municipal
corporation, (“City”), and Dudek & Associates, a California corporation, (“Contractor”)
(collectively, the “Parties”).
RECITALS
A. On August 18, 1997, the Parties executed Amendment No. 1 to the
‘Agreement to include preparation and processing of environmental assessment forms
for compliance with CEQA and NEPA requirements and permit processing with the
appropriate agencies; and
B. On January 1 I, 1998, the Parties executed an extension to the Agreement
for an additional one (1) year period; and
C. On October 18, 1999, the Parties executed a Ratification of Extension of
Agreement for an additional one (1) year period;
D. On December 28, 1999, the Parties executed Amendment No. 2 to the
Agreement to expand the limits of the environmental work to encompass the entire road
alignment project from southerly of La Costa Avenue to the bridge replacement
boundary defined in the initial agreement scope of work; and
E. On May 15, 2000, the Parties executed an extension to the Agreement for
an additional one (1) year period; and
F. On March 7, 2001, the Parties executed a Ratification of Extension of
Agreement for an additional ten (10) months, thereby extending the expiration date to December 31,200l; and
G. The Parties desire to extend the Agreement for a period of six (6)
months; and
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor agree as follows:
1. The Agreement, as may have been amended from time to time, is hereby
extended for a period of six (6) months ending on June 30,2002.

2. All other provisions of the Agreement, as may have been amended from
time to time, shall remain in full force and effect.
3. All requisite insurance policies to be maintained by the Contractor
pursuant to the Agreement, as may have been amended from time to time, shall include
coverage for this Amendment.
4. The individuals executing this Amendment and the instruments referenced
on behalf of Contractor each represent and warrant that they have the legal power, right
and actual authority to bind Contractor to the terms and conditions hereof of this
Amendment.
