Amend Agreement with Dokken Engineering to provide professional engineering services for
approving Ratification of Amendment No. 7 to Extend and
Rancho Santa Fe Road, Project No. 3190.
ITEM EXPLANATION:
In 1987, the City Council made the decision to realign Rancho Santa Fe Road from La Costa
Avenue to Melrose Drive. Through a consultant selection process, Dokken Engineering was
the project. The final design plans, specifications and estimates for both phases of the road project retained as the best qualified bridge design and engineering firm to provide the services needed for
are nearing completion. During the course of the design process, the City Engineering Department
and Dokken Engineering have been coordinating efforts with other utility agencies to include master
plan facilities into the roadway as part of the construction process. Coordination has also been
ongoing with the adjacent property owners to coordinate construction of necessary facilities to facilitate future development with minimal disturbance to traffic within the new road alignment.

facilities that either belong to other agencies or are the responsibility of the adjacent landowner.

For the past four years, Dokken Engineering has been under contract to provide engineering
services for the Rancho Santa Fe Road Bridge Replacement and realignment and widening project.
Due to the complexity of the project and the Federal environmental requirements, the process has taken much longer than anticipated. Staff desires to have Dokken Engineering complete the plans, specifications and cost estimate work due to its knowledge of the project and its expertise in the field. Approval of the extension and amendment will enable Dokken Engineering to continue working to complete the work already in progress and the additional items added hereby.
Amend the agreement with Dokken Engineering, to provide additional engineering services for the

FISCAL IMPACT:
The estimated costs for the additional engineering services, including contingency, is $210,125.
This amount includes $182,725 for identified tasks and $27,400 for contingencies. However, portions of this estimated cost are subject to reimbursement by other public agencies and the adjacent landowners as listed below:
Therefore, the net cost to the City of Carlsbad is estimated to be $149,485
There are sufficient funds available from existing appropriations for this amendment to the agreement.

ENVIRONMENTAL:
The City Council passed Resolution No. 92-152 certifying EIR No. 91-1 on June 2, 1002. The City
for Rancho Santa Fe Road on April 25, 2000. This EIR covers the realignment and widening of
Council passed Resolution No. 2000-128 approving Addendum No. 2 to the final EIR No. 91-1
Rancho Santa Fe Road from La Costa Avenue to Melrose Drive.

AMENDMENT NO. 7 TO EXTEND AND AMEND AGREEMENT
WITH DOKKEN ENGINEERING TO PROVIDE PROFESSIONAL

PROJECT NO. 3190.
WHEREAS, the City Council of the City of Carlsbad, California consider it necessary and
n the public interest to approve and accept the Ratification of Amendment No. 7 to Extend and
hend the Agreement with Dokken Engineering for professional engineering services for Rancho
;anta Fe Road, Project No. 3190; and
WHEREAS, the contractor, Dokken Engineering, has been working diligently on the
~roject for the past four years; and
WHEREAS the contractor, Dokken Engineering, possesses the necessary skills and
lualifications toprovide the services; and
WHEREAS, Subsection 3.28.172(c)(l) of the Carlsbad Municipal Code authorizes the
Xy Manager to approve change orders in the amount equal to the contingency set at the time of
he contract award; and
WHEREAS, Ratification of Amendment No. 7 to Extend and Amend the Agreement with
Iokken Engineering has been prepared and submitted hereto.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad,
:alifornia, as follows:
1. That the above recitations are true and correct.
2. That the Ratification of Amendment No. 7 to Extend and Amend the Agreement

'roject No. 3190 is hereby approved and the Mayor is authorized and directed to execute the

RANCHO SANTA FE ROAD, PROJECT NO. 3190
This Ratification of Amendment No. 7 is entered into as of the 6797U
day of fp I(, , 200& but effective as of the 10th day of February, 2002,
extending and amending the agreement dated February 10. 1998 (the “Agreement”)
by and between the City of Carlsbad, a municipal corporation, (“City”),
and Dokken Engineering, Inc., a California corporation, (“Contractor”) (collectively,
the “Parties”).
RECITALS
A. On September 22, 1998. the Parties executed Amendment No. 1 to the
Agreement to prepare construction plans, specifications, cost estimates and related .’
documents for Rancho Santa Fe Road, Phase 1 ; and
B. On June 1, 1999, the Parties executed Amendment No. 2 to the
Agreement to extend the limits for Phase 1 approximately 2,000 feet north and relocate
the interim detour connection; and
C. On April 25, 2000, the Parties executed Amendment No. 3 to the
Agreement to prepare construction plans, specifications, cost estimates and related
documents for Rancho Santa Fe Road, Phase 2; and
D. On February 22, 2001. the Parties executed Amendment No. 4 to the
Agreement to add additional elements to the final plans, specifications and cost
estimates for Rancho Santa Fe Road, Phases 1 & 2; and
E. On July 20, 2001, the Parties executed Amendment No. 5 to
the Agreement to prepare plans specifications and cost estimates for clearing of
Rancho Santa Fe Road , Phase 1 ; and
F. On November 6, 2001, the Parties executed Amendment No. 6 to the
Agreement to add additional elements to the final plans for Phase 1, revise the recycled
water main line size, prepare grading plans for the off-site mitigation area and set slope
stakes for the Phase 1 clearing; and
G. The Agreement, as amended from time to time expired on February 9,
2002 and Contractor continued to work on the services specified therein without the
benefit of an agreement.

H. The Parties desire to alter the scope of work of the Agreement to add
additional elements to the final plans for Phases 1 & 2 to include full-width
improvements for Phase 1, a wildlife crossing, recycled water metering vault, revisions
to the recycled water main location, and coordination and design for the revised
alignment of the interim San Elijo Road to Phase 2; and
1. The Parties desire to extend the Agreement for a period of twelve (12)
months.
J. The Parties have negotiated and agreed to a supplemental scope of work
and fee schedule, which is attached to and incorporated by this reference as Exhibit "A",
Scope of Services and Fee.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor agree as follows:
1. The retroactive extension and amendment of the Agreement is ratified.
2. In addition to those services contained in the Agreement, as may have
been amended from time to time, Contractor will provide those services described in
Exhibit "A".
4. City will pay Contractor for all work associated with 'those services
described in Exhibit "A on a fee per task basis not-to-exceed two hundred ten thousand
one hundred twenty-five dollars ($210,125).
5. Contractor will complete all work described in Exhibit "A by
December 1.2002.
6. All other provisions of the Agreement, as may have been amended from
time to time, will remain in full force and effect.
7. All requisite insurance policies to be maintained by the Contractor
pursuant to the Agreement, as may have been amended from time to time, will include
coverage for this Amendment.

8. The individuals executing this Amendment and the instruments referenced
in it on behalf of Contractor each represent and warrant that they have the legal power,
right and actual authority to bind Contractor to the terms and conditions of this
Amendment.

RATIFICATION TO EXTEND AND AMEND THE AGREEMENT WITH DOKKEN ENGINEERING FOR THE RANCHO SANTA FE ROAD BRIDGE REPLACEMENT PROJECT
The agreement with Dokken Engineering for engineering services on Rancho Santa Fe Road
expired on February 10. 2002. Due to the ongoing and changing nature of the Rancho Santa
Fe Road project, the design of Phases 1 and 2 has not been completed to date.

Dokken Engineering will provide a revised cost estimates on Wednesday, March 6, 2002. We will complete the Ratification and Amendment document as soon as the cost estimate is
received and send it for signature. An agenda bill package is also in preparation and will be routed for review, along with an unsigned copy of the Ratification and Amendment document.
