TITLE:
AUTHORIZING THE APPROVAL OF AMENDMENT NO. 2 TO
EXTEND AND AMEND AGREEMENT FOR CONSTRUCTION
MANAGEMENT AND INSPECTION SERVICES FOR THE
VISTAKARLSBAD INTERCEPTOR SEWER AND SOUTH
CARLSBAD VILLAGE STORM DRAIN PROJECT WITH POST,
BUCKLEY, SCHUH & JERNIGAN, INC. (PBS&J)
RECOMMENDED ACTION:
Adopt Resolution No. 2004-296 authorizing the approval of amendment no. 2 to extend
and amend the agreement for construction management and inspection services for the
Vista/Carlsbad Interceptor Sewer Reaches VC5B through VCll A, the South Carlsbad Village Storm
Drain, Pavement Overlay, and Water Pipeline, Project Nos. 3182, 3528, 3855 and 3904 with Post,
Buckley, Schuh & Jernigan, Inc. (PBS&J).
ITEM EXPLANATION:
The original agreement with PBS&J allowed for $1,000,000 for construction management and
inspection services of the VistdCarlsbad Interceptor Sewer and South Carlsbad Village Storm Drain
(V/C SSD) project expires on October 6, 2004, which is the last allowable extension. Due to a claim
filed by the contractor (Steve Bubalo Construction Inc.) on the project, the City needs the ability to
retain the services of PBS&J.
PBS&J has provided the City of Carlsbad excellent services on the V/C SSD project. Staff feels that
the continued use of PBS&J is in the City’s best interest in settling the claim.
FISCAL IMPACT:
The amendment to PBS&J’s agreement will allow spending $1 00,000 per contract year. Funding for
this is available in the current CIP budget.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CARLSBAD, CALIFORNIA, AUTHORIZING THE APPROVAL OF
AMENDMENT NO. 2 TO EXTEND AND AMEND THE
AGREEMENT FOR CONSTRUCTION MANAGEMENT AND
INSPECTION SERVICES FOR THE VISTNCARLSBAD
INTERCEPTOR SEWER REACHES VC5B THROUGH VC1 lA,
THE SOUTH CARLSBAD VILLAGE STORM DRAIN, PAVEMENT
OVERLAY, AND WATER PIPELINE, PROJECT NOS. 3182, 3528,
3855 AND 3904 WITH POST, BUCKLEY, SCHUH & JERNIGAN,
INC. (PBS&J).
WHEREAS, the City Council of the City of Carlsbad, California considers it necessary and
in the City and public’s best interest to approve Amendment No. 2 to extend and amend the
agreement for construction management and inspection services for the VistalCarlsbad
Interceptor Sewer Reaches VC5B through VC11 A, the South Carlsbad Village Storm Drain,
Pavement Overlay, and Water Pipeline, Project Nos. 31 82, 3528, 3855 and 3904 respectively,
with Post, Buckely, Schuh & Jernigan, Inc. (PBS&J); and
WHEREAS, the Parties desire to extend the Agreement for a period of one year, ending
on October 6, 2005, with the ability to extend the Agreement for three additional one-year
extensions; and
WHEREAS, the Parties further desire to amend the Agreement’s scope of work to
increase the yearly fees to $1 00,000 per agreement year; and
WHEREAS, the Parties have negotiated and agreed to a supplemental scope of work and
fee schedule, which is attached to and incorporated by this reference as Exhibit “A, Scope of
Services and Fee; and
WHEREAS, the contractor, Post, Buckley, Schuh & Jernigan (PBS&J) possesses the
necessary skills and qualifications to provide the needed services; and
WHEREAS, an amendment to the Agreement with PBS&J has been prepared and
submitted hereto; and
WHEREAS, funding is available in the CIP budget.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad,
California, as follows:
1. That the above recitations are true and correct.

2. That Amendment No. 2 to the Agreement with Post, Buckley, Schuh & Jernigan,
Inc. is hereby approved in the amount of $100,000 per contract year and the Mayor is authorized
and directed to execute said agreement.
PASSED, APPROVED AND ADOPTED at a regular meeting of the Carlsbad City Council
held on the 21st day of September , 2004 by the following vote, to wit:

&J Amendment No. 2 is entered into and effective as of the 22 day of
October 6, 2000 (the “Agreement”) by and between the City of Carlsbad, a municipal
corporation, (“City”), and POST, BUCKLEY, SCHUH & JERNIGAN, INC. (formerly John Powell
& Associates, Inc.), (“Contractor”) (collectively, the “Parties”) for inspection and construction
management services on the Vista/Carlsbad Interceptor Sewer and South Village Storm Drain
project.

RECITALS
A. On October 3, 2003, the Parties executed Amendment No. 1 to the Agreement
to extend the Agreement for a period of one year, ending on October 6, 2004.
B. The Parties now desire to alter the Agreement’s scope of work to increase the
authorized amount by $1 00,000 per contract year; and
C. The Parties desire to extend the Agreement for a period of one year, ending on
October 6, 2005, with the ability to extend the agreement for three additional one-year
extensions.
D. The Parties have negotiated and agreed to a supplemental scope of work and
fee schedule, which is attached to and incorporated in by this reference as Exhibit “A, Scope of
Services and Fee.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor agree as follows:
1. The Agreement, as may have been amended from time to time, is hereby
extended for a period of one year, ending on October 6, 2005, on a time and materials basis
not-to-exceed one hundred thousand dollars ($1 00,000) per contract year.
2. In addition to those services contained in the Agreement, as may have been
amended from time to time, Contractor will provide those services described in Exhibit “A. With
this Amendment, the total annual Agreement amount shall not exceed one hundred thousand
dollars ($1 00,000).
3. City will pay Contractor for all work associated with those services described in
Exhibit “A” on a time and materials basis not-to-exceed one hundred thousand dollars
($100,000). Contractor will provide City, on a monthly basis, copies of invoices sufficiently
detailed to include hours performed, hourly rates, and related activities and costs for approval
by City.

4. Contractor will complete all work described in Exhibit “A by October 6, 2005.
5. All other provisions of the Agreement, as may have been amended from time to
time, will remain in full force and effect.
6. All requisite insurance policies to be maintained by the Contractor pursuant to the
Agreement, as may have been amended from time to time, will include coverage for this
Amendment.

7. The individuals executing this Amendment and the instruments referenced in it
on behalf of Contractor each represent and warrant that they have the legal power, right
and actual authority to bind Contractor to the terms and conditions of this Amendment.
