approving amendments to consultant service agreements with
ITEM EXPLANATION:
On October 7, 2003 City Council approved a contract with NTD Architects, Incorporated for the redesign
of bid documents and to provide revised construction phase architectural seri/ices. On March 9, 2004 City
Council awarded a construction management contract to B&G Consultants for $399,678. The original
completion date for the project was February 2005. However, due to unforeseen weather conditions and
the contractor’s slow progress, the project has gone over on time. The anticipated completion date for the
project is now October 2005, which requires the need for additional funding for the above mentioned
consultant agreements in order for the City to continue utilizing their services.
TITLE: AMENDMENTS TO CONSULTANT SERVICE
AGREEMENTS WITH B&G CONSULTANTS AND NTD ARCHITECTS, INCORPORATED FOR AVIARA COMMUNITY PARK, PROJECT NO. 3699-1
Staff recommends Council approval for an increase to the consultant agreements with B&G Consultants
and NTD Architects, Incorporated in the amounts of $162,500 and $113,096, respectively, in order to
complete the Aviara Community Park project, Project No. 3699-1.
I Budget
ENVIRONMENTAL REVIEW:
On February 6, 2002 the Planning Commission adopted Resolution No. 5108 approving a Mitigated
Negative Declaration and Mitigation Monitoring and Reporting Program for Aviara Community Park finding the project to be in conformance with the requirements of the California Environmental Quality Act,
the State Guidelines, and the Environmental Protection Procedures of the City of Carlsbad.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CARLSBAD, CALIFORNIA, AMEND1 NG CONSULTANT SERVICE
AGREEMENTS WITH B&G CONSULTANTS AND NTD
ARCHITECTS, INCORPORATED FOR AVIARA COMMUNITY PARK,
PROJECT NO. 3699-1.
WHEREAS, the City Council has determined it necessary and in the public interest to construct
Aviara Community Park; and
WHEREAS, an increase in the amount of $275,596 is necessary to continue consultant
services for construction management and redesign and architectural construction phase services; and
WHEREAS, Public Facility Fee funds are available in the Aviara Community Park capital
improvement project budget.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad, California,
as follows:

That funds in the amount of $162,500 AND $1 13,096 are hereby approved to increase
the consultant agreements with B&G Consultants and NTD Architects, Incorporated, respectively, for
the Aviara Community Park project, Project No. 3699-1.
3. That Amendment No. 1 to the construction management agreement with B&G
Consultants is hereby approved and the Mayor and City Clerk are authorized and directed to execute
said amendment.

FOR PROJECT NO. 3699 AVIARA COMMUNITY PARK
(B&G CONSULTANTS)
This Amendment No. 1 is entered into and effective as of the . , . day of
-1 2005, amending the agreement dated “May 4, 2004 (the
“Agreement”) by and between the City of Carlsbad, a municipal corporation, (“City”), and B & G
CONSULTANTSl (“Contractor“) (collectively, the “Parties”) for construction management services
on project no. 3699 Aviara Community Park.

A. The Parties desire to alter the Agreement‘s scope of work to increase the contract
amount by $1 62,500 to include additional Construction Management services beyond the Aviara
Community Park original construction completion date of February 13, 2005, and continue until
the project is completed on or about October 31, 2005, for a total agreement price of $562,178;
and
B. The Parties have negotiated and agreed to a supplemental scope of work and fee
schedule, which is attached to and incorporated by this reference as Exhibit “A, Scope of
Services and Fee.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained
herein, City and Contractor agree as follows:
1. In addition to those services contained in the Agreement, as may have
been amended from time to time, Contractor will provide those services described in Exhibit “A“.
2. City will pay Contractor for all work associated with those services
described in Exhibit “A on a time and materials basis not-to-exceed five hundred sixty-two
thousand one hundred seventy-eight dollars ($562,178). Contractor will provide City, on a
monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates,
and related activities and costs for approval by City.
3. Contractor will complete all work described in Exhibit “A by May 4, 2006,
as provided for in the original agreement dated May 4,2004.
4. All other provisions of the Agreement, as may have been amended from
time to time, will remain in full force and effect.
5. All requisite insurance policies to be maintained by Contractor pursuant to
the Agreement, as may have been amended from time to time, will include coverage for this
Amendment.

6. The individuals executing this Amendment and the instruments referenced
in it on behalf of Contractor each represent and warrant that they have the legal power, right and
actual authority to bind Contractor to the terms and conditions of this Amendment.

Dear Skip:
In accordance with the request of Grant Eklund please find attached our estimate of
Construction Management fees {including staff fees and reimbursabfe expenses) for the
period April 26, 2005 through October 31,2005. These fees are indicated on the attached
Exhibits I and 2, which can be inserted as exhibits to the required Contract Amendment for
our Purchase Order #I 14056 for CM services on the Aviara Park project.
Please be advised that effective April 25, 2005 we have reached the monetary limit of our
original contract amount of $399,678. The additional CM fees set forth in the attached Exhibits
I and 2 provide for continuous, full-time on-site CM services through October 31, 2005, and
will be drawn down on an hourly basis until such time as the actual project completion is
achieved.

increase the contract amount by $3,600 (from $181,202 to $184,802) to include dry utility
consulting design and document revision services; and
B. The Parties desire to alter the Agreement‘s scope of work by increasing the allowable
contract amount by $1 13,096, to include additional Architectural Construction Phase services
and to include an extension of Architectural Construction Administration services beyond the
Aviara Community Park original completion date of February 13, 2005, and continue until the
project is completed on or about October 31 , 2005 for a total contract amount of $297,898; and
C. The Parties have negotiated and agreed to supplemental scope of work and fee

services from June 30, 2005 through project completion. The scope of services
remains per the original agreement between NTDStichler and the City of Carlsbad
executed on 14 October 2003.
