RECOMMENDED ACTION:
Appoint one member to the Carlsbad Tourism Business Improvement District or amend the
ordinance to specify that the Mayor or a Council Member serves on the advisory board.
ITEM EXPLANATION:
At its meeting of Tuesday, January 24, 2006, the City Council asked for an agenda item
either appointing a member to the Advisory Board of the Carlsbad Tourism Business
Improvement District (there exists one vacancy at the present time) or to amend the
ordinance and resolution to authorize the Mayor or a Council Member to serve on the
Advisory Board of Directors.
Those documents are attached for your discussion and action.
ENVIRONMENTAL REVIEW:
This action will have no physical impact on the environment and therefore comports with the
general view that this is not a project within the meaning of the California Environmental
Quality Act. (CEQA regulation 15378(b)).
FISCAL IMPACT:
The fiscal condition of the CTBID would depend upon the availability of revenues and
the activities undertaken by the District. At present there are 35 hotels with
approximately 3600 hotel rooms. While the City does not have access to the specific
data on the number of occupied room-nights at each hotel throughout the year, we do
know that Carlsbad hotels experience an occupancy rate of approximately 66%. This
would equate to an estimated $874,000 in annual revenue each year based on $1.00
per occupied room night. If occupancy were higher, or if additional hotel rooms are
added, the annual revenue figures could be higher.

AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF
CARLSBAD, CALIFORNIA AMENDING SECTION 3.37.100 OF
THE CARLSBAD MUNICIPAL CODE TO SPECIFY THAT THE
MAYOR, MAYOR PRO TEM OR INDIVIDUAL COUNCIL
MEMBER SHALL SERVE ON THE CARLSBAD TOURISM
BUSINESS IMPROVEMENT DISTRICT ADVISORY BOARD.
The City Council of the City of Carlsbad, California does ordain as follows:
SECTION 1: That section 3.37.100 of the Carlsbad Municipal Code is
amended to read as follows:
"3.37.100 ADVISORY BQAR^t
The Advisory Board for\the\distric1j is hereby/appointed pursuant to
Section 36530 of me law. The initial members and the powers and duties of the
Advisory Board shall be set forth in a sep^ratej^solution/adopted by City Council. It
shall be the purpose of the Advisory Board to make recommendations to the City
Council on expenditures for the^programs and activities of the CTBID, to make
recommendations for rts annual budget to be approved by the City Council, and to
provide end of year financial reports of the CTBID/operations as required by the City
Council. The [Mayor, M'ayor Pro Term or an Individual Council Member] (choose one)

TECTIVE D^TE: This ordinance shall be effective thirty days after its
adoption, and the Crty^lerk shall certify the adoption of this ordinance and cause it to

within fifteen days after its adoption.

The Advisory Board for the district is hereby appointed pursuant to Section
36530 of the law. The initial members and the powers and duties of the Advisory
Board shall be set forth in a separate resolution adopted by City Council. It shall be
the purpose of the Advisory Board to make recommendations to the City Council on
expenditures for the programs and activities of the CTBID, to make
recommendations for its annual budget to be approved by the City Council, and to
provide end of year financial reports of the CTBID operations as required by the City
Council. The powers and duties of the Advisory board shall be specified by
resolution of the City Council. The [Mayor. Mayor Pro Tem or an Individual
Council Member] (choose one) shall serve on the Advisory Board. The City
Attorney shall serve as the general counsel of the Advisory Board.

Carlsbad, California as follows:

2. That thexfourth "Whereas" of 'Resolution No. 2005-332 is amended
to read as follows:
"That the Council washes the membership of the committee to contain
14 members representing the largest hbtel businesses with the City/on a permanent basis
.<- and to have otherxriembers representing\other beneficiaries within the City on a
permanent basis, to hav&three other members representing other assessees within the
17 District and to have one Director from\the City Council [Mayor, Mayor Pro Tem or
Council Member] (choose one).
3. That Section 3 of^ResoJutior/No. 2005-332 is amended to read as

"The members shall serve at/the pleasure of the City Council Three
22 members shall be appointed from the largest hotels representing the largest economic

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CARLSBAD, CALIFORNIA, APPOINTING ONE MEMBER TO THE
CARLSBAD TOURISM BUSINESS IMPROVEMENT DISTRICT
(CTBID) ADVISORY BOARD.
WHEREAS, Bill Canepa has resigned from the Carlsbad Tourism Business
Improvement District (CTBID) leaving an unexpired term; and
WHEREAS, a vacancy now exists on the Carlsbad Tourism Business Improvement District
Advisory Board, for a term expiring in November, 2009;
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad,
California, as follows:
1. That the above retitations are true and correct.

Dear Mayor Lewis,
I am writing regarding my recent appointment to the Carlsbad Tourism
Business Improvement District Advisory Board. While I am flattered by this
appointment, I am requesting that Robert Moore, the general manager of the Hilton
Garden Inn Carlsbad Beach be appointed in my place. Mr. Moore has a wealth of
experience that makes him better qualified to serve in this capacity. He has been
our general manager for six years and prior to that for six years was general
manager at a 300 room full- service Hilton on the East Coast. He has also served on
the Carlsbad CVB and is currently on the San Diego North Convention and Visitors
Bureau.
I have spoken to Mr. Moore, and he would be honored to serve on the
Advisory Board. He is prepared to devote the time and energy necessary to make a
valuable contribution toward the Board's success.

I am writing to you at the 11th hour in the hope that you will come to understand my point of view regarding the sole
remaining vacancy on the BID Advisory Board.
Although I am not a big fan of added bureaucracy, increased taxes or fees, I did support the concept of having a business
improvement district in Carlsbad for the purpose of providing additional funding for the Carlsbad Convention and Visi-
tors Bureau. I believed that the composition of the BID advisory Board would be made up of individuals form die Hotel
Industry. However, I know have learned that a proposal is before the council tomorrow night that would amend the
CTBID ordinance, possibly allowing the mayor, mayor pro tern or other council member to sit on this Board.
In all fairness, if agenda bill #18,431 passes, this would be a tremendous injustice to the entire lodging industry in Carls-
bad. After all, the industry that I represent is the same group that originally gave its support for the resolution of inten-
tion. Without that support there would not have been a BID! I have also talked with MANY of my colleagues in town,
and we were all of the collective belief that representation on the BID Advisory Board would be fair and that member-
ship on that Board would be representative of the entire industry and not from just one segment.
It's clear to me that there is something politically going on when this city council cannot agree to seat one of the finest
individuals this industry has to offer up for a seat on that Board. I am speaking of Nancy Nayudu, who is a friend, and
industry colleague, and a fellow Carlsbad Resident. I have never heard Nancy speak ill of anyone, but it sure seems that
some have pretty negative things to say about her and the property she owns. I wonder why? What is so wrong with
favoring Carlsbad and supporting one of your own?
If Agenda Bill #18,431 passes, I am also afraid mat renewal of the BID later this year will run into difficulty. To ignore
about thirty present of the lodging establishments in Carlsbad in favor of packing the board with only properties on the
high end of rooms is a huge mistake. The lodging industry believed that it was going to be in charge of it's own destiny
after the BID was created, but if the current ordinance is changed, this will fly in the face with what we were all told and
led to believe.
I have also heard it said from several on council that the city does not want to invest any more money in tourism. By
having someone from city council on the BID Board, isn't this having your cake and eating it also? Where is the fair-
ness? The obvious here is that the city would still be involved in tourism while using other people's (lodging industry)
money. I really believe the industry will see through this when it comes time to renew the BID. It would be sad to have
this noble idea die after its first year because of some very bad politics.
Please support the industry that has long supported Carlsbad. The TOT last year was over $10 million, and that is not
insignificant.
I am a seemingly hopeful person and I want to believe that this will work out in a way that makes all of us feel good.
But the way itseems to be going, I think there will be more losers than winners if we go in a direction other than in a
way that waysyppose tojue for and about the lodging industry

Dear Ms. Norine Sigafoose:
I understand that during it's upcoming Feb. 7th meeting, the council will be
discussing an appointment to fill Bill Canepa's open seat on the Carslbad TBID
board. In Bill's letter to the council, he has requested that I, the general
manager of the Hilton Garden Inn Carlsbad Beach, be appointed in his place. I
would be honored to. The TBID is about sales and marketing and Bill stated that
my sales & marketing experience would make me more qualified to serve in this
capacity. I have been involved with hotel sales for over 25 years with Hilton and
have been an integral part of the Carlsbad hospitality industry for the last six
years.
I have spent hours reviewing the Carlsbad tourism master plan and I understand
the complexity of hotel sales & marketing for all types of properties. I have not
yet heard from the City regarding the appointment, so I need to make clear that
my interest is in guiding the long-term success and vibrancy of Carlsbad's
tourism industry as a whole. I will serve on this committee in a fair and honest
way and make choices that are for the best interest of Carlsbad hospitality
businesses. I believe in evaluating services based on performance measurement
and not predetermined bias. I look forward to devoting my time and energy to
make this happen.

Re: Tourism Advisory Board
Dear Mayor Lewis:
I was honored when I heard that I had been appointed to serve on the Tourism
Advisory Board for the City of Carlsbad. I have been a fair and involved
businessman in the City of Carlsbad for many years and have made numerous
community contributions. However, because the scope of the Advisory Board is
sales and marketing, I immediately contacted the City Attorney, Ron Ball, to get his
advice on this matter. It was my understanding that the appointments were going to
owners first, but many would chose a general manager because of the expertise a
general manager has in these matters. Mr. Ball suggested I put my request in
writing. I did so, recommending the best person we have for the job.
I would never have stepped down from the position if for one minute I believed our
business would not be represented. The Hilton Garden Inn Carlsbad Beach is the
third largest hotel in Carlsbad and will contribute over $50,000 annually to the
tourism BID. Mayor Lewis, you have even stated that the largest contributors
should serve on this board.
Limited service hotels with 90 rooms or less will produce 24% of the BID revenues.
Currently there are 3 members on the advisory board who represent this limited
service category. Hotels and resorts with over 90 rooms will generate 76% of the
BID revenues.
Currently there are 3 members on the advisory board who represent this category.
Obviously, the limited service properties are well represented, but the mid-level
hotels are not. There are 2 resorts and 1 one mid-level hotel currently on the
advisory board.
Our mid-level hotel should be represented as it was originally recommended. It is
my word that our service and representation on this board will be collaborative, fair
and professional serving the best interest of the hospitality industry as a whole.
