HEAD 44f CITY ATTY. £/^ CITY MGR. . ^ RECOMMENDED ACTION: Adopt Resolution No. 2006-245 authorizing the City Manager to enter into a Memorandum of Understanding with Neighborhood House Association for the Carlsbad City Library Learning Center Project. ITEM EXPLANATION: On June 20, 2006, in Agenda Bill No. 18,601 the City Council awarded the Carlsbad City Library Learning Center construction contract to Telecu Construction Management. As explained in that agenda bill, when the City of Carlsbad acquired the Eureka Place property from the Girls Club, Inc., it also acquired a lease with Neighborhood House Association (NHA) located on the property. NHA is aware of the construction project, the construction schedule, and it desires to remain on the property and continue leasing space from the City. NHA operates a federally-regulated daycare program, Head Start, at the Eureka Place location. In order to comply with their federal regulations, Head Start must maintain a specified amount of play space available for their students. During some phases of construction, Head Start will need more play space than will be available on-site behind the main building. The remainder of play space will be provided through use of a designated portion of Holiday Park. Head Start staff will post signs daily and delineate the area for exclusive use by Head Start staff and students Monday through Friday, between the hours of 9:00 a.m. and 11:30 a.m. City and NHA staffs have met frequently to discuss construction project details. Both parties have agreed that Head Start will remain on-site during construction, utilizing a sequencing- planned work schedule, contained in the project specifications, to accommodate its occupancy. The parties have reached an agreement that has been memorialized in the Memorandum of Understanding attached as Exhibit 1. City staff is requesting approval of the Memorandum of Understanding with Neighborhood House Association. FISCAL IMPACT: The City will expend approximately $15,000 for relocation of the existing play structure located at Eureka Place, which was included in the project budget approved on June 20, 2006, by the City Council. The City will also incur nominal expenses to create signs for the Head Start Program to use when occupying a portion of Holiday Park. If required by Head Start while moving, the City will provide a storage container for a maximum two-week time period. COUNCIL ACTION: APPROVED W CONTINUED TO DATE SPECIFIC D DENIED D CONTINUED TO DATE UNKNOWN D CONTINUED D RETURNED TO STAFF D WITHDRAWN D OTHER - SEE MINUTES D AMENDED U EXHIBIT #1 MEMORANDUM OF UNDERSTANDING WITH NEIGHBORHOOD HOUSE ASSOCIATION FOR THE RELOCATION OF HEADSTART DURING CONSTRUCTION OF CARLSBAD CITY LIBRARY LEARNING CENTER This Memorandum of Understanding ("MOU") is entered into as of H(/_ru_^r f? , 2006 by and between the City of Carlsbad ("City"), and Neighborhood House Association, a non-profit agency ("NHA"), (collectively referred to as the "Parties") with its principal place of business at 5660 Copley Drive, San Diego, CA 92111 agree as follows: RECITALS WHEREAS, City owns the property at 3368 Eureka Place, Carlsbad, California ("Property"); and WHEREAS, NHA's federally funded Head Start Program is presently located in the main building on the property pursuant to a duly executed lease agreement with the City; and WHEREAS, City currently proposes, subject to additional Council direction, to renovate the existing site that includes removing the playground area, landscaping, trees, off-street parking, curbs, and gutters, and demolishing one existing house; construct a new second story to the existing main building, and install a modular building, plus new parking and landscaping as shown on Drawing Number 434-5, Sheets 1 through 144 ("Project"); and WHEREAS, City will contract with NHA's playground relocation vendor (so long as the vendor meets the standard requirements imposed by City on all vendors doing business with the City) at a total cost not to exceed $15,000, so long as NHA enters into this MOU, agrees to relocate its Head Start Program into the modular building that will be installed on the Property, commits to cooperate during the City's renovation and construction of the Project, and amend the current lease agreement or enter into a new lease agreement to reflect the new facility and additional square footage; and WHEREAS, City will assist NHA in relocating the Head Start Program from the main building to the new 4,800 square foot modular building (consisting of four (4) classrooms plus administrative area within classroom space) once the modular building is constructed and approved for occupancy; and WHEREAS, for good and valuable consideration, the receipt and sufficiency acknowledged by the Parties, that the modular building provided by City will provide a larger floor space available for Head Start, and will contain several improvements to benefit NHA and the Head Start Program including washer and dryer connections, bathrooms suitable for small children, special windows etc. Until a new lease agreement is executed, the per square foot lease cost will reflect the current lease (effective July 1st, 2003) adjusted for agreed per annum increase, resulting in a corresponding increase to the total monthly lease amount.; and -Iof5- Revised 07/14/06 WHEREAS, the City will contract with a City approved contractor to perform the necessary construction work required to make the Project improvements described above; and WHEREAS, the City proposes to begin construction of the Project improvements beginning approximately in August 2006 and extending through approximately December 2007; and WHEREAS, the City will provide the contractor's construction schedule to NHA immediately upon receipt; and NOW, THEREFORE, in consideration of the mutual promises, obligations and covenants set forth herein, the CITY and NHA set forth the following MOU: AGREEMENT 1. The above recitals are incorporated into this MOU Agreement by this reference. 2. The City will be sequencing the Project's construction work, as indicated on Exhibit A, Drawing Number 434-5 Sheets 1 through 144 (attached hereto and incorporated herein) with its contractor as indicated on sequencing plans 0 through 6. The City will provide a minimum often (10) working days advanced notice to NHA of implementation of each sequence phase identified on the sequencing schedule plan. NHA shall provide adequate notice to Head Start staff, its students, and others impacted by each sequence phase, and shall cooperate with the City so as to coordinate Head Start's activities in a manner that will not impede the construction of the Project. NHA and Head Start's staff and students (the terms NHA & HS are used interchangeable in this MOU) shall not interfere with the contractor in the construction of the Project. NHA shall not communicate directly with the contractor. NHA may make comments to the City during construction as provided for in Article 2 Notices below. 3. Starting with sequence plan 0 through sequence plan 5, the construction work areas will be contained behind a temporary fence at a location shown on each sequencing plan of Exhibit A. The purpose of the temporary fence is to limit contact between Head Start children, parents, NHA staff, and other individuals visiting Head Start facilities and the contractor's personnel, equipment, material storage, and work areas. • The temporary fence will include a 6-foot high chain link fence with slats to separate the modular building and the main building. The temporary fence will be anchored to the ground minimizing potential trip hazards. The fence will be moved and anchored as shown on each subsequent sequence plan. • It may be necessary for the City's contractor to temporarily move the fence to an alternative location. In this event, the City will discuss the fence movement with NHA and the City will consider any reasonable objection(s) to the proposed fence location. -2 of 5- Revised 07/14/06 • Final site work, shown on Exhibit A sequence plan 6, including paving and landscaping will not be performed behind any temporary fencing, and may result in Head Start's students being in close proximity to City, Contractor or other adults. The City and its contractors will exercise due diligence to ensure that the construction site (areas within our control) are maintained in a safe manner. The supervision of Head Start students rests with NHA/Head Start to ensure the safety of Head Start students and the exposure to non-NHA adults. 4. During sequence plans 0, 1 and 2, Head Start and others associated with NHA will need to use approximately 1,900 square feet of designated space located to the north and east of the main building, and approximately 1,100 square feet of designated playground space at Holiday Park for outdoor activities. Head Start shall have exclusive use of the 1,100 square feet at Holiday Park between the hours of 9-11:30 a.m., Monday through Friday. Head Start shall post signs supplied by the city during their exclusive use of Holiday Park, and retains sole responsibility for staff and students in the Head Start Program during its use. For each day of use by the Head Start program, Head Start staff shall place an adequate demarcation designation around the 1,100 square feet of Holiday Park for its exclusive use. This demarcation indicator must be in place each day immediately before and removed immediately after Head Start's use of Holiday Park. During sequence plans 2 through 5, the City will provide the Head Start program with approximately 3,000 square feet of designated fenced playground space to be located in the proposed parking lot immediately south of the modular building. During sequence plan 6 (Landscaping) Head Start may use Holiday Park in the same manner as provided for during sequence plans 0, 1 and 2 above. 5. All Parties agree to remain flexible and communicate with each other during the construction of the Project to ensure timely completion of the Project. 6. The City's Contractor will provide NHA with 30 days written notice before the Head Start Program will need to vacate the main building and occupy the modular building. At the conclusion of the 30 days, NHA will be provided ten (10) consecutive days to complete its move out of the main building and into the modular building. City will provide personnel to NHA to assist with the moving. If required, City will provide a temporary storage container for a period not to exceed two (2) weeks. By operation of this MOU and on the Head Start program moving into the modular building, that portion of the City - NHA lease agreement that describes the leased premises used by the Head Start Program is hereby modified to reflect that the new lease space shall be the modular building on the Property. 7. The City will provide utility connections to the modular building for use by Head Start. NHA will coordinate internal utilities such as telephones and automatic dialers for their program requirements. 8. NHA will obtain all appropriate temporary licensing for all program operation. - 3 of 5 - Revised 07/14/06 9. Beginning in approximately August 2006 or as directed by the City and extending through December 2007, NHA and Head Start staff members will be allowed to park in available parking spaces on the street, at the park site, or in front of the main building during construction of the Project. 10. The City will provide on-site limited-term parking area (parking may not be striped during construction) for parents to drop-off and pick-up students (children) during the construction of the Project. 11.
