Adopt Resolution No. 2006-293
used in the crafting of an agreement between the City of Carlsbad and the Carlsbad Library and
Arts Foundation for Naming Opportunities within the Carlsbad City Library Learning Center.
ITEM EXPLANATION:
The Carlsbad Library and Arts Foundation was established to engage in the solicitation, receipt
and administration of property and moneys for the benefit of the Carlsbad City Library. Since its
founding in 1999, the Foundation has made generous donations in support of programs,
services and equipment to the Carlsbad City Library and Arts Office.
At its regular meeting of July 26, 2005, the Carlsbad City Council adopted Resolution 2005-233
acknowledging the proposal from The Carlsbad Library and Arts Foundation to raise $1.5
million towards the construction of the Library Learning Center by undertaking a capital
campaign. The Council relied on the representations when approving the Library Learning
Center.
The City of Carlsbad recognizes the importance of acknowledging gifts in a manner that honors
the donor and is consistent with use of the funds. To this end, naming opportunities within the
Library Learning Center have been identified (see Attachment A to Exhibit 1 for suggested
amounts). The Carlsbad Library and Arts Foundation would like to offer these identified naming
opportunities to prospective donors as part of their capital campaign.
If the City Council concurs with the Foundation's request, the guidelines and principles outlined
in Attachment B to Exhibit 1 will be used to craft an agreement between the City of Carlsbad
and the Foundation to establish conditions under which the Foundation may market the naming
opportunities. Adoption of the attached resolution will allow the City Manager, with the
concurrence of the City Attorney, to enter into an agreement with the Foundation under these terms.
FISCAL IMPACT:
All donations received by The Carlsbad Library and Arts Foundation for identified naming
opportunities will be directed to the Foundation's fundraising for the Library Learning Center

and will be turned over to the City of Carlsbad, even if the funds raised exceed the Foundation's
fundraising target. The funds will be used to reimburse the City for part of the cost of building
and equipping the Library Learning Center as set forth in Agenda Bill 18,220 dated July 26,
2005. The current budgeted cost of the project is $6.14 million.
ENVIRONMENTAL IMPACT:
Approval of the principles and guidelines for naming opportunities for the Carlsbad Library and
Arts Foundation does not qualify as a project under the California Environmental Quality Act
(CEQA Guidelines Section 15378) and no environmental review is required.

6 WHEREAS, The Carlsbad City Council relied upon the offer from the Carlsbad
7 Library and Arts Foundation to raise $1.5 million through a capital campaign when
8 approving the Library Learning Center; and
9 WHEREAS, in recognition of the importance of acknowledging gifts in a manner
10 that honors the donor, The Carlsbad Library and Arts Foundation would like to offer
11
naming opportunities to prospective donors as part of the capital campaign; and
12
WHEREAS, certain areas of the Library Learning Center have been identified as
appropriate naming opportunities (Attachment A) and specific principles and guidelines
15 have been proposed for the crafting of an agreement between the City and the
16 Foundation for the process (Attachment B);
17 NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
18 Carlsbad, California, as follows:
19 1. That the above recitations are true and correct.

2. That the City Council approves the principles and guidelines proposed for
21
crafting an agreement for the marketing of the naming opportunities as
2- identified in Attachments A & B.
24 3. That the City Council authorizes the City Manager, with the concurrence of
25 the City Attorney, to enter into an agreement with the Foundation consistent
26 with the guidelines in Attachment B and for the amounts outlined in
27 Attachment A.

ENDOWMENTS

the Donor Appreciation Committee, according to its established procedures.

CARLSBAD CITY LIBRARY
PRINCIPLES AND GUIDELINES FOR NAMING OPPORTUNITIES
FOR THE CARLSBAD LIBRARY AND ARTS FOUNDATION
The Carlsbad City Library welcomes contributions from individuals, corporations
and charitable organizations to enhance and support library and arts facilities and
services. The Carlsbad Library and Arts Foundation was established to engage
in the solicitation, receipt and administration of property and moneys, for the
benefit of the Carlsbad City Library. Since its founding in 1999, the Foundation
has made generous donations in support of programs, services and equipment to
the Library and Arts Office. The Carlsbad Library and Arts Foundation has now
made a commitment to raise $1.5 million toward the construction of the Library
Learning Center by undertaking a capital campaign.
The City of Carlsbad recognizes the importance of acknowledging gifts in a
manner that honors the donor and is consistent with use of the funds. To this
end, naming opportunities within the Library Learning Center have been
identified. The City of Carlsbad authorizes the Carlsbad Library and Arts
Foundation to offer identified naming opportunities to donors they approach with
the following conditions:
» All gifts must meet the goals of the Carlsbad City Library for the Library
Learning Center
« Final approval on naming rests with the City Council or its designee. The
Carlsbad Library and Arts Foundation, the Library Board of Trustees and the
Library Director will act in partnership and in accordance with this agreement to
ensure appropriate management of a process for review and approval of
namings
« Gifts are to be received by the Carlsbad Library and Arts Foundation and
directed to the Foundation's fundraising commitment for the Library Learning
Center
. All funds associated with a naming are to be turned over to the City for the
specific purpose of funding the Library Learning Center, even if the funds
raised exceed the Foundation's fundraising target
« The Carlsbad Library and Arts Foundation will maintain a record of all gifts
associated with namings and provide this to the City of Carlsbad upon request
. The Carlsbad Library and Arts Foundation will enter into an agreement with
donors who wish to have their gift reflected in a naming to ensure the gift is
received in accordance with the process developed
» Named areas within the facility will be identified in a manner mutually
acceptable to the Library Director and the donor. Additional recognition within
the facility will be determined similarly
. The City of Carlsbad reserves the right to offer naming opportunities to
individuals, corporations or charitable organizations wishing to make a gift
directly to the City or the Library
