RECOMMENDED ACTION:
Adopt Resolution No. 2007-117 accepting bids and awarding the contract to Daley Corporation
for the construction of the Widening of Olivenhain Road and Rancho Santa Fe Road, Project No.
3860, and appropriation of funds.
ITEM EXPLANATION:
The project improvements consist of roadway widening improvements along Rancho Santa Fe Road
and Olivenhain Road in the vicinity of the intersection of these two roadways and the Olivenhain
Municipal Water District (OMWD) offices.
In accordance with Conditional Use Permit 02-01, which was issued for the OMWD Campus
development plan, the OMWD is responsible for the design and construction of the roadway widening
improvements along their frontage. In addition to the improvements adjacent to the OMWD property,
the project includes additional widening along Rancho Santa Fe Road and Olivenhain Road in the
City of Carlsbad and along Olivenhain Road in the City of Encinitas. The City of Carlsbad has
appropriated and will utilize Rancho Santa Fe Road funds (collected through proposed CFD#2) for the
roadway improvements in the City of Carlsbad which are not part of the OMWD frontage
improvements. The project improvements to the west along Olivenhain Road within the City of
Encinitas will be funded by the City of Encinitas.
On September 12, 2006, the City Council adopted Resolution 2006-272 approving Reimbursement
Agreements with the City of Encinitas and the OMWD. In accordance with these agreements, both the
City of Encinitas and the OMWD agreed to deposit funds with the City of Carlsbad to cover the costs
of constructing the improvements each is responsible for. The deposit amounts are based on the
successful bidder's proposal and include the cost of each agency's construction items plus a 10%
contingency and an estimated amount to provide construction management services. If the costs of
the project change during the construction and the deposits are insufficient to cover the costs of
construction, the agreements include provisions requiring OMWD and the City of Encinitas to make
additional deposits to fully fund the costs of their associated construction expenses. The agreements
also include provisions to reconcile the actual cost and refund the City of Encinitas and/or the OMWD
if the respective deposits exceed the actual costs as calculated at the end of the project.
On January 23, 2007, the City Council adopted Resolution No. 2007-15, approving the plans and
authorizing the City Clerk to advertise the Widening of Olivenhain Road and Rancho Santa Fe Road
for construction bids. The engineers estimate of the construction cost was $3,400,000. On March 15,
2007, four sealed bids were received, as shown on the following table.

The lowest responsible bidder was Daley Corporation with a bid in the amount of $3,934,864.60.
All bid documents submitted by Daley Corporation have been reviewed by staff, and found to be in
order. Staff recommends that the City Council award the construction contract to Daley Corporation.
The City of Encinitas and the OMWD have deposited the necessary funds, based on the bid results
and the terms of their respective Reimbursement Agreements as shown in the following table.

ENVIRONMENTAL IMPACT:
Based on an agreement between the City of Carlsbad and OMWD, the OMWD served as the lead
agency for the preparation of environmental documents and the City of Carlsbad is the responsible
agency due to the permit authority over the development project. As lead agency, OMWD prepared
the Mitigated Negative Declaration for the project which was adopted on August 27, 2003. As the
responsible agency, the City of Carlsbad made a finding in the approving resolution for the project that
the environmental review is adequate to cover the proposed development and legislative actions.
In regard to the improvements within the City of Encinitas, they performed an Environmental Initial
Study in accordance with CEQA which was circulated for review and comment. The Encinitas
City Council then adopted the Mitigated Negative Declaration on September 4, 2005.

The following table summarizes the current estimate of project costs and funding by responsible

* - These costs, which are to be reimbursed to the OMWD per the Reimbursement Agreement, are listed to
provide a full accounting of the estimated City of Carlsbad project costs which includes planning, design and
construction.
** - These services were contracted and paid for by OMWD and Encinitas and as such the costs of these
services do not have a fiscal impact on the City of Carlsbad nor are they related to the construction deposits.
*** - Per the respective Reimbursement Agreements, OMWD is required to deposit $120,000 for inspection,
construction management services and overhead and the City of Encinitas is required to deposit 4% of the

Sufficient funds have been appropriated by the City of Carlsbad for the City's share of the project
costs.
The City of Carlsbad has received the deposits from the City of Encinitas and the OMWD as required
per the respective Reimbursement Agreements as described above. The deposits from the City of
Encinitas and the OMWD which total $2,185,905 will provide the remaining funding for the project and
are to be appropriated to the project accounts.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
3 CARLSBAD, CALIFORNIA, ACCEPTING BIDS AND AWARDING
A CONTRACT FOR THE CONSTRUCTION OF THE WIDENING
4 OF OLIVENHAIN ROAD AND RANCHO SANTA FE ROAD,
PROJECT NO. 3860. AND APPROPRIATION OF FUNDS.

6 WHEREAS, the City Council of the City of Carlsbad, California, has determined it
necessary, desirable, and in the public interest to construct roadway widening improvements
along Olivenhain Road and Rancho Santa Fe Road in accordance with Project No. 3860; and

WHEREAS, on January 23, 2007, the City Council adopted Resolution No. 2007-15,

approving the plans and authorizing the City Clerk to advertise for construction bids for the
10 Widening of Olivenhain Road and Rancho Santa Fe Road, Project No. 3860; and
11 WHEREAS, four (4) sealed bids were received on March 15, 2007 for the project; and
12 WHEREAS, the lowest responsive, responsible bid for the project was submitted by Daley
13 Corporation in the amount of $3,934,864.60; and
14 WHEREAS, on September 12, 2006, the City Council adopted Resolution No. 2006-272,
15 approving Reimbursement Agreements with the City of Encinitas and the Olivenhain Municipal
16 Water District for the Widening of Olivenhain Road and Rancho Santa Fe Road, Project No.
3860 which require the deposit of funds with the City of Carlsbad prior to awarding the
construction contract; and18
WHEREAS, the City of Encinitas and the Olivenhain Municipal Water District have
19
deposited sufficient funds with the City of Carlsbad as required by their respective
20
Reimbursement Agreements; and
21
WHEREAS, the current appropriations are sufficient to construct the improvements which
22
are the responsibility of the City of Carlsbad and that additional appropriations are required to
23
construct the improvements which are the responsibility of the City of Encinitas and the
Olivenhain Municipal Water District as required to their respective Reimbursement Agreements.

1 NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad,
2 California, as follows:
3 1. That the above recitations are true and correct.
4 2. That the bid of $3,934,864.60 submitted by Daley Corporation, for the construction
of the Widening of Olivenhain Road and Rancho Santa Fe Road, Project No. 3860, is accepted and
the Mayor is hereby authorized and directed to execute a contract with Daley Corporation therefore.
3. That the award of this contract is contingent upon Daley Corporation executing the
required contract and submitting the required bonds and insurance policies, as directed in the
contract, within twenty (20) days of adoption of this resolution. The City Manager may grant
reasonable extensions of time.
4. That the City Manager is hereby authorized to approve construction change orders
for the Widening of Olivenhain Road and Rancho Santa Fe Road, Project No. 3860, up to $393,487.
5. That the deposits from the City of Encinitas and the OMWD which total $2,185,905
