Adopt Resolution No. 2007-133 approving Amendment No. 6 to the professional service
agreement for as-needed materials testing and inspection services with Bureau Veritas North
America, Inc. dba Testing Engineers - San Diego, Inc.
ITEM EXPLANATION:
With the current level of public construction activity within the City, it is desirable to support City staff
with outside professional services to provide materials testing on an as-needed basis. The firm
currently under contract for this purpose is Bureau Veritas North America, Inc., dba Testing Engineers
- San Diego, Inc. (TESD). Due to the testing services provided by TESD on the Carlsbad Municipal
Golf Course under this agreement, it is necessary to increase the authorized contract limit so that
TESD's services may be used on other public construction projects.
Staff recommends that Council approve and authorize the execution of the attached amendment to
TESD's professional services agreement.
ENVIRONMENTAL IMPACT:
None.
FISCAL IMPACT:
The current and proposed maximum amounts payable by the City to TESD is shown in the following
table. Funding for these services is included in the City's Capital Improvement Program, and is
subject to Council approval and the availability of appropriations.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
3 CARLSBAD, CALIFORNIA, APPROVING AMENDMENT NO. 6
TO THE PROFESSIONAL SERVICE AGREEMENT FOR AS-

6 WHEREAS, the City Council of the City of Carlsbad, California considers it necessary
7 and in the public interest to approve and accept Amendment No. 6 to the Professional Services
Q Agreement with Bureau Veritas North America, Inc. dba Testing Engineers - San Diego, Inc.; and
WHEREAS, the Parties desire to extend the Agreement for a period of one year, endingy
on June 30, 2008; and

WHEREAS, the Parties desire to amend the Agreement's scope of work to increase the
11 yearly fees, beginning with the current year, by $300,000 for a total Agreement amount of
12 $750,000; and
13 WHEREAS, the Parties have negotiated and agreed to a supplemental scope of work
14 and fee schedule, which is attached to and incorporated by his reference as Exhibit "A", Scope of
15 Services and Fee; and
1g WHEREAS, the contractor, Bureau Veritas North America, Inc. dba Testing Engineers -
San Diego, Inc. possesses the necessary skills and qualifications to provide the needed services;
and

WHEREAS, an amendment to the consultant agreement with Bureau Veritas North
19 America, Inc. dba Testing Engineers - San Diego, Inc. has been prepared and submitted hereto;
20 and
21 WHEREAS, funding for the subject amendment is available in the City's Capital
22 Improvement Program and is subject to Council approval.
23 NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad,
24 California, as follows:

AMENDMENT NO. 6 TO EXTEND AND AMEND AGREEMENT FOR AS-NEEDED
MATERIALS TESTING AND INSPECTION SERVICES
(BUREAU VERITAS NORTH AMERICA, DBA TESTING ENGINEERS - SAN DIEGO, INC.)
This Amendment No. 6 is entered into and effective as of the " day of
j , 200 9 , extending and amending the agreement dated_
Februa$ 2, 2004 (the "Agreement") by and between the City of Carlsbad, a municipal
corporation, ("City"), and BUREAU VERITAS NORTH AMERICA, INC, DBA TESTING
ENGINEERS - SAN DIEGO, INC. ("Contractor") (collectively, the "Parties") for as-needed
materials testing and inspection services.
RECITALS
A. On June 4, 2004, the Parties executed Amendment No. 1 to the Agreement to
extend the Agreement for a period of one (1) year, expiring on June 30, 2005; and
B. On January 10, 2005, the Parties executed Amendment No. 2 to the Agreement
to increase the yearly fees by $50,000 for a total yearly allowable amount of $250,000; and
C. On April 1 , 2005, the Parties executed Amendment No. 3 to the Agreement to
alter the Agreement's scope of work to increase the yearly fees by an additional $150,000 for a
total yearly allowable amount of $400,000 and to agree to a supplemental scope of work and
fee schedule (AB 18,041, RES 2005-088); and
D. On June 30, 2005, the Parties executed Amendment No. 4 to the Agreement to
extend the Agreement for a period of one (1 ) year ending on June 30, 2006; and
E. On May 30, 2006, the Parties executed Amendment No. 5 to the Agreement to
alter the Agreement's scope of work to increase the yearly fees by an additional $50,000 for a
totally yearly allowable amount of $450,000 and to extend the Agreement for a period of one (1)
year, ending on June 30, 2007; and
F. On April 20, 2007 the Parties entered into an Assignment and Assumption
Agreement assigning Testing Engineers - San Diego, Inc.'s rights and obligations to Bureau
Veritas North America, Inc.
G. The Parties desire to alter the Agreement's scope of work to increase the yearly
fees beginning with the current agreement year by an additional $300,000 for a total yearly
allowable amount of $750,000;
H. The Parties desire to extend the Agreement for a period of one (1) year, ending
on June 30, 2008.
I. The Parties have negotiated and agreed to a supplemental scope of work and
fee schedule, which is attached to and incorporated in by this reference as Exhibit "A", Scope of
Services and Fee.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor agree as follows:
1 . In addition to those services contained in the Agreement, as may have been

this Amendment, the total annual Agreement amount shall not exceed seven hundred fifty
thousand dollars ($750,000).
2. City will pay Contractor for all work associated with those services described in
Exhibit "A" on a time and materials basis not-to-exceed seven hundred fifty thousand dollars
($750,000). Contractor will provide City, on a monthly basis, copies of invoices sufficiently
detailed to include hours performed, hourly rates, and related activities and costs for approval
by City.
3. Contractor will complete all work described in Exhibit "A" by June 30, 2008.
4. All other provisions of the Agreement, as may have been amended from time to
time, will remain in full force and effect.
5. All requisite insurance policies to be maintained by the Contractor pursuant to the
Agreement, as may have been amended from time to time, will include coverage for this
Amendment.

6. The individuals executing this Amendment and the instruments referenced in it
on behalf of Contractor each represent and warrant that they have the legal power, right and
actual authority to bind Contractor to the terms and conditions of this Amendment.
