CITY MANAGER (jU-^ RECOMMENDED ACTION: Adopt Resolution No. 2010-018 streetlights from US Lighting Tech, Inc. ITEM EXPLANATION: authorizing the purchase of energy efficient inductive On May 19, 2009, Council approved Resolution 2009-119 authorizing staff to submit a request to the Federal Government for the Energy Efficient Block Grant, apply to the California Energy Commission for a low interest loan to be put towards lighting retrofits, and to solicit proposals for the retrofitting of the City's street lights. On September 22, 2009 Council approved Resolution 2009-235 accepting Energy Efficiency and Conservation Block Grant (EECBG) funds from the US Department of Energy to partially fund the streetlight retrofit and re-lamping project, and authorizing the City Manager or designee to sign documents accepting the grant funds. Staff prepared bid documents and in accordance with Section 3.28.050 of the Municipal Code, the City Clerk published a Notice Inviting Bids and bid packages were mailed to 13 vendors. On September 24, 2009, twenty six bids were received, opened, witnessed, and recorded. The bids ranged from $1,321,922 to $2,806,385. The minimum qualifications are listed below. • The Manufacturer of the proposed luminaires is required to have a minimum of seven (7) years in business manufacturing outdoor municipal street lighting. The Vendor shall provide and attach documentation to the bid verifying this experience. • The Vendor is required to provide proof of commercial delivery of at least 1,500 inductive lighting fixtures similar to the items in this request for bids to municipal agencies or other private entities within the United States of America in the past year. This submittal should indicate to whom the items were delivered, and the total number that have been installed to date. The Vendor shall provide and attach documentation to the bid verifying this experience. • The Vendor is required to be a manufacturer's authorized distributor for inductive streetlight luminaires and inductive streetlight retrofit kits that are submitted in this request for bids. The Vendor shall provide and attach documentation to the bid verifying their status as a manufacturer's authorized distributor. • Any Vendor that fails to provide the required proof of qualifications shall have their bid declared "Non-Responsive" and their bid shall not be considered for this procurement. By submission of a bid, Vendor's agree that the City of Carlsbad shall make the sole determination as to the Vendor meeting these minimum qualifications. The non-responsive bidders and the reasons for their disqualification are listed below. • West Light Supply. No proof of delivery of 1500 induction fixtures in the U.S. No proof of 7 years experience manufacturing outdoor streetlights. No proof of factory authorized distributor relationship. • Crescent Electric Supply. No proof of delivery of 1500 induction fixtures in the U.S. No proof of 7 years experience manufacturing outdoor streetlights. No proof of factory authorized distributor relationship. • Munro Electric Supply. No proof of delivery of 1500 induction fixtures in the U.S. No proof of 7 years experience manufacturing outdoor streetlights. No proof of factory authorized distributor relationship. • Pacific Lighting. No proof of delivery of 1500 induction fixtures in the U.S. No specifications or information on the proposed lighting fixtures was included in the bid. Staff recommended, and received approval to perform a two part Best Value evaluation process for the procurement. The initial evaluation included reviewing the bids for the following pre-approved criteria. Cost, responsiveness to specifications, ability to provide goods and warranty service, delivery schedule, and unspecified value added options. The total score possible on the initial evaluation was 480 points. A final evaluation was recommended and approved that consisted of a physical evaluation of sample fixtures from the highest scoring bids from the initial Best Value evaluation. The criteria for the final evaluation included conformance with specifications, aesthetic quality, overall quality, performance and quality of retrofitting kits. The total score possible on the final evaluation was 25 points. The 21 responsive bids were evaluated and scored by staff. Four bidders with scores of 400 points or more, out of a possible 480 were selected to provide sample fixtures for consideration for the procurement. The finalists and their bid amounts are included below. • Full Spectrum Solutions. $1,622,246 • All Green Lighting. $1,666,338 • US Lighting Tech. $1,688,153 • Gexpro. $1,837,801 Sample fixtures were requested and were provided by all four finalists. Staff inspected all the fixtures for conformance with specifications, aesthetic quality, overall quality, performance and quality of retrofitting kits in addition to the previously selected best value criteria. Sample fixtures from each finalist were installed by staff and were reviewed for ease of installation and ability to service and repair the fixtures. In addition, the quality of the light photo metrics, glare and color were considered. PageS After a thorough evaluation and testing process staff completed the final Best Value evaluation. Staff has determined that the product from US Lighting Tech, Inc. was the highest overall quality product, most closely met the specifications required, is most easily installed and serviced and was competitively priced. Staff subsequently met with the Purchasing Officer to discuss the review process, presented the actual sample fixtures for review and submitted our final recommendation to the Purchasing Officer for review and approval. The final ranking of each vendor is listed below: • Full Spectrum Solutions. 13 Points • All Green Lighting. 18 Points • US Lighting Tech 22 Points • Gexpro. 17 Points The Purchasing Officer reviewed staff's Best Value submittal and subsequently approved the recommendation that the products from US Lighting Tech are the Best Value to the City of Carlsbad. Staff is recommending that Council award the procurement agreement to US Lighting Tech. Best Value evaluation documents are on file at the General Services department. Installation of the lights will be performed by combination of City staff and installation contractors. The selection of the installation contractors will be determined by a separate process. ENVIRONMENTAL IMPACT: Staff estimates that the change in technology will reduce the City's current power consumption for street lighting from 5,118,967 kilowatt hours per year to 2,040,898 kilowatt hours per year. This is a reduction of 3,078,049 kilowatt hours (60%) annually. In terms of greenhouse gas reduction, this project will result in the reduction of 1,240 tons annually, the equivalent of taking 170 cars off the road for a year, or planting 124,046 trees. Additionally, the technology used in induction lamps greatly reduces the amount of mercury used, resulting in diminished need for hazardous waste disposal, and reduces both costs to the City and impacts to the environment. Approximately one-tenth the amount of mercury used in high pressure sodium lighting is used in induction fixtures. The form of mercury used in induction lamps is a solid versus a liquid or gaseous form in high pressure sodium lamps, which makes it much easier to recover and recycle at the end of the lamps useful life. The project is exempt from the provisions of the California Environmental Quality Act (CEQA) pursuant to Section 15061(b)(3). The activity is covered by the general rule that CEQA applies only to projects which have the potential for causing a significant effect on the environment. Where it can be seen with certainty that there is no possibility that the activity in question may have a significant effect on the environment, the activity is not subject to CEQA. Page 4 FISCAL IMPACT: There are sufficient funds in the project budget to cover the expense of the induction lamps' acquisition and the estimated cost of the induction lamps' installation. The original total estimated cost of this project was $3,032,000. Council has previously appropriated funds for the Energy Efficiency and Conservation Block Grant and the Loan amount shown in the table below. Additionally, the CDBG allocation was previously appropriated during the FY 2009/10 CDBG/HUD program funding authorization process. The SDG&E incentives will occur later in the Streetlight Retrofit Project process. Should these lower estimates be correct, the projected savings will reduce the total amount of the Loan necessary to help finance this project which will reduce the overall cost of the project. Reducing the overall project cost will provide a benefit to the Citizens of Carlsbad and the lighting district rate payers. Based on current known and estimated costs, staff is projecting a payback period for this project of 3.6 years, using energy and maintenance cost savings. Staff estimates switching to induction street lights will reduce energy costs for Street Lighting by approximately $290,000 annually. Additionally, maintenance costs are projected to decrease by an additional $100,000 annually due to extended life spans and warranties for induction lamps. The total anticipated annual savings from this project are $390,000. EXHIBITS: 1. CONTRACT 10-03. 5 WHEREAS, the City Council adopted Resolution 2009-235, authorizing the solicitation of g bids for inductive street lighting procurement; and 7 WHEREAS, 26 bids were received, opened, witnessed and recorded on September 24, 8 2009; and 9 WHEREAS, bids have been received by the City of Carlsbad, California to procure high 10 efficiency inductive street lights; and 11 WHEREAS, five of the bids received did not meet the minimum qualifications required of 12 bidders for the inductive street lighting; and 13 WHEREAS, the five bids that did not meet the minimum qualifications required to bid on 14 the procurement were submitted by West Light Supply, Green E Solutions, Crescent Electric 15 Supply, Munro Electric Supply, and Pacific Lighting; and 16 WHEREAS, a best value evaluation consistent with Carlsbad Municipal Code Section 17 3.28.050 was performed by staff and has resulted in staff's determination that the bid submitted 18 by US Lighting Tech at $1,688,153 is the best value to the City of Carlsbad; and 19 WHEREAS, staff recommends award of the contract for Bid 10-03 Inductive Streetlights 20 and Inductive Streetlight Retrofit Kits to US Lighting Tech, Inc., in an amount not-to-exceed 21 $1,688,153. 22 NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad, 23 California, as follows: 24 1. NOES: None. ABSENT: None. ATTEST: E M. WOOD, City Clerk O 7 CITY OF CARLSBAD CONTRACT #10-03 INDUCTIVE STREETLIGHTS AND INDUCTIVE STREETLIGHT RETROFIT KITS U.S. Lighting Tech, Inc. THIS AGREEMENT is made and entered into as of the oJ~? day of 2Q3p; by and between the CITY OF CARLSBAD, a municipal corporation, ("Citp), and U.S. Lighting Tech, Inc., a California Corporation, ("Contractor"). RECITALS A. The parties contemplate that the City will purchase from Seller and Seller will sell to City, Inductive Streetlights and Inductive Streetlight Retrofit Kits on an ongoing basis. B. To expedite these contemplated purchases, the parties are willing to enter into a non- exclusive agreement that sets forth the terms and conditions that will govern all such transactions between them. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. Definitions 1.1. Buyer. With respect to purchase orders issued by City, the term "Buyer" means City. With respect to orders issued by another Public Agency, the term "Buyer" means that Public Agency. 1.2 Products. The term "Product" means those items for which Buyer issues to Seller a purchase order during the term of this Agreement. Product and specific terms are described in Request for Bid #10-03 Inductive Streetlights and Streetlight Retrofit Kits, the Specifications and General Provisions attached and incorporated by reference in accordance with the terms and conditions set forth in this agreement. 2. Issuance Of Purchase Orders. Buyer may issue purchase orders to Seller from time to time for the Products. Each purchase order shall contain a description of the Products ordered, the quantities and prices, the terms and place of delivery, and will reference City of Carlsbad Bid #10-03. Every purchase order issued by Buyer to Seller following the date of this Agreement and bearing such a notation shall be governed by and be deemed to include the provisions of this agreement. In the event of any inconsistency between the terms and conditions of the Agreement, the Request for Bids, the Specifications or a purchase order, the inconsistency will be resolved in the following descending order of precedence: this Agreement, the Purchase order, the Request for Bids, and the Specifications. If the Vendor indicates "Yes" on the Public Agency Clause, any Public Agency will indicate its specific requirements on its purchasing documents/The City assumes no responsibilities for any order placed by any Public Agencies. Delivery address and instructions will be on each Participating Agency's order. There will be no minimum order and all items must be available for the term of this agreement. All items will be delivered F.O.B. Destination, Freight Prepaid and Allowed, and at the prices set forth in the bid. 3. Term. This Agreement will be effective for a period of one (1) year from the date first above written. The City Manager may extend and amend the agreement for up to two (2) City of Carlsbad Contract #10-03 Agreement for Inductive Streetlights and Inductive Streetlight Retrofit Kits Page 11 additional one (1) year periods, subject to Seller's continued satisfactory performance under this agreement and the appropriation of funds by the City. In such event, the parties will prepare a written amendment, indicating the effective date of the amendment and the length of the extended Agreement. 4. Compensation. The Contractor's materials delivery will be paid on an agreed price basis for each bid items as indicated in Exhibit "A". The total payable during the initial Agreement term will not exceed one million, six hundred eighty-eight thousand, one hundred fifty-three dollars ($1,688,153). The total payable in each subsequent Agreement period will not exceed one hundred fifty thousand dollars ($150,000). No other compensation will be allowed except for items covered by subsequent amendments to this Agreement. The City reserves the right to withhold a ten percent (10%) retention until City has accepted the materials specified in the Contractor's proposal. 5. Termination. City may terminate this agreement at any time with thirty (30) days written notice to Seller. Seller may terminate this Agreement at any time with ninety (90) days written notice to the City. 6. Delivery. A. The delivery for purchase orders placed pursuant to this agreement shall be as specified in the Request for Bids, the Specifications, and the General Provisions. B. Time is of the essence on orders and delay in delivery will cause injury to the ordering agency. Resulting damages cannot be calculated with any degree of certainty. The vendor shall be subject to liquidated damages to be deducted from the contract price in the sum of $1.00 per luminaire and $1.00 per retrofit kit for each calendar day that delivery exceeds the contractual delivery schedule. C. Should the Contractor be obstructed or delayed in the work required to be done hereunder by any act or omission of the City or ordering agency or by strikes, an act of God, or by the inability to obtain materials or equipment, then the time of completion shall be extended for such period as may be agreed. D. Notwithstanding any other provision of this agreement, if delivery cannot be made as indicated in the contractual delivery schedule after receipt of order, Buyer may, upon knowledge of the fact and whether or not the delay would be excusable, terminate the order by written notice to Seller. The termination shall be without cost to Buyer and shall discharge all obligations and liabilities of the parties under the order except as to Products delivered and accepted previously. 7. Passage of Title and Risk of Loss. Unless otherwise specified in a particular purchase order placed pursuant to this agreement, title to and risk of any loss of or damage to the Products shall pass from Seller to Buyer when the Products are accepted by the Buyer. 8. Seller shall inspect and test all Products prior to shipment to Buyer. In addition, all Products shall be subject to final inspection and acceptance by Buyer at Buyer's facility in Carlsbad, California. Final inspection and acceptance or rejection will be made by Buyer within ninety (90) days after receipt of Products, and failure of Buyer to reject any Product within ninety (90) days after receipt shall constitute acceptance. Should Buyer reject any Product for failure to conform to the requirements of an order, Buyer shall notify Seller of the rejection, giving detailed City of Carlsbad Contract #10-03 Agreement for Inductive Streetlights and Inductive Streetlight Retrofit Kits Page | 2 reasons for the rejection. Seller shall then have the option to repair or replace the nonconforming Product within ten (10) days at Buyer's facility. If Seller fails to act to correct any nonconforming Product within this time period, then Buyer may return any nonconforming Product to Seller. Rejected items to be returned to Seller shall be shipped at Sellers risk and expense. 9. Warranty. Seller warrants to Buyer that all Products delivered under this Agreement shall be free from defects in materials and workmanship, that all Products will conform to the requirements of the order including, but not limited to, the applicable descriptions, specifications, and drawings agreed to by the parties and, to the extent the items are not manufactured pursuant to detailed designs furnished by Buyer, that all Products will be free from defects in design and suitable for the intended purposes. In addition, Seller warrants that all Products will, at the time of delivery, be free from any security interest or other lien or encumbrance. 10. Indemnification. Contractor agrees to indemnify and hold harmless the City and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses including attorneys fees arising out of the performance of the work described herein caused by any negligence, recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. 10. Notices. All notices and other communications required or authorized under this agreement shall be given in writing either by personal delivery or by first class mail addressed to the respective party. 11. Compliance With Laws. Contractor will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment and, if required, will obtain and maintain a City of Carlsbad Business License for the term of this Agreement and any amendments to the agreement. 12. Claims and Lawsuits. By signing this Agreement, Contractor agrees it may be subject to civil penalties for the filing of false claims as set forth in the California False Claims Act, Government Code sections 12650, et seq., and Carlsbad Municipal Code Sections 3.32.025, et seq. Contractor further acknowledges that debarment by another jurisdiction is grounds for the City of Carlsbad to terminate this Agreement. 13. Venue and Jurisdiction. Contractor agrees and stipulates that the proper venue and jurisdiction for resolution of any disputes between the parties arising out of this Agreement is the State Superior Court, San Diego County, California. 14. Assignment. Contractor may assign neither this Agreement nor any part of it, nor any monies due or to become due under it, without the prior written consent of City. 15. Amendments. This Agreement may be amended by mutual consent of City and Contractor. Any amendment will be in writing, signed by both parties, with a statement of estimated changes in charges or time schedule.
