DIRECTOR CITY ATTORNEY CITY MANAGER RECOMMENDED ACTION: Consider the San Diego Association of Governments' request for additional funds for Phase 3 ofthe Regional Beach Sand Project II, and make a determination to: A. Accept the request, and adopt Resolution No. 2012-037 authorizing the Mayor to execute Amendment No. 3 to the Memorandum of Understanding with the San Diego Association of Governments, supporting Phase 3 ofthe Regional Beach Sand Project II, and committing $225,000 of previously appropriated funds to the project's construction contingency, or B. Decline the San Diego Association of Governments' request for $225,000 in additional funds for Phase 3 ofthe Regional Beach Sand Project II. ITEM EXPLANATION: On May 5, 2009 the City Council adopted Resolution No. 2009-084 authorizing the Mayor to execute a Memorandum of Understanding with the San Diego Association of Governments (SANDAG), supporting the Regional Beach Sand Project II (RBSP II) and committing to funding the engineering design and environmental documents for a region-wide beach nourishment project (Phase 1). On January 25, 2011 the City Council adopted Resolution No. 2011-010 authorizing the Mayor to execute Amendment No. 1 to the Memorandum of Understanding with SANDAG, committing to funding biological and shoreline monitoring, planning contingency as needed to fulfill permitting requirements (Phase 2), and construction/construction management (Phase 3) of the project. Amendment No. 2 to the Memorandum of Understanding was specific to the City of Imperial Beach and approval by Carisbad was not necessary. During the last quarter of 2011, SANDAG advertised for and received bids for RBSP II, Phase 3 ofthe project, which is expected to begin pumping sand onto the region's beaches beginning in the summer of 2012. According to the project design, the two beach nourishment sites within Carisbad are expected to receive a combined total of 340,000 cubic yards of sand. Four bids were received for Phase 3 of the project, and all four bids were higher than the engineer's estimate - including standard contingency funds. The lowest bid was approximately 14 percent (or $2,000,000) higher than the engineer's estimate. The attached draft Amendment No. 3 to the SANDAG Memorandum of Understanding requests that Carisbad commit an additional $225,000, to the RBSP II construction contingency. The draft amendment also reflects requests for additional funding of Phase 3 of RBSP II to the Cities of Solana Beach ($173,360) and Encinitas ($225,000). SANDAG did not request additional funding from the Cities of Oceanside and Imperial Beach due to their previously asserted financial commitments, and the Cities of Coronado, San Diego, and Del Mar decided not to be included in the project. SANDAG has independently calculated the amount of additional funding needed from each city. SANDAG has also applied for two grants, which it anticipates will aide in offsetting the aforementioned shortfall between the available funds for this phase of the project and the lowest bid received. (2) The City of Imperial Beach is combining previously approved funds to purchase 425,000 cy of additional sand. (3) Previously adjusted permitted sand quantities to meet RBSP II budget constraints (-11 %). In addition to the above financial contributions, the California Department of Boating and Watenways has contributed $19.5M towards RBSP II which equates to 85% of project costs. The contributions outlined above are intended to provide the 15% local match of project costs. Options B. Approve SANDAG's request to provide increased funding support - in the amount of $225.000 - for Phase 3 of RBSP II. and adopt the requisite resolution. According to SANDAG, if each of the three requested cities provides the corresponding increased funding, it will be in a position to execute a construction contract with the lowest bidder. Presuming the contract is executed, the contractor could begin pumping sand on to the region's beaches in June/July, 2012. Decline SANDAG's request to provide increased fundinq support - in the amount of $225.000 - for Phase 3 of RBSP II. As indicated, the lowest responsible bid is in excess of the current funding needed to construct the project. Without adequate funds, SANDAG would be required to consider revising the project scope, and the quantities of sand on the receiver beaches, to bring Page 3 the project costs in line with the previous funding contributions from the participating cities. Project element revisions could include: eliminating a beach nourishment site; reducing the quantities of sand on the receiver beaches by up to 25%; or discontinuing the project due to lack of adequate funds. In addition, changes to the project scope or the elimination of beach nourishment sites may require the project to be re-bid, thereby delaying the project for up to 4-6 months. SANDAG has indicated this option is not its preference, and recommends awarding the contract as previously permitted and bid. FISCAL IMPACT: On September 12, 2006 the City Council authorized the Carisbad Beach Preservation Committee to apply for Agricultural Conversion Mitigation Fee (ACMF) funds for the implementation of a local beach nourishment project. On February 13, 2007 the City Council approved the Agricultural Conversion Mitigation Fee Ad Hoc Citizens Committee's recommendation to appropriate $1,500,000 forthe beach nourishment project (AGP 06-10). Since that date, the city has disbursed $659,059 in awarded ACMF to RBSP II - $74,500 for the preparation of a feasibility study, $41,936 for Phase 1, $65,150 for Phase 2, and $477,473 for Phase 3 of the project, leaving an available project balance of $840,941. If the City Council were to execute Amendment No. 3 to the Memorandum of Understanding with the San Diego Association of Governments, staff would disburse $225,000 in ACMF funds (AGP 06-10). A balance of $615,941 would remain available for future local beach nourishment projects. ENVIRONMENTAL IMPACT: California Environmental Quality Act (CEQA) Guidelines Section 15061(b) (4) states a project is exempt from CEQA if it is denied. However, if the City Council decides to execute Amendment No. 3 to the MOU, the appropriation of funds does not qualify as a "project" under the California Environmental Quality Act (CEQA) per Public Resources Code Section 21065 and State CEQA Guidelines Section 15378 in that it has no potential to cause either a direct physical change in the environment or a reasonably foreseeable indirect physical change in the environment and therefore does not require environmental review. Amendment No. 3 to Memorandum of Understanding 5001253 between the San Diego Association of Governments and the cities of Carisbad, Encinitas, and Solana Beach, regarding the Regional Beach Sand Project II. 3 1 RESOLUTION NO. 2012-037 4 2 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD, CALIFORNIA AUTHORIZING THE MAYOR TO ^ EXECUTE AMENDMENT NO. 3 TO THE MEMORANDUM OF UNDERSTANDING WITH THE SAN DIEGO ASSOCIATION OF GOVERNMENTS SUPPORTING PHASE 3 OF THE 5 REGIONAL BEACH SAND PROJECT II, AND COMMITTING $225,000 OF PREVIOUSLY APPROPRIATED FUNDS TO 6 THE PROJECT'S CONSTRUCTION CONTINGENCY 7 8 WHEREAS, the City Council of the City of Carlsbad, California has determined it 9 necessary and in the public interest to execute Amendment No. 3 to the Memorandum 10 of Understanding with the San Diego Association of Governments (SANDAG), 11 supporting Phase 3 of the Regional Beach Sand Project II (RBSP II), and committing 12 $225,000 of previously appropriated funds to the project's construction contingency; and 13 WHEREAS, the region's coastal cities, including the Cities of Encinitas, Imperial 14 Beach, Oceanside, and Solana Beach have entered into a Memorandum of 15 Understanding with SANDAG for the implementation of the 2012 RBSP II; and 16 WHEREAS, on May 5, 2009 the City Council adopted Resolution No. 2009-084 17 authorizing the mayor to execute the Memorandum of Understanding with SANDAG for 18 which the other participating cities had previously executed, supporting the RBSP II and 19 committing to funding engineering design and environmental documents (Phase 1); and 20 WHEREAS, on January 25, 2011 the City Council adopted Resolution No. 2011- 21 010 authorizing the Mayor to execute Amendment No. 1 to the Memorandum of 22 Understanding with SANDAG, supporting RBSP II and committing to funding biological 23 and shoreline monitoring, planning contingency as needed to fulfill permitting 24 requirements (Phase 2), and construction/construction management (Phase 3) of the 25 project; and 26 27 28 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 WHEREAS, Amendment No 2 to the Memorandum of Understanding was specific to the City of Imperial Beach and SANDAG with respect to an ongoing Army Corps of Engineers project. Amendment No. 2 did not have an effect on Carisbad; and WHEREAS, SANDAG advertised for and received bids for Phase 3 of RBSP II, which is projected to begin pumping sand onto the region's beaches beginning in the summer of 2012; and WHEREAS, the two beach nourishment sites within Carisbad are expected to receive a combined total of 340,000 cubic yards of sand; and WHEREAS, Four bids were received for Phase 3 of the project, and all four bids were higher than the engineer's estimate - including standard contingency funds ; and WHEREAS, additional funds are needed by SANDAG in order to award the construction contract for this phase ofthe project, as designed and bid; and WHEREAS, the proposed Amendment No. 3 to the Memorandum of Understanding with SANDAG requests that Carisbad commit an additional $225,000, to the RBSP II construction contingency; and WHEREAS, the draft amendment reflects like requests for the additional funding of Phase 3 of RBSP II to the Cities of Solana Beach ($173,360) and Encinitas ($225,000); and WHEREAS, SANDAG did not request funding contributions from the Cities of Oceanside and Imperial Beach to fund the project's construction contingency due to their previously asserted financial commitments. The Cities of Coronado, San Diego, and Del Mar were eliminated from the project and will not receive sand; and WHEREAS, if each of the three requested cities provides the corresponding increased funding, SANDAG will be in a position to execute a construction contract with the lowest bidder; and 5 WHEREAS, the California Department of Boating and Watenways has contributed $19.5M towards RBSP II which equates to 85% of project costs. The contributions outlined are intended to provide the 15% local match of project costs: and WHEREAS, on February 13, 2007 the City Council allocated $1,500,000 in funding for the implementation of a Carlsbad Beach Nourishment Project, a stand-alone project that would nourish beaches along the Carisbad coastline through the Agriculture Conversion Mitigation Fee funds; and WHEREAS, on November 6, 2007 the City Council approved Resolution No. 2007-288 recognizing SANDAG as the appropriate agency to coordinate the efforts of the coastal cities for the development of a regional beach nourishment project, and determined it was appropriate and beneficial to join the region-wide effort and implement the Carisbad Beach Nourishment Project as part of a regional, rather than local only project; and WHEREAS, adequate funds remain in the Agricultural Conversion Mitigation Fee fund (AGP 06-10) for the Carisbad Beach Nourishment Project to pay for the requested increase in Phase 3 ofthe RBSP II; and WHEREAS, the City Council finds it is in the best interest of the citizens of Carisbad to fund the construction contingency account in order to implement a region- wide beach nourishment effort. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad, California as follows: 24 2. That the Mayor of the City of Carisbad California is authorized to execute Amendment No. 3 to the Memorandum of Understanding with the San Diego Association of Governments, supporting Phase 3 of the Regional Beach Sand 2g Project II and committing to funding the project's construction contingency. 27 28 1 3. WOOD, City Clerk...,,,, 18 (SEAL) ^if^"^ywk^ 19 20 21 22 23 24 25 26 27 28 n AMENDMENT NUMBER THREE TO MEMORANDUM OF UNDERSTANDING 5001253 BETWEEN SAN DIEGO ASSOCIATION OF GOVERNMENTS AND THE CITIES OF CARLSBAD, ENCINITAS, AND SOLANA BEACH REGARDING REGIONAL BEACH SAND REPLENISHMENT PROJECT II SANDAG CONTRACT NO. 5001253 This Amendment 3 to Memorandum of Understanding ("Amendment 3") is made and entered into effective as of this day of , 2012, by and between the San Diego Association of Governments ("SANDAG") and the cities of Carlsbad, Encinitas, and Solana Beach. RECITALS The following recitals are a substantive part of this Amendment: WHEREAS, this Amendment 3 only amends the terms and conditions of the underlying MOU, as described herein, as to the cities of Carlsbad, Encinitas, and Solana Beach, and SANDAG; and no other party to the underlying MOU is impacted by the terms and conditions of this Amendment 3; and WHEREAS, SANDAG received a grant of funds from the California Department of Boating and Waterways (DBW) in the amount of $19.5 million for implementation of the Regional Beach Sand Project II (the "Project") in the San Diego region; and WHEREAS, the DBW funding requires a 15 percent local match to be paid by the San Diego region for all DBW funds expended on the Project; and WHEREAS, the region's coastal cities, including the cities of Carlsbad, Encinitas, and Solana Beach, committed to provide the 15 percent match for the additional Project funds by entering into a Memorandum of Understanding with SANDAG; and WHEREAS, in June 2009, the region's coastal cities, including the cities of Carlsbad, Encinitas, and Solana Beach, entered into Memorandum of Understanding (SANDAG Contract No. 5001253) to implement phase one of the Project on a regional basis; and WHEREAS, in August 2011, the region's coastal cities, including the cities of Carlsbad, Encinitas, and Solana Beach, amended Contract No. 5001253 to implement phases two and three ofthe Project on a regional basis; and WHEREAS, as part of the Project memorialized in SANDAG Contract No.# 5001253, the cities of Carlsbad, Encinitas, and Solana Beach were to receive 383,000, 441,000, and 140,000 cubic yards of sand respectively; and WHEREAS, in order to bid the Project, SANDAG requested that changes to the Project be made that align revenues with expenses based upon the engineer's probable opinion; and WHEREAS, the Project sand quantities were reduced by 11 percent and the receiver site at Leucadia beach in the City of Encinitas was removed and included as an additive alternative in the Invitation for Bids; and WHEREAS, the 11 percent reduction will allow for the placement of 340,000 cubic yards in the City of Carlsbad, 286,000 cubic yards in the City of Encinitas, and 140,000 cubic yards in the City of Solana Beach; and WHEREAS, four bids were received for the Project and all were higher than the engineer's probable opinion with the lowest bid approximately 14 percent higher, and WHEREAS, additional funds need to be secured in order to award the Project; and WHEREAS, the cities of Carlsbad, Encinitas, and Solana Beach have each agreed to provide $225,000, $225,000, and $173,360, respectively, in additional funds for the placement of sand at their respective receiver sites, which additional monies were not included in Contract No. 5001253 as part of the Project; and WHEREAS, SANDAG will invoice the cities of Carlsbad, Encinitas, and Solana Beach for the additional funds prior to the Project being constructed; and WHEREAS, SANDAG will oversee the construction crew and ensure placement of material at each receiver site; and WHEREAS, SANDAG has obtained Project permits allowing for the maximum placement of material at the receiver sites in the cities of Carlsbad, Encinitas, and Solana Beach to be 383,000, 441,000, 140,000 cubic yards of sand respectively; and WHEREAS, the final sand quantity to be placed at the receiver sites in the cities of Carlsbad, Encinitas, and Solana Beach will be determined after SANDAG's award of a Project construction contract; and WHEREAS, SANDAG will work with the cities of Carlsbad, Encinitas, and Solana Beach to determine the final sand quantity based on available funds with the goal of placing the maximum quantities allowable; NOW THEREFORE, in consideration of the mutual promises set forth herein, the parties agree as follows: AGREEMENT SANDAG AGREES: 1. To manage the placement of sand in coordination with the cities of Carlsbad, Encinitas, and Solana Beach; and involve city staff in the implementation of the Project. 2. The SANDAG Project Manager will invoice the cities of Carlsbad, Encinitas, and Solana Beach prior to Project construction. 3. The additional funds provided by the cities of Carlsbad, Encinitas, and Solana Beach, as indicated in the Recitals above, will be expended by SANDAG solely for the Project. Any funds not used will be kept by SANDAG in an interest-bearing account with interest credited to the cities of Carlsbad, Encinitas, and Solana Beach, and kept separate from previous funds provided by the cities of Carlsbad, Encinitas, and Solana Beach. Contributions will be kept until the completion of the Project and any unused portion will be returned to the cities of Carlsbad, Encinitas, and Solana Beach or used based upon each city's discretion. 4. Neither the cities of Carlsbad, Encinitas, and Solana Beach nor any officer thereof is responsible for any damage or liability occurring by reason of anything done or omitted to be done by SANDAG under or in connection with any work, authority, or jurisdiction delegated to SANDAG under this Amendment 3. It is understood and agreed that, pursuant to Government Code Section 895.4, SANDAG shall fully defend, indemnify, and save harmless cities of Carlsbad, Encinitas, and Solana Beach, all officers, and employees from all claims, suits, or actions of every name, kind, and description brought for or on account of injury (as defined in Government Code Section 810.8) occurring by reason of anything done or omitted to be done by SANDAG under or in connection with any work, authority, or jurisdiction delegated to SANDAG under this Amendment 3. CITIES OF CARLSBAD, ENCINITAS, AND SOLANA BEACH AGREE: 1. The aggregate funds, outlined both in SANDAG Contract No. 5001253 and in this Amendment 3 will be paid to SANDAG prior to work beginning in the cities of Carlsbad, Encinitas, and Solana Beach. The City of Carlsbad's aggregate fund commitment to the Project is: $809,559 The City of Encinitas' aggregate fund commitment to the Project is: $819,352 The City of Solana Beach's aggregate fund commitment to the Project is: $360,275. 2. That SANDAG would not proceed with the Project without the assurances set forth in this Amendment 3, reflecting the cities of Carlsbad, Encinitas, and Solana Beach approvals of their respective appropriations, the aggregate of which will fund the sand placed at the respective receiver site as part of the Project. 3. Neither SANDAG nor any officer thereof is responsible for any damage or liability occurring by reason of anything done or omitted to be done by the cities of Carlsbad, Encinitas, and Solana Beach under or in connection with any work, authority, or jurisdiction delegated to the cities of Carlsbad, Encinitas, and Solana Beach under this Amendment 3. It is understood and agreed that, pursuant to Government Code Section 895.4, the cities of Carlsbad, Encinitas, and Solana Beach shall fully defend, indemnify, and save harmless SANDAG, all officers and employees from all claims, suits, or actions of every name, kind, and description brought for or on account of injury (as defined in Government Code Section 810.8) occurring by reason of anything done or omitted to be done by the cities of Carlsbad, Encinitas, and Solana Beach under or in connection with any work, authority, or jurisdiction delegated to the cities of Carlsbad, Encinitas, and Solana Beach under this MOU. )0 THE PARTIES MUTUALLY AGREE: 4. That all obligations of SANDAG under the terms of this Amendment 3 are subject to the appropriation of the required resources by SANDAG, and the cities of Carlsbad, Encinitas, and Solana Beach. 5. That this Amendment 3 amends the terms and conditions of the underlying MOU (SANDAG Contract No. 5001253) only as to the cities of Carlsbad, Encinitas, and Solana Beach and SANDAG, and that no other party to the underlying MOU is impacted by this Amendment Number 3. 6. That unless it is amended by the parties in writing, this Amendment 3 shall terminate on June 30, 2016, or on such earlier or later date as the parties may agree to in writing. If this Amendment 3 terminates and the sand placement described herein has not occurred, then SANDAG shall return all funds previously contributed pursuant to this Amendment 3 to each respective city, as applicable. 8. The indemnification provisions of this Amendment 3 shall survive termination of the MOU. 9. This Amendment 3 shall be interpreted in accordance with the laws of the State of California. If any action is brought to interpret or enforce any term of this MOU, the action shall be brought in a state or federal court situated in the County of San Diego, State of California. )\ 10. All terms, conditions, and provisions hereof shall inure to and shall bind each of the parties hereto, and each of their respective heirs, executors, administrators, successors, and assigns. 11. For purposes of this Amendment 3, the relationship of the parties is that of independent entities and not as agents of each other or as joint venturers or partners. The parties shall maintain sole and exclusive control over their personnel, agents, consultants, and operations. 12. No alteration or variation of the terms of this Amendment 3 shall be valid unless made in writing and signed by the parties hereto, and no oral understanding or agreement not incorporated herein shall be binding on any of the parties hereto. 13. Nothing in the provisions of this Amendment 3 is intended to create duties or obligations to or rights in third parties to this MOU or affect the legal liability of the parties to this MOU to third parties.
