ITEM EXPLANATION: As part of the upgrade to the Public Safety Information System, the Police Department is replacing the server infrastructure which is operating at the end of its useful life. The new servers will be deployed in a virtual environment according to industry best practices and city standards. Microsoft is donating services valued at $15,000 necessary to implement the virtual server environment and to train city staff in its operation. These implementation services will be provided by Dyntek Services Inc., a Microsoft Gold partner that specializes in virtualization and cloud computing. FISCAL IMPACT: The value of the donation is approximately $15,000. Accepting the donation has no financial impact on the City. ENVIRONMENTAL IMPACT: Pursuant to Public Resources Code section 21065, this action does not constitute a "project" within the meaning of CEQA in that it has no potential to cause either a direct physical change in the environment, or a reasonably foreseeable indirect physical change in the environment, and therefore does not require environmental review. Being able to standardize on a cost effective and feature rich virtualization and management platform is important CFFY OF CARLSBAD so that enhancements can be realized in terms of productivity, scalability and elasticity. This Hyper-V Cloud Accelerate 10-day production deployment will enable the client to gain additional insight and knowledge into the Microsoft Hyper-V platform and associated management, monitoring tools and best practices associated with the configuration and operation ofthe Hyper-V platform. This statement of work is specifically addressing the planning for Hyper-V and System Center and the deployment of Hyper-V and System Center Virtual Machine Manager 2008 R2, Operations Manager 2007 R2 and the VMM 2.0 Self Service Portal. Additionally, knowledge transfer and best practices will be discussed in relation to System Center and Hyper-V. Key success milestones for this migration will include the deployment and configuration of a production 3-node Hyper-V cluster and the general installation and configuration of System Center Operations Manager 2007 R2, Virtual Machine Manager 2008 R2 and Self Service Portal 2.0, . The remainder of this document will focus on the process, deliverables and milestones the DynTek team will undertake to provide the desired results. Page 4 of 16 n City of Carlsbad Hyper-V and System Center Planning and Deployment Services 2.3 Detailed Project Phase Outlines and Descriptions The sections below depict the actual work being performed, step by step and phase by phase. 2.4 Phase One - Envisioning^ Design and Planning The primary goals of the Envisioning, Design and Planning phases will be to gather detailed current state information on the computing environment, plan for virtualization, system management options and roadmap, formulate a design and roadmap, and to also ensure the Client is fully aware of the available design and feature options available to them. The other goal will be to ensure we are fully informed of all risks, parallel projects and require timelines. Estimated duration - 1 Day (4 hours to be spent on documentation) 2,4.1 Activities • Review project drivers and timelines • Review of the System Center and Hyper-V Possibilities • Cloud Assessment and Planning for Virtualization o Microsoft Assessment and Planning (MAPS) - Optional • Installation and Configuration of the MAPS tool. • Server Consolidation Proposal: Summarizes the readiness assessments for and benefits of Hyper-V, and recommends a list of underutilized servers for consolidation using Hyper-V. • Server Consolidation Report: Provides a detailed inventory of the Windows Server and Unux servers on your network and the potential efficiency gained by consolidating them into fewer physical servers using Hyper-V. • VMware Discovery Report: Identifies already-virtuallzed servers running under VMware that can be managed with the Microsoft System Center Virtual Machine Manager platform, or migrated to Hyper-V hypervisor. • Microsoft Workload Discovery: SQL Server, SharePoint and Exchange run optimally on Hyper-V. Use the workload discovery to identif/ Microsoft workloads deployed on VMware guests for migration to Hyper-V. • Cost Savings and ROI assessment: Use the Microsoft Integrated Virtualization ROI Tool to uncover the potential cost savings and ROI from virtualization with Hyper-V. This build out will include the complete setup of the Windows Server 2008 R2 Hyper-V and System Center Environment per the Hyper-v Cloud Accelerate Deliverables. This pristine environment will be implemented to reflect all aspects of the design deliverable. Project Governance 3.1 Acceptance Criteria Deliverables from Section 3, above, will be complete once DynTek notifies the Client via email that an item is complete and ready for review and acceptance. Once so notified. Client agrees to provide written notification that they either: accept the deliverable(s), reject the deliverable(s) with a list of issues for remediation, or request additional time to review the deliverable(s). If Client does not provide written notification within 5 days of DynTek presenting the deliverable(s), they will be deemed accepted. The overall project will be complete once all deliverables have been accepted and DynTek notifies Client via email that the project is completed. Once complete, DynTek and Client will schedule a meeting (in-person or via conference call) to review the project and provide for questions and answers. Certain key goals are paramount to this framework. The role of the Project Manager is to ensuring project success by following the framework identified above. Key meetings and artifacts owned by the Project Manager include: o Internal project inception meeting Page 10 of 16 /3 City of Carlsbad Hyper-V and System Center Planning and Deployment Services o Customer inception meeting o Customer communications plan o Customer status reporting o Risk management and mitigation o Project closure meeting o Coordination of all required DynTek and customer project resources o Handling of all required project escalations o Handling of all required project change orders o Ensure all project deliverables are completed, signed off on and handed over o Tracking and approval of all project resource hours 3.3 Status Reporting status reportin^ill be as follows: • Written notification from DynTek via email indicating the proposed project start date. • Weekly status report indicating overall progress on key project deliverables and project issues. • Written notification from DynTek via email when each deliverable is ready for customer review and acceptance. • Written notification from DynTek via email when the project is complete. 4. Assumptions DynTek assumes that Client will appoint a project lead that is a Client employee. The project lead will have authority and responsibility to make final decisions about the system including scope, audience, functionality and deliverables and project sign-off. Client's general server, network and IT infrastructure is stable and able to support this project as described in this Statement of Work. Client is responsible for obtaining all required hardware. Optional: Sufficient time must be allocated to gather data with the MAPS tool to accurately gather environmental data from the client's environment to determine virtualization candidates and sizing requirements. Usually between 2-4 days is a sufficient amount of time to gather this information and can be initiated at the start of the project. Page 11 of 16 City of Carlsbad Hyper-V and System Center Planning and Deployment Sen/ices Client is responsible for the application testing and verification of physical to virtual machines that are converted beyond DynTek verifying the core aspects of the completion ofthe conversion. Client will answer questions within 1 business day. Client will provide access to FT personnel and resources during the scope of this project. These resources must be available to assist the project team and must be able to furnish information on Client operations, activities, and existing systems, as reasonably required to achieve the project objectives. Client will provide DynTek consultants with necessary security access to networking systems and facilities during the performance of the professional services. Client personnel essential to the completion of this project will be present for all requested meetings by the DynTek consulting team. DynTek assumes any software supplied by Client to be installed in any environment used for this engagement has been legally obtained and fully licensed for each user and server and is in compliance with all applicable laws and vendor requirements. Delays due to client configuration specifications, hardware delivery, carrier availability, and facility access, physical or environmental delays are subject to change orders as billable delays. DynTek assumes that Client will not alter or modif/ the solution, except as instructed by DynTek during the course of implementation, until after the project has been completed and signed off as accepted. Any modifications or alterations made after project sign-off are the responsibility of Client. DynTek is not responsible for product related defects and assumes that bugs in manufacturer software, hardware, specifications, design, etc. are the responsibility of that manufacturer. Unless othen/vise stated in this SOW, all work will be performed Monday through Friday from 8:00 AM to 5:00 PM, excluding DynTek and Client official holidays. Upon the conclusion of the engagement. Client will use technical support - either in-house or purchased from DynTek or another third party - to support and maintain the solution. Change Management Process DynTek follows a structured methodology with respect to managing unexpected scope changes. DynTek has included in the prior sections all of the steps necessary to accomplish the successful completion of the project; however. Client may decide to change the scope of the project. If items requiring a scope change are identified, the following are the high-level steps that we will follow to discuss these together: Discuss and confirm need for additional work Identif/ additional tasks and deliverables associated with the scope change Estimate the work effort associated with the additional tasks and deliverables Based on the work effort estimate, determine the impact on schedule and budget Augment the statement of work with a change request form if the project changes: • Require additional resources • Affect the project schedule or budget Any change order signed by DynTek and countersigned by Client will become a binding contract amendment to this statement of work. In the event that a change order thus approved contradicts the signed statement of work (or previous change orders), the most recent change order will govern. 6- Project Timeline^ Fees & Fee Schedule This is a time and materials engagement. Expected hours below are based on the best information available at the time this Statement of Work was created, but are estimates only. DynTek will bill Client monthly based on actual hours worked. Additional labor that is outside the scope of this SOW may be available at different rates. Rates for after hours (after 5 PM and before 8 AM) are 1.5 times the stated rate. Rates for weekend hours are 2.0 times the stated rate. 6.2 Billing DynTek will invoice Client twice monthly on the 5*^ and 20*^ of each month for all hours worked. Unless otherwise specified in writing, payment terms upon receipt of any invoice to the Client from DynTek are Net 30 days. It is important to note the deliverables, as described in this document, involve the interaction of Client personnel and DynTek. The deliverables will not contain surprises or delaying factors that DynTek has not already made Client aware of in a timely fashion. Please reference Section 4 Project Governance and Section 5 Assumptions for additional details. 7. Other Considerations This SOW is based on information available February 24, 2012 any unforeseen changes in hardware, locations, installation configurations are subject to change orders. DynTek warrants that the services will be performed in full accordance with the consulting industry's highest professional standards and practices. Client's exclusive remedy for breach of this warranty shall be timely re-performance of the work by DynTek such that the warranty is met to Client's sole satisfaction, or, in the event that such re-performance is impossible, impractical or does not satisfy Client, DynTek shall refund a pro-rata share of all pre-paid fees relating to the improperly performed tasks. DynTek further warrants that the documents, deliverables, scripts and developments f DynTek Deliverables") provided or licensed to Client shall not violate the intellectual property rights of any third party. In the event of any alleged or actual breach of any third-party's intellectual property rights pertaining to DynTek Deliverables, DynTek shall indemnify, release, defend, and hold harmless Client from and against all claims related to such DynTek Deliverables, and shall refund all pre-paid fees relating to such DynTek Deliverables. THE WARRANTIES ABOVE ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WTPH RESPECT TO THE SERVICES OR PRODUCTS PROVIDED UNDER THIS STATEMENT OF WORK, THE PERFORMANCE OF MATERIALS OR PROCESSES DEVELOPED OR PROVIDED UNDER THIS STATEMENT OF WORK, OR AS TO THE RESULTS WHICH MAY BE OBTAINED THEREFROM, AND ALL IMPLIED WARRANTIES OF MERCHANTIBILITY, OR FFTNESS FOR A PARTICULAR PURPOSE. Page 14 of 16 City of Carlsbad Hyper-V and System Center Planning and Deployment Services Except as pertains to DynTek's indemnification obligations above, or the gross negligence or willful misconduct of either party, each party's liability to the other under this statement of work and with respect to any services contemplated by this statement of work shall be limited to the amount actually paid by Client. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY HEREUNDER FOR ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT OR PUNITIVE DAMAGES (INCLUDING BUT NOT LIMFFED TO LOST PROFITS) REGARDLESS OF WHETHER SUCH LIABILFTY IS BASED ON BREACH OF CONTRACT, TORT, OR STRICT LIABILFTY. This Statement of Work may be terminated by Client upon fifteen (15) days written notice thereof by Client, and all payments due DynTek as of the date of termination shall become payable and due. The laws of the State of California shall govern this Statement of Work, which constitutes the entire agreement between the parties with respect to the subject matter herein, incorporating and superseding all previous agreements on this subject, oral and/or written, between the parties. The prevailing party in any action to enforce or interpret the terms of the SOW shall be entitled to recover its reasonable attorneys' fees and costs in addition to any other remedies available to it. The parties hereto are independent contractors. Neither this Agreement not any of DynTek's obligations or responsibilities may be assigned by DynTek without Client's prior written consent. 8. Approval The individuals executing this Agreement and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this Agreement.
