RECOMMENDED ACTION:
Approve City Council Resolution No. 2012-277 approving two appointments by the
Mayor to the Oversight Board for the Successor Agency to the Carlsbad Redevelopment
Agency.
ITEM EXPLANATION:
As a result of State legislation adopted in June, 2011, the Carlsbad Redevelopment Agency
was dissolved as of February 1, 2012. The City of Carisbad has been designated as the
Successor Agency to the Carlsbad Redevelopment Agency and must implement required
activities to close down the agency and ensure the payment of recognized obligations as soon
as possible. The Health and Safety Code for the State of California was amended to establish
rules and regulations for the dissolution of redevelopment agencies throughout the State of
California. One of the required actions, per Health and Safety Code, Section 34179, is for each
successor agency to have an Oversight Board composed of seven members.
The initial members appointed by the Mayor to serve on the Oversight Board to represent the
Successor Agency were: Lisa Hildabrand (City Manager) and Debbie Fountain (Housing and
Neighborhood Services Director). These members were appointed as set forth in Health and
Safety Code, Section 34179 to represent: (1) One member appointed by the mayor for the city
that formed the redevelopment agency; and (2) One member representing the employees of the
former redevelopment agency appointed by the mayor.
With the recent retirement of the City Manager, Lisa Hildabrand, a new Oversight Board
Member must be appointed by the Mayor to represent the former redevelopment agency. It is
staff's recommendation that the Mayor appoint the Interim City Manager, John Coates, to
replace the previous appointment. In addition, Debbie Fountain has requested that she be
replaced as the representative of the employees of the former redevelopment agency on the
board. Staff is recommending that Chuck McBride, the City's Finance Director and alternate to
the board, be appointed as a member of the Oversight Board. Ms. Fountain will subsequently
replace Mr. McBride as the staff liaison to the Oversight Board, and continue to coordinate the
activities of the Oversight Board and to report to the State on activities of the Successor Agency
and the Oversight Board. It is staff's opinion that this reassignment of responsibilities will assist
in more efficient and effective implementation of dissolution activities for the former
redevelopment agency.

The Oversight Board may direct the staff of the successor agency to perform work in
furtherance of the board's duties and responsibilities. The successor agency pays for all of the
costs of the meetings of the board and has included these costs in its administrative budget.
Oversight board members serve without compensation or reimbursement for expenses. The
oversight board is a local entity for purposes of the Ralph M. Brown Act, the California Public
Records Act, and the Political Reform Act of 1974.
The Mayor is asked at this time to make the new appointment to replace the previously
appointed City Manager with the Interim City Manager, John Coates, and to replace the initial
representative of the employees of the former redevelopment agency, Debbie Fountain
(Housing and Neighborhood Services Director), with Chuck McBride, Finance Director for the
City of Carisbad and the Successor Agency. These appointments are necessary and
appropriate to ensure that the work of the Oversight Board continues as required and as
efficiently and effectively as possible.
FISCAL IMPACT:
There is no fiscal impact associated with this action to appoint members to the Oversight Board
for the Successor Agency to the former Carlsbad Redevelopment Agency.
The legislation for dissolution of the redevelopment agency allows for a minimum of $250,000 in
administrative allowance to be paid from tax increment funds. This funding is being used to
implement the required activities to close down the agency and ensure payment of all
recognized financial obligations, including any costs associated with activities of the Oversight
Board.

6 WHEREAS, the State of California adopted legislation in June, 2011 that
7 dissolved all redevelopment agencies within the State as of February 1, 2012; and
^ WHEREAS, the City of Carisbad has been designated as the Successor Agency
to the Carisbad Redevelopment Agency to implement all required activities to dissolve
said Agency; and
WHEREAS, per Health and Safety Code, Section 34179, an Oversight Board
must be appointed to oversee the activities of the Successor Agency to the Carisbad
Redevelopment Agency and shall be composed of seven members as set forth within

16 WHEREAS, the Mayor for the City of Carisbad may appoint two members to the
17 Oversight Board, one of which must be a member representing the employees of the
1^ former redevelopment agency, and has previously done so as required; and
WHEREAS, one of the previous appointments (Lisa Hildabrand, City Manager)
has recently retired and the other (Debbie Fountain, Housing and Neighborhood
Services Director), desires to be replaced on the Board in order to better and more
appropriately serve as staff to the Board and the Successor Agency.
