RECOMMENDED ACTION:
Adopt Resolution No. 2013-106 to approve, ratify and authorize the execution of Amendment
No. 7 to extend and amend the Master Support Agreement between the City of Carlsbad and
Tiburon, Inc. for Computer Automated System Support Services related to the Police Computer
Aided Dispatch and Mobile system.
ITEM EXPLANATION:
On September 12, 2003, the city entered into an agreement with Tiburon, Inc. (Tiburon) to
provide a fully integrated Public Safety Information System (PSIS) including the major
subsystems of a computer aided dispatch system, a police mobile data system, a message
switch, a mobile mapping system, an automated field location system, and the components and
interfaces for these systems. The Public Safety Information system was successfully
implemented and has been operational since May of 2005.
In February of 2009, the city entered into an agreement with Tiburon for annual computer aided
support services (Support Agreement). Since 2009, five amendments to the Support Agreement
have been executed for support, including enhancements to the system.
On April 26, 2011, Council executed a ratification of Amendment No. 4 to the Support
Agreement for upgrading the CAD and Mobile system to the most current version in order to
comply with U.S. Department of Justice-Federal Bureau of Investigation Criminal Justice
Information Services (CJIS) security policy. In order to provide the reliability and redundancy
expected of a mission critical 24-hour public safety system, the upgrade specified that ail
Tiburon applications would operate in a virtual server environment. Council approved funding of
the upgrade with both IT replacement funds and federal asset forfeiture funds.
City staff and Tiburon worked diligently to accomplish the CAD and Mobile upgrade but, in June
of 2012, Tiburon announced that they would no longer support their software on virtual servers
and was unable to complete the upgrade. City staff continued to work on other aspects of the
upgrade project while negotiating an acceptable solution with Tiburon that would meet CJIS
requirements.

City staff has negotiated Amendment No. 7 to the Support Agreement, encompassing an
acceptable solution with Tiburon, which includes both virtual and physical servers, and provides
the required reliability and redundancy. In order to compensate the city for the project delay,
Tiburon has agreed to waive the annual increase to maintenance for FY 2013-14. In addition,
city staff negotiated a $24,121 credit from Tiburon to reimburse the city for the purchase of
additional required hardware. The CAD and Mobile upgrade will be implemented by January
2014.
FISCAL IMPACT:
The funding for the upgrade of the CAD and Mobile system of $127,572 was previously
approved by Council as part of Amendment No. 4 and remains in the city's project fund for this
upgrade. City staff negotiated a fee reduction/credit of $24,121 from Tiburon to reimburse the
city for the purchase of additional hardware required for the upgrade. In order to compensate
the city for the project delay, Tiburon has agreed to waive the annual increase to maintenance
for FY 2013-14.
ENVIRONMENTAL IMPACT:
Pursuant to Public Resources Code section 21065 and CEQA Guidelines section 15738, this
amendment does not constitute a "project" within the meaning of CEQA and therefore, does
not require additional environmental review.

6 WHEREAS, on September 12, 2003 the City of Carlsbad entered into an
7 agreement with Tiburon, Inc. ("Tiburon") (collectively "Parties") to provide a fully
^ integrated Public Safety Information System, comprising of a computer aided dispatch
system, a police mobile data system, a message switch, a mobile mapping system, an
automated field location system; and
WHEREAS, the Public Safety Information System was successfully implemented
and has been operational since May of 2005; and
WHEREAS, the Public Safety Information System was accepted in February of

J5 2009 and the city entered into a Master Support: Agreement with Tiburon in May of 2009
16 for annual support services; and
17 WHEREAS, on April 26, 2011 the City of Carlsbad executed Amendment No. 4
1^ to the Master Support Agreement for upgrading the system to the most current version;
and
WHEREAS, the Parties desire to enter into this Amendment No. 7 to Extend and
Amend the Master Support Agreement for an additional fifteen (15) months to allow the
contractor sufficient time to complete the upgrade as initially specified in Amendment
Number 4 and as modified by Amendment No. 7; and
WHEREAS, the funding for the upgrade of the CAD and Mobile system of

five percent (5%) annual maintenance increase for the 2013-2014 annual maintenance

WHEREAS, the Parties have negotiated and agreed that Tiburon will maintain in
IQ full force and effect the maintenance starting after July 1, 2013 on the city's Stratus
11 server and Oracle software until the upgraded system has been put into production and
12 final acceptance has been granted; and
1^ WHEREAS, Tiburon has executed Amendment No. 7 to Extend and Amend the
Master Support Agreement for support services; and
WHEREAS, Amendment No. 7 to the Master Support Agreement must be ratified
because Tiburon continued to provide services without the benefit of this amendment;

NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of

RATIFICATION OF AMENDMENT NO. 7 TO EXTEND AND AMEND
MASTER SUPPORT AGREEMENT FOR
FOR COMPUTER AUTOMATED SYSTEM SUPPORT SERVICES
TIBURON INC.
This Ratification of Amendment No. 7 is entered into as of the /S^dav of
t^Ciy , 2013, but effective as of the twenty-seventh day of October, 2012,
extending and amending the Master Support Agreement dated May 19, 2009 that was effective
as of February 19, 2009 (the "Master Support Agreement") by and between the City of Cartsbad,
a municipal corporation, ("City"), and Tiburon Inc., a Virginia corporation, having its pnmary
place of business at 6200 Stoneridge Mall Road, Suite 400, Pleasanton, California 94588,
(hereinafter "Tiburon" or "Contractor") (collectively the "Parties").
RECITALS
A. On May 19, 2009, the Parties executed the Master Support Agreement for
support and maintenance services relating to a computer automated system previously
developed and implemented by Tiburon for City which was effective February 19, 2009 to June
30, 2009; and
B. On July 27, 2009, the Parties executed a ratification of Amendment Number 1
that was effective July 1, 2009 to extend the Master Support Agreement for one (1) additional
year to June 30, 2010; and
C. On August 19, 2010, the Parties executed a ratification of Amendment Number 2
that was effective July 1, 2010 to extend the Master Support Agreement for one (1) additional
year to June 30, 2011; and
D. On April 26, 2011, the Parties executed a ratification of Amendment Number 3 to
add services for deleting old messages in the Computer Aided Dispatch ("CAD") message
switch; and
E. On April 26, 2011, the Parties executed a ratification of Amendment Number 4 to
add services for upgrading the CAD and Mobile system to the most current version; and
F. On August 24, 2011, the Parties executed a ratification of Amendment Number 5
that was effective July 1, 2011 to extend the Master Support Agreement for one (1) additional
year to June 30, 2012; and
G. On May , 2013 and concurrent with the execution of Amendment Number
7, the Parties executed ratification of Amendment Number 6 that was effective July 1, 2012 to
extend the Master Support Agreement for one (1) additional year to June 30, 2013; and
H. The scope of work required by Amendment Number 4 was required to be
completed by October 26, 2012 and the Master Support Agreement expired on June 30, 2012;
however. Contractor continued to work on completing the Amendment Number 4 services
specified therein along with general maintenance/support without the benefit of an agreement;
and
I. The Parties desire to extend the Agreement for an additional fifteen (15) months

beginning on October 27, 2012 to allow the Contractor sufficient time to complete the upgrade
to the CAD system as initially specified in Amendment Number 4 and as modified by the
supplemental scope of work and project schedule, which is identified hereto as Exhibit "A"
Scope of Work to this Amendment Number 7 and which is attached hereto and incorporated
herein by this reference; and
J. The Parties have negotiated and agreed to a credit in the amount of $24,121, to
compensate the City for costs associated with the requirement for a physical server that will
function as the CAD application and Message Switch server, a second database server, and
additional software licensing; and
K. The Parties have negotiated and agreed to the Fee and Payment Schedule as
specified in Exhibit "A"; and
L. The Parties have negotiated and agreed to a project schedule as specified in
Attachment E, "Attachment E - Project Schedule" which is attached hereto and incorporated
herein by this reference; and
M. The Parties have negotiated and agreed that the Contractor will waive the five
percent (5%) annual maintenance increase for the 2013-2014 annual maintenance period in
order to reimburse the City for costs associated with the implementation delay; and
N. The Parties have negotiated and agreed that Tiburon will maintain in full force
and effect the maintenance starting after July 1, 2013 on the City's Stratus servers and Oracle
software until the upgraded system has been put into production and final acceptance has been
granted.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein. City and Contractor agree as follows:
1. The above recitals are incorporated herein.
2. The retroactive extension and Amendment Number 7 to the Master Support
Agreement is ratified.
3. That the Agreement, as may have been amended from time to time, is hereby
extended for a period of one year ending on January 27, 2014; and
4. That the fixed pnce fee for all services to be provided pursuant to Amendment
Number 4 is $127,572 and that the services provided by this Amendment Number 7 will result in
a fee reduction/credit in an amount of $24,121, as further set forth in Exhibit A.
5. All other provisions of the Agreement, as may have been amended from time to
time, will remain in full force and effect.
6. All requisite insurance policies to be maintained by the Contractor pursuant to the
Agreement, as may have been amended from time to time, will include coverage for this
Amendment.

7. All exhibits identified in this Amendment Number 7, and the attachments
referenced in Exhibit A are incorporated into this Amendment to the Master Support Agreement.
8. The individuals executing this Amendment and the instruments referenced in it
on behalf of Contractor each represent and warrant that they have the legal power, right and
actual authority to bind Contractor to the terms and conditions of this amendment.

EXHIBIT "A"
SCOPE OF SERVICES AND FEE
Project Schedule
All services listed herein will be performed according the Project Schedule attached hereto as
"Attachment E - Project Schedule".
Scope Description
Tiburon will provide all services required to upgrade Cartsbad's Computer Aided Dispatch and
Mobile/AVL system to the latest released version, currently Command CAD 2.8 and MobileCOM
5.3. All services listed herein are in addition to the services that were specified in Amendment
Number 4, Exhibit A.
Tiburon responsibilities:
1. Tiburon requires that the CommandCAD application be implemented on a physical server.
All other Tiburon servers outlined in the updated exhibits attached hereto can be virtualized
as specified in amended Attachment D.
2. Tiburon will redeploy all servers specified in amended Attachment D in the city provided
VMWare environment.
3. Tiburon will deploy the Command CAD application server on city provided physical server.
4. Tiburon will provide at least six (7) days of additional onsite training.
5. Tiburon will provide the City the following data conversion services, which will be performed
independently of each other based upon the agreed upon project schedule:
a) Tiburon will work with Carlsbad to define and jointly perform audit on data conversion
routines to validate accuracy and completeness.
b) CAD File Maintenance conversion: In order to preserve configuration that was
accomplished during training in August of 2012, some of the tables will be updated by
Carlsbad and some will be converted. Cartsbad and Tiburon will work to identify which
tables should be manually updated. Tiburon will compare the previously converted File
Maintenance 2.8 tables to the current versions in CAD 2.2 to produce lists of updates
that have been performed by Carlsbad in 2.2. Carlsbad will then manually update the
2.8 tables with the identified changes.
c) Data Warehouse conversion: Initial extraction, conversion, loading and testing of the
Data Warehouse database will be performed in advance of onsite training.
d) CAD Histones conversion: Will be performed periodically according to the project
schedule.
City Responsibilities:
1. Work with Tiburon to define and jointly perform audits and testing of data conversion
routines and validation of converted data.
2. Provide and install physical CAD application server including the install of Windows Server
2008 R2 Standard and configure according to City security policies.

Fee and Payment Schedule
The fixed price fee for all services to be provided pursuant to Amendment Number 4 is
$127,572. This Amendment Number 7 will result in a credit to the City in an amount as further
descnbed below.
Tiburon will provide the City a credit of $24,121 spread evenly by percentage of the project
payments in order to reimburse the City for costs associated with the following:
• $6,371 for 50% of the estimated cost of a second database server
• $12,500 for 50% of the estimated cost of a physical server for CommandCAD
• $5,250 for 50% of the estimated cost of VMware licensing
City will pay Tiburon according to the payment schedule below and within 30 days of achieving
the milestone and Tiburon's invoice to the City.

In addition, Tiburon will reimburse the city for the actual cost of leasing equipment to provide 10
PC workstations with dual monitors for training. The training environment will be established
according to the dates included in "Attachment E - Project Schedule" and will be operational at
least one week prior to onsite training and will remain in place until final acceptance is granted
as defined herein. The City will provide Tiburon with copies of the invoices paid for equipment
leasing and Tiburon will reimburse the City promptly within thirty (30) days of receipt of such
invoice.
Final Acceptance Criteria
The "go-live" of CommandCAD or MobileCom will be considered successful ten (10) business
days after the CommandCAD latest version and MobileCOM have been placed into production.
If Client does not confirm completion with a sign off letter presented by the Tiburon project
manager within ten (10) business days of submittal of such letter, or othenA/ise notifies Tiburon
in writing why completion sign-off has not been provided any final invoice(s) will be issued and
will be payable in accordance with the payment terms of this Amendment.

Final acceptance will be granted fifteen (15) business days after the CommandCAD latest
version and MobileCOM have been placed into production and has been fully functional without
any Priority 1 failures. If Client does not confirm completion with a sign off letter presented by
the Tiburon project manager within ten (10) business days of submittal of such letter, or
othen/vise notifies Tiburon in writing why completion sign-off has not been provided any final
invoice(s) will be issued and will be payable in accordance with the payment terms of this
Amendment.
