RECOMMENDED ACTION:
Adopt Resolution No. 2015-020 approving Amendment No.l to the Master Agreement for Velocity
Services with Velocity Technology Solutions, Inc. for application management and hosting services.
ITEM EXPLANATION:
The City has contracted with Velocity Technology Solutions, Inc., to host the Lawson Human Capital
Management System (HCMS) software since 2010.
The hosting solution includes application management and hosting support ofthe Lawson Applications as
part ofthe HCMS project. Hosting services, as provided by Velocity, will provide economies by
outsourcing infrastructure and environment investments associated with the project as well as access to
specialized system expertise.
Velocity's hosting solution allows the city Human Resources, Payroll and Information Technology
Departments to focus on core services with the assurance that system users are fully supported and that
the applications are performing at optimum levels. Advantages of Hosted Solution:
• Includes all hardware, operating system and database licenses and maintenance
• Carlsbad can focus on core initiatives
• Infrastructure support of Lawson Applications
• Ability to allocate existing staff to support strategic value-add projects
• Avoid maintenance and upgrade costs associated with Hardware & Operating Systems
• True 24/7/365 support coverage for critical applications
• Access to multiple subject matter experts for helpdesk support
• Access to additional implementation resources
• Access to resources who understand our environment and processes
• IT decision support, guidance and advice
FISCAL IMPACT:
The cost of this two (2) year agreement is $432,018.72. The annual payment of $216,009.36 will be paid
for from the Information Technology operating budget.

ENVIRONMENTAL IMPACT:
Pursuant to Public Resources Code Section 21065, this action does not constitute a "project" within the
meaning of CEQA in that it has no potential to cause either a direct physical change in the environment,
or a reasonably foreseeable indirect physical change in the environment, and therefore does not require
environmental review.

WHEREAS it has been determined that the most effective way to operate and support

7 the Human Capital Management System (HCMS) is through use of a hosted solution; and
8 WHEREAS the City of Carlsbad currently contracts with Velocity Technology Solutions,
Inc. for application management and hosting services for the Lawson Human Capital
Management System;
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad, California
as follows:

14 1. That the above recitations are true and correct.
15 2. That Amendment No. 1 of the Application Management and Hosting Services
16 Agreement with Velocity Technology Solutions, Inc. is hereby approved and the
Mayor for the City of Carlsbad is hereby authorized to execute all required
documents on behalf of the City.
3. That the purchase of Application Management and Hosting Services for the
21 Lawson Human Capital Management System from Velocity Technology Solutions,
22 inc. shall not exceed $432,018.72 for the two year agreement.
4. That each annual payment of $216,009.36 will paid from the Information
Technology budget.

Amendment No 1 to Master Agreement for Velocity Services
between Velocity Technology Solutions, Inc.,
and City of Carlsbad ("Customer") dated February 16,2010 (the "Agreement")
This Amendment dated October 14, 2014 is attached to and made a part of the above referenced Agreement by and between Velocity
Technology Solutions, Inc. ("we", "us", "our" or "Velocity") and City of Carlsbad ("you", "your" or "Customer").
1. Term: The Term of this Agreement shall begin on February 16, 2015 (the "Start Date") and shall be extended to February 15,
2017, unless terminated earlier or extended in accordance with the Agreement.
2. Fees: The minimum Application Service Fee shall be eighteen thousand dollars and seventy eight cents ($18,000.78) per month
as of the Start Date.
3. Specific Provisions: All terms and conditions in this Amendment are subject to the Master Services Agreement ("Agreement").
All capitalized terms used in this Amendment will have the same meaning as in the Agreement, unless otherwise stated in this
Amendment. Any terms and conditions not specifically addressed in this Amendment are governed by the terms and conditions
of the Agreement.
Each party has caused its authorized representative to execute this Amendment as of the date set forth above:
