Amendment No. 3 with AECOM Technical Services, Inc. to extend the
Professional Services Master Agreement for the Terramar Area Coastal

Recommended Action
Adopt a Resolution authorizing execution of Amendment No. 3 with AECOM Technical Services,
Inc. to extend the Professional Services Master Agreement for the Terra mar Area Coastal
Improvement Project, Project No . 6054.
Executive Summary
Over the past three years AECOM Technical Services, Inc. {AECOM) has been working on
technical studies and en~ironmental analyses for the Terramar Area Coastal Improvement
Project, Project No. 6054 {Project). The existing Professional Services Master Agreement
(Agreement) with AECOM will expire July 31, 2018. For this reason, an extension of the
Agreement is necessary so that AECOM can complete the preparation of the environmental
documentation after the Project alternative is selected . Since all extensions allowable under
the terms of the existing Agreement have been exhausted, City Council action is required to
extend this Agreement for another one-year period. No additional compensation is included in
Amendment No. 3.
Discussion
On Sept. 28, 2011, the City Council authorized a Master Agreement with AECOM for
environmental and land use professional services related to the Carlsbad Boulevard
Realignment Project, for an amount not to exceed $400,000 {Resolution No. 2011-205). After
the initial term, the Master Agreement allowed the city manager to extend the Agreement for
two additional two-year periods for an amount not to exceed $400,000 per agreement year,
with a total value not to exceed $1,000,000. The first extension was executed on June 27,
2014, for a period of two years. The second extension was executed on June 22, 2016, and will
expire on July 31, 2018.
Over the past three years AECOM has been working on technical studies and environmental
analyses for the Project. AECOM cannot complete the environmental documentation until a
preferred project alternative is selected by the city, which should occur later this year. Since all
extensions allowable under the terms of the existing Agreement have been exhausted, City

Council is required to extend this Professional Services Master Agreement for another one-year
period.
Fiscal Analysis
The attached Amendment No . 3 is for an extension of time only, and therefore there is no
additional fiscal impact.
Next Steps
Staff will return to the City Council later in 2018 to request direction on a preferred alternative
for the Project. After the preferred alternative is selected by City Council, AECOM will complete
the preparation of the environmental documentation for the Project.
Environmental Evaluation (CEQA)
Approving an amendment with AECOM for environmental services is statutorily exempt from
the California Environmental Quality Act {CEQA} per CEQA Guidelines Section 15262 {Feasibility
and Planning Studies}. AECOM is completing additional studies which will determine the level of
environmental review required for construction of the Project.
Public Notification
This item was noticed in accordance with the Ralph M. Brown Act and was available for public
viewing and review at least 72 hours prior to the scheduled meeting date.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD,
CALIFORNIA, AUTHORIZING EXECUTION OF AMENDMENT NO. 3 WITH
AECOM TECHNICAL SERVICES, INC. TO EXTEND THE PROFESSIONAL
SERVICES MASTER AGREEMENT FOR THE TERRAMAR AREA COASTAL
IMPROVEMENT PROJECT, PROJECT NO. 6054.
EXHIBIT I
WHEREAS, on Sept. 28, 2011, City Council approved a Master Agreement with AECOM Technical
Services, Inc. for professional environmental and land use professional services for the Carlsbad
Boulevard Realignment Project by adoption of Resolution No. 2011-205; and
WHEREAS, after the initial term of the Professional Services Master Agreement (Agreement),
the city manager extended the Agreement for two additional two-year periods for an amount not to
exceed $400,000 per year with a not to exceed value of $1,000,000; and
WHEREAS, the environmental services work for the Terramar Area Coastal Improvement
Project, Project No. 6054, cannot be completed prior to the current contract expiration date of July 31,
2018;and
WHEREAS, it is in the best interest of the city and the Project to execute Amendment No. 3 to
the Agreement between the City of Carlsbad and AECOM Technical Services, Inc.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad, California, as
follows:
1. That the above recitations are true and correct.
2. That the mayor of the City of Carlsbad is authorized and directed to execute Amendment
No. 3 to the Professional Services Master Agreement between the City of Carlsbad and
AECOM Technical Services, Inc. for environmental services work for the Terramar Area
Coastal Improvement Project, Project No. 6054, which is attached hereto as Attachment
A.

Tl:lis Amendment No. 3 is entered into and effective as of the )J-U'-day of

(the "Agreemen" by and between the City of Carlsbad, a municipal corporation, ("City"), and
AECOM Technical Services, Inc., a California corporation, ("Contractor") (collectively, the
"Parties") for professional environmental services.
RECITALS
A. On June 27, 2014, the Parties executed Amendment No. 1 to the Agreement to
extend the Agreement for two (2) years ending on July 31, 2016; and
B. On June 22, 2016, the Parties executed Amendment No. 2 to the Agreement to
extend the Agreement for two (2) years ending on July 31, 2018; and
C. The Parties desire to extend the Agreement for a period of one (1) year.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor agree as follows:
1. That the Agreement, as may have been amended from time to time, is hereby
extended for a period one (1) year ending on July 31, 2019.
2. All other provisions of the Agreement, as may have been amended from time to
time, will remain in full force and effect.
3. All requisite insurance policies to be maintained by the Contractor pursuant to the
Agreement, as may have been amended from time to time, will include coverage for this
Amendment.
