County Water Authority voting formula .
ITEM EXPLANATION
There was a call for a ‘weighted vote” at last December’s CWA Board meeting to elect the
officers for the Board for the next two years. Since the weighted vote was based on the
assessed valuation of the member agencies and since the City of San Diego has the highest
assessed valuation, and therefore about 49% of the vote on the CWA Board, their slate of
officers were elected. As a result of the controversy created by this call for a weighted vote, the
new Board Chair has agreed not to undertake any agenda items that were deemed to be
significant items (i.e. proceeding with the next phase of the Emergency Storage Project) until
negotiations regarding revisions to the weighted vote were completed.
After the call for a weighted vote the County Water Coalition (CWC) was formed. This coalition
is comprised of member agencies that were dissatisfied with the call for a weighted vote and the
manner by which the officers were elected. The Coalition was formed with a specific goal of
revising the Authority’s assessed valuation method of the weighted vote. After the February
Authority Board meeting it was agreed that negotiations should take place to see if a
satisfactory alternative to the assessed valuation method could be determined. Members of the
negotiating group were as follows:

Dale Mason from the Vallecitos Water District
James Turner from the City of Oceanside
Michael Cowett, the attorney from Best, Best and Krieger
Countv Water Authority
Mike Madigan, newly appointed CWA board member representing the City of San Diego;
Chris Frahm, CWA board chair and representing the City of San Diego
Mark Watton, immediate past chair of the CWA board, from the Otay Water District
At the May Board meeting the negotiating team presented provisions of a modified voting
formula to the full Board. In place of the assessed valuation method the following provisions
were presented for member agency consideration:
1. Representatives to the Board shall be apportioned based upon population. Each agency
gets one director plus one additional director for each 5% of the population. (This results in
an additional director for Padre Dam Water District and an additional director for the City of
Oceanside.)

1. All questions are determined by a proportional vote based upon “historic all-
in financial contribution adjusted for inflation” at levels to be established by
statute. (San Diego = 43.05%)
2. Proportional voting shall be conducted to give each representative on the
board one vote equal to his or her agency’s total power. In the case of a
multi-representative agency, the total power of the agency is divided by the
number of representatives. If a representative is not present, his or her
proportional vote may be cast by proxy.
3. All questions must receive at least 55% of the vote. At such time as San
Diego’s proportion of “historic all-in financial contribution” equals 38% or
less, all questions must receive only a majority of the vote.
4. In the case of a multi-representative agency, the agency may be decide to
cast its proportional vote as a block.
The best available numbers on “historic all-in financial contribution adjusted for
inflation” and “population” are attached as Exhibits “A” and “B” respectively.
