a young man with. sewage and water experience. It was felt -that an ad-
vantageous arrangement might be worked out whereby he could divid his
services between the Water Company and the City, and the City's share
of the salary be drawn from the amount budgeted for a Planning Aide for
. the first six months of 1957. By common consent the City Manager was
asked to .inquire into .the background of the applicant and report to the
Council. .
Cmn. Baird moved that the bills to November 7th, amounting to $26,296.50,
as certified by the City Manager and approved by the Auditing Committee,
be paid. Seconded by Cmn. Robinson. All ayes, motion carried.
Cmn. Baird moved ratification of the payroll for the second half of
October as certified by .the Director of Finance and approved by the
Auditing Committee. Seconded by Cmn. Robinson. All ayes, motion car-
ried.
It was decided. to hold an adjourned.meeting on November 13th at 7:OO
P. M. to open bids on the Elm Avenue project.
At. 9t50 P. M. the meeting was declared adjourned to November ".8th at 7:OO P, M.

MXNUTES OF ADJOURNED MEETING OF CAKLSBAD CITY COUNCIL
November 8, 1956
Meeting called to order at 7:40 P. M. by Ilayor Gastorena, Present be-
sides the Mayor were Councilmen Helton, Robinson, Ledgerwood, Baird;
City 14anager Nelson, City Attorney Smith. Present from the Carlsbad
Mutual Water Company were President Robinson, Directors Brilhart and
Anthony, Manager Hardin, Attorney Eberhardt, Bookkeeper Drunache.
Others in attendance were W. D. Cannon, Matt Jarvie, Max Ewald, Bill
Fry, John McLarnen
Mayor Castorana reviewed the recommendations of *the 1955 Citizens'
Water Committee and the City Council's proposal of purchase of the
Mutual Water Company for $400,000.00 .
City Attorney Smith explained a proposal worked out by Arnold Brilhart
.involving issuing script to stockholders in lieu of money, such script
to be usable in paying water bills. The City Attorney explained that if the general taxpayers should be required to make up any deficits in
the water system, then two-thirds of the voters must approve; if not,
then the script might be similar to revenue bonds, which require only
a majority of the voters' approval.
Mayor Castorena stated he felt that a bond issue would not pass, and
some other method of acquisition should be found.
Cmn, Baird noted that between $400,000 and $500,00 would be needed to rehabilitate the company, or about $250.00 per share; that the areas of
the City not now stocked should make an inclusion fee on their share of
what the stockholders have paid in over prior years.
Manager Hardin estimated that $300,00 would be needed to rehabilitate the Mutual Water Company system. City Attorney Smith pointed out that
non-stocked land could be assessed (Capital Contribution charge). He
remarked that directors of the Carlsbad Mutual Water Company could
sell the assets of the company for any figure -- say, $5,000 -a- if a
majority of the stockholders would give their written consent.
Attorney Ebechardt said' that a mutual water company is different than a regular corporation -- the members have pooled their individual water rights for their mutual benefit.
Cmn., Robinson asked for additional methods of acquisition. City Attor-
ney Smith explained that .a lease-purchase might be- worked. out. The Mu-
tual Water Company would still have to pay property taxes. Cmn, Led-
gerwood said we should not discount the possibility of a bond issue.

Cmn. Robinson suggested that the s'hareholders be polled by postcard as
to their wishes on the sale: of the company. Mayor Castorena suggested
thaf, alternative proposals be included in the letter to the stockh-old-
ers of the Mutual Water' Company.
Bill Fry reported that North Carlsbad was interested in annexing to the Carlsbad Municipal Water District Improvement District #I (Colorado
River Aqueduct pipeline),
Cmn. Robinson' suggested -the City Manager write to the Carlsbad Mutual Water Company and outline the two proposals discussed, I. e., the *
script proposa1,made by Mr.' Brilhart, and the"'bond issue suggested by
Cmn. Ledgerwood, including the capital contribution charge suggestion
of Counc.ilman Baird .
.Mr. Cannon stated that the City should propose to buy both companies
if they are thinking of a bond issue, and they should pay a fair price
so the people will be happy.
Hax Ewald approved the idea of giving bofids to stockholders.
Cmn. Baird moved that the City Manager write a letter' to the Carlsbad
Mutual Water Company, approved by the Mayor, setting forth the plans
suggested and recommending a share sale price of $250.00, advising
that the City would be receptive to hearing other proposals of the
Carlsbad Mutual. Water Company. Seconded'by Cmn.' Helton. The City
Manager requested clarification of the type of bond issue. 'It was
agreed by the Council that a general obligation issud would be the
best. ' Four ayes, no nay$, Crnn. Robinson abstaining. .
At 9:30 P . M, the meeting was declared adjourned until 7: 00 P . M.'

The following bids on the Elm Avenue paving were opened and read:

Mr. Phelps recommended that the low bid of R. E. HAZARD CONTRACTING COO of $17,237.10 be accepted. It was noted that the engineer's estimate wi
$21,879,20.
Cmn. Helton moved that the low bid of R, E, Hazard Contracting Co. be a(
cepted. Seconded by Cmn. Robinson. All ayes, no nays, motion carried.
