CALL TO ORDER: Mayor Hall called the Meeting to order at 9:01 a.m.
ROLL CALL was taken by the City Clerk, as follows:
Present: Council Members Hall, Packard, Wood, Blackburn, Douglas.
Absent: None.
CONSENT CALENDAR: None

2. PRESENTATIONS FROM CITY TREASURER APPLICANTS
Council received presentations from applicants Ron Araujo, Michael Williams, and Craig
Lindholm.
Mayor Hall explained to the applicants that Council will make a decision at the March 26, 2013
Council meeting.
3. PRESENTATION FOR ALGA NORTE COMMUNITY PARK
Mr. Chris Hazeltine and Ms. Lolly Sangster from the City's Parks and Recreation Department
provided handouts of the City's proposal to operate the Alga Norte Community Park (Copies on
file in the City Clerk's office). A power point presentation was delivered during which the
council members were free to ask questions and pose any concerns, (copies on file in the City
Clerk's office). Slides depicted in the power point were shown of the park's amenities during
deveiopment including:
• Aquatic and Recreation Center
o 56 meter swimming pool and therapy spa
• Multipurpose Fields
• Dog Park
Mr. Hazeltine explained the Request for Proposals protocol the City followed to assure due
diligence was paid to the process. The Parks and Recreation department broke the park into
two sections when requesting proposals; aquatic/skatepark and athletic fields/dog park.
Bids were received from:
• The Boys and Girls Club of Carlsbad
• Sportsplex USA
• Waterworks Aquatics, LLC
Mr. Hazeltine explained that the proposal from The Boys and Girls Club of Carlsbad's was not a
viable option.
A three-tiered approach, as can be seen on the power point handout, was taken to evaluate the
proposals and it was determined that the best option to operate the facility is the City of
Carlsbad. To be certain there was no unintentional bias on the part of the City's Parks and
Recreation Department, Baker Tilly was consulted and they reviewed the proposals and
validated that the City of Carlsbad is the best option using a five year forecast/fixed fee basis.
In comparing the Sportsplex proposal to the City's proposal it was noted that the Sportsplex
proposal includes the sale of food and beverages, including wine and beer. Councilmember
Douglas asked why this facet was not removed from the forecast to provide an apples to apples
comparison. Mr. Hazeltine explained that the park design doesn't have a food and beverage
entity and Sportsplex's business model does not allow for the exclusion of the food and
beverage facet.
Councilmember Blackburn asked if the City decides not to extend food and beverage service in
the park, would Sportsplex rescind their proposal and Mr. Hazeltine responded that they would
rescind their proposal if that were to occur.
Mayor Hall asked what the budgeted escalator was for maintenance and operations for the
city's proposal to operate Alga Norte. Mr. Hazeltine responded three percent per year.
Mr. Hazeltine stated that the five year forecast reflects 99 percent cost recovery by year five.
Baker Tilly supports the operation of the park by the City.
PUBUC COMMENT:
Peter Mertz, Phil Ladman, Greg Herman, and Pam Drew all spoke in favor of the City operating
the new park.
Jon Alpert and Todd Sarkaric, owner and operations manager of Waterworks Aquatic, LLC, also
spoke in support of the City of Carlsbad operating the park. They further stated that while they
do not think today's presentation compared cost structure accurately, they agree the city can
run the facility at a lower cost. They made a goodwill offer of their experience and services as it
relates to the aquatic center in the park to the city.
Mayor Pro Tem Packard sought clarity with Mr. Alpert and Mr. Sarkaric and asked if they do
accept the numbers the city proposal reflects to be accurate and they confirmed that they do.
Mayor Hall asked the members of the public if anyone else would like an opportunity to speak
and received no responses. At this time the council proceeded with questions for Mr. Hazeltine
and Ms. Sangster.
Councilmember Wood asked if the $1.26 million referenced on page 23 of the City proposal
includes salaries of new employees and Mr. Hazeltine stated yes it does. Councilmember Wood
inquired as to how many new full and/or part time employees will be required to work at the
park and Ms. Sangster advised her that two full time employees, a recreation supervisor and an
aquatics supervisor would be needed with Seventy-five percent of their time being spent at the
Alga Norte Community Park and twenty-five percent at the Monroe Street pool. Administrative
and lifeguard positions will be added part time. Councilmember Wood requested clarification
as to where any revenue shortfall would come from. Mr. Hazeltine advised the amount being
requested is for year two and requests that in the event of any revenue shortfall, the City of
Carlsbad's general fund make that contribution.
Mayor Hall asked who will be in charge of special events at the park and was advised that
existing staff would handle the events as well as aggressively marketing the events. It was
noted that there are three events scheduled for the first year the park is open.
Councilmember Douglas expressed a concern as to why Waterworks Aquatics anticipate higher
costs than the City projects. Mr. Hazeltine said he feels strongly the City figures in the plan are
adequate. They used the Monroe Street pool and Folsom Aquatics as a model to project costs
and he stated they were conservative with their figures.
Councilmember Douglas also inquired about the opinion that there would be limited
accessibility if Waterworks Aquatics were to run the pool and Mr. Hazeltine responded that
they would be offering large blocks of private swim lessons, reducing the accessibility to the
general population both in terms of pool time and excessive costs to the citizens of Carlsbad.
Councilmember Wood inquired about CalPERS benefits forthe 17 part time employees at the
park. It was noted that part time employees would not be eligible for CalPERS. Councilmember
Wood also asked if any volunteers would be working at the new park and Mr. Hazeltine
responded that they have not built that into the model yet, but it's certainly a possibility in the
future.
Mayor Pro Tem Packard asked if it is safe to assume labor costs are fully loaded and it was
noted they are. He further inquired as to why the Sportsplex model has higher fees than the
City's proposal and Mr. Hazeltine responded that with the tax support from the City of
Carlsbad, the City is able to offer a better opportunity for the value.
Mayor Pro Tem Packard brought up that the appropriateness of alcohol in our city parks had
been discussed during the April, 2012 meeting. Mr. Hazeltine agreed, but did not recall that a
decision had been reached.
Mayor Hall suggested that the focus should be on a place for families to gather and to celebrate
much as they would if they went to Pizza Port or Chuckee Cheese after a game at the park.
Councilmember Blackburn indicated he is not sure if he likes the idea of beer and wine in our
parks and wili give it more thought. He inquired about the availability of sufficient parking and
expressed concerns about overflow becoming a nuisance for the nearby residents. Mr.
Hazeltine concurred that there may be those who opt to park on surrounding streets for
convenience sake, but that parking inside the park should be sufficient with the possible
exception of special events when City Traffic Division would assist, similar to how the City
handles "Jazz in the Park."
All members are supportive of the City operating the Alga Norte Community Park and the
Mayor and council agreed to place the order to proceed on the agenda for the regular May 7,
2013 city council meeting.

EXPERIENCE Worked in public accounting from 1980 through 1991 as an employee, partner and sole
proprietor. Experience included audits of local governments and small businesses as well as general
consulting and tax services. Provided forensic accounting services to private companies, churches, and
governmental agencies including Riverside County Sheriffs Department with regard to employee theft.
Served as an expert witness and consultant for the Riverside County Grand Jury and District Attorne/s
office.
I served as the elected City Treasurer of Colton, CA for 18 years and was responsible for banking
services, cash management, and Investments. In addition, I was the point of contact for bondholders
and prepared continuing disclosure for the city's outstanding General Fund COP's, Lease Revenue bonds,
water, wastewater and redevelopment tax allocation bonds. I was a member of the city's finance team
for approving, structuring, and negotiating terms and conditions for debt including municipal leases,
COP'S and Lease Revenue Bonds forthe city general fund, water, wastewater and electric utility.
When I Initially took office in 1988,1 terminated the contract with an outside money manager who had
control and management authority of approximately $8 million of the city's portfolio. About a year later,
the Principal of the money management firm, Steven D. Wymer, was arrested and prosecuted for theft
of client funds, much of it from California cities. I was asked by the Government Finance Officers
Association to testify before a congressional subcommittee regarding proposed Investment advisor
industry reform. My testimony was presented In June of 1992 In Washington DC.
I am a Principal of a consulting firm that provides services to California and Hawaii local government
agencies Including special districts, school districts, cities, and counties. Our services include feasibility
studies, debt capacity, and implementation of debt financing Including negotiated and competitive sales
of COP'S, Lease Revenue Bonds, General Obligation Bonds, land secured Assessment District and CFD's
and tax allocation bonds. We provide reviews of banking services and investment policy and practices. I
served as the Interim Treasurer for the Jurupa Community Services District for six months in 2009. This
investment portfolio was In excess of $100 million not Including bond proceeds. We also serve on
several Oversight Boards of former redevelopment agencies for two of our school district clients. I have
continuously worked as a municipal financial advisor since 1991,
COMMUNITY ACTIVITIES I currently serve as the Treasurer of the Home Owners Association for
Portico at Rancho Carrillo. I also serve on the social committee for the Rancho Carrillo Home Owners
Association assisting with community events. I am a volunteer at the San Diego County Animal Shelter in
Carisbad as a dog walker and other duties as assigned. I have been the Treasurer of a scholarship
foundation, 501 C(3) in San Bernardino County for ten years that provides college scholarship funds.

Dear Mr. Williams:
Thank you for agreeing to testify before the Subcommittee on
Telecommunications and Finance on Thursday, June 4, 1992, at 9:30
a.m., in a room to be emnounced. This hearing will focus on
inadequacies in the regulation and supervision of investment
advisers and financial planners, the growing problem of
unregistered advisers and planners, flawed and inadequate
disclosure requirements, the need for a private enforcement
mechanism in the law, and other related issues. Any experience
you have had with an investment adviser or financial planner will
be of interest to the Subcommittee Members, especially as that
experience may shed light on the above issues.
As you may be aware, I have circulated, along with Rep. Rick
Boucher, a Discussion Draft for comment by a range of interested
parties. This Discussion Draft represents an attempt by our staff
and the staff of the full Committee and the Minority, to address
the issues outlined above. The staff is currently evaluating the
comments we have received on the Discussion Draft and fine-tuning
the Draft on the basis of those comments. While we anticipate
several changes will be made to the text prior to its formal
introduction, we have nonetheless enclosed a copy for your review,
along with brief explanatory materials. We would welcome any
comments you have on the Discussion Draft as part of your
testimony.
Your written testimony may be of any length and contain
supplemental supporting materials. It should be typed, one-sided,
double-spaced and shoulji include a one-page summary touching upon
the major points of the testimony. In order for Members of the
subcommittee to ask questions of all witnesses, your oral
statement should be limited to no more than 5 minutes.
You should provide the Subcommittee with 100 copies of the
prepared statement prior to the hearing. These copies should be
delivered to the Subcommittee by close of business on Tuesday,
June 2, 1992, to the attention of Karen Colannino. This will
afford the Members and staff the appropriate opportunity to review

This Is a letter of reference for Mr. Michael J. Williams, applicant for Treasurer, City of Carisbad.
Mr. Williams was appointed Treasurer for Jurupa Community Services District (District) from
March through September 2009 during a period the District's treasurer position was vacant. In
2009, the District served a population of approximately 90,000 with water, wastewater, parks,
street lighting, landscape and graffiti removal services.
I retired In January 2013 as General Manager at the District having been appointed in 2006. I
am familiar with Mr. Williams' work as Treasurer at the District. Mr. Williams oversaw over
$105 M in investments and substantial bonded indebtedness for the Districts neariy 40
Community Facilities Districts. He made monthly reports to the District's five-member elected
board. Mr. Williams also reviewed the District's investment policy and made recommendations
for improvement
I found Mr. Williams' performance to be very professional and objective In every way. This
period of time in 2009 was a particularly difficult time at the District. The District also had an
Interim Chief Financial Officer during this period. It is with gratitude that I report that Mr.
Williams and the Interim CFO communicated well and collaborated very effectively in service of
the Board and community during this difficult time.

This is a letter of reference for Michael J. Williams, applicant for Treasurer for the City of Carisbad. I
have known Mr. Williams for over 25 years. During this time I had the pleasure of working with Mr.
Williams in his role as a city treasurer and as a financial advisor on matters of public finance for local
governments. I can say without reservation, that Mr. Williams is a very dedicated and highly
competent professional. I confidently endorse him as an applicant for the city treasurer position.
Until 2009, I was an audit partner in a national CPA firm. My duties included independent audit
services to local governments. In 2009,1 retired and took the position of Assistant General Manager/
Chief Financial Officer for Westem Municipal Water District of Riverside County, California.
My first association with Mr. Williams was when he was the newly elected treasurer of the City of
Colton, California. At that time, I was the City's Independent auditor. I witnessed Mr. Williams' ability
to make many necessary changes to Improve investment policy and strategy and upgrade
Investment reporting. His leadership and credibility enabled better communication and education for
City leaders.
In our professional capacities, mine as an independent auditor and Mr. Williams as a financial
advisor; we often worthed for the same local governments. Mr. Williams' role was to oversee and
secure necessary financing for capital projects and economic development. As the independent
auditor, we woriced together to ensure that I understood the financing and its reporting Impacts on
the local govemment. Mr. Williams always sought the best available solution for the client, placing
their strategic best interests first and foremost
Recently, Mr. Williams provided services to my district securing a sizable direct-pay letter of credit to
support our outstanding variable rate interest bonds. Through his efforts, we were able to
significantly reduce the fees we had been paying. His work required him to interact with and make
presentations to our Finance Committee and Board of Directors.

My association with Mr. Michael Williams dates back to the early 1990's when I worked for the City of
Colton in the City Manager's Office and Mr. Williams was the City Treasurer. That relationship
continued into the middle 2000's when 1 was the City Manager and Mr. Williams continued to serve as
the City Treasurer. Since leaving Colton in 2009, approximately two years after Mr. Williams left, our
relationship continued with Mr. Williams' firm doing work for the City in which I currently serve as City
Manager, the City of Covlna, as a Financial Consultant assisting the City's Water Utility in issuing water
revenue bonds.
Throughout my years working with Mr. Williams both as the City Treasurer and as a Financial Consultant

•Elected City Treasurer of Colton, CA from 1988-2006. I was responsible for cash
forecasting and management, investment of city funds and bond proceeds, monthly
reporting, annual investment policy updates, bondholder relations and continuing
disclosure reporting for city debt. I served as a member of the city finance team for all
debt issuance including city general fund, water, wastewater, electric utility and
redevelopment. My position at the city was part-time with minimal staff support. 1

I taught accounting at the community college level for five semesters.
1 am a principal in a municipal financial advisor firm which is registered with the SEC
and the Municipal Securities Regulatory Board (MSRB) and have been an employee since
1995. Our firm assists school districts, cities, counties and special districts in issuance
of debt, feasibility studies, and other policies and practices.

Degree and general experience requirement - I have the required degree in business which
is the basic requirement. However, being a CPA is one the most recognized and respected
financial services titles. I more than meet the four year work experience both in the private
sector but also in the public sector as both a consultant, teacher and an elected official. For
the last 21 years, 1 have been exclusively working for and with local government.
Specific experience - I served as the elected City Treasurer of Colton from 1988 through
2006. Colton is a full service city with Police, Fire, water, wastewater and electric generation
and distribution. I also served as an appointed interim Treasurer for nine months for the
Jurupa Community Services District in Riverside County. This organization provides, water,
wastewater, and park services to a community of over 107,000 people. The portfolio was
over $100 minion not including bond proceeds for about 40 different CFD's.

c) I have prepared conservative investment policies for Colton and other cities that are in
compliance with the California Government Code.
d) I have been an elected official. I work well in the support role of executing the investment
policy authorized by the Council.
2. I am a consultant to local government.
a) 1 bring knowledge to the city regarding issues impacting local government in California.
For example, I serve on two Oversight Boards for Successor Redevelopment Agencies for one
of my clients. Dealing with the elimination of Redevelopment is an important issue currently.
b) I am a discrete professional. Carlsbad has a well earned reputation for being fiscally
sound and well managed. It is my goal to do anything I can to maintain the image of Carlsbad.
c) I have relationships with other governmental agencies with large investment portfolios.
Discussing the investment outlook and strategy with other municipal professionals and the
City's Investment Oversight Board helps make better decisions.

Noise notification
Although you can expect to hear the sounds of construction
weekdays during regular construction hours, we will notify
those in the immediate vicinity of the site if we expect any
excessive noise levels due to special construction activities.
Watch the progress
The trails alongside the park site will remain accessible to
the public during park construction. "Portholes" along the
project fencing will offer passers-by a glimpse of the park as
it is taking shape. For safety, only authorized construction
personnel are allowed on the construction site. Please observe
all posted signs and watch for construction traffic.

The City of Carlsbad has started construction on Alga Norte
Community Park, a vibrant new addition to southeast
Carlsbad, featuring a diverse array of amenities for all ages that
complement the changing needs of Carlsbad's active residents.

1. Three lighted softball/baseball fields
2. One lighted full basketball court and one half court
3. A concession stand at the ball fields
4. Picnic areas with barbecues
5. Playground with 100 percent universally accessible

6. An off-leash dog park divided into areas for larger
and smaller dogs, including obstacle course-type
play equipment
7. A skate park with a straight "street course" section,
an area with challenging elements for more skilled
skateboarders and a beginners' area located next to
the playground. Community members requested
these two areas to be close together for families with
older and younger children.

What to expect
in the coming months
Construction hours
The city allows construction from 7 a.m. to sunset on weekdays and 8 a.m. to sunset on Saturdays. Construction for
the park will generally take place from 7 a.m. to 3:30 p.m., Monday through Friday.
Drive carefully
Traffic controls will be set up on Alicante Road to allow trucks and equipment to come and go safely from the
site. You might want to consider taking alternate routes to avoid this area when possible. When you do pass the
construction site, please drive slowly, follow all safety directions and watch for construction workers and vehicles.
The construction hours allow for deliveries and other major construction activity to take place before most people
begin their daily routines, and end well before most people are arriving home in the evening. This helps to reduce
traffic congestion and enhance safety.
