January 20, 1981 Council Conference Room The meeting was called to order by Chairman Richardson at 2:02 P.M. ROLL Ci^LL: Directors Richardson, McComas, Dunne, Goodwin and Chase ABSENT: None APPROVAL OF MINUTES; Minutes of the Special Meeting held December 19, 1980, were approved as submitted. DOCUMENTS RELATIVE TO THE PLAZA CAMINO REAL EXPANSION; The City Attorney referenced his Memorandum to the Parking Authority dated January 16, 1981, and noted that he would be acting as the Escrow Officer in accordance with the set of escrow instruc- tions attached to that Memorandum, unless members of the Parking Authority express concerns about any of the instructions. The Authority expressed no opposition to the instructions. a. Issuance of Bonds. The City Attorney briefly explained that adoption of this resolution would authorize the issuance of the bonds, and set forth the terms and conditions of the bond sale. The following Resolution was adopted: RESOLUTION NO. 23, AUTHORIZING THE ISSUANCE OF $1,500,000 BONDS OF SAID AUTHORITY AND PROVIDING THE TERMS AND CONDITIONS FOR THE ISSUANCE OF SAID BONDS. b. Preliminary Official Statement. The City Attomey gave a brief explanation of the contents of the Official Statement. The following Resolution was adopted: RESOLUTION NO. 21, APPROVING A PRELIMINARY OFFICIAL STATEMENT FOR ITS 1981 PARKING REVENUE BONDS, AND AUTHORIZING THE DISTRIBUTION THEREOF. c. Declaring Intent to Sell Bonds. The following Resolution was adopted: RESOLUTION NO. 24, DECLARING ITS INTENTION TO SELL BONDS OF SAID DISTRICT IN THE AMOUNT OF $1,500,000 AND FIXING TIME AND PLACE FOR TAKING BIDS AND DIRECTING PUBLICATION OF NOTICE INVITING BIDS, d. Leage Agreement. The following Resolution was adopted: RESOLUTION NO. 22, RELATING TO A CERTAIN LEASE AGREEMENT BETWEEN THE CITY AND THE AUTHORITY. Operating Agreement. The City Attorney explained this would approve the Basic Operating Agreement to insure that May Company maintains and operates the lot at no cost to the City. The follov/ing Resolution was adopted: RESOLUTION NO. 26, APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT WITH THE CITY OF CARLSBAD AND PLAZA CAMINO REAL FOR OPERATION AND MAINTENANCE OF THE NEW AND EXISTING PLAZA CAMINO REAL REGIONAL SHOPPING CENTER PUBLIC PARKING AREA. f. Parking Area Leased from Oceanside. The City Attorney explain- ed that this would place that portion of the lot in Oceanside under the same maintenance and operating agreement. The following Resolution was adopted: RESOLUTION NO. 27, APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT BETWEEN THE CITY OF CARLSBAD, THE PARKING AUTHORITY AND PLAZA CAMINO REAL PLACING THE ADDITIONAL PARKING AREA LEASED FROM OCEANSIDE UNDER THE "BASIC PUBLIC PARKING LOT OPERATING AGREEMENT" g. Inclusion of Land Adjacent to Oceanside Sewer Pimip in Operatinc Agreement. The following Resolution was adopted: RESOLUTION NO. 28, APPROVING AND AUTHORIZING THE EXECUTION OF A SUPPLEMENT TO THE PLAZA CAMINO REAL PUBLIC PARKING LOT OPERATING AGREEMENT BETWEEN THE CITY OF CARLSBAD, THE PARKING AUTHORITY, AND THE PLAZA CAMINO REAL WHICH ADDS THE ADDITIONAL LAND ACQUIRED BY THE PARKING AUTHORITY. h. Accepting Grant Deed. The City Attorney explained that the Grant Deed is for the new parking lot, and will be retained in the office of the City Attomey in accordance with the escrow instructions. The following Resolution was adopted; RESOLUTION NO. 25, ACCEPTING A GRANT DEED FROM PLAZA CAMINO REAL CONVEYING LOTS 21 and 27 FOR ACCESS RIGHTS AND PUBLIC PARKING PURPOSES.
