Delays. If SRE is delayed in the performance of the Services or if such performance is interrupted due to changes in the scope of the Services required by Client, Site conditions or other matters beyond the control of SR:. Client shall pay SRE all costs incurred by SRE as a result of the delay or interruption, inciuding reasonable compensation for demobilization and remobilization. Should any delay or interruption delay performance of the Services for more than 60 daysSRE may elect to terminate this agreement upon 10 days written notice to Client. 6. Project Conditions, Prior to commencement of the Services, Client shall nolify SRE in writing of any known or potentially dangerous or hazardous condition, whether latent or patent, at the Site and any subsurface condition that may affect the performance or cost of the Services. SRE may suspend Services upon discovery of any such undisclosed condition and Client shall be responsible for all work required to eliminate or adjBt for such a condition. Under no condition shall SRE be liable for damage to any subsurface structure unless Client has disclosed the location and nature of such structure in writing to SRE prior to commencement of the Services. Client shall arrange forall Site access required by SRE for performance of the Services. 7. Environmental Matters. Unless disclosed in writing by Client prior to execution of this agreement, Client represents that the site contains no underground storage tanks or hazardous, toxic or flammable materials. Upon the discovery of any such item or material, SRE may suspend Services until Client remediates the condmon. Client shall be responsible for compliance with all applicable laws regulating rnovemen~ disposal and monitoring of sch conditions and materials and to report the existence of such matters as required by law. 8. Indemnify. SRE shall indemnify and defend dient and its directors, officers, employees, agents, and subcontractors from and against all claims, demands, suits, arbitrations, liabilities, judgments, losses, and costs induding attorney fees incurred as a result of the negligent performance of the Services. 9. Llmltation of Liability. The maximum aggregate liability of SRE and its directors, offic.ers, employees, agerS and subcontractors, in perfo,mlng the Services or breach of this agreement (111cluding any daims for attorney fees) shan be the greater of $50,000 or the fee paid by the Cfient for the Se!vk:es. • ' 10. Sample Disposal. All samples, specimens and cores may be disposed of by SRE upon completion of its testing and a~s·untess olherMse agreed in writing. 11. Ownership of Documents.. Drawings, reports, specifications, and other documents prepared bySRE or Hs subconsultants or subcontractors are lnslruments of Service for use solely with respect to this project. This includes documents in electronic form.SRE or its subconsultants or subcontractors shaU be deemed the authors and owners of their respective Instruments of Service and shall retain an common law, latutory and other reserved rights, including copyrights. The Instruments of Service shall not be used by the owner for future additions or alterations to this project or for other projects, without the prior written agreement ofSRE. Any unauthorized use of the inslruments of service shall be at the owner's sole risk and without liability toSRE or its subconsultants or subcontractors. · 12. Assignment Client may not assign or otherwise transfer any interest in this agreement without prior written consent oSRE and no assignment of transfer shall relieve Client of any liability hereunder. 13. Mediation. Any claim or dispute arising out of the making of this agreement or the performance of the Services shall be resolved by mediation before the Ame11can Arbitratioo Association pursuant to its Commercial Arbitration Rules at a location in the vicinity of the Site and before a single mediator. To be eligible to serve as mediator, one must be a licensed civil or structural engineer or general building contractor witra minimum of 5 years experience as such a ticensee. The prevailing party in the mediation proceeding, as determined by the mediation, shall be entitled to recover its reasonable attorneys fees. The provisions of this paragraph shall not apply, ifSRE so elects, to collection actions which seek to recover amounts dueSRE on unpaid invoices. 14. Integration and Modification This agreement sets forth the entire agreement between the parties and supersedes all prior representations,:negotiations. . proposals and quotations, whether oral or written. This letter has been presented to address our observations on site of the pipe pile installation. Our services included approximately 30 visits between January 18 and March 31 2010. During that time eighty-seven pipe piles were driven to refusal through the undocumented fill and into the underlying Santiago Formation SILTSTONE. Refusal was encountered between 15 and 41 feet below existing grade. Following driving, the pipe piles were load tested to check that they were driven to refusal. We have included a table summarizing the pile driving operations, pile length, and load test data and attached sketches indicating the approximate pile locations. Based on our experience, it is our opinion that the pipe piles were installed in general accordance with our referenced report. In addition to the pipe pile installation, we monitored construction of the reinforced concrete slab and foundation improvements. It is our opinion that those improvements were also made in general accordance with the project documents. SRE makes no other representation or warranty, expressed>r implied, regan:ling the Service. 5. Delays. If SRE is delayed in the performance of the Services or if such performance is interrupted due to changes in the scope of the Services required by Client, Site conditions or other matters beyond the control of SR:. Client shall pay SRE all costs incurred by SRE as a result of life delay or interruption, Including reasonable compensation for demobilization and remobilization. Should any delay or interruption delay performance of the Services for more than 60 daysSRE may elect to terminate this agreement upon 1 D days written notice to Client. 6. Project Conditions, Prior to commencement of the Services, Client shall notify SRE in writing of any known or potentially dangerous or hazardous condition, whether latent or patent, at the Site and any subsurface condition that may affect the performance or cost of the Services. SRE may suspend Services upon discovery of any such undisclosed condition and Client shall be responsible for all work required to eliminate or adjst for such a condition. Under no condition shall SRE be liable for damage to any subsurface structure unless Client has disclosed the location and nature of such structure in writing to SRE prior to commencement of the Services. Client shall arrange forall Site access required by SRE for performance of the Services. 7. Environmental Matters. Unless disclosed in writing by Client prior to execution of this agreement, Client represents that the site contains no underground .storage tanks or hazardous. toxic or flammable materials. Upon the discovery of any such item or material, SRE may suspend Services until Client remediates the condition. Client shall be responsible for compliance with all applicable laws regulating movement, disposal and monitoring of sch conditions and materials and to report the existence of such matters as required by law. 8. Indemnity. SRE shall indemnify and defend client and its directors, officers, employees, agents, and subcontractors from and against all claims, demands, suits, arbitrations, liabilities, judgments, losses, and costs including attorney fees incurred as a result of the negligent performance of the Services. 9. Limitation of Liability. The maximum aggragate liability of SRE and its directors, officers, employees, agert and subcontractors, in performing the Services or breach of this agreement (including any daims for attorney fees) sball be the greater of $50,000 or the fee paid by the Client for the Services. 10. Sample Disposal. All samples, specimens and cores may be disposed of by ~RE upon completion of its testing and analysis unless otherwise agreed in writing. 11. OWnership of Documents. Drawings, reports, specifications, and other documents prepared bySRE or tts subconsultants or subcontractors are Instruments of Service for use solely with respect to this project. This includes documents in electronic formSRE or its subconsultants or subcontractors shall be deemed the authors and owners of their respective Instruments of Service and shall retain all common law, laMory and other reserved rights, including copyrights. The Instruments of Service shall not be used by the owner for future additions or alterations to this project or for other projects, without the prior written agreement ofSRE. My unauthorized use of the instruments of service shall be at the owner's sole risk and without liability toSRE or its subconsuttants or subcontractors. _12. ~signment Client may not assign or othelWise transfer any interest in this agreement without prior written consent oSRE and no assignment of transfer shall relieve Client of any liability hereunder. - 13.
