HomeMy WebLinkAboutSANDAG Service Bureau; 2020-11-16; S685985STANDARD AGREEMENT FOR SERVICES BETWEEN SAN DIEGO ASSOCIATION OF GOVERNMENTS (SANDAG) SERVICE BUREAU AND CITY OF CARLSBAD CONTRACT NO. S685985 THIS AGREEMENT is made this 16th day of November 2020, by and between SANDAG, acting through its Service Bureau division, (hereinafter referred to as “Service Bureau”) and the City of Carlsbad (hereinafter referred to as “Project Owner”). By executing this Agreement with Service Bureau, the Project Owner agrees to comply with the following terms and conditions: I.TERM OF AGREEMENT This Agreement shall cover services rendered from 11/20/2020 until 3/31/2021 or until the completion of the scope of work, whichever occurs first. V.PAYMENT TERMS Project Owner shall pay the Service Bureau for services within thirty (30) days after receipt of an invoice from Service Bureau. 2 In those cases where there are additional and/or unanticipated expenses related to the project, Project Owner agrees to pay for all Service Bureau labor costs associated with performing the work at a cost reimbursement basis of $160 per hour. The additional work will be agreed to in writing by both parties prior to Service Bureau beginning any work. VI.INCORPORATION OF SANDAG STANDARD TERMS AND CONDITIONS FOR SERVICE BUREAU PRODUCTS AND SERVICES The SANDAG Standard Terms and Conditions for Service Bureau Products and Services are incorporated herein by reference. These Standard Terms and Conditions may be updated from time to time. The current version may be found at the SANDAG website: http://www.sandag.org/index.asp?fuseaction=rfps.legal. The terms of this Agreement, which includes the Standard Terms and Conditions for Service Bureau Products and Services, shall supersede any alternative terms or conditions promulgated by Project Owner. II.SCOPE OF WORK AND ESTIMATED COST The scope of work shall consist of the following tasks: A.Future Year Transportation Forecast Alternatives and Related Services Service Bureau will produce two (2) Series 13 transportation alternatives for the 2012 and 2035 horizon years based on the Project Owners’ inputs for land use assumptions for selected transportation analysis zones (TAZ). One (1) select zone assignment (SZA) and one (1) SB743 Vehicle Miles Traveled (VMT) analyses will be conducted for each model alternative. B.Contract Management Service Bureau will be reimbursed for time to process and administer the contract. Deliverables for each alternative to be delivered within 4 weeks from approval by Project Owner of the future year scenario and acceptance of the model inputs by Service Bureau. 2.2035B model alternative including one (1) select zone assignment and one (1) SB743 VMT report. Deliverables for each alternative to be delivered within 4 weeks from approval by Project Owner of the future year scenario and acceptance of the model inputs by Service Bureau. 3.2012 Regional Model SB743 VMT report.Deliverables for existing alternatives to be delivered within 4 weeks from notice to proceed. 4.2035A Housing Element Update SB743 VMT report.Deliverables for existing alternatives to be delivered within 4 weeks from notice to proceed. B.Contract Management Initial set up and ongoing. C.Contingency To be determined (if needed)
