'-"'V'Sk , 2019, extending and amending the agreement dated June 05, 2018 {the "Agreement") by and between the City of Carlsbad, a municipal corporation, {"City"), and Urban Corps of San Diego County., a Non-Profit, {"Contractor") {collectively, the "Parties). RECITALS A. On June 05, 2018, the Parties entered Into a one year Agreement for TGIF Concerts in the Parks traffic control plan implementation, trash and recycling services; and B. The Parties desire to amend the Agreement's scope of work and to extend the Agreement for a period of one year. C. The Parties have negotiated and agreed to a supplemental scope of work and fee schedule, which is attached to and incorporated by this reference as Exhibit "A"; Scope of Services and Fees. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. That the above recitals are incorporated herein by the reference. 2. Pursuant to section 2 of the Agreement, the term of the Agreement is hereby extended for an additional year, through and Including June 05, 2020. Contractor will provide the services described in Exhibit "A," attached hereto and incorporated by reference. 3. City will pay Contractor for all work associated with the services described In Exhibit "A," attached hereto. The total compensation for all services required to be performed by Contractor, as contained in Exhibit A, shall not exceed ten thousand, fifty dollars ($10,050). Contractor will provide City invoices sufficiently detailed to include and related activities and costs. 4. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 5. All requisite insurance policies to be maintained by the Contractor pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. Fridays, June 21 through August 16, 2019 1 to 9 p.m. on-site time Dates Locations June 21, 28 & July 5, 2019 Stagecoach Community Park, 3420 Camino de lo Coches, Carlsbad, CA July 12 & 19, 2019 Poinsettia Community Park, 6600 Hidden Valley Road, Carlsbad, CA July 26 & Aug. 2, 2019 Calavera Hills Community Park, 2997 Glasgow Drive, Carlsbad, CA Aug. 9 & 16, 2019 Alga Norte Community Park, 6565 Alicante Road, Carlsbad, CA LABOR: Per Event: Total for 9 (nine) events: 1 Supervisor & 4 Members per event $1,080 $9,720 EQUIPMENT: 50 Blue/Recycle Clear Streams with bags $36.66 $330 for all nine events TOTAL $10,050 City will provide: • Traffic Control Plan o Set up and implementation of small "no-parking" a-frames, which will be set up 36 hours in advance of events o Contract and coordinate with vendor for any use of changeable message signs o Any and all lane closure materials, equipment and implementation, as marked in traffic control plans for Calavera Hills and Alga Norte community parks. o Preparation and access to traffic control plan equipment, including signs, cones, barriers, etc. o Yellow vests, gloves and caution tape for vendor use • Trash and Recycle Plan o Preparation and implementation of trash cans and any plans related to trash collection during the event o Preparation and implementation of any recycle receptacles required outside of Contractor's 50-count of Clear Stream recycle receptacles o If needed, will provide TGIF staff to support trash and recycle removal and bag replacement during reduced Contractor's staff hours of 7 - 8 p.m. o Removal of all city-owned trash and recycle bins City Attorney Approved Version 1/30/13 Contractor will provide: • Traffic Control Plan o Gather, plan and implement all TGIF-related specialty signs in accordance with the traffic control plans for each individual event location, as provided by the city o Conduct safe driving activities at all times o Pick up of all event-related specialty and other signs that are not implemented by the City of Carlsbad Public Works Department or other vendors (any lane closure materials or changeable message signs). This includes the small "no-parking" a- frame, which were implemented by TGIF staff o Placement of all gathered traffic control plan equipment in close proximity to storage container car where equipment was provided in the morning shift • Trash and Recycle Plan o Coordination, bagging and implementation of fifty (50) Clear Stream recycle receptacles on the event area in accordance with the Trash and Recycle Plan provided by the city o Throughout the event, and any time there are public present. regularly remove full trash and recycle bags, and replace bags as needed. Recycle bags will be removed prior to filling, as glass can create heavy bags and all staff and vendors will avoid broken glass whenever possible o If glass Is broken at any time, clean and remove the glass immediately and dispose of in a proper and safe manner o At end of event, remove all trash and recycling materials to provided dumpsters and remove all Contractor-owned recycling equipment On-site schedule for Contractor staff: • 1 p.m.: Contractor's staff on site. Load necessary specialty signs in accordance with that event's traffic control plan. Implement all specialty signs as directed in a safe manner. • 3 p.m.: Implement Clear Stream recycle equipment on event site in accordance with that event's trash and recycle plan. • 4 to 7 p.m.: Regularly remove and replace trash and recycle bags • 7 to 8:30 p.m.: Portion of Contractors staff return to vehicle, retrieve all signs related to traffic control plan (not Including lane closure equipment or changeable message signs). Signs to be placed in close proximity to event storage car containers as directed by event staff • 7 to 8:30 p.m.: Portion of Contractor staff remain on site to regularly remove and replace trash and recycle bags • 8:30 to 9 p.m.: All Contractor staff to continue removing trash and recycle materials to provided dumpsters. Clean up and remove recycling equipment. Pick up trash and recycle in event area. Pricing above Includes the following services: • All Contractors driving time. • One (1) training date, date and time TBD, for Contractor's staff to work with city staff on- site for event traffic control plan and trash and recycle plan training. RECITALS A. City requires the professional services of a contractor that is experienced in providing recycling equipment, support and trash pickup services for large-scale outdoor events. B. Contractor has the necessary experience in providing professional services and advice related to trash and recycling services. C. Contractor has submitted a proposal to City and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. SCOPE OF WORK City retains Contractor to perform, and Contractor agrees to render, those services (the "Services") that are defined in Exhibit "A", attached and incorporated by this reference in accordance with the terms and conditions set forth in this Agreement. 2. TERM This Agreement will be effective from the date first written above, for a period of one (1) year with up to two (2) optional one (1) year extensions for a total of three (3) years. 3. COMPENSATION The total fee payable for the Services to be performed shall not exceed five thousand, five hundred eighty dollars ($5,400). No other compensation for the Services will be allowed except for items covered by subsequent amendments to this Agreement. City reserves the right to withhold a ten percent (10%) retention until City has accepted the work and/or the Services specified in Exhibit "A." 4. STATUS OF CONTRACTOR Contractor will perform the Services as an independent contractor and in pursuit of Contractor's independent calling, and not as an employee of City. Contractor will be under the control of City only as to the results to be accomplished. 5. INDEMNIFICATION Contractor agrees to indemnify and hold harmless the City and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses including attorneys fees arising out of the performance of the work described herein caused by any negligence, recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. The parties expressly agree that any payment, attorney's fee, costs or expense City incurs or makes to or on behalf of an injured employee under the City's self-administered workers' City Attorney Approved Version 4/1 /15 compensation is included as a loss, expense or cost for the purposes of this section, and that this section will survive the expiration or early termination of this Agreement. 6. INSURANCE Contractor will obtain and maintain policies of commercial general liability insurance, automobile liability insurance, a combined policy of workers' compensation, employers liability insurance, and professional liability insurance from an insurance company authorized to transact the business of insurance in the State of California which has a current Best's Key Rating of not less than "A-:VII"; OR with a surplus line insurer on the State of California's List of Approved Surplus Line Insurers (LASLI) with a rating in the latest Best's Key Rating Guide of at least "A:X"; OR an alien non- admitted insurer listed by the National Association of Insurance Commissioners (NAIC) latest quarterly listings report, in an amount of not less than one million dollars ($1,000,000) each, unless otherwise authorized and approved by the Risk Manager or the City Manager. Contractor will obtain occurrence coverage, excluding Professional Liability, which will be written as claims- made coverage. The insurance will be in force during the life of this Agreement and will not be canceled without thirty (30) days prior written notice to the City by certified mail. City will be named as an additional insured on General Liability which shall provide primary coverage to the City. The full limits available to the named insured shall also be available and applicable to the City as an additional insured. Contractor will furnish certificates of insurance to the Contract Department, with endorsements to City prior to City's execution of this Agreement. 7. CONFLICT OF INTEREST Contractor shall file a Conflict of Interest Statement with the City Clerk in accordance with the requirements of the City of Carlsbad Conflict of Interest Code. COMPLIANCE WITH LAWS Contractor will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment and will obtain and maintain a City of Carlsbad Business License for the term of this Agreement. 9. TERMINATION City or Contractor may terminate this Agreement at any time after a discussion, and written notice to the other party. City will pay Contractor's costs for services delivered up to the time of termination, if the services have been delivered in accordance with the Agreement. 10. CLAIMS AND LAWSUITS By signing this Agreement, Contractor agrees it may be subject to civil penalties for the filing of false claims as set forth in the California False Claims Act, Government Code sections 12650, et seq., and Carlsbad Municipal Code Sections 3.32.025, et seq. Contractor further acknowledges that debarment by another jurisdiction is grounds for the City of Carlsbad to terminate this Agreement. 11. JURISDICTIONS AND VENUE Contractor agrees and stipulates that the proper venue and jurisdiction for resolution of any disputes between the parties arising out of this Agreement is the State Superior Court, San Diego County, California. 12. ASSIGNMENT Contractor may assign neither this Agreement nor any part of it, nor any monies due or to become due under it, without the prior written consent of City. CONTRACTOR'S service is expected to continue ongoing throughout the evening and until after the concert has concluded, and venue is clear of trash. The CONTRACTOR will dispose of all collected trash and debris into recycling containers on the field and work with CITY's event staff for disposal in dumpsters which will be provided by the CITY. CONTRACTOR to supply: Labor: Provide 1 Supervisor & 2 Corps members onsite per event. Covering all nine Friday events from June 22 to August 17 per schedule provided. Hours to include from 3:30 p.m.to 9 p.m. @ $552.50 per event. Equipment: 50 Blue/Recycle Clear Streams with bags for all nine events @$36.66 per event. No coverage will be provided if, in the absence of this endorsement, no liability would be Imposed by law on you. Coverage shall be limited to the extent of your negligence or fault according to the applicable princi- ples of comparative fault. NON-OWNED WATERCRAFT AND NON-OWNED AIRCRAFT LIABILITY Exclusion g. of COVERAGE A (Section I) is replaced by the following: g. "Bodily injury" or "property damage" arising out of the ownership, maintenance, use or entrustment to others of any aircraft, "auto" or watercraft owned or operated by or rented or loaned to any insured. Use includes oper- ation and 'foading or unloading". This exclusion applies even if the claims against any insured allege negligence or other wrongdoing in the supervision, hiring, employment, training or monitoring of others by that insured, if the "occurrence" which caused the "bodily injury" or "property damage" involved the ownership, mainte- nance, use or entrustment to others of any aircraft, "auto" or watercraft that Is owned or operated by or rented or loaned to any in- sured. This exclusion does not apply to: (1) A watercraft while ashore on premises you own or rent; (2) A watercraft you do not own that is: (a) Less than 52 feet long; and (b) Not being used to carry persons or property for a charge; (3) Parking an "auto" on, or on the ways next to, premises you own or rent, pro- vided the "auto" is not owned by or rented or loaned to you or the insured; (4) Liability assumed under any "insured contract" for the ownership, mainte- nance or use of aircraft or watercraft; or (5) "Bodily injury" or "property damage" arising out of: (a) the operation of machinery or equipment that is attached to, or part of, a land vehicle that would qualify under the definition of "mobile equipment" if it were not subject to a compulsory or financial responsibility law or other motor ve- hicle insurance law in the state where it is licensed or principally garaged; or (b) the operation of any of the machin- ery or equipment listed in Paragraph f.(2) or f.(3) of the definition of "mobile equipment". A separate limit of insurance applies to Damage To Prem- ises Rented To You as described in Section Ill -Limits Of Insurance. TRANSFER OF RIGHTS OF RECOVERY The following is added to Paragraph 8. Transfer Of Rights Of Recovery Against Others To Us of COM- MERCIAL GENERAL LIABILITY CONDITIONS (Sec- tion IV): We waive any rights of recovery we may have against any person or organization because of payments we make for injury or damage arising out of your ongoing operations or "your work" done under a contract with that person or organization and Included in the "products-completed operations hazard". This waiver applies only to a person or organization for whom you are required by written contract, agreement or permit to waive these rights of recovery. AGGREGATE LIMITS OF INSURANCE -PER LOCATION For all sums which the Insured becomes legally obli- gated to pay as damages caused by "occurrences" under COVERAGE A (Section I), and for all medical expenses caused by accidents under COVERAGE C (Section I), which can be attributed only to operations at a single "location": Paragraphs 2.a. and 2.b. of Limits of Insurance (Sec- tion Ill) apply separately to each of your "locations" owned by or rented to you. "Location" means premises involving the same or connecting lots, or premises whose connection Is interrupted only by a street, roadway, waterway, or right-of-way of a railroad. INCREASED MEDICAL EXPENSE LIMIT The Medical Expense Limit is amended to $10,000. KNOWLEDGE OF OCCURRENCE The following is added to Paragraph 2. Duties In The Event Of Occurrence, Offense, Claim Or Suit of COMMERCIAL GENERAL LIABILITY CONDITIONS (Section IV): Knowledge of an "Occurrence", claim or "Suit" by your agent, servant or employee shall not in itself constitute knowledge of the named insured unless an officer of the named insured has received such notice from the agent, servant or employee. UNINTENTIONAL FAILURE TO DISCLOSE ALL HAZARDS The following Is added to Paragraph 6. Representa- tions of COMMERCIAL GENERAL LIABILITY CONDI- TIONS (Section IV): If you unintentionally fail to disclose any hazards ex- isting at the inception date of your policy, we will not deny coverage under this Coverage Form because of such failure. However, this provision does not affect our right to collect additional premium or exercise our right of cancellation or non-renewal.
