This Amendment No. 5 is entered into and effective as of the ______________ day of _________________________, 2019, extending the agreement dated October 21, 2015 (the “Agreement”) by and between the City of Carlsbad, a municipal corporation, ("City"), and Roesling Nakamura Terada Architects, a California corporation, ("Contractor") (collectively, the “Parties”) for building design and the development of bridging documents. RECITALS A. On August 30, 2016, the Parties executed Amendment No. 1 to the Agreement to include an evaluation of four alternative site concept options; and B. On May 7, 2018, the Parties executed Amendment No. 2 to the Agreement to alter the Agreement’s scope of work to reallocate funding from design development to bridging document strategy planning and Conditional Use Permit coordination; and C. On August 22, 2018, the Parties executed Amendment No. 3 to the Agreement to alter the Agreement’s scope of work to include bridging documents for additional office and warehouse space, parking garage, photovoltaic panel system and storage space for the maintenance and operations site; and extended the Agreement for 2 years; and D. On April 11, 2019, the Parties executed Amendment No. 4 to the Agreement to extend the Agreement for a period of one (1) year. E. The Parties have negotiated and agreed to a supplemental scope of work and fee schedule, which is attached to and incorporated in by reference as Exhibit “A”, Scope of Services and Fee; and NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. In addition to those services contained in the Agreement, as may have been amended from time to time, Contractor will provide those services described in Exhibit "A". With this Amendment, the total Agreement amount shall not exceed one million, twenty-six thousand, four hundred and fifty-one dollars ($1,026,451). 2. City will pay Contractor for all work associated with those services described in Exhibit “A” on a time and materials basis not-to-exceed ten thousand dollars ($10,000). Contractor will provide City, monthly, copies of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City. 3. Contractor will complete all work described in Exhibit “A” by October 21, 2022. 4. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. (RNT) to provide additional traffic engineering services for the proposed Orion Center Project (the “Proposed Project”). The City of Carlsbad has updated their roadway methodology since our submission of the Transportation Impact Analysis, dated April 30, 2019. Furthermore, the City has requested eight (8) additional cumulative projects to be added to our analysis, as well as, including an additional analysis for right-turn lane length. These changes will require that the Existing, Existing Plus Project, Cumulative, and Cumulative Plus Project Conditions be reanalyzed to account for the additional cumulative projects and to include the additional right-turn lane length analysis. Specific tasks include: 1.Update the GMP roadway segment analyses under Existing, Existing Plus Project, Cumulative, and Cumulative Plus Project, utilizing the specific corridor capacities included in the City of Carlsbad’s Roadway Capacity Tables Report, February 2019. 2.Evaluate whether the length of affected right-turn bays is adequate based on calculated right- turn queue lengths. Right-turn queues will be evaluated by using Synchro 10 or by reducing right-turn queues based on good engineering practice. 3.Addition of intersection of El Camino Real and Palomar Airport Road to the study area. This intersection will be analyzed under all scenarios: Existing, Existing + Project, Cumulative, and Cumulative + Project. 4.Re-analyze and document project Cumulative Conditions without and with the proposed project, to include the following additional projects: o Valley View - (office building) o Marja Acres - (mixed-use development) o McClellan - Palomar Airport - (airport) o Cantarini Ranch - (single-family residential) o Holly Springs - (single-family residential) o Dos Colinas – (senior residential community) o Rancho Milagro – (single-family residential) o Encinas Creek Apartments (multi-family residential) 5.Include Transportation Demand Management (TDM) section and discuss how the project plans to meet the requirements of a Tier 3 TDM Plan based on the City of Carlsbad TDM Ordinance. Attend a maximum of two (2) project related meetings. OPTIONAL TASK The City of Carlsbad has additional roadway analysis guidelines in cases where a roadway segment is identified to operate at LOS D. If any of the study area roadway segments subjected to roadway analysis are identified to operate at LOS D, Chen Ryan will prepare a “Deeper Dive” analysis based on the City of Carlsbad Guidelines. SCHEDULE We are prepared to begin immediately after receiving the Notice to Proceed (NTP) and a signed contract. A draft Transportation Impact Analysis will be submitted to the client within four (4) weeks of the following: ·Signed project contract and written notice to proceed from RNT ·Receipt of cumulative project information from City of Carlsbad COMPENSATION Upon written authorization to proceed, Chen Ryan Associates, Inc. will perform the tasks outlined for this phase for a fixed-fee contract in the amount of Eight Thousand Dollars ($8,000.00) including expenses. “Expenses” are defined as the cost of reproduction, mailing, presentation materials, and data processing and production techniques. COMPENSATION (OPTIONAL TASK) Upon written authorization to proceed, Chen Ryan Associates, Inc. will perform the tasks outlined for this phase for a fixed-fee contract in the amount of Two Thousand Dollars ($2,000.00) including expenses. ADDITIONAL SERVICES Any mutually agreed to Additional Services beyond the Scope of Services will be performed by Chen Ryan Associates, Inc. upon written notice from the Client. Additional Services will be compensated on the basis of the hourly rates of all personnel engaged on the project plus expenses as defined above. Examples of Additional Services are: ·Attendance at additional meetings beyond those identified in the Scope of Services. ·Providing any other services not expressly included in this Agreement or not customarily furnished in accordance with generally accepted practices in the industry. ·Making revisions in drawings, specifications, or other documents when such revisions are inconsistent with approvals of instructions previously given, or are due to causes not solely within control of Chen Ryan Associates, Inc. The additional research information will provide a tree survey, cataloging and note existing trees to be removed or stay on the CUP landscape plans. Task 2: Traffic Impact Analysis Level V TIA Study The task includes additional research and data collection and preparation of a traffic study in accordance to the City of Carlsbad’s CUP review comments and Transportation Impact Analysis Guidelines a Level V TIA. SCOPE OF WORK City retains Contractor to perform, and Contractor agrees to render, those services {the "Services") that are defined in attached Exhibit "A", which is incorporated by this reference in accordance with this Agreement's terms and conditions. 2. STANDARD OF PERFORMANCE While performing the Services, Contractor will exercise the reasonable professional care and skill customarily exercised by reputable members of Contractor's profession practicing in the Metropolitan Southern California Area, and will use reasonable diligence and best judgment while exercising its professional skill and expertise. 3. TERM The term of this Agreement will be effective for a period of four (4) years from the date first above written. Extensions will be based upon a satisfactory review of Contractor's performance, City needs, and appropriation of funds by the City Council. The parties will prepare a written amendment indicating the effective date and length of the extended Agreement. 4. TIME IS OF THE ESSENCE Time is of the essence for each and every provision of this Agreement. 5. COMPENSATION The total fee payable for the Services to be performed during the initial Agreement term will be six hundred sixty thousand eight hundred sixty four dollars ($660,864 ). No other compensation for the Services will be allowed except for items covered by subsequent amendments to this Agreement.
