RECOMMENDED ACTION:
If City Council concurs, your action is to adopt
Resolution No .90 --2,g* approving the firm of Roth and
Associates to conduct a survey of cultural resources within the City of Carlsbad.
ITEM EXPLANATION:
As part of the 13th year Community Development Block Grant program, the City Council approved funding for the
Cultural Resource Survey Project. Subsequently, the City
received a Certified Local Government (CLG) Grant of
$6,000 from the State Office of Historic Preservation to augment the CDBG funds and bring the total of available funds for this project to $36,000.
The Cultural Resource Survey will update and build upon the City's Resional Historic Preservation Study that was prepared in 1980. Additionally, the survey will identify
undocumented historic and pre-historic sites within the entire Cityls jurisdiction. survey are to gain sufficient data to nominate properties to the National Register of Historic Places, and to
develop City of Carlsbad preservation priorities.
Staff solicited proposals for the work pursuant to requirements from the State Office of Historic
Preservation. Preservation Commission representatives and City staff reviewed and analyzed all five proposals based on the
following criteria:

After thorough consideration, and with the concurrence and recommendation of the State Office of Historic Preservation, the screening committee recommends that Roth and Associates be retained to do the work.
Because the work to be done is related to the experience and expertise of the bidder, the screening committee could not rely solely on cost as a basis for selection.

desired final product.
Payment for the cultural resource survey will come
entirely from 13th year Community Development Block Grant funds and the Certified Local Government Grant.
FISCAL IMPACT:
The city Council has authorized the use of 13th year CDBG funds in the amount of $30,000 (AN 302-840-1890-3736), and the City has received a Certified Local Government Grant of $6,000 from the State Office of Historic Preservation
(AN 380-840-8135-3736) for funding of this project. These two funding sources will cover the total proposed cost.

11. DISPUTES
If a dispute should arise regarding the performance o
under this agreement, the following procedure shall be used
resolve any question of fact or interpretation not otherwis
settled by agreement between parties. Such questions, if
become identified as a part of a dispute among persons ope1
under the provisions of this contract, shall be reduced to
writing by the principal of the Consultant or the City Hou:
and Redevelopment Director. A copy of such documented disr
shall be forwarded to both parties involved along with
recommended methods of resolution which would be of benefi
both parties. The City Housing and Redevelopment Director
principal receiving the letter shall reply to the letter a
with a recommended method of resolution within ten (10) da

12. RESPONSIBILITY OF THE CONSULTANT
The Consultant is hired to render professional service
the completion of a Cultural Resources Inventory for the Ci
Carlsbad and any payments made to Consultant are compensati
solely for such services. All work must be done accordinq
City Ordinances, the Yational Register Bulletin (16), the
Yational RegisterBulletin (231, the California Historic
Resources-Inventorv Survev Workbook, the Secretary of the
. Interior’s .. Standards and Guidelines for Archeology and Hist
Px..gservation, the California Archeological Inventor\- Handbo
and the provision of the State Project Agreement for the 19
California National Histodc Preservation Fund - Certified
Government.
13. SUSPENSION OR TERMINATION OF SERVICES
This agreement may be terminated by either party up01

14. STATUS OF THE CONSULTANT
The Consultant shall perform the services pro\-ided fc
herein in Consultant’s own way as an independent contractor
in pursuit of Consultant’s independent calling, and not as
employee of the City. Consultant shall be under control of
City only as to the result to be accomplished, but shall cc
with the City as provided for in the request for proposal.

15. CONFORMITY TO LEGAL REQUIREMENTS
The Consultant shall cause all drawings and specifica'
to conform to all applicable requirements of lax: federal,

documents, to be filed with any agencies whose approl'al is

16. OWNERSHIP OF DOCUMENTS
All plans, studies, sketches, drawings, reports, and
specifications as herein required are the property of the C

17. HOLD HARMLESS AGREEMENT

personal injuries or death caused by, or claimed to have b
caused by, or resulting from, any intentional or negligent
errors or omission of Consultant or Consultant's agents,

and employees against any of the foregoing liabilities or c
of any kind and any cost and espense that is incurred by tb

18. ASSIGNMENT OF CONTRACT
The Consultant shall not assign this contract or any
thereof or any monies due thereunder without the prior wril
consent of the City.
19. SUBCONTRACTING
If the Consultant shall subcontract any of the r~ork
performed under this contract by the Consultant, Consultan
be fully responsible to the City for the acts and omission
Consultant’s subcontractor and of the persons either direc
indirectly employed by the subcontractor, as Consultant is
the acts and omissions of persons directly employed by
consultant. Nothing contained in this contract shall crea
contractual relationship between any subcontractor of Cons
and the City. The Consultant shall bind every subcontract
every subcontractor of a subcontractor by the terms of thi
contract applicable to Consultant’s work unless specifical
noted to the contrary in the subcontract in question apprc

20. PROHIBITED INTEREST
No official of the City who is authorized in such cay
on behalf of the City to negotiate, make, accept, or appro'\

agreement, shall become directly or indirectly interested
personally in this contract or in any part thereof. 40 of
