HEAlT <%^ CITY ATTY. <^^ CITY MGR. i^ RECOMMENDED ACTION: Adopt Resolution No. 2007-301 approving Amendment No. 5 to the contract for Help Desk Services with ACS State and Local Solutions, Inc. and authorizing the Mayor to execute same. ITEM EXPLANATION: The City of Carlsbad's Help Desk is an integral part of the Information Technology service function provided to City staff. It is the help desk that is responsible for bringing multiple resources together to address an employee's technology issue or request. From "my printer is jammed" to "I need to reset my network password", the help desk is the funnel through which technical problems and service requests are reported, coordinated, managed and ultimately resolved. On May 27, 2003 the city executed a contract for Help Desk Services to be provided by ACS State and Local Solutions, Inc. The contract with ACS State and Local Solutions, Inc. expires November 30, 2007. To ensure the City's technology help desk needs are met both effectively and efficiently, the Information Technology Department is requesting a six month extension to the original Help Desk contract. This extension will allow the Information Technology Department to award a new contract for help desk services. As part of the budget for FY 2007-2008, Information Technology has planned and budgeted for the continuation of this outsourced service. Within 90-120 days, the RFP process will be complete and the City will be able to benefit from enhanced technology help desk services either from a new or the existing technology vendor - ACS State and Local Solutions, Inc. FISCAL IMPACT: The potential cost of this amendment is sixty three thousand three hundred ninety six dollars ($63,396) or ten thousand five hundred sixty six dollars ($10,566) per month, not to exceed six (6) months. This amendment will enable ACS State and Local Solutions the ability to provide help desk coverage while the Information Technology Department reevaluates help desk options. Sufficient funds have been budgeted and are available for use in the Information Technology Department budget. ENVIRONMENTAL IMPACT: None. INC. 5 WHEREAS, on May 27, 2003 the city executed a four (4) year agreement with 6 ACS State and Local Solutions, Inc. to provide help desk services to the city; and 7 WHEREAS, on November 30, 2007 the contract will expire; and 8 WHEREAS, the city has negotiated a six (6) month extension with ACS State 9 and Local Solutions, Inc. to provide these services; and 10 WHEREAS, sufficient funds have been budgeted and are available for use in the 11 Information Technology Department budget. 12 NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of13 Carlsbad, California, as follows: 15 1. This Amendment No. 5 is entered into and effective as of the C5" day of 2007, amending the original one year agreement dated May 27, 2003 (the "Agreement"), that provided for three additional one year terms, by and between the City of Carlsbad, a municipal corporation, ("City"), and ACS State and Local Solutions, Inc., a New York corporation, ("Contractor") (collectively, the "Parties") for Technology Help Desk Services. RECITALS A. On June 17, 2004, the Parties executed Amendment No.1 to the Agreement to extend the Agreement for an additional one (1) year term; and B. On May 27, 2005, the Parties executed Amendment No.2 to the Agreement to extend the Agreement for an additional one (1) year term; and C. On May 30, 2006, the Parties executed Amendment No.3 to the Agreement to extend the Agreement for an additional one (1 ) year term; and D. On May 30, 2007, the Parties executed Amendment No. 4 to the Agreement to extend the Agreement for an additional six (6) months; and E. On November 30, 2007 the Agreement will expire. The Parties have negotiated and agreed to extend this contract on a month to month basis for a period not to exceed six (6) months. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1 . In addition to those services contained in the Agreement, as may have been amended from time to time, Contractor will continue to provide those services described in Exhibit "A". 2. City will pay Contractor for all work associated with those services described in Exhibit "A" at a fixed price of Ten thousand five hundred sixty six dollars ($10,566) per month for a term not to exceed six (6) months. 3. City will provide a minimum thirty (30) days written notice to Contractor before expiration of the term. 4. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 5. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment.
