Staff recommends the Council adopt Resolution No. 678-,408 , awarding the contract
for janitorial services to Advanced Building Maintenance Company. I ITEM EXPLANATION
The City of Carl sbad has fourteen facil i ties that require outside janitorial
slervices. For a number of years, each facility included the cost of janitorial
slervice in their operating budget. However, in September 1987, when the Building
M(aintenance Division was transferred from Parks and Recreation to Utilities and
Maintenance, the responsi bi 1 i ty for outside jani tori a1 servi ce was pl aced under the
direction of the Building Maintenance Division.
Requests for Proposal s were developed for jani tori a1 services and in accordance with
Section 3.28.120 of the Municipal Code, Notice to Bidders was published on February
5, 1988. Four responses were received, opened, witnessed and recorded on February
2 1988. The lowest responsive bid for janitorial services was from Advanced
Building Maintenance Company, 10830 E. Whittier Boulevard, Whittier, CA 90606. I USCAL IMPACT
Unencumbered funds in the amount of $10,327.56 are available in Building Maintenance
Account 001-820-5320-2484. The cost for the remaining three months of fiscal year
1987-88 will be $7,482. In 1988-89, the cost of the janitorial service will be
$22,446 and adequate funds will be available in Building Maintenance Account 001-
820-5320-2484 for this service.

JANITORIAL SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this /& day of

California, a municipal corporation, hereinafter referred to as
" C i t y I' , and Advanced Building Maintenance , hereinafter
ref erred to as "ContractorTf.
WITNESSETH:
WHEREAS, the City does find that the proposal tendered by
the Contractor for janitorial services, including the furnishing
of all labor, services, materials, and equipment, was a
responsible proposal and of high standards;
WHEREAS, the City of Carlsbad does further find and
determine that it would be in the best interests of the City that
said proposal be accepted and the contract be awarded to the
Contrsctor;
MOW, THEREFORE, for and in consideration of the mutual
covenants and promises of the parties hereto and upon the express
terms and conditions hereinafter set forth; it is agreed by and
between them, and each with the other, as follows:
1. This agreement shall consist of and include the
following documents attached hereto, as Exhibits A, B, C and D,
and incorporated by reference herein:
A. Bid Proposal
B. Client Listing
C. Statement of Financial Responsibility
D. List of Facilities to be Maintained

All agreement documents are intended to cooperate and be
coordinated so that any one called for and any one not mentioned
in the other or vice versa, is to be executed the same as if
mentioned in all contract documents.
2. The said Contractor agrees to furnish all tools,
equipment, apparatus, facilities, labor, services and materials,
including paper products, and perform all work necessary to
maintain in good and workerlike manner, all facilities according
to the proposal submitted and accepted as in all agreement
docu.inents hereinabove ref erred. It is understood and agreed
that all said labor, services, materials, and equipment shall be
furn.ished and said work performed and completed by the Contractor
as zn independ.ent Contractor, subject to the inspection and
a.pprova1 of the City acting throxgh its Utilities and Maintenance
Director or designated representative. The Contractor shall
assume all risks for loss of or damage to tools or equipment
owned/rented by the Contractor.
3. The Contractor, prior to commencing work under this
agreement, shall provide to the Utilities & Maintenance Director
and have accepted and approved, a listing of all materials,
incl.uding paper products, that will be used. With this listing
will be a legible copy of the Materia.1 Safety Data Sheet (MSDS)
for each product that requires a MSDS. The listing must be
corrected with revised MSDS, as appropriate, and submitted to the
Util-ities & Maintenance Director for acceptance and approval
prior to a material being changed.

4a. The Contractor shall provide the janitorial services of
the facilities as set forth in this section, unless directed
otherwise by the Utilities and Maintenance Director or authorized
representative. Standards are set forth as shown.
b. These specifications are intended to indicate an
acceptable level of service. Cleaning frequencies set forth are
meant to be general guidelines; upon approval of the Utilities &
Maintenance Director, the contractor may supplement these general
guidelines or cleaning frequencies to the extent necessary to
properly clean the baildings.
C. The term licleanl' means the removal of trash, dirt,
dust, lint, marks, stains, spots, odors, film (dirt, grease,
etc. ) .
d. The contractor shall be responsible for instructing his
employees in safety measures considered appropriate. Personnel
will not place or use mops, brooms, or any equipment in traffic
areas or other locations in such a manner as to create safety
hazards. The workers shall provide, place and remove
appropriate warning signs for wet or slippery floor areas caused
by cleaning or floor finishing operations. General safety
requirements shall be followed in all functions under this
agreement.
A. Daily Maintenance Work Items:
Empty trash containers; re-line, as needed; wipe
containers clean, as necessary; remove all trash to a
designated central location for disposal.
Empty and damp wipe all ashtrays and cigarette urns.
Hand dust and/or damp wipe all flat surfaces, including
but not limited to, counters, and office furnishings
such as file cabinets, desk chairs, tables, bookcases;
hand dust and/or damp wipe all other types of office
furnishings such as telephones, lamps, pictures; desk
tops will be excluded unless the employee has cleared
the desk top and requested cleaning.
Hand dust and/or damp wipe all ledges and flat surfaces
below 72" from the floor.
Remove all finger marks, smudges, and other marks
around light switches, door knobs, entry doors, metal
partitions and corridor walls.
Wash, sanitize, and polish all water coolers/drinking
fcuntains.
Clean out outside ashtrays at entrances.
Wipe clean all chrome, aluminum, stainless steel and
other metal trims, such as,. but not limited to, push
plates, kick plates, door handles and railings.
Dry wipe all chalkboards when chalkboards contain no
writinq/drawings; vacuum chalk dust from chalk trays
and erasers; clean marker boards with appropriate
cleaning solutions, as needed, when board contains no
writing/drawings.
Dust mop all resilient tile floor surfaces; sweep all
stairways.
Vacuum traffic areas of all carpets and rugs; spot
clean carpets, as needed. Note: Building Maintenance
Superintendent will schedule soil extraction on a
annual basis.
Clean glass entrance doors, inside/outside; spot clean
metal framing, as needed.
Clean restrooms: use germicidal detergent to clean all
toilets and urinals, inside and outside including
seats; clean and polish all flushometers and piping;
Clean all wash basins/sinks and wipe dry; clean
and polish all basin fixtures and exposed pipes
underneath;
Clean all mirrors, shelves under mirrors, and
other shelves or brackets;
Spot clean partitions, doors, and wall areas, as
needed;
Fill all paper and soap dispensers; wipe clean all
dispensers and trash receptacles (no refill
supplies shall be stocked in vicinity of
dispenser);
Damp mop floor using germicidal detergent; wet mop
ceramic tile and terrazzo tile.
Clean outside walkway/stairs leading to building
entryway.
Report an emergency for a safety, security or health
problem to the City Police/Fire Dispatcher (9-931-
2157). An emergency problem ~~ould be an unlockable
exterior door, broken ground floor window, plumbing
stops or leaks, electrical power outage, cooling or
heating malfunction or other similar problem that
cannot wait to be repaired until the next work day.
Emergency problems reported to the Dispatcher and non-
emergency items that require attention will be
expeditiously submitted in writing to the Building
Maintenance Superintendent, Utilities & Maintenance,
2075 Las Palmas Drive, Carlsbad, CA 92009-1519 on the
next workday.
B. Weekly Maintenance Work Items:
Those work items listed under daily maintenance.
Vacuum all carpeted areas completely.
Vacuum all upholstered furniture; spot clean, as
needed.
Damp mop all resilient tile and wood floors, including
stairs; spray buff all resilient tile areas.
Clean all inside glass partitions.
Clean acd polish all metal entrance doors and jambs.
Dust all baseboards, picture frames and other vertical
surfaces of all office furniture; dust all molding,
ledges, tops of partitions, trim, ventilators, louvers
and light fixtures above 72" from the floor.
Clean inside of toilets and urinals using bowl cleaner;
be sure to remove all scale and deposits, especially
under the lip of the bowl.
Pour one gallon of water containing two ounces of
germicidal detergent down the floor drain; scrub and
leave clean the custodian's deep sink.
C. Monthly Maintenance Work Items:
Those work items listed under daily and weekly
maintenance.
Scrub all resilient tile floors and stairs; strip off
old wax; apply new floor finish, as needed and polish
floors .
Strip, re-seal ceramic tile floors, as needed.
~ust all wood paneling; add lemon oil, as needed.
Dust all partition and door tops and ceiling vents and
light fixtures.
Dust exposed pipes and overhead exposed mechanical
equipment.
Clean all windnws, inside and outside.
Wipe down plastic and leather furniture.
Vacuum upholstered furniture thoroughly.
Vacuum all office spaces thoroughly
D. Quarterly Maintenance Work Items:
Those work items listed under daily, weekly, and.
monthly maintenance.
(To Se performed during the first month of each quarter).
Clean walls and ceilings (including partitions).
Clean and polish marble, wood, etc., walls and
paneling.
Shampoo all carpeted traffic areas using methods
approved in writing by the Utilities and. Maintenance
Director.
Machine scrub all hard tile (ceramic, quarry, etc.)
floors.
Vacuum all upholstered furniture.
E. Semi-annual Maintenance Work Items:
Those work items listed under daily, weekly, monthly
and quarterly maintenance.
(To be performed during the first and
seventh month of the calendar year).
Clean (wash) all windows blinds.
Clean all baseboards.
Wash all windows inside and outside (this includes
outside screens).
F. Annual Maintenance Work Items:
Those work items listed under daily, weekly, monthly,
quarterly and semi-annual maintenance.
(To be performed during the first
two months of each calendar year).
Vacuum, spot clean, and shampoo all carpets using a
method approved in writing by the Utilities and
Mainteaance Director. Proper shampooing shall result
in a carpet free from all types of airborne soil, dry
dirt, water-soluble soils, and petroleum soluble soils.
A clean carpet shall Se uniform in appearance when dry
and vacuumed,
Strip and refinish all resilient tile floor surfaces.
Upon completion of this task, floor shall be free of
all scuff marks, dirt, dust, soil, spots, stains,
d.eposits, and film (d-irt, oil, grease, etc. ) .
5. No chemicals or cleaning agents shall be stored at the
facilities, but shall be carried to and from the job site daily.
6. The Contractor shall obtain and pay for a City of
Carlsbad business license at the time of signing this Contract.
7. The Contractor will provide the City with a Blanket
Fidelity Bond covering all employees.
8. The Contractor shall comply with all Federal, State,

County, and City Statutes, Ordinances and Regulations, including
Workers' Compensation & Immigration Reforms Control Act of 1986.
9. The Building Maintenance Superintendent will furnish
keys to the Co~tractor who shall be responsible for locking and
securing buildings when leaving. The Contractor may - NOT
duplicate keys to buildings; additional keys, as needed, will be
provided by the Building Maintenance Superintendent.
10. All lights are to be turned off when leaving.
11. The Building Maintenance Superintendent shall monitor
the custodial contract service and act as liaison to the
Cont,ractor.
12a. Contractor's employees shall be required to Se clean
and neat in appearance and wear identification. Contractor will
be required to submit verification that employees have the right
to work in the United States. Contractor shall perform all
obli.gations in a good professional and lawful manner, provide
competent arid sober personnel, efficient and clean equipment, ar,d
service the City iil courteous, l-ielpful and impartial manner. The
Cont:ractor shall remove any of its employees for justifiable
cause upon the request of the City.
b. The Contractor will agree to and pay for background
cheeks if required on all personnel providing custodial services
a.t City facilities in cooperation with the Carlsbad Police
Department. In the event such background check reveals an item
which Carlsbad Police deems a security problem, the City may

request that such individual be removed from the list of
personnel authorized to provide custodial services in City
facilities.
13a. Work hours shall be between the hours of 6:00 p.m. and
6:00 a.m., Monday through Friday, except holidays, dependent upon
scheduled use. Any change in work hours by the Contractor must
be approved, in advance, by the Utilities & Maintenance Director
or the Building Maintenance Superintendent.
b. Holidays observed will be: New Year's Day, Lincoln's
Birthday, Washingtonls Birthday, Memorial Day, July 4th, Labor
Day, Columbus Day, Veteran's Day, Thanksgiving Day, ~riday after
Thanksgiving Day and Christmas Day.
14. The Contractor shall maintain a record of work
accomplished which shall include date, time in, time out and
1ocati.cn of work and costs for equipment used, parts and supplies
used and persons who did the work. This report shall be
submitted with the monthly billing. In addition, the report
shall indicate any work that needs to be accomplished.
15. Once each year after the first year of this agreement
(but not retroactively), upoil written request by the Contractor
and approval by the Utilities and Maintenance Director, said
monthly maintenance sum shall be subject to change in accordance
with the Consumer Price Index, San Diego, as published. by the
U.S. Department of Labor, based on one-half of the percentage
change in the index from the first month of this agreement to
each succeeding anniversary thereof.

16. In the event notification is made at other than the
begfcning of the monthly agreement period, payment for that month
shall be prorated from the day the Contractor is notified.
17. The Contractor agrees to commence the work provided for
herein immediately upcn the completion of the execution of this
agreement an6 the delivery to Contractor of an executed copy
thereof and to continl_le in a d.ue and diligent workerlike manner
and without interruption. This agreement shall extend for a
peri.od of one (I) year from the date hereof. The Utilities &
Maii:itenance Cirector may extend this contract for three (3)
additional one (1) year periods for a total contract period of
four (4) years, upon satisfactory performance,
18a. The Contractor shall carry public liability and
property dai~age insura~ice in an amount not less than 3ne Million
Eoll.ars (51,000,000) for injuries; including accidental death,
for any one person, and subject to the same limit for each person
in an amount not less than One Million Dollars ($1,000,000) on
account of any one accident, and property damage insurance in an
amocnt not less than One Million Dollars ($1,000,000) for any
liabilities arising from this Agreement. Said insurance shall be
provided by a company or companies satisfactory to the City. The
Contractor shall also take and maintain during the life of this
Agreement, Workers1 Compensation Insurance covering all of
Contractor's employees on the project, in a company satisfactory
to the City and shall furnish to the City certificates issued by
such companies showing that all of the above mentioned insurance

has been issued, is in effect, and that coverage may not be
terminated without thirty (30) days written notice to the City.
b. The Contractor shall likewise obtain public liability
and property damage insurance to cover vehicles used or
maintained in the performance of said work connected with this
agreement with liability limits of not less than One Million
Dollars ($1,000,000) for any one person and One Million Dollars
($1,000,000) for any one accident, and property damage of One
Million Dollars ($1,000,000).
c. The City shall be named as an additional insured by
endorsement to ail of the liability policies. Contractor shall
provide copies of the endorsements to City for review prior to
conin~encing work.
19. The City, its agents, officers, and employees shall not
be liable for any claims, liabilities, penalties, fines, or any
damage to goods, properties, or effects of any person whatever,
nor for personal injuries or death caused by, or resulting from,
or claimed to have been caused by, or resulting from any act or
omission of Contractor or Contractor's agents, employees, or
representatives. Contractor agrees to defend, indemnify, and
save free and harmless the City and its authorized agents,
officers, and employees against any of the foregoing liabilities
or claims of any kind and any cost and expense that is incurred
by the City on account of any of the foregoing liabilities,
unless the liability or claim is due to or arises out of the
City's sole and active negligence.

20. This agreement may be terminated by either party by
giving thirty (30) days' written notice to the other, and this
agreement shall terminate forthwith thirty (30) days following
the date such notice is given.
21. In the event that any of the provisions of this
agreement are violated by the Contractor, the City may terminate
the agreement by serving written notice uson the Contractor of
its intentien to terminate such agreement and, unless within ten
(10) days after the service of such notice such violation shall
cease, the agreement shall, upon the expiration of said ten (10)
days, cease and terminate. As to violations of the provisions of
this zgreernent which cannot be remedied or corrected within ten
(10) days, said agreement shall, at the option of the City, cease
and terminate upon the giving of like notice. In the event of
any such termination for any of the reasons above mentioned, the
City may take over the work in progress and prosecute the same to
completion by agreement or otherwise for the amount and at the
expense of the Contractor.
22. The Utilities and Plaintenance Director and other
concerned City pe-rsonnel, as apsrcpriate, will meet periodically
to review the agreement performance. The Contractor will be
appraised how the City views the Contractor's performance and the
Contractor will appraise the City of problems, if any, being
experienced. The Contractor will also notify the Utilities &
Mai~ntenance Director in writing of any work being performed, if
any, that the Cont.ractor considers to be over and above the
\
requirements of the agreement. Appro2riate actioa shall be taken
to resolve outstanding issues.
23a. All performance (which includes services, materials,
supplies and equipment furnished or utilized in the performance
of this agreement, and workmanship in the performance of
services) shall be subject to inspection and approval by the City
at a.11 times during the term of the agreement. The Contractor
shall provide adequate cooperation to any inspector assigned by
the City to permit the inspector to determine the Contractor's
conformity with these specifications and the adequacy of the
services being contractually provided. All inspection by the
City shall be aade in such a manner as not to unduly interfere
with Contractor performance.
b. If any services performed hereunder are not in
conformity with the specifications and requirements of this
agreement, the City shall have the right to require the
Contractor to perform the services in conformity with said
specifications and requirements at no additional increase in
total contractual amcunt. When the services to be performed are
of such nature that the difference cannot be corrected, the City
shall have the right to (1) require the Contractor immediately to
take all necessary steps to ensure future performance of the
services in conformity with requirements of the agreement, and.
(2) reduce the contractual price to reflect the reduced value of
the services pe.rformed. In the event the Contractor fails to
perform the services promptly or to take necessary steps to

ensure future performance of the service in conforlnity with the
specifications and requirement of the agreement, the City shall
have the right to either (1) Sy agreement or to other wise have
the services performed in conformity with the agreement
specifications and charge to the Contractor any cost occasioned
to the City that is directly related to the performance of such
services, or (2) terminate this agreement for default.
24. Within five (5) work days after the award of contract,
the Contractor shall submit to the Utilities & Maintenance
Director, a complete plan of his operations, indicating the names
and addresses of the custodians (including all specialists and
relief personnel) and the specific areas assigned to each, the
days a.nd times on which other than nightly duties will be
performed, and the names and addresses of all supervisors. The
plan will be kept current by the Contractor.
25. The Contractor shall have an "on-sitet1 representative
with authority to contractually bind the Contractor in matters
which may arise during the agreement performance period. The
Contractor shall provide, prior to commencement of work under
this agreement, in writing to the Utilities & Maintenance
Director, a statement indicating by name the specific authority
vested in the lron-siteH representative. The Contractor of 'Ion-
sitet1 representative will be responsible for instructing and
training of Cont.ractorts personnel in the proper and specified
work method and procedcres; directing, scheduling, and
coor5ina.ting a.11 custodial services and functions to completely
accomplish the work as required Sy the agreement. The "on-site"
representative shall be available for consultation regarding
problems on a daily basis at some time during regular working
hours (7 a.m. - 4 p.m., Monday - Friday).
26. It is expressly understood and agreed that the
Contractor herein named in the furnishing of all laSor, service,
materials, and equipment performing the work as provided in this
Contract, is acting as an independent Contractor and not as an
ager.t, servant, or employee of the City.
27. Except for the manufacturers1 factory warranties, the
Contractor disclaims all warranties with respect to materials
supplied hereunder and further disclaims any and all liability
for failure to perform or delay in performance hereund-er where
the same is due in whole or in part to any cause beyond
Contractor's reasonable control, such as, but not limited to,
fire, flood, earthquake, lightning, strike or other labor
difficulty.
28. This agreement or any part thereof shall not be
assigned by Cont.ractor without prior written consent of City.
29. This agreement may be amended or modified only by
written agreement signed by both parties, and failure on the part
of either party to enforce any provision of this agreement shall
not be construed as a waiver of the right to compel enforcement
of such provisi~n or provisions.
30. The Contractor shall be aware of the requirements of
the Immigration Reform and Control Act of 1986 and shall comply
with those requirements, including but not limited to verifying
the eligibility for employment of all agents, employees, sub-
contractors and consultants that are include6 in this agreement.
IN WITNESS WHEREOF, the parties hereto have executed this

AUTHORIZING THE EXECUTION OF A CONTRACT FOR
JANITORIAL SERVICES.
BE IT RESOLVED by the City Council of the City of Carlsbad, California, as
follows:
1. That the bid of Advanced Building Maintenance Co., 10830 E. Whittier
Boulevard, Whittier, CA 90606, is hereby accepted and the Mayor is hereby
authorized to execute a contract for janitorial services in the amount of $2,494
per month.
